1 ROBINS KITCHEN VIP LOYALTY PROGRAM TERMS AND CONDITIONS 1. About the Robins Kitchen VIP Loyalty Program 1.1 The Robins Kitchen VIP Loyalty Program (Program) is operated by Global Retail Brands Australia Pty Ltd (ACN ) of Level 1, 425 St Kilda Road, Melbourne 3004 (we or us). 1.2 Customers participating in the Program can obtain rewards by making purchases at participating Robins Kitchen stores and online at (Robins Kitchen Website). 1.3 Rewards can only be redeemed at participating Robins Kitchen stores as described in and subject to these Robins Kitchen VIP Loyalty Program Terms and Conditions (Loyalty Program Terms). 2. Applications and Membership 2.1 Applications to participate in the Program (Application) may be made online or in a participating Robins Kitchen store. By making an Application, the applicant (you) agrees to be bound by these Loyalty Program Terms. We reserve the absolute discretion to accept or reject any Application. 2.2 On sign up you will be notified by us if your Application has been accepted. Following sign up, you will be able to participate in the Program as a Robins Kitchen VIP member (VIP Member). Your use of your Robins Kitchen VIP membership account (VIP Membership Account) will at all times be subject to these Loyalty Program Terms, as varied from time to time by us. 2.3 Applications may be made by a natural person only (ie only individuals are eligible to be VIP Members). Corporations, partnerships and other entities may not apply. 2.4 Customers must only sign up as a VIP Member once. Duplicate VIP Membership Accounts may be cancelled without the customer being notified. Cancellation of a VIP Membership Account includes termination of the VIP Membership Account and forfeiture of all rewards and benefits associated with the VIP Membership account. 2.5 Your VIP Membership Account is not transferable to another person. 2.6 Employees of Global Retail Brands Australia Pty Ltd, including head office staff and employees of its related entities and Robins Kitchen stores are not eligible to apply. 2.7 Your VIP Membership Account is valid until you or we terminate these Loyalty Program Terms. 2.8 You will be issued with a VIP Membership card. The VIP Membership card is the property of us. You must return the card to us upon our request. Defaced, mutilated, altered, lost or stolen cards and collateral may be replaced at a Robins Kitchen store at our discretion. 3. Transactions and Reward Points 3.1 Each time you purchase goods or services at a participating Robins Kitchen store you must present your VIP Membership card or provide one or more of the following to a staff member: membership number, full name, address or mobile number. Store staff will record the transaction and value points (Reward Points) will be added to your VIP membership Account for each purchase at the rates published from time to time by us on the Robins Kitchen Website. Your points balance will be printed on the bottom of your register receipt. It may take up to 24 hours after the relevant purchase for Reward Points to be added to your VIP Membership Account. 3.2 Failure to present your VIP Membership card or otherwise advise a staff member at the time of purchase in accordance with clause 3.1 may result in points not being added to your VIP

2 Membership Account. We take no responsibility for ensuring that Rewards Points are added. If Reward Points are not added during the transaction you must contact Customer Service on within 30 days of the transaction to receive your Reward Points. A register receipt or proof of purchase will be required in order to allocate these Reward points 3.3 When completing a purchase online, Reward Points will only be added to your VIP Membership account if you have used the same address that is attached to your VIP Membership Account. You will also need to register this address on the Robins Kitchen Website. Any changes to your address will need to be completed in a Robins Kitchen store or by contacting Customer Service on or ing customerservice@robinskitchen.com.au. 3.4 Under no circumstances will points be added to a VIP Membership Account for purchases made prior to sign up as a VIP Member. 3.5 Rewards Points will only be added to your VIP Membership Account for your personal shopping. Reward Points cannot be earned for commercial or business purchases. 3.6 The current reward rate of Reward Points is one reward point for every $1 spent in a Robins Kitchen store (Reward Rate). When 500 Reward Points are earned, a value of $20.00 will be added to your VIP Membership Account (Reward). The Reward Rate may be varied by us at any time in accordance with paragraph 5 of these Loyalty Program Terms. 3.7 Reward Points may be used as payment (redeemed) for subsequent purchases of goods at participating Robins Kitchen stores. Such purchases may be paid for in part or in whole by redeeming a Reward. The following conditions apply: 3.7.1As it may take up to 24 hours for Reward Points to be added to your VIP Membership Account, a Reward may only be redeemed for subsequent purchases made at least 24 hours after the relevant Reward points are accrued Where the cost of the purchase exceeds the Reward, you will be required to make up the difference with another payment method Redemption must be for a minimum amount of $ No change will be given for purchases to a value of less than the amount of the Reward Only one Reward can be redeemed in a single transaction as payment for goods No more than two Rewards can be redeemed in any one calendar month A Reward cannot be redeemed or used for the payment of goods purchased by way of lay by at a Robins Kitchen store. 3.8 A Reward is valid for 90 days from the date of issue (Validity Period). If the Reward is not redeemed within the Validity Period, then: the Reward will expire at the end of the Validity Period and may not be redeemed to purchase goods at any Robins Kitchen store; and the Reward Points originally earned to redeem the Reward will be forfeited. 3.9 We may also from time to time offer special promotions to VIP Members. Any special promotions will be at the discretion of and on terms notified by us on the Robins Kitchen Website.

3 3.10 Our Returns Policy applies to goods and services purchased by redemption (in whole or in part). The Returns Policy may be inspected at any Robins Kitchen store or on the Robins Kitchen Website. If you: return goods purchased in store for change of mind for an exchange in accordance with the Returns Policy, any Reward Points earned for the original transaction will be retained. However, if you are issued an in-store credit when returning goods purchased in store for change of mind in accordance with Returns Policy, then any Reward Points for the original transaction will be deducted from your Reward Points balance; return goods purchased on line for change of mind for a refund or an exchange in accordance with the Returns Policy, any Reward Points earned for the original transaction will be retained; and/or return goods purchased in store or online which are accepted to have a major failure or a minor failure in accordance with the Returns Policy and the Australian Consumer Law, and you request to receive a refund, we will issue a refund in the original payment tender. The refund will include the value of any Reward used as tender for all or part of the transaction. Any Reward Points earned for the original transaction will be deducted from your Reward Points balance In relation to Robins Kitchen Gift Cards: Reward Points will not be earned when purchasing a Robins Kitchen Gift Card(s) Reward Points cannot be redeemed to purchase a Robins Kitchen Gift Card(s) Reward Points will be earned when using a Robins Kitchen Gift Card to purchase goods in a Robins Kitchen store or online Reward Points have no monetary value (notwithstanding that they may from time to time be denominated in dollars and cents), are not redeemable for cash and cannot be used for the payment of credit or accounts. Reward Points cannot be transferred Any Reward Points earned will expire or may be cancelled by us after 12 months from the date they were added to your VIP Membership Account if they are not converted to a Reward within that12 month period. For example, if you earn 400 Reward Points in May 2014 but fail to earn a minimum of 100 Reward Points during the next 12 month period (necessary for conversion into a Reward) then in May 2015 your 400 Reward Points will expire and you will have no Reward Points on your VIP Membership Account. 4. Assistance 4.1 You can check your Reward Points balance at any time by logging in to the Robins Kitchen Website or by calling Customer Service on You will need to use the address attached to your VIP Membership account to view Reward Points online. 4.2 Visit your local Robins Kitchen store or call Customer Service on if you have any reason to believe that an error has occurred in relation to your VIP Membership Account. 5. Variations to and withdrawal by us of the Program 5.1 We may at any time vary these Loyalty Program Terms or the Program (Variations).

4 5.2 The terms of any Variations will be published on the Robins Kitchen Website and in selected marketing materials. Variations will take effect from the date that they are published on the Robins Kitchen Website (Variation Date). 5.3 If you do not agree to a Variation, you must notify us in writing within 14 days of the Variation Date. We will be entitled to treat such notification as notification of termination of your participation in the Program, effective on the date we receive your notice. However, by purchasing a product and acknowledging use of your VIP Membership Account to earn Reward Points on or after the Variation Date, you will be taken to have agreed to any such Variation, unless you have notified us that you do not agree to the Variation in accordance with this paragraph You may at any time, terminate your participation in the Program by advising a staff member in any Robins Kitchen store, contacting Customer Service on or ing customerservice@robinskitchen.com.au. Such a termination will take effect immediately. 5.5 Without limiting the scope of paragraph 6.1, we reserve the right to withdraw or terminate the Program at any time by giving no less than 7 days' notice. 5.6 In the event of withdrawal or termination of the Program by us under paragraph 5.5, or your notification to us that you no longer wish to participate in the Program under paragraphs 5.3 or 5.4: Reward Points or Rewards added to your VIP Membership Account before the effective date of termination under paragraphs 5.3 or 5.4 (Termination Date) will be automatically cancelled and unable to be redeemed at any Robins Kitchen store; and you will not be able to earn additional Reward Points on or after the Variation Date or the Termination Date, as applicable. 5.7 We may at any time terminate this agreement or terminate or suspend the operation of your VIP Membership Account without notice to you if: 6. Liability of us you are in breach of any of these Loyalty Program Terms; or you engage in any dishonest, illegal or fraudulent conduct. 6.1 To the extent permitted by law: we exclude all liability to you arising out of or in connection with your participation in the Program or your use of your VIP Membership Account; any implied warranties, including any warranties implied under statute, are excluded; we limits our liability to you, in respect of any claim, however it arises, whether in breach of contract, in tort (including negligence) or under statute, to the monetary value of the Reward Points accumulated on your VIP Membership Account at the time you make a claim against us; and we exclude all liability to you for any consequential or indirect loss or damage, or for any loss of income, revenue or goodwill, however it arises. 6.2 We do not warrant or represent that at any particular time a particular Robins Kitchen Store will be a participating store. To the extent permitted by law, we exclude all liability to you in the event that a Robins Kitchen store does not accept your VIP Membership Account for use.
