1. CONSULTANT S RESPONSIBILITIES GENERAL A. DEFINITIONS 1.1 Consultant used herein shall be comparable to the term Contractor used in the State of Minnesota Professional and Technical Services Contract. a. The term Consultant shall be construed to include the Prime Consultant and its Subconsultants. 1.2 SubConsultant used herein shall be comparable to term SubContractor used in the Professional Technical Services Agreement. B. STANDARD OF CARE The Consultant shall provide the professional services set forth in this Agreement consistent with the professional skill and care ordinarily provided by Design Professionals practicing in the same or similar locality under the same or similar circumstances. The Consultant shall perform its services as expeditiously as is consistent with such professional skill and care and the orderly progress of the Project. C. THE CONSULTANT S BASIC SERVICES shall consist of those described below and include usual and customary Architectural, Landscape Architecture, Cost Estimating and Energy Modeling services and Civil, Structural, Mechanical, Electrical and Water Services Engineering. 1.1 The Consultant shall provide Services as required by the Project Manual Document A201 State of Minnesota Addition for the Project, which is hereby incorporated into this Contract where it delineates the Services, Roles, Actions and Authority of the Architect in: Article 1 General Provisions Article 7 Changes in the Work Article 2 Owner Article 9 Payments and Completion Article 3 Contractor Article 12 Uncovering and Correction of Work Article 4 Architect Article 13 Miscellaneous Provisions Article 5 Subcontractors Article 14 Termination or Suspension of the Contract Article 6 Construction by Owner or by Separate Contractors Article 15 Claims and Dispute Resolution Page 2 of 24

1.2 SubConsultants: a. For additional requirements, refer to State of Minnesota Professional and Technical Services Contract Article 14. b. Consultant is responsible for coordinating and managing the work of its SubConsultants. The use of SubConsultants does not relieve the Consultant from its obligation to perform the services specified in this contract. 1.3 Final Estimates: Consultant s Basic Services include detailed cost estimating services, provided either in-house or by a Sub-consultant. 1.4 The Consultant s Basic Services include Services to revise the Project and to rebid the Project if required to meet MnDOT s budget. 1.5 The Consultant shall arrange for the reproduction of all documents required for Deliverables, MnDOT s internal reviews, and for the Consultant s use for the Project. The cost of reproduction will be reimbursed as scheduled in the Consultant s contract. D. SCHEDULE FOR PERFORMANCE OF THE CONSULTANT S SERVICES 1.1 For additional requirements, refer to State of Minnesota Professional and Technical Services Contract Articles 5, 9, 15, 20 and 24. 1.2 The Consultant shall submit for MnDOT s approval a Project Design Schedule for the performance of the Consultant s services. The time limit established for the Project Design shall not, except for reasonable cause, be exceeded by the Consultant. Any unreasonable delay may be justification for termination of the Consultant s contract. 1.3 The Project Design Schedule shall outline anticipated completion dates for Phases of the Design work and incorporate review time for MnDOT and governmental approvals as required to meet the time limit for the Project Design. 1.4 With MnDOT s approval, the Consultant shall adjust the interim schedule, if necessary, to meet the time limit, as the Project proceeds. E. APPROVAL OF GOVERNMENTAL AUTHORITIES 1.1 The Consultant shall, at appropriate times, contact the governmental authorities required to approve the Construction Documents and the entities providing utility services to the Project. In designing the Project, the Consultant shall respond to applicable design requirements imposed by such governmental authorities and by such entities providing utility services. 1.2 The Consultant shall [assist in filing] [file] documents with the Department of Labor and Industry and other governmental authorities having jurisdiction over the Project. [including but not limited to:] a. Environmental Protection Agency (EPA) / Minnesota Pollution Control Agency (MPCA). b. XXXX Watershed District 1.3 The Consultant shall prepare documents in formats required by Department of Labor and Industry for electronic submission. F. ESTIMATES OF THE COST OF THE WORK 1.1 Definitions: a. The Cost of the Work i. The total cost of the General Contract to construct all elements of the Project designed or specified by the Consultant, and including MnDOT s Outbuildings and appurtenances, if any; and shall include contractors general conditions costs, overhead and profit. b. MnDOT s Budget i. The Budget for the Cost of the Work shall be provided to the Consultant. ii. Contract Documents Deliverables resulting in bids within MnDOT s Budget is a requirement of this Contract. Page 3 of 23

1.2 Preparation a. Estimates shall be prepared to provide costs of construction anticipated at time of Bid and shall include contingencies for design, bidding and price escalation. b. Preliminary Estimates may be based on current area, volume or similar conceptual estimating techniques and shall be periodically refined to reflect the development of the Design. c. Interim Estimates shall be based on generally-accepted conceptual estimating techniques using industry standard estimating software. d. Draft Final and Final Estimates: Consultant s Basic Services include detailed cost estimating services, provided either in-house or by a SubConsultant using industry standard estimating software. 1.3 MnDOT maintains the right to rely upon the Consultant s Estimates: i. to determine which materials, equipment, component systems and types of construction are included in the Project. ii. to make reasonable adjustments in the program and scope of the Project; iii. to develop Alternates as may be necessary to adjust the estimated Cost of the Work to meet MnDOT s Budget. 1.4 If at any time the Consultant s Preliminary, Interim, Draft Final or Final Estimates of the Cost of the Work exceed MnDOT s budget for the Cost of the Work, the Consultant shall make appropriate and timely recommendations to MnDOT to adjust the Project s size, scope, quality or Budget. a. The Consultant s Basic Services include Services to make such adjustments to the Design Documents. 1.5 It is recognized that the Consultant cannot and does not warrant or represent that bids will not vary from MnDOT s budget for the Cost of the Work or from any estimate of the Cost of the Work or evaluation prepared or agreed to by the Consultant, however, if MnDOT s Budget for the Cost of the Work is exceeded by the lowest bona fide bid, MnDOT may elect to proceed with any of the following: a. Give written approval of an increase in the Budget, b. Terminate this Agreement, c. Authorize rebidding of the Project within a reasonable time, i. The Consultant s Basic Services include Services to rebid the Project to meet MnDOT s budget. d. In consultation with the Consultant, revise the Project program, scope, or quality as required to reduce the Cost of the Work. i. The Consultant, without additional compensation, shall modify the Construction Documents as necessary to comply with MnDOT s budget for the Cost of the Work. ii. The Consultant s modification of the Construction Documents shall be the limit of the Consultant s responsibility under this Article. G. MINNESOTA SUSTAINABLE BUILDING GUIDELINES 1.1 The Consultant shall make recommendations to MnDOT based upon the Minnesota Sustainable Building Guidelines (MSBG) to improve the ongoing performance of the Project towards the lowest lifetime costs and to promote design and operational decisions based on improving environmental, human and economic conditions. H. MEETINGS 1.1 The Consultant shall arrange and attend all Design Meetings, Construction Progress and Preinstallation Meetings and other meetings required by the jurisdiction or MnDOT. a. The Consultant shall timely prepare agendas for these meetings and distribute them to all attendees and to MnDOT prior to the meetings. 1.2 The Consultant shall attend all Pre-bid and Pre-construction Meetings. 1.3 The Consultant shall prepare Record Minutes and distribute them to all attendees and to MnDOT, timely subsequent to the meetings. I. DELIVERABLES REVIEW AND CONSULTANT RESPONSES 1.1 For additional requirements, refer to State of Minnesota Professional and Technical Services Contract Articles 18 and 24. 1.2 The Consultant shall provide timely written responses to MnDOT s Review Comments in accordance with the Project Design Schedule. 1.3 The Consultant is responsible to address all MnDOT Review comments and redlines requiring action or response. Consultant Responses shall include: a. Specific, itemized records affirming incorporation of MnDOT comments. b. Consultant s responses regarding MnDOT comments which require further discussion. c. MnDOT comments may not be disregarded without action or response. 1.4 Quality Management Plan (QMP) and Quality Assurance and Quality Control Procedures. 9.1 and 22.1 For additional requirements, refer to State of Minnesota Professional and Technical Services Contract Articles 9 and 22. a. Consultant shall develop a project specific QMP specifying Quality Assurance and Quality Control (QA/QC) activities throughout the duration of the project. b. Consultant must submit the QMP to MnDOT s Project Manager for approval within five business days of Notice to Proceed. c. Consultant will distribute the QMP to all project team members, including SubConsultants. d. Deliverables shall include documentation of QA/QC activities performed for each Phase signed by a Consultant s Representative certifying completion. Insert descriptive verbiage below for additional services required and deliverables and reimbursables. J. SPECIAL SERVICES 1.1 Certified Survey: Consultant shall determine requirements for [and enter into a contract to procure as a reimbursable expense] [and provide as a Basic Service,] a Certified Survey of the property. a. The Consultant shall engage a Land Surveyor licensed by the state of Minnesota and arrange for the preparation of surveys to describe physical characteristics, legal limitations and utility locations for the Site of the Project. The cost of the Surveyor Services will be reimbursed as scheduled in the Consultant s contract. Survey deliverables shall include: b. Written legal property description and boundary survey of the Site. c. Certified Survey indicating: i. existing utilities surrounding the Site ii. existing utilities and structures on the Site iii. topography of the Site 1.2 Geotechnical Report: Consultant shall determine requirements for and [enter into a contract to procure as a reimbursable expense] a Geotechnical Report. 1.3 Wetland Delineation: Consultant shall determine requirements for [and enter into a contract to procure as a reimbursable expense] [and provide as a Basic Service,] a Wetland Delineation of the property. 2. MnDOT s OWNER RESPONSIBILITIES GENERAL A. DEFINITIONS 1.1 MnDOT as used herein shall be the Minnesota Department of Transportation. a. The Office of Maintenance Building Services Section and its Project Manager shall act as MnDOT s authorized representative where referenced herein. B. PROJECT INFORMATION 1.1 For additional requirements, refer to State of Minnesota Professional and Technical Services Contract Article 3. 1.2 Requirements and Limitations MnDOT shall provide information in a timely manner regarding requirements and limitations on the Project, not limited to: a. Budget for the Project. b. The time limit established for the Project Design. c. Legal, accounting, contract, Labor Compliance and insurance information required for the Project. d. MnDOT s requirements for mechanical, electrical, civil, voice, data communications, building automation systems, plantings, paving, water services and security systems. e. MnDOT s preferred materials, products, equipment, details and installation requirements, including MnDOT s required Specifications language. f. MnDOT s requirements for energy use and other State agency s requirements for building performance for the Project. g. Contact information for MnDOT personnel and their assignments for this Project. 1.3 Existing Conditions Information: a. Original construction drawings and specifications b. Facilities Condition Assessment Information c. Energy use and system performance records d. Hazardous materials information 1.4 Written Program: MnDOT shall provide MnDOT s objectives, schedule, constraints and criteria, including function, space requirements and relationships, flexibility, expandability, special equipment, systems and Site requirements. a. A statement of priorities and requirements. b. List of spaces including function, size, quantity, relationships, adjacencies and external requirements. c. Vehicle types, Equipment and Personnel Worksheet for each space. d. MnDOT s proposed Outbuildings 1.5 Site Information: MnDOT shall furnish surveys to describe physical characteristics, legal limitations and utility locations for the Site of the Project to include: a. Written legal property description and boundary survey of the Site. b. Certified Survey indicating: i. existing utilities surrounding the Site ii. existing utilities and structures on the Site iii. topography of the Site c. The survey and legal information shall include, as applicable, i. grades and lines of streets, alleys, pavements and adjoining property and structures; Page 6 of 23

ii. designated wetlands; adjacent drainage; rights-of-way, restrictions, easements, boundaries and contours of the site; iii. locations, dimensions and necessary data with respect to existing buildings, other improvements and trees; and information concerning available utility services and lines, both public and private, above and below grade, including inverts and depths. d. MnDOT shall make arrangements for and furnish the services of geotechnical engineers, soils conductivity testing, hazardous materials, regulated waste and contaminated soils / groundwater assessments and other investigative services which are reasonably required by the scope of the Project. 1.6 Tests, Inspections and Reports: MnDOT shall furnish tests, inspections and reports on file required by law or the Contract Documents, such as Special Inspections required for structural, mechanical, and chemical tests; and tests for air and water pollution and for hazardous materials. 1.7 Products, Manufacturers and Materials: a. MnDOT will provide Specification language and/or a list of requirements, products, manufacturers and materials to be incorporated into Consultant s Specification Sections 2 thru 48. b. Where Specification language and/or a list of products, manufacturers and materials are provided by MnDOT, no additional products, manufacturers or materials may be included in the Project Manual or approved as Substitutions without approval of MnDOT. 1.8 MnDOT s Vehicles, Equipment and Systems: a. MnDOT shall provide schedules, placement, power and connection requirements of MnDOT s [existing] [new] Equipment [which will be installed] in Project. b. MnDOT shall provide a schedule of Vehicles and turning schematics for vehicles which will be required to access the Site and Building. C. REVIEWS AND RESPONSES 1.1 For additional requirements, refer to State of Minnesota Professional and Technical Services Contract Articles 18 and 24 1.2 MnDOT shall provide timely written reviews and responses to Consultant s inquiries and Deliverables in accordance with the Project Design Schedule. 1.3 MnDOT shall provide a written acknowledgement of receipt and review of Deliverables of each Phase which shall include: a. Enumerated general approval of Deliverables as warranted. b. Itemized comments and exceptions to the Deliverables. 1.4 MnDOT shall provide timely written Notice to Proceed with the subsequent Phase. D. NOTICE OF DEFECTS 1.1 For additional requirements, refer to State of Minnesota Professional and Technical Services Contract Articles 18 and 24 1.2 MnDOT shall provide prompt written notice to the Consultant if MnDOT becomes aware of any fault or defect in the Deliverables, including errors, omissions or inconsistencies in the Deliverables. E. COMMUNICATION 1.1 MnDOT shall designate a Project Manager to facilitate communications of the Consultant with the Agency, MnDOT Building Services Engineers and the Building Users. 1.2 MnDOT shall endeavor to communicate with the Construction Contractor only through the Consultant about matters arising out of or relating to the Contract Documents and Construction of the Project. 3. PROGRAMMING / SCHEMATIC DESIGN PHASE A. FINAL PROGRAM REQUIREMENTS The Schematic Design Phase of the Project will establish the final requirements for area and space allocation, and set the quality standards for architectural, civil, water services, structural, mechanical and electrical components and establish the construction cost to meet MnDOT s budget. B. MNDOT S SCHEMATIC DESIGN RESPONSIBILITIES 1.1 Coordinate attendance of MnDOT representatives to all review meetings. 1.2 Solicit and facilitate comments from Building Users. 1.3 Provide input and review. 1.4 Initiate and secure legislative review of Design Deliverables including budget and program, if required. 1.5 Review proposed adjustments to the Project Scope, if required. C. MECHANICAL AND ELECTRICAL ENGINEERS MEETING / CIVIL / WATER SERVICES Before the Mechanical, Civil, Water Services and Electrical Consulting Engineers begin working on the Project they shall meet with MnDOT s Building Services Engineers to review MnDOT s requirements for the design of the mechanical and electrical systems. 1.1 Building Services Engineers shall provide direction regarding air-handling, automated control systems, lamping, security systems and system commissioning requirements. 1.2 Building Services Engineers shall suggest parameters for envelope energy performance, daylighting concepts and applicability of alternative energy sources. D. CONSULTANT S PROGRAMMING / SCHEMATIC DESIGN RESPONSIBILITIES 1.1 The Consultant shall develop a Program for the Project including function, space requirements and relationships, flexibility, expandability, special equipment, systems and Site requirements. OR 1.1 The Consultant shall review MnDOT s program, schedule, budget for the Cost of the Work, Project Site, and alternative approaches to design and construction of the Project, including the feasibility of incorporating environmentally responsible design approaches. a. The Consutant shall prepare a preliminary evaluation of the Owner s program, schedule, budget for the Cost of the Work, Project site, and the proposed project delivery method and other Initial Information, each in terms of the other. 1.2 The Consultant shall consider the relative value of alternative materials, building systems and equipment, together with other considerations based on the program and aesthetics in developing a design for the Project that is consistent with MnDOT s schedule and budget for the Cost of the Work. 1.3 Minnesota Water Conservation Guidelines (Executive Order 11-13): The consultant shall make recommendations to MnDOT to implement water-efficiency best practices based on the EPA's WaterSense at Work. 1.4 Initial Building Code Analysis: The Consultant shall review laws, codes, and regulations applicable to the Project and develop an Initial Building Code Analysis and a report on watershed, planning and zoning issues and other regulatory constraints. 1.5 The Consultant shall prepare: a. Site Design Concepts including MnDOT s proposed outbuildings, vehicle turning schematics, general grading, drainage and retention; water services systems, landscaping, utilities and recommend preferred concepts. b. Building Design Concepts including preliminary materials selections; and recommendations of Page 8 of 23

preferred concepts. c. Building Systems Design Concepts for HVAC, Plumbing, Water Services and Electrical Systems. i. Develop initial analysis of envelope energy performance, daylighting concepts and applicability of alternative energy sources including geothermal and solar. ii. Develop initial schematic control systems, lamping, and system commissioning requirements. iii. Investigate applicability of utility company energy rebate programs and water-efficiency best practices. d. Design Concept Narrative description of proposed building systems, including building envelope materials and brief descriptions of structural, mechanical, electrical, and grading/drainage system concepts. e. Preliminary Estimate of Cost of Construction based on Building and Site area. B. PROGRAMMING / SCHEMATIC DESIGN DELIVERABLES The Consultant shall provide electronic (pdf) files of all Deliverables. Provide paper copy drawings and reports in sizes and quantities indicated by the MnDOT. 1.1 Programming Documents a. List of spaces including function, size, quantity, relationships, adjacencies and external requirements. b. Equipment and Personnel Worksheet for each space. OR 1.2 Preliminary evaluation of the Owner s program, schedule, budget. 1.3 Initial Building Code Analysis and report on planning and zoning issues and regulatory constraints. 1.4 Building Systems Design Concepts for HVAC, Plumbing, Water Services and Electrical Systems. a. Analysis of envelope energy performance, daylighting concepts and applicability of alternative energy sources including geothermal and solar. b. Initial schematic control systems, lamping, and system commissioning requirements. c. Report on utility company energy rebate programs and water-efficiency best practices. 1.5 Design Concept Drawings Appropriately scaled as follows: a. Site Design Concepts i. 2. DESIGN DEVELOPMENT PHASE A. THE DESIGN DEVELOPMENT PHASE of the Project will commence upon MnDOT s written approval of the Schematic Design Deliverables. 1.1 The Work of this Phase shall incorporate MnDOT s itemized Review comments and shall respond to adjustments required to accommodate budget constraints. 1.2 Deliverables shall illustrate and describe the development of the approved Schematic Design to fix and describe the size and character of the Project as to architectural, structural, water services, mechanical and electrical systems, and such other elements as may be appropriate. 1.3 Deliverables shall include outline specifications to identify major materials and systems and to establish general quality levels. B. MNDOT S DESIGN DEVELOPMENT RESPONSIBILITIES 1.1 Coordinate attendance of MnDOT representatives and Building Users to review meetings. 1.2 Solicit and facilitate comments from Building Users. 1.3 Provide input and review. 1.4 Respond to requests for information from the Consultant. 1.5 Provide information and guide specifications on MnDOT s preferred materials and equipment. C. CONSULTANT S DESIGN DEVELOPMENT RESPONSIBILITIES 1.1 The Consultant shall prepare Design Development Documents for MnDOT s approval consisting of Drawings and other documents appropriate for the Project. 1.2 The Consultant shall document progress with the Project Design Schedule and inform MnDOT of the status of progress. 1.3 Architectural Design Development a. Develop roof and floor plans, elevations, building sections, room finishes and door information. b. Coordinate locations and layout of Building Systems into design. c. Prepare Outline Specifications for all materials and equipment including Product Data or cutsheets indicating quality of products and materials. Incorporate MnDOT s preferred materials and equipment. d. Coordinate locations of MnDOT Equipment and Vehicles. 1.4 Structural Design Development a. Develop roof framing, wall framing and foundation systems with conceptual calculations for loads. b. Prepare Outline Specifications for all materials. 1.5 Mechanical Design Development Develop schematics which indicate all Heating Ventilation and Air Conditioning (HVAC) equipment, major duct layouts, temperature control system concept, all fire and life safety equipment and all plumbing system layouts, control system schematics, lamping and system commissioning requirements. a. Perform analysis of envelope energy performance and applicability of alternative energy sources. b. Determine the applicability of utility company energy rebate programs. Page 10 of 23

c. Implement water-efficiency best practices based on the EPA's WaterSense at Work. d. Develop 1/4" scale drawings of equipment rooms with all equipment laid out to scale. e. Coordinate all hook-ups required for MnDOT s equipment. f. Procure catalog cuts of all proposed equipment and fixtures. g. Develop Outline Specifications for all materials and equipment. h. Prepare Outline Commissioning Plan for Building Automation System. 1.6 Electrical Design Development Develop schematics which indicate primary and secondary service, fire alarm systems, light fixtures and lamping, outlet locations for power, phone and data and cable distribution. a. Prepare analysis of daylighting concepts. b. Determine the applicability of utility company energy rebate programs. c. Develop 1/4" scale drawings of equipment rooms with all equipment laid out to scale. d. Coordinate all hook-ups required for MnDOT s equipment. e. Procure catalog cuts of all proposed equipment and fixtures. f. Prepare Outline Specifications for all materials and equipment. 1.7 Civil and Sitework Design Development Develop site designs for: a. Conceptual Storm Water Pollution Prevention Plan. (SWPPP) b. Grading, drainage and retention. c. Public utility access and Site distribution. d. Water Services Systems. e. Paving Plan and Vehicle Turning Schematic. f. MnDOT s proposed outbuildings. g. Landscaping concepts. h. Site Lighting. 1.8 Interim Estimate of the Cost of the Work The Consultant shall prepare and submit to MnDOT an Interim Estimate of the Cost of the Work, based upon proposed materials, equipment, component systems and types of construction. D. BUILDING CODE REVIEW AND SUBMITTALS 1.1 Initial Application for Plan Review: The Consultant shall submit the "Initial Application for Plan Review" form to the Department of Labor and Industry, Construction Codes and Licensing, Building Codes and Standards (DLI Building Codes). a. If a local Jurisdiction is designated or if DLI will perform the Plan Review, the Consultant shall provide documents and coordinate preliminary reviews and meetings with the designated Jurisdiction. E. DESIGN DEVELOPMENT PHASE DELIVERABLES The Consultant shall provide electronic (pdf) files of all Deliverables. Provide paper copy drawings and reports in sizes and quantities indicated by the MnDOT. 1.1 Updated Project Design Schedule for Design Reviews and Consultant Services. 1.2 Quality Management Plan (QMP) documentation of QA/QC activities performed. Public utility access and Site distribution. d. Water Services Systems. e. Paving Plan and Vehicle Turning Schematic. f. MnDOT s proposed outbuildings. g. Landscaping concepts. h. Site Lighting. 1.9 Design Development Informational Submittals: a. Catalog cuts of all proposed equipment. b. Materials, finish and color schedules for proposed interior and exterior products. c. Analysis of daylighting concepts. d. Analysis of envelope energy performance and applicability of alternative energy sources. e. Applicability of Water-efficiency best practices. 3. CONSTRUCTION DOCUMENT PHASE A. THE CONSTRUCTION DOCUMENT PHASE of the Project will commence upon MnDOT s written approval of the Design Development Deliverables. 1.1 The Work of this Phase shall incorporate MnDOT s itemized Review comments and shall respond to adjustments required to accommodate budget constraints. 1.2 The Construction Documents Deliverables shall illustrate and describe the further development of the approved Design Development and shall consist of Drawings and Specifications setting forth in detail the quality levels of materials and systems and other requirements for the construction of the Work. B. MNDOT S CONSTRUCTION DOCUMENT RESPONSIBILITIES 1.1 Coordinate attendance of MnDOT representatives to all review meetings. 1.2 Solicit comments from Building Users regarding requests by the Consultant. 1.3 Provide input and review. 1.4 Respond to requests for information from the Consultant. 1.5 Provide Project Manual Documents: MnDOT Contract No. a. Division 00 Procurement and Contracting Requirements: including Bidding Requirements, Insurance Requirements, Labor and Wage Rate Requirements, Conditions of the Contract and forms of agreement between the State / MnDOT and the Construction Contractor. b. Division 01: General Requirements: including Price and Payment Procedures, Administrative Requirements; Quality, Performance and Product Requirements; Temporary Facilities and Controls; Execution and closeout Requirements. c. Specification Contract language required verbiage. C. CONSULTANT S CONSTRUCTION DOCUMENTS PHASE RESPONSIBILITIES 1.1 Construction Contract Documents a. The Consultant shall prepare Construction Contract Documents for MnDOT s approval consisting of Drawings and Project Manual setting forth the requirements for the construction of the Work. b. Coordinate placement and connection requirements of MnDOT s equipment which will be installed in Project. c. Manage and coordinate the drawings and specifications of the Sub-Consultants. d. Coordinate with MnDOT s responsibilities for providing Bidding Requirements, Conditions of the Contract and forms of agreement between MnDOT and the Construction Contractor. e. Assist in the development and documentation of Unit Prices, Alternates and Allowances. 1.1 Project Design Schedule The Consultant shall maintain, update and document progress with the Project Design Schedule and inform MnDOT of the status of progress. 1.2 The Consultant shall incorporate into the Construction Documents the design requirements of governmental authorities having jurisdiction over the Project. a. Prepare final building code analysis. b. Assist MnDOT in preparing and filing documents necessary for government approvals. c. Structural Special Inspections forms shall be prepared and included in the Project Manual. 1.3 The Consultant shall compile Final Estimate of Cost of the Work. 1.4 The Consultant shall obtain acceptance of the Construction Documents from appropriate Agency authorities, as required. 1.5 The Consultant shall prepare applications for utility company energy rebate programs. D. THE PROJECT MANUAL shall contain the Bidding Requirements, General Conditions of the Contract for Construction (Division 00), and General Requirements (Division 01) and other provisions and requirements as furnished by MnDOT. 1.1 MnDOT will provide Division 00 and Division 01 of the Project Manual in CSI Three-part Format. 1.2 The Consultant may use their standard master specifications formatted to conform with CSI Master Format 2004 for Divisions 2 through 48. a. Use of ArCom MasterSpec program is preferred for coordination with MnDOT Division 00 and Page 13 of 23

Division 01. b. Consultant shall make revisions as required to comply with the language and provisions of MnDOT s Division 00 and Division 01 and to incorporate MnDOT s preferred materials and equipment. 1.3 Project Information: a. Title Page shall bear the Project name, the State Project ID #, the MnDOT Building Number and the address of MnDOT Building Services Section. b. Subsequent sheets shall bear the Project name, the State Project ID # and the MnDOT Building Number. 1.4 Specification Sections Requirements: a. Sections shall bear MnDOT s Conditions of the Contract paragraphs. i. Sections containing the Work of Alternates, Allowances, Unit Prices and/or Informational Line items shall bear MnDOT s contract paragraphs regarding Contract Requirements for these. ii. Sections containing work affected by the SWPPP requirements shall bear MnDOT s contract paragraphs regarding Contract Requirements for these. b. Manufacturers and products shall be specified to comply with [Buy America] [American-made Steel] and MnDOT s contract language requirements. i. A minimum of three manufacturers must be specified for each product or material where manufacturers or products are listed. E. CONSTRUCTION DRAWINGS shall be created on AutoCadd Computer Aided Design Drafting (CADD) system. 1.1 Drafting Standards: a. MnDOT will provide layering and set-up standard requirements which must be incorporated into the CADD files. b. eplan Filing: The Consultant shall prepare documents in formats required by Department of Labor and Industry for electronic submission. 1.2 Project Information: a. Title Page shall bear the State Project ID #, the MnDOT Building Number and the address of MnDOT Building Services Section and other information as directed by the MnDOT Project Manager. b. Subsequent sheets shall bear the Project name, the State Project ID # and the MnDOT Building Number. 1.3 Sheet Organization a. The Consultant shall submit a Sheet Schedule draft for approval. b. Sheet number identification shall not exceed 4 characters. Sheet numbers shall be numerically consecutive. c. Sheets shall not contain more that 25% unused area. d. Details shall be numbered from top to bottom and from right to left. 1.4 Sheet Sizes: Drawings shall be prepared on MnDOT s approved sizes sheets (11x17 or 22x34), or other as approved by MnDOT. 1.5 Drafting and Lettering on Drawings shall be of such a size and quality to permit legible reproduction at one half size. a. Lettering shall be no smaller than 14 point (approximately 3/32") when 22x34 sheets are reduced to one half size. (11x17) b. Graphic Scales and North Arrows, where appropriate, shall be provided on all Drawings. Page 14 of 23

c. Abbreviations and Symbols shall be recognized industry-standard. d. Notes: i. ConDoc style keynote system (Specification Section based) shall not be used unless accompanied by full notations on each drawing / detail. ii. Use of numbered notes is not permitted unless approved and accompanied by a legend of full notations on each sheet. e. Exterior Wall Sections shall be provided for each wall type condition, cut through openings where possible, at such scale as to communicate of the relationships of the elements of the full wall. FINAL ESTIMATE OF THE COST OF THE WORK 1.1 The Consultant shall prepare and submit to MnDOT a Draft Final and a Final Estimate of the Cost of the Work based specified materials, equipment, component systems and types of construction. G. BUILDING CODE REVIEW AND SUBMITTALS 1.1 Submittals at the completion of the Construction Documents: a. The Consultant shall submit documents in formats required by Department of Labor and Industry for electronic submission. b. The Consultant shall submit the "Application for Plan Review" form and send [it along with two] complete sets of construction documents to DLI Building Codes, if they are performing the plan review, or the Consultant shall submit as required by the local Jurisdiction designated by DLI to perform the Plan Review. c. The Mechanical Sub-Consultant shall submit [two copies of the] Plumbing Drawings and Specifications to the Department of Labor and Industry, Construction Codes and Licensing, Plumbing Plan Review and Inspections (DLI Plumbing) for review. d. The Civil Sub-Consultant shall provide the documents and submissions for the Storm Water Pollution Prevention Plan and Watershed requirements. e. MnDOT will pay for Plan Review Fees as a reimbursable to the Consultant. H. REVIEW BY MNDOT AND BUILDING USERS 1.1 Review at 75% Document Completion: When the Construction Documents are deemed 75% complete, the Consultant shall submit electronic (pdf) files of all Deliverables. Provide paper copy drawings and reports in sizes and quantities indicated by the MnDOT. a. The Consultant shall submit to MnDOT a Draft Final Estimate of the Cost of the Work based specified materials, equipment, component systems and types of construction. b. Within two weeks after MnDOT receives the Drawings a meeting will be scheduled with all Consultants working on the Project to review the documents with MnDOT. 1.2 Review at 95% Document Completion: When the Construction Documents are deemed 95% complete, the Consultant shall submit electronic (pdf) files of all Deliverables. Provide paper copy drawings and reports in sizes and Page 15 of 23

quantities indicated by the MnDOT. a. Consultant shall submit the Final Cost Estimate based specified materials, equipment, component systems and types of construction. b. Within two weeks after MnDOT receives the Drawings a meeting will be scheduled with all Consultants working on the Project to review the documents with MnDOT. I. CONSTRUCTION DOCUMENT PHASE DELIVERABLES Provide electronic (pdf) files of all Deliverables. Provide Project Manuals and drawings at full size and half size paper copies and as indicated for Reviews and Bidding. 1.1 Updated Project Design Schedule for Design Reviews and Consultant Services. 1.2 Quality Management Plan (QMP) documentation of QA/QC activities performed. 1.3 Project Manual and Drawings for construction of the Project. 1.4 Storm Water Pollution Prevention Plan. 1.5 Responses to and incorporation of Plan Review comments from code authorities. 1.6 Final Estimate of Construction Costs. 1.7 Final Building Code Analysis and report on watershed, planning and zoning issues and regulatory constraints. 1.8 Applications for utility company energy rebate programs. 6. BIDDING PHASE SERVICES A. MN/DOT S BIDDING PHASE RESPONSIBILITIES 1.1 MnDOT will arrange for the Solicitation for Bids to be placed for Web-Based Distribution through the Minnesota Department of Administration, Materials Management Division. 1.2 Review of Consultant s recommendations on Requests for Prior-approval to Bid. 1.3 Provide input on questions from prospective bidders and provide clarifications and interpretations of the provisions of Division 00 and 01. 1.4 Authorize and pay for the printing of bidding documents as a reimbursable expense to this Contract. 1.5 Provide Addendum insert documents for revisions to Division 00 and 01, if required. 1.6 Pre-bid Conference: MnDOT will arrange and conduct the Pre-bid meeting. 1.7 Coordinate with the Minnesota Department of Administration, Materials Management Division a. Receive and evaluate the Bids and Alternates b. Review and verify Bidder Qualifications c. Forward recommendation of the award of the contract. d. Issue the Notice to Proceed. B. CONSULTANTS RESPONSIBILITIES FOR BIDDING ASSISTANCE The Consultant shall assist MnDOT in bidding the Project. 1.1 Printed Document Distribution a. Provide paper copy drawings and reports in sizes and quantities indicated by the MnDOT. 1.2 Digital Web-Based Distribution All publication of Documents will be through the Web-Based Distribution System. The Consultant shall not distribute the Project Manual, Drawings or Addenda to parties other than MnDOT s Project Page 16 of 23

Manager. 1.3 Pre-bid Conference: The Consultant shall attend the Pre-bid Conference and shall prepare Pre-bid Conference Notes to include in the Addenda. 1.4 Addenda The Consultant shall prepare all necessary Addenda using the electronic document format provided by MnDOT. a. The Addenda will be posted by MnDOT through the [Minnesota Department of Administration, Materials Management Division] [MnDOT Business Services Section] on the Web-Based Distribution System. b. Responses and Clarifications: The Consultant shall receive inquiries from prospective bidders and shall prepare responses, clarifications and interpretations of the Contract Documents in the form of Addenda. c. Requests for Product Approval to Bid: The Consultant shall consider requests for Product Approval to Bid and prepare Addenda identifying additional Manufacturers approved to Bid. C. BID OPENING AND AWARD OF CONTRACT 1.1 The bids will be received and opened in public at the location, date and time indicated in the Solicitation for Bids. The Consultant is not required to attend the bid opening. a. The Consultant may be requested to direct a letter to MnDOT recommending the Award of the Contract or recommending of rejecting the bids and citing reasons for such recommendation. D. BIDDING PHASE DELIVERABLES Provide electronic (pdf) files of all Deliverables. 1.1 Addenda to include: a. Responses, Clarifications and Interpretations b. Product Approvals to Bid c. Pre-bid Conference Minutes 1.2 Recommendation on Award of the Contract, if requested. 3. CONSTRUCTION ADMINISTRATION SERVICES A. MnDOT S CONSTRUCTION ADMINISTRATION RESPONSIBILITIES 1.1 General: a. Attend Construction Progress meetings. b. Outbuildings designed by MnDOT: i. MnDOT Project Manager shall visit the Site to become generally familiar with the progress and quality of the Work, and to determine, in general, if the Work observed will be in accordance with the Contract Documents when fully completed. ii. MnDOT Project Manager shall prepare and distribute Jobsite Observation Reports about the progress and quality of the portion of the Work in progress or completed. iii. MnDOT will review and return submittals on the Outbuildings. c. Provide timely response to all items requiring MnDOT s actions, directions or information. d. Contract for required Special Inspections testing during construction. e. Manage all work by MnDOT s separate contractors and consultants. 1.2 Pre-Construction Meeting a. MnDOT Project Manager shall schedule the Pre-Construction Meeting for attendance by the Consultant and the Construction Contractor. i. MnDOT will manage the Pre-Construction Meeting. Page 17 of 23

ii. MnDOT Project Manager shall record minutes and distribute them to all attendees. 1.3 Contractor s Applications for Payment: a. Review with Prime Contractor all Applications for Payment for Labor Compliance and Materials Documentation. b. Execute the Certificate for Payment. c. Process payments and manage project budget. 1.4 Changes in the Work a. Review all Requests for Substitutions and authorize acceptance if appropriate. b. Review Consultant s recommendations on Responses to Requests for Proposals. c. Review and execute Construction Change Directives. d. Prepare and execute Supplemental Agreements. 1.5 Substantial Completion a. Attend the Pre-substantial and Substantial Completion Inspections. b. Approve Certificate of Substantial Completion. 1.6 Contract Close-Out a. Receive and review all warranties and related documents. b. Attend the 10-Month Inspection. c. Receive and review Contractor s Close Out submittals. B. CONSULTANT S CONSTRUCTION CONTRACT ADMINISTRATION PHASE RESPONSIBILITIES 1.1 General: The Consultant shall provide Services as required by A201 Reference: Article 4.2.1 a. The Consultant shall advise and consult with the Owner during the Construction Phase Services. The Consultant shall have authority to act on behalf of the Owner only to the extent provided in this Agreement. The Consultant shall not have control over, charge of, or responsibility for the construction means, methods, techniques, sequences or procedures, or for safety precautions and programs in connection with the Work, nor shall the Consultant be responsible for the Contractor s failure to perform the Work in accordance with the requirements of the Contract Documents. The Consultant shall be responsible for the Consultant s negligent acts or omissions, but shall not have control over or charge of, and shall not be responsible for, acts or omissions of the Contractor or of any other persons or entities performing portions of the Work. b. The Consultant shall administer the Contract for Construction according to the Conditions of the Contract AIA A201 (State of Minnesota edition as bound in the Project Manual); interpret the requirements of the Contract Documents; and advise MnDOT concerning performance of the Prime Construction Contractor. c. The Consultant shall review and respond to written requests for information about the Contract Documents in writing with reasonable promptness. If appropriate, the Consultant shall prepare and issue supplemental Drawings and Specifications in response to Requests for Information (RFI s). 1.2 Construction Documents a. Upon award of the Contract, the Consultant shall provide to the Prime Construction Contractor a complete digital Project Manual and Drawings set which incorporates all Addenda and Accepted Alternates into a Conformed Set in a PDF digital file format. b. During the course of construction, the Consultant shall provide documentation of changes and Page 18 of 23

modifications in a PDF digital file format to the Prime Construction Contractor for its use. 1.3 Pre-Construction Meeting a. Consultant shall attend the Pre-Construction Meeting. 1.4 Pre-Installation Meetings a. Consultant shall schedule the Pre-Installation Meetings with the Contractor. i. The Consultant will manage the Pre-Installation Meetings. ii. Consultant shall record and distribute minutes. 1.5 Construction Progress Meetings and Observations of the Work The Consultant shall provide Services as required by A201 Reference: Article 4.2.2 4.2.6, Article 12, Article 13.5, a. The Consultant, and Sub-Consultants as needed, shall attend Construction Progress Meetings as scheduled below. b. The Consultant and Sub-Consultants shall visit the Site at intervals appropriate to the stage of construction, and as scheduled below, to become generally familiar with the progress and quality of the Work, and to determine, in general, if the Work observed will be in accordance with the Contract Documents when fully completed. The Consultant shall have the authority to reject Work that does not conform to the Contract Documents, whether or not such Work is fabricated, installed or completed. c. The Consultant and Sub-Consultants shall prepare and distribute Jobsite Observation Reports documenting progress and quality of the portion of the Work in progress or completed. Consultant shall report to MnDOT: i. Known deviations from the Contract Documents. ii. Defects and deficiencies observed in the Work. iii. Deviations from Construction Schedule d. Storm Water Pollution Prevention Plan The Consultant shall observe implementation of the Storm Water Pollution Prevention Plan (SWPPP) for compliance with Contract requirements. e. The Commissioning Plan The Consultant shall manage implementation of the Building Automation Commissioning Plan for compliance with Contract requirements. 1.6 Interpretations of the Contract Documents: The Consultant shall provide Services as required by A201 Reference: Article 4.2.11 4.2.13, Article 151.2 15.2.1, a. The Consultant shall prepare Architect s Supplemental Information (ASI s) and prepare responses to the Contractor s Requests for Information (RFI s). b. The Consultant shall interpret and make recommendations to MnDOT regarding matters concerning performance under, and requirements of, the Contract Documents on written request of either MnDOT or Contractor. c. Interpretations and recommendations of the Consultant shall be consistent with the intent of and reasonably inferable from the Contract Documents and shall be in writing or in the form of drawings. d. The Consultant shall render initial decisions on Claims between the Owner and Contractor as provided in the Contract Documents. When making such interpretations and recommendations, the Consultant shall endeavor to secure faithful performance by both MnDOT and the Contractor, and shall not show partiality to either.
