SUPPLEMENTARY GENERAL CONDITIONS FOR CCDC-2 2008 STIPULATED PRICE CONTRACTS ON ONE PROPERTIES PROJECTS The Owner and Contractor agree to the following amendments: 1. These Supplementary General Conditions supersede the CCDC-2 Supplementary General Conditions. 2. Revise G.C. 5.3.1.2 Progress Payments to read Application for payment is to be delivered to ONE Properties and the Consultant in draft form prior to the end of the billing month. ONE Properties and the Consultant will approve or advise of necessary changes within 48 hours. Once approved the final invoice and Consultant s Certificate of Payment are to be delivered to the ONE Properties Edmonton Accounting Department no later than the 5 th day following the end of the billing period. Failure to adhere to this procedure or timeline may result in delayed payments. 3. Revise G.C. 5.3.1.3 payment terms to read no later than 45 days from the date of the approved invoice. 4. Add G.C. 5.4.4 as follows: The Contractor shall supply the following to the Consultant; a) All record drawings in Digital format; b) Maintenance manuals, with warranties in Digital format; c) Quality Assurance / Quality Control Manuals in Digital format; d) LEED documents required for inclusion in the owners submission; e) A schedule for completion of any seasonal items; f) One PDF copy of the Real Property Report including a letter of Compliance issued by the Local Authority having jurisdiction; g) A lot grading certificate approved by the Local Authority having jurisdiction; h) All project close-out documents required by the Contract Documents and the Owners Close out Procedures are to be submitted within 30 days of Substantial Completion. i) Sign off by Prime Consultant confirming all deficiencies are complete and a list of seasonal deficiencies. 5. Until the Contractor has complied with its obligations under paragraph 4, the Owner may withhold the following sums: a. an amount equal to five percent (5%) of the Contract Price attributable to the mechanical Work; plus b. an amount equal to five percent (5%) of the Contract Price attributable to the electrical Work; plus c. an amount equal to one percent (1%) of the balance of the Contract Price. 6. At the time of substantial performance, the Owner may retain up to 2 (two) times the value of any deficiencies (as established by the consultants) for a deficiency holdback. The total sum of deficiency holdback shall be released upon Contractor completion of all deficiency items. 7. Delete G.C. 5.5.3 and Supplementary G.C. 5.5.3 in its entirety. 8. Add GC 5.10 Quality Control a. G.C. 5.10.1 The Contractor acknowledges that the Owner and its Consultants have a Quality Control Program in place over and above the Contractors own internal programs. The Contractor agrees to be bound by all requirements and processes of the Owner and Consultant s QC Program. 9. Add GC 6.2.3 as follows: a. G.C. 6.2.3.1 Change Order markups for subcontractors are limited to 5% for overhead and 5% for fee, no other markups are allowed. b. G.C. 6.2.3.2 Contractor mark up on subcontractors will be limited to 5% for fee, no other markups are allowed. c. G.C. 6.2.3.4 Contractors mark up on own forces work will be limited to 5% for overhead and 5% for fee, no other markups are allowed. 10. Add G.C. 9.4.2 The Contractor shall be deemed to be the Prime Contractor as it applies to the Occupational Health and Safety Act. 11. The Contractor shall provide within 10 days of contract award, a cash flow projection for the project. The cash flow shall be updated whenever there is a significant variance from the original cash flow projection or whenever ONE Properties requests an update. 12. The Contractor is permitted 1 temporary project sign at location approved by ONE Properties prior to placement, not to exceed 8 x 8. No Subcontractor or Consultant signage is permitted.
