2 1 Background and Description of the Project 1.1 Background The Nile Basin Initiative (NBI) is a partnership of the riparian states of the Nile. The NBI seeks to develop the river basin resources in a cooperative manner, share substantial socioeconomic benefits, and promote regional peace and security. Within the framework of the NBI, the Governments of Burundi, Rwanda and Tanzania have received financial support from various donors for implementation of the Regional Rusumo Falls Hydroelectric Project (RRFHP), conceived as part of the Nile Equatorial Lakes Subsidiary Action Program (NELSAP). The Regional Rusumo Falls Hydroelectric Project is a project under joint development by Burundi, Rwanda and Tanzania. In March 2006, Ministers of Energy of the three countries signed in Kigali a Joint Project Development Agreement, reconfirming their commitment to jointly develop the RRFHP. The agreed project preparation management arrangements consist of a Council of Ministers responsible for Energy in those countries; a Project Implementation Committee (PIC) consisting of the Managing Directors/Director Generals of the Power Utility Companies, Director Generals /Commissioners/Directors of Energy in each country, a Project Steering Committee (PSC) consisting of senior officers from electricity utilities and ministries responsible for energy in each country; and a Project Manager at NELSAP. The project is financed by the World Bank. The project is now in the implementation phase with two contractors on board namely the Joint Venture of CGCOC Group and Jiangxi Water and Hydropower Construction Co. Ltd (JWHC)from China for Civil Works (CP1) and Consortium of Rusumo Falls ANDRITZ Hydro GmbH & Andritz Hydro Pvt Ltd from Germany and India respectively for Electromechanical Works(CP2). The project is being implemented through a public financed, privately managed mechanism. A Special Purpose Vehicle (SPV) namely Rusumo Power Company Limited (RPCL) has been established by the three governments to oversee the implementation and operation of the project. Although its shareholders are the three governments, it is intended that the Rusumo Power Company limited will operate at arms length and to all intents and purposes as a private company. NELSAP who is implementing the project on behalf of RPCL has established a Project Implementation Unit (PIU) which is in charge of day to day implementation of the project. The Project Manager will be the head of this Unit with responsibility for its operations across a broad spectrum of activities. 1.2 Status of the Rusumo Falls Hydroelectric Project The Regional Rusumo Falls Hydroelectric Project has been subject to preliminary and detailed studies under the auspices of NELSAP since 2007 when SNC-Lavalin International was appointed to undertake feasibility studies and environmental and social impact assessment in two phases. The Preliminary Design Report was submitted in October 2008. Phase 2 of the feasibility study assignment was subject to delay and was finally commenced in late 2010. The Final Feasibility Design Interim Report was submitted in July 2011 and the study completed in April 2012. In parallel with Phase 2 of the feasibility study of the Rusumo Falls power plant, Fichtner consulting firm was appointed in early 2011 to carry out feasibility studies of the transmission lines required to evacuate power from the project to the three countries. In 2014 AECOM-ARTELIA Joint Venture was engaged as Owner s Engineer (OE) for finalisation of design works and preparation of bid documents for construction of the Rusumo Falls power plant. After a procurement process contracts (Contract Package 1: CP-1 for Civil Works and Contract Package 2: CP- 2 for Electromechanical Works) were signed with the two winning contractors on 9 th November 2016 and became effective in February 2017. The CP-1 Contractor is already mobilised at site while the CP-2 Contractor is carrying out detailed design activities at home office. 1.3 Brief Description of the Project The Regional Rusumo Falls Hydroelectric Project is located at the Rusumo Falls, on the Kagera River, which forms the border between Rwanda and Tanzania. The full supply level at the head-pond is at elevation 1,320.0 meters above sea level (masl). Power production facilities are located entirely on the right bank of the Kagera River in Tanzania, while the switch yard is located on the left bank of the river in Rwanda. The Regional Rusumo Falls Hydroelectric Project has the following main components: A. A Run of River hydroelectric generation plant with installed capacity of 80 MW (Implemented by NELSAP on behalf by RPCL): A concrete gated combined dam/spillway with a 2-lane road on top, with a dam height of 13.0m; the spillway structure houses four radial gates, each approximately 9m in width and 9.5m high; A water intake and a headrace tunnel, 11m wide by 14m high, 700m long with shotcrete and rock bolts support system; A power house with 3 vertical axis Kaplan turbines, 120m 3 /s rated discharge and 3x30 MVA (approx.) generators, 12kV output voltage; A tailrace canal 250m long and 40m wide ; A 220kV switchyard; B. Transmission lines connecting the power plant to the national grids of Rwanda, Burundi, and Tanzania,; (Implemented separately by Partner countries) 220 kv transmission lines: Rusumo Falls Gitega (Burundi), 161 km; Rusumo Falls Shango/Kigali (Rwanda), 109 km; and Rusumo Falls Nyakanazi (Tanzania), 98 km; Substations in Muyinga, and Gitega, for Burundi, Shango in Kigali and Bugesera for Rwanda, Nyakanazi for Tanzania; Rural electrification in growth centres along the transmission lines corridors. Temporary works include a cofferdam across the river to allow construction of the spillway and intake. The power intake is located immediately adjacent to the right end of the spillway. There is also an Environmental and Social Management Plan (ESMP) to minimise and mitigate environmental and social impacts of the project. A Resettlement Action Plan (RAP) has been implemented and Project Affected Persons (PAPs), whose homes and/or livelihoods are impacted either by the works themselves or the resulting inundation have been compensated and vacated the project areas. The Livelihood restoration Program is under implementation the people affected persons. The Local Area Development Program (LADP)is under preparation and will commence shortly covering the surrounding districts of the Project in the three countries of Burundi, Rwanda and Tanzania 3 Page 3 of 8

4 1.4 Institutional Arrangements An SPV the Rusumo Power Company limited (RPCL) has been established as a corporate identity with shareholding by the three governments. The SPVis the owner of the Rusumo Falls Hydroelectric Project. NELSAP is the implementing agency through a Project Implementation Support Agreement (PISA) with the RPCL. Within this document reference is made to both NELSAP and the RPCL roles reflecting the intended transition from NELSAP to the RPCL towards completion of construction works. 1.5 Contractual Arrangements for Implementation The current contractual arrangements for RRFHP project implementation comprise: a) A Contract with AECOM-ARTELIA JV the Owner s Engineer (OE), responsible for the design, preparation of construction drawings and construction supervision of the civil engineering works. The OE is also responsible for other engineering activities involved in project implementation including supply, installation and commissioning of turbines, generators, hydro-mechanical equipment, balance of plant and substation. The OE is also coordinating and reporting on other activities carried out by other parties involved in the project implementation including RAP and ESMP. b) A Civil Engineering Works Contract with CGCOC-JWHC JV for construction of the dam, waterways, power station and other associated civil engineering works. The contract also include hydro-mechanical works such as penstock steel lining, gates, stoplogs, screens, trash rake and other associated works. This contract is based on a Bill of Quantities and subject to remeasurement based on the final quantities of the billed items. c) An Engineering-Procurement-Construction (EPC) Works contract with ANDRITZ Hydro JV responsible for design, manufacture, installation, quality control, commissioning and timely delivery of the electro-mechanical works including the switchyard in accordance with the contract. d) The transmission lines which are financed by African Development Bank (AfDB) are being implemented separately by electricity utilities in each of the three partner countries. Coordination of the Owners Engineer and the supervising consultant for the transmission lines is essential to ensure coherent of the design equipment for the substation and the transmission lines. Objective of the Assignment Nile Equatorial Lakes Subsidiary Action Program is seeking to appoint an experienced international hydropower engineer who will serve as Project Manager (PM) for the RRFHP. He will be the head of the Project Implementation Unit tasked with the responsibility of the overall management and coordination of the Rusumo project implementation on behalf of NELSAP. The Project Manager will report to NELSAP Regional Coordinator The Project Manager will be supported by a small core team comprising of Project Engineers, Lead Safeguards Specialist, Financial Officer and Procurement Officer together with a secretarial and administrative staff. 2.1 Scope of Services The responsibilities of the Project Manager would comprise: a) Providing overall direction and leadership of Project Implementation Unit (PIU)team, undertaking management and coordination of the Regional Rusumo Falls Hydro-electric Power Project on behalf of NELSAP b) Supervision and co-ordination of various Consultants contracted to NELSAP in connection with the RRFHP including Time-Based Contract of Owner s Engineer for its effective implementation in terms of time, cost and quality. c) Management, with support of the Owner s Engineer, of the main construction contracts for RRFHP(CP1 Civil Woks and CP2- Electro-mechanical Equipment), including follow-up of the coordinated work schedules of both Contractors, periodically updated by OE d) Management of the overall project schedule that incorporates both CP1 and CP2 contractors, OE contract and AfDB transmission lines.. e) Co-ordination, with support of the Owner s Engineer, environmental and social issues and in particular, the implementation of the RAP and ESMP activities f) Review and Supervision of Contractor s quality assurance plans. g) Liaising with all stakeholders and, with the assistance of the Owner s Engineer, co-ordinating all activities in connection with reservoir impoundment and commissioning of the Project. h) Preparation Provisional Acceptance Certificate after commissioning and the Final Acceptance Certificate after the expiration of the Guarantee Period/Defect Liability Period. i) Chairing regular monthly meetings with the Owner s Engineer and Contractors, and attending or chairing other meetings as necessary j) Regular reporting of the project progress to RPCL shareholders and follow -up on timely preparation of OE s and EPC Contractors Reports Page 5 of 8

k) Ensuring timely Certification of all payments made in relation to the IDA Credit and loans from other funding agencies in relation to the project l) Monitor and review any contractual claims from contractors and consultants on behalf of NELSAP to protect Client/ Employer s interest; as well as monitor other contractual issues, such as compliance with the matters with performance security, insurance, etc. m) Liaison with funding agencies at Officer level, n) Maintaining records of disbursements and the status of all loans o) Oversee timely preparation and implementation of relevant safeguards instruments p) Process tender evaluations and contract awards through authorities as outlined in NELSAP and World Bank guidelines. q) Monitor and report the Project Implementation Plan through Quarterly Reports to all Agencies and stakeholders. r) Facilitate coordination between Owners Engineer and the Supervising Consultants of the Power transmission lines to ensure coherence of design and effective project implementation. s) Liaise with NELSAP management and Project Steering Committee to ensure the project is well coordinated and technical inputs are provided timely. 2.2 Meetings The Project Manager (PM) shall chair monthly meetings with the Owner s Engineer and Contractors at the RRFHP site as well as chair / call / attend any other meeting necessary maintain close involvement with on-going activities at the site. The PM shall also attend regular meetings with RPCL shareholders and shall present reports of current status of the Project and shall where appropriate advice the RPCL shareholders in relation to any problem anticipated or arising and issues requiring immediate action. 2.3 Reporting The Project Manager shall prepare and submit to RPCL shareholders and NELSAP Monthly Progress and Trend Report on all design, construction, manufacturing, installation, testing, commissioning and training activities on or for the Rusumo Falls project. This report will be divide in two separate sections: The section Project Progress will provide the status of the assignment since its commencement and incorporate the following: Total percentage of work completed and total percentage programmed to be completed by the end of the reporting period for design, construction, manufacturing, installation, testing, commissioning and training activities on or for the Rusumo Falls project; Actual percentage of each main work item completed including temporary works, as well as their scheduled percentage, both total and for the reporting period together with the estimated quantities; Financial status and cash flow forecast in comparison to the agreed schedule of the contractor. List of accidents except those of a minor nature and any damage that results; Coloured photographs (with imprinted date) of all major components of the works and all aspects of the work showing progress made during the period; Page 6 of 8 6

7 The section Project Trend will look at the forecast of project completion with a proactive approach; it should define the measures the Consultant has taken or intends to take in order to keep the contract schedule and budget. The Trends Report shall contain: The updated situation of variations and claims, submitted or expected; Earned value reporting to analyse impact of any delays and Risk analysis of extra-time, extra costs and non-fulfilment of the expected quality of the Project, and proposals for mitigating such negative impacts; List of the measures NELSAP jointly with the Consultant has taken / intend to take in order to keep the contract schedule and budget. Copies of the monthly reports shall be submitted to RPCL shareholders and NELSAP within 15 days after the end of each month of reporting. The PM shall prepare other reports to record all special or unusual occurrences, progress, problems encountered and instructions given. The PM shall prepare quarterly financial status reports showing financial commitments by contract, approved extra costs incurred to date and forecast cost and cash flow to completion. Each currency shall be reported separately. The reports shall include the status of each financier s commitment to the project. Copies of the Quarterly Financial Reports shall be submitted to SPV shareholders and NELSAP within 15 days of the end of the quarter concerned. The PM in liaison with the Owner s Engineer shall prepare and submit to the RPCL Shareholders and NELSAP a final report at the end of the project, summarizing the history of the project, implementation and compilation of the project, highlights and project costs. The final report shall also include the manpower and time schedule of the activities as performed, special events, delays and their causes, a list of unsolved items, including possible claims. The final report shall be submitted to the RPCL/NELSAP within 60 days after issue of the operational acceptance certificate of the whole works. 2.4 Communication Strategy The Project Manager shall prepare a communication strategy with support of communication officer and shall advise NELSAP/ RPCL of key messages that need to be conveyed to the public. The Project Manager shall prepare press releases and other material for publication as necessary to support NELSAP/ RPCL, and submit for NELSAP Regional Coordinator s approval. 2.5 RAP, ESMP and LADP The PM shall liaise with RPCL Shareholders and involved agencies to ensure that the RAP and ESMP are conducted smoothly and efficiently and conform to the required programme for implementation. The PM shall work and liaise with the participating districts in the supervision of the implementation of Local Area Development Program (LADP). Page 7 of 8

Time Frame The Regional Rusumo Falls Hydroelectric Project is estimated to require approximately 3 years for design and construction with an additional 1 year defects liability period as indicated below: Design and construction stage services 36 months Post construction services 12 months It is envisaged that the Project Manager would be appointed in September 2017 under a 2-year with possibility of renewal based on performance, with initial six months probation period. 4. Qualification and Experience Required The minimum qualifications and experience required are: Possess a Bachelor of Science degree in Engineering with a minimum of 15 years broad international experience in hydropower development including substantial experience in the actual implementation of hydro projects and contract supervision. A Master s Degree or post graduate qualification in an appropriate engineering discipline or management would be an added advantage. Experience should have already been obtained in a previously held position as a Project Manager for implementation of a similar or larger hydropower projects including tunnelling, with demonstrable evidence of relevant experience at a senior level on at least two other projects. Experience of trans-boundary projects would be an added advantage, as would experience of the procurement and contract implementation through use of FIDIC-Based Large Construction Contract and Design Supply Installation Contract financed by Multilateral funding agencies such as the World Bank Applicants should be aware that the task requires frequent travel, living in remote areas and physical fitness and accordingly the selected candidate shall be required to provide an affidavit of good health in the required form of NELSAP. The Project Manager post will be based on Rusumo site with travel to Kigali NELSAP PIU office as required. Registration with an Engineering Professional Board will be desirable.
