Letter from the Chair Dear Applicant, As Chairman of Trafford Housing Trust (THT), I am pleased to announce that we are establishing a brand new Independent Investment Board. We are looking for people with experience who can provide strategic direction to maximise the impact of a c. 2million Social Dividend. Trafford Housing Trust has 11-years experience of grant making and We have a good understanding of the needs of those requesting grant investment up to 20,000 both in terms of financial and Capacity Building support. We want to expand this grant investment to include larger investments and social loans which may cover a number of years, requiring sound business planning. We also wish to compliment grant investment with a more proactive approach to addressing local needs and enhancing assets through a program of commissioning. This is a new area of activity for THT. At THT, we cannot achieve our vision for a better society on our own. It is essential that the Social Dividend investment adds to the existing fabric of Trafford and beyond. Our activities range from property development, provision of affordable housing, property repair and maintenance, care for older and vulnerable people, community investment, support and grant giving. Whatever the business activity, the whole Trust shares a united vision of a society free from poverty, inequality and injustice. We are a profit for purpose organisation which recognises that people need to be at the heart of everything we do. With a percentage of our profits the Trust is setting up a Social Dividend to make around 2 Million available annually to invest in activities which impact on the Trust s vision. We are inviting partners with local knowledge, strategic delivery knowledge or specialist knowledge of investment or approach to tackling poverty, to help decide how this investment is spent. This is an exciting opportunity to join the Independent Investment Board which will oversee how this Social Dividend is invested in Trafford and provide strategic direction to maximise its impact.

Governance Independent Social Investment Board The Social Investment Board will be appointed by the THT Board and will comprise of between 7 and 11 Board Members. The Chair of the Social Investment Board will report to the THT Board Chairman. The Social Investment Board will oversee and manage the Social Investment Model which is financed and facilitated by the THT Social Dividend. Board members will be responsible for the strategic management, policy development, and investment decisions as well as the reputation and performance of the Social Investment Model. Decision making for smaller investments will be delegated to a Virtual Committee who will fast track applications. Virtual Committee Decision making for smaller investments will be delegated to a Virtual Committee who will be available weekly to score the fast track applications. The Virtual Committee will report to the Independent Social Investment Board and will comprise of an even mix of Residents, Frontline staff, Poverty or Investment specialists. A minimum of five members will be required to score each application. Due to the fast track approach of this method, the size of the Committee will adapt to ensure the required time scales are met (for example if the response rate within the agreed time scale is 50%, the committee size will be 10-14 members). Social Investment Team The day-to-day running of the Social Investment Model is the responsibility of Trafford Housing Trust s Social Investment Team, consisting of the Manager, three Capacity Builders and an Officer. Volunteer Community Mentors will be working in the community alongside the Capacity Builders to support groups requiring investment. Role Profile Investment Board Member OVERVIEW OF THE ROLE: The Investment Board maintains overall responsibility for the performance and reputation of the Investments. As an Investment Board Member you will be key to ensuring that all investments are allocated fairly and transparently maximising its impact. Accountable to THT Board for the Social Investment Framework you will: Review local knowledge and data and set Priorities for the Framework and remain agile to changing needs. Ensure informed, impartial and relevant application of the Social Investment fund to meet agreed priorities. Work with Partners and the Community to encourage diverse community engagement. Proactively seek application of the Framework to meet priorities making recommendations for areas of development and developing specifications for commissioning where local applications are not forthcoming. Maintain an overview of the distribution of the allocation of resources; address gaps and overlaps; and maximise the potential impact of the Framework. Make decisions relating to grant applications, commissioning and social loans, demonstrating fairness and objectivity. Actively ensure appropriate levels of Monitoring and Evaluation of outcomes and impact of the investments are undertaken and delivered, reviewing these reports as necessary. Ensure all activity is in line with the objectives of the Framework and scrutiny arrangements. SKILLS, KNOWLEDGE & EXPERIENCE COMPLIANCE You will: You will: Bring an area of specialism / expertise relevant to the Ensure all activity is in line with scrutiny requirements, desired profile of the Investment Board. Delegate decision making for smaller investments (amount to be agreed) to the Virtual Committee and oversee their performance. Hold the Social Investment Manager and Team to account for the effective management and delivery of the Social Investment Model s strategic aims and objectives. Promote and develop the Social Investment Model in order for it to grow and continue to be a force for good ensuring the development of long term plans Ensure that the Social Investment Model complies with its governing document, the Regulatory Framework, Charity Law, the chosen Code of Governance and any other applicable legislation and regulations. Document how the Social Investment Model achieves the purposes set out in its terms of reference and is able to demonstrate what social return of investment is provided. Set challenging performance targets and monitor performance against them. Manage the Social Investment Team s resources in a way which provides the optimum balance of Social Return on Investment and value for money for beneficiaries. Delegate sufficient authority through the Virtual Committee and staff team to support efficient and appropriate decision making, monitor the use of these delegations. Ensure that financial controls and a system of risk management are in place and sufficiently robust, give assurance as to data integrity and the Social Investment is kept fully informed of current issues through provision of timely and relevant information.

Agree effective communications which meet the needs of staff, customers and key stakeholders. With the assistance of the Company Secretary, promote the highest standards of governance in compliance with the NHF Code of Excellence in Governance and any relevant regulatory requirements. Take appropriate professional advice in all matters where there may be a material risk to the Social Investment Model. Have a willingness to develop skills and local knowledge relevant to the role. Receive upon your appointment training in confidentiality, the Nolan Principles, understanding and measuring impact, The Theory of change, Grant making and commissioning. As you progress in the role there will be more opportunities and requirements for learning and personal development. Be asked to commit on average 4 hours monthly to the role. TERM OF OFFICE The maximum term of office for Board Members (subject to re-appointment where appropriate) shall be limited to 3 terms of 3 years, a maximum of 9 years from the date of first appointment. Maintain absolute confidentiality regarding all aspects of the Social Investment Model business, bearing in mind the overriding legal obligations placed upon Trustees and Company Directors. Ensure that the Social Investment Model promotes equality and diversity for all of its stakeholders. Act as an ambassador and representative for the Trust and Social Investment Model, upholding the reputation, values and objectives of the Trust and a role model for good governance practices and behaviours. Network and promote the achievements, purposes and benefits of the Social Investment Model.
