Steps to follow to calculate fabric usage: 1) Identify product type and size. 2) Determine method in which fabric is to be cut (directional rightway, directional railroad or non-directional). 3) Determine fabric roll width. 4) Find corresponding fabric usage value from the table. 5) Calculate fabric required using the formula below: Fabric usage = number of units x number of sides with fabric x fabric usage from tables. 6) Repeat steps 1-5 for each product type, size and fabric. 7) Add all values together to find total number of linear yards required for the order. Add the appropriate percentage shown below to the total yardage to accommodate fabric flaws, wrinkles and other imperfections. 36 Ordering How to Order Please refer to specification details on each page for information required for order processing. Rework requires that all orders be in writing. To insure that orders are complete, to avoid errors, and to avoid duplication. Telephone orders will not be processed without written confirmation. Rework will not be held responsible for errors, omissions and order duplication due to non-compliance with this procedure. Please submit your order to your Rework representative or to All products offered are based on availability. Order Acknowledgments All purchase orders will be confirmed within 1-2 business days of receipt. Please refer to your Rework acknowledgment to make sure it agrees with your original purchase order. When corresponding, please refer to the Rework proposal number. If you do not receive your confirmation, please contact your Rework representative to ensure the order was received. Custom Sizes Please use the next size up for pricing and specify the size needed on the purchase order. Grommets + Scallops Please see information on page 16. Small Orders All orders under $1,250 list will incur a $50 net small order fee. COM Orders All COM products must be sent prepaid to Rework. All related costs, which include transport, duties and customs brokerage, are the responsibilities of the customer. Any fees charged to Rework will be invoiced back to the customer. Fabric must meet manufacture requirements and be pre-approved. The customer is responsible for ordering the correct quantity of materials required for the specific order. Acceptance of customer s own material by Rework does not indicate a guarantee for product durability, nor will Rework be held responsible for any undesirable result with COM products. Roosevelt Road Forest Park, IL Ext. 308 Order Changes and Cancellations Orders may be cancelled within 2 days after the order is acknowledged with no additional charges. After the 2nd business day, a 25% restocking fee will be accessed. After the 5th business day, an order is considered non-cancellable, and 100% of the balance will be due. All changes and cancellations must be submitted in writing and are subject to approval. Changes may result in longer lead times or fees. Products with custom options can not be cancelled or returned. Payments All checks can be made payable to Rework, LLC. A 3% surcharge will be added to order amount for any deposits or payments made with any major credit card. Keying Specific Rework offers to key specific all storage components if requested at no additional cost. Please specify how many sets are needed, and they will be provided to be installed on site. 37 Terms + Conditions Prices All prices listed are suggested list prices. Orders are accepted subject to prices and taxes prevailing at the time of shipment and are subject to change without notice. If the shipping date requested is more than 90 days from date of order, Rework shall have the right to use the published list prices at the time of shipment. Quotations Quotations are valid for a period of 30 days and based on product availability. Lead time specified in quotation starts when the customer s written purchase order acknowledged by a Rework representative. Expedited lead times will have additional charges applied at the customer s expense. These fees will vary with each expedited order. Payment Terms A 50% deposit is required for all orders to be processed. All accounts and/or orders are subject to credit approval. Terms (Upon acceptance of our credit department) Net 30 days from date of invoice. Any product sold shall remain the property of Rework and shall remain the Rework s property until paid for. The purchaser agrees to perform all acts which may be necessary to protect and assure retention of title to such products by Rework by ROE until such time as goods have been paid for in full. Taxes Purchaser is responsible for all local, state/federal taxes, and usage fees. Tax-exempt or resale certificates must be submitted when the account is established. Rework is not liable for delay or failure to deliver goods due to causes beyond our control. Receipt of Product Rework must be notified 48 hours prior to order pick up. Product will not be handed over without prior notification. If delivery and/or installation services are needed, please contact your Rework representative. Rework s warehouse Storage Rework offers 30 days of complimentary days of storage for all new sales orders with unexpected delays. After 30 days, additional fees will be incurred. Changes Rework deserves the right to make changes, at any time and without prior notice, to prices, colors, materials, specifications and models offered. Freight Claims The merchandise is carefully packaged and thoroughly inspected before leaving the warehouse. Responsibility for its safe delivery is assumed by the carrier upon acceptance of the shipment. Claims for loss or damage sustained in transit must therefore, be made as follows: 1. Concealed loss or damage Concealed loss or damage means loss or damage that does not become apparent until the merchandise has been unpacked. The contents may be damaged in transit due to rough handling even though the carton may not show external damage. When damage is discovered upon unpacking, contact a Rework representative within 48 hours of discovery. When applicable, submission of photographs will be requested. Your Rework representative will work with you to process the claim as well as replace any product deemed damaged in transit. Damage does not constitute grounds for a return. Replacement parts are readily available and Rework reserves the right to attempt correction of the damage while retaining the product in the field. 2. Visible Damage or Shortage Any external evidence of damage or shortage must be noted on the freight bill of lading or delivery receipt. Failure to adequately describe such external evidence of damage or shortage may result in the carrier refusing to honor a damage claim. If there is obvious shipping damage, you may refuse the product and request that the freight carrier return the damaged product to Rework. Contact a Rework representative immediately upon receipt of damaged product or shortage. 37

38 Warranty Seller warrants to the original Purchaser only that the products Seller re-manufactures and sells to Purchaser are free of defects in workmanship and materials, during the applicable warranty period set forth below. With conformity to this limited warranty during the applicable warranty period from the date of shipment, Seller shall, upon prompt written notice, repair or replace, at its option, the affected part or parts. Product and Period of Warranty Limited Lifetime on panels 5 Years on all laminate, paint, operational parts, controls, and electrical 3 Years on fabric 1 Year on task light ballasts This warranty does not apply to: Damage caused by a carrier other than the Seller. Normal wear and tear or acts or omissions of parties other than Seller (including user modification). COM or other third party materials applied to Products. Products not installed by or under the auspices of a certified dealer of Seller. Dramatic temperature variations or exposure to unusual conditions. Normal variations in finishes including color, texture and grain variations cannot be avoided, and therefore are not considered defects. Rework does not warrant the color-fastness or matching of colors, grains or textures of such materials. The express warranties contained herein are in lieu of all other warranties, express or implied, including any warranties of merchantability and fitness for particular purpose and all other warranties arising from course of dealing or usage of trade. The remedies provided above are the Purchaser's sole remedies for any failure of Seller to comply with its obligations regarding the workmanship of its Products. Correction of any nonconformity in the manner and for the period of time provided shall constitute complete fulfillment of all liabilities of Seller with respect to, or arising out of, the product furnished hereunder. Delay/Force Majeure Seller shall not be liable for failure to perform or for delay in performance due to fire, flood, strike or other labor difficulty, act of God, act of any governmental authority or of the Purchaser, riot, embargo, fuel or energy shortage, wrecks or delay in transportation, inability to obtain necessary labor, materials or manufacturing facilities from usual sources or failure of suppliers to meet their contractual obligations, or due to any cause beyond its reasonable control. If any such event occurs, Seller may extend delivery dates by a period of time necessary to overcome the effect of such delay, allocate available Product or cancel any purchase order. Compliance with Law Purchaser is solely responsible for compliance with all applicable federal, state and local laws, ordinances, regulations, rules and standards relating to the installation, maintenance, use and operation of the products. 38
