With 63,000 employees in nearly 50 countries on five continents, the Group performss 100,000 projects each year via 800 works centers and 1,400 materials production sites (aggregates, emulsion, asphalt mix, bitumen). In 2012, Colas posted 13 billion euros of consolidated revenue (44% outside of France). Net profit attributable to the Group amounted to 302 million euros. 2 Our ambition as a company is to be a reference, first and foremost in the field of Safety Hervé Le Bouc, Chairman and CEO of Colas (launching of the Safety Campaign in January 2013) 1. Safety is the number one priority in the Colas Group Given the nature of its businesss (100,000 construction and maintenance projects each year, 1,400 production sites) and the sheer size of its fleet (65,0000 vehicles and machines), the Colas Group is highly aware of the importance of safety when it comes to its 63,0000 employees, both on the jobsite and behind the wheel A fundamental focus on the human factor For over 15 years, Colas has focused on a strongwilled, proactive prevention policy to help preserve the lives and physical wellbeing of its employees. Literally obsessed with zero accidents, the Group knows that a question that deeply affects people as individuals, contributes to wellbeing at work and gives employees a sense of pride inn belonging to the Company Considerable progresss in the last 15 years Colas strongwilled, proactive prevention policy focuses on: strong commitments, such as the signature in France of the Road Safety Charter in 1997 with the French Government and the French National Health Insurance Fund for Employees (CNAMTS), and the signature of the European Road Safety Charter C in 2005 (renewed every 3 years). a widesweeping range of prevention tools: safety training, ecodriving training,, first aid training (together these represent some 40% of training hours each year), safety meetings on jobsites, awareness raising campaigns (posters, comic strips, etc.), accident analysis, sharing of best practice, intercompany competitions, etc. a network of 300 safety and prevention officers in the field,, and 500 road safety officers nearly 20,000 employees trained in workplace first aid (1/3 of total workforce) From 1997 to 2012: the occupational accident frequencyy rate was divided in half in 15 yearss the traffic accident frequency rate dropped 65% 2

The Safety Attitude operation Safety Attitude is Colas new global safety campaign, launched in January 2013, designed to givee renewed impetus to prevention p policy throughout its worldwide business network, thus paving thee way to a durable, Groupwide safety culture. The operation is based on twoo cornerstone beliefs: first, each employee, from the CEO to workers in the field, f must be involved,, second, major changes must be made to the way peoplee behave on a daily basis Main principles A global campaign designed to reach each of the 63,000 people who work in Colas companies ( 800 works centers and 1,400 production sites in 50 countriess on 5 continents) A single catchphrase: Safety Attitude and one signal: the Okay hand gesture for 0 killed Launched in January 2013 by Chairman and CEO and rolledout over the entire year A major driving force: personal, individual involvement and exemplary e behavior of managers Brand new prevention tools 2.2. Actions Two new tools replace toolbox talks: : Starters and Safety Meetings: Starters and Safety meetings are dedicated, scheduled periods when supervisors and workers get together to talk about risks, prevention and safety. o Starters are held every morning on site when instructions are given for the day. The subjects focus on the tasks at hand, general risks, specific risks, and prevention. o Safety Meetings are monthly or quarterly information meetings at the profit center or subsidiary level, on safety issues as defined byy the profit center or subsidiary management. 3

5 COLAS Foundedd in 1929 to ensure the developmen nt of a new technical process called Cold Asphalt, Colas is a leader in the construction and maintenance of transport infrastructure, responding to t global challenges inherent to mobility, urbanizationn and environmental protection. Backed by a workforce of 63,0000 people in nearly 50 countries on alll five continents, the Colas Group undertakes 100,000 projects worldwide every year via a decentralized network of 800 works centers and 1,400 material production sites. In 2012, the Colas Group posted consolidated revenue at 13 billionn euros (of which 44% outside of France) with net profit attributable to the Group at 302 million euros. Activity Roads account for more than 80% off the Group s total business activity, including: - the construction and maintenance of roads, highways, runways, ports, industrial i platforms, logistics facilities, city streets, urban development, reservedlane public transport networkss (tramways, buses), bike paths, automobile racing circuits, environmental projects (wind parks, retention basins), etc., as well as civil engineering and building in certain regions; - upstream activities involving the production and recycling of construction materials (aggregates, emulsions and binders, asphalt mixes, readymix concrete, bitumen) used on Group projects or sold to third parties via an international network of 683 quarries and gravel pits, 138 emulsion plants, 567 asphalt plants, 212 concrete plants and two bitumen production plants. Colas also operates in Specialized activities: Waterproofing (Smac), Rail (Colas Rail),, Sales of refined products (SRD), Road Safetyy and Signaling (Aximum), Pipelines (Spac), thus enabling the Group to offer a full range of products and services to all its customers both public and private. Colas is also a stakeholder often for a minority management companies, notably Cofiroute. Global network share in infrastructure concessions and The Group s solid business platform in France has enabled it to move on to international markets, first in Africa and in the French Caribbean inn the 1930s, then North America at the beginning of the 1960s, followed by most of Europe, the Indian Ocean, Asia and Oceania over the last 30 years. In 2012, a geographic breakdown of business figures shows thee following: France 56% %, North America 20%, Europe, excluding France, 15% %, Rest of the World 9%. 5

6 People The Group boasts a total workforce of 63,,000 people, more than 40% of whom work outside of France. The cornerstones of the Group s human resources policy are recruitment (7,600 people hired in 2012) that is open to diversity, training (Colas Campus, Colas University), safetyy (work accident and traffic accident prevention programs), mobility and internal promotion, decentralized management based on respect and trust. In the field, Colas responsible development policy is reflected by a multitudee of concretee actions undertaken daily by subsidiaries and profit centers. Techniques and Innovation Colas international technical network boastss 2,000 research experts, engineers and technicians, who work in close synergy with operatives in thee field. The network s flagship is itss Campus for Science and Techniques, the leading private research and development center located near Paris, in Magny R&D leshameaux, along with some 50 laboratories and 100 engineeringg design offices worldwide. teams continue to concentrate on: - environmental protection issues, inn particular saving energy and materials and reducing carbon impact (warm mixes, recycling, plantbased binders, biofluxes), b - traffic noise (noisereducing mixes), - road safety (porous mixes, better skid resistance), 6
