Orion Distributors are expected to provide Start-Up and Training services to their customers for ALL Orion machines sold. Out of Area Sales In all sales of Orion equipment in which the actual installation location of the equipment is not within the recognized sales/service of the selling distributor, the selling distributor must agree to: 1. Provide a commission of 1/3 (33%) of the normal gross profit, based upon the list price of the system, including options, to an Orion full service distributor in the area of installation, as selected by Orion. 2. Add the commission as a line item to their purchase order for the system. 3. Providing the commission to a servicing distributor absolves the selling distributor of all responsibility for warranty services, claims, and requests for technical assistance from the customer. The commission will be paid to the servicing distributor by Orion after receipt of full payment for the system by the selling distributor. The selected servicing distributor will be advised in writing at the time the order is placed with Orion, and must agree to: Accept the amount of the commission, provide at least 90 days of warranty service to the customer after start-up of the equipment, and have a technician on site during the start-up of the equipment to assist in training and system fine tuning. The servicing commission does not cover or include physical installation of the equipment. Physical installation is the responsibility of the customer unless otherwise contracted between the customer and the servicing distributor. Warranty - See Orion warranty statement. 11
