2 PORTABLE NATIONA L DIA LYSIS CENTER SCOPE OF WORK: HBAIL will develop a start to finish turnkey operation portable National Dialysis Center (NDC). The NDC is a complex of twenty eight (28) custom fabricated 45ft high cube shipping containers, uniquely designed for this purpose. The NDC is an 8,290 sq. ft. clinic providing space for eight (08) major sections: - 25 Bed Dialysis Center including nurse stations, restrooms, changing rooms and staff area. - Reception waiting area. - 9 Medical Examination offices fully equipped. - Blood Donor Center with 6 Beds including Blood processing center lab. - Administration / Staff Area. - X-Ray Department including CT scan, Mammography, General X-Ray, Lab and Offices. - Water treatment & storage. - Renewable Power Energy Station. The NDC is a 100% self-sustainable system, including its own power generation with renewable energy package, water treatment center, climate control system and satellite system for internet/communications. The NDC is designed to function as one large center or it can be divided into smaller sub-sections that can be dispatched to remote locations. The NDC is fully designed and fabricated in California, USA and meets the highest industry standards of quality control.

3 1.0 RECEPTION AREA: 1.1 Reception area fully furnished office for up to four (04) staff members 1.2 Wiring for office equipment, network and internet system included. 1.3 Seating /waiting area for up to 26 adults. 1.4 Two (02) full size restrooms with wheel chair access. 1.5 Intercom system throughout. 1.6 Direct access to Blood Donor Center, Exam areas and Dialysis Center. 4 2.0 BLOOD DONOR / LAB AREA: 2.1 Blood Donor area with six (06) custom designed beds. 2.2 Blood collection scale units with shaker system, for each bed 2.3 Welsh Allyn Diagnostic system on wall for each blood donor bed. 2.4 Wall mounted entertainment system with headsets for each donor bed. 2.5 Workstations distributed throughout area. 2.6 Power outlets with CAT6 network throughout. 2.7 Panic button with paging system for each bed. 2.8 Blood lab area including: Two (02) Blood refrigerators 50 cu. ft. with temperature control process #BB-48-HG-TP One (01) Blood refrigerator 4.9 cu. ft. 5 3.0 ADMINISTRATION / STAFF AREA: 3.1 Administrator s office equipped with teleconferencing capabilities. 3.2 IT room (All network, and communications area). 3.3 Office/administration supplies room. 3.4 Staff lunch/break room equipped with: Galley area with sink and trash collector cu. ft. refrigerator/fridge Microwave Overhead cabinet for supplies Wall mounted TV entertainment system Lunch table Folding chairs. 6 4.0 MEDICAL EXAMINATION AREA: 4.1 Nine (09) Doctor s examination rooms, equipped as follows: Midmark Ritter 204 exam beds with recliner back and drawers Floor mount exam lights Wall mounted diagnostic lit Welsh Allyn unit Counter section with stainless steel sink (hot and cold water) Weight scale with height rod Overhead cabinets for medical supply storage Doctor s workstation desk pre-wired computer and accessories Wall mounted hand free intercom system connected to nurse stations Sharp disposal container (biohazardous ) Doctor s stool air lift X-Ray viewer wall mounted Network connections throughout. 7 5.0 X-RAY AREA: 5.1 CT Scan Room - includes CT scanner Philips model Ingenuity CT. 5.2 CT Scan room is fully insulated per manufacturer s recommendations. 5.3 Dressing room with locker included in the CT Room. 5.4 Mammography X-Ray Room - Selenia model by Hologic. Room includes dressing area. 5.5 One (01) X-Ray Lab room - full lab for X-ray equipment and accessories. 5.6 One (01) Doctor s office for X-Ray analyzes and patient meeting. 5.7 One (01) supply room. 8 6.0 DIALYZIS CENTER: 6.1 Twenty five (25) dialyses cubicles equipped with dialyses bed (model TM17918) and Althin System Drake Willcok 480B.UF dialysis machines. 6.2 Each dialysis cubicle includes entertainment center, panic button and intercom system. 6.3 Five (05) spare (back up) dialysis beds included in the storage room. 6.4 Five (05) spare (back up) dialysis machines included in the storage room. 6.5 Whole house reverse Osmosis System 5000GPD 220 volt system. 6.6 Three (03) nurse stations, fully wired for computers and network system 6.7 Four (04) dressing rooms strategically located in the dialysis area. 6.8 Two (02) restrooms with storage in the dialysis area. 6.9 One (01) main nurse/administration office Two (02) storage supply rooms Hands free intercom system at nurse stations. 9 7.0 RENEWABLE ENERGY POWER STATION: 7.1 Power Turbine generator 700 Kw - Spirit 1 MW model in a fully contained section. 7.2 This power turbine uses dual fuel - diesel or propane gas. 7.3 Complete wiring system throughout NDC, including power load sections with auto reset breaker system. 7.4 Wiring meets applicable NEC, SAE standards. 10 8.0 WATER TREATMENT SYSTEM: 8.1 Self-contained water storage and treatment. 8.2 System provides 2,000 gallons of fresh water including filtration system 8.3 On demand water pumps with back-up system, including self-automated system. 8.4 Recycling water and waste system self-contained. 11 9.0 COOLING AND HEATING SYSTEMS: 9.1 Centralized air conditioning system Norcold system. 9.2 Includes centralized thermostat units for each major section with multi zone temperature control. 9.3 Air filtration system included in each discharge area. 9.4 Heating system built in to the air conditioning system with heat mode LIGHTING SYSTEM: 10.1 Celling lights recessed fluorescent type Emergency lights located at exit areas and corridors Backup power for lighting system included Exterior lights on all perimeter of the NDC Wall mount light switches on each room and as required OTHER SERVICES INCLUDED IN THE PROPOSAL: 11.1 Factory s training for 30 (thirty) days, for up to ten (10) people Factory training covers all areas of deployment /assembly, trouble-shooting, maintenance routines, equipment operation and proper service Factory s training cost (air tickets round trip and hotel accommodations) are included Full owner s manuals Full drawings (electrical schematics, plumbing, and assembly structural) included Online training and video support. 12 INTELLECTUAL PROPERTY: Customer acknowledges that HBAIL GROUP owns all rights, design, layout and models to the medical units (0s) to be manufactured, including without limitation all Intellectual Property Rights." Intellectual Property Rights" means any and all rights existing from time to time under patent law, copyright law, trade secret law, trademark law, unfair competition law, and any and all other proprietary rights, and any and all applications, renewals, extensions and restorations thereof, now or hereafter in force and effect worldwide. Customer agrees not to modify, adapt, translate, prepare derivative works from, decompile, reverse engineer, disassemble or otherwise attempt to derive source code from HBAIL GROUP. Customer also agrees to not remove, obscure, or alter HBAIL GROUP s copyright notice, trademarks, or other proprietary rights notices affixed to or contained within or accessed in conjunction with or through the. HBAIL GROUP LIMITED WARRANTY: HBAIL GROUP does hereby warrant the services provided by HBAIL GROUP for the period of 36 months or 36,000 miles, whichever occurs first, following the date of shipment ( Warranty Period ). This warranty covers services and labor only. All parts installed as a part of the services provided by HBAIL GROUP shall be covered by the manufacturer s warranty, and Customer agrees to rely only upon such manufacturer s warranty(ies). Customer shall have no recourse against for HBAIL GROUP any defects in the parts utilized. This warranty is limited to defect in workmanship and does not cover any damage caused by intervening of third-parties and/or improper use by Customer. If a defect in workmanship is determined during the Warranty Period, Customer shall promptly notify HBAIL GROUP of any of the defect and shall allow HBAILGROUP the opportunity to complete repairs of the defective workmanship. Customer s sole and exclusive remedy and HBAIL GROUP s sole and exclusive liability shall be limited to the repair of the defective workmanship. If Customer fails to promptly notify HBAIL GROUP of the alleged defect in workmanship and allow HBAIL GROUP the opportunity to repair the defect, Customer shall have no other remedy at law. THIS WARRANTY IS PROVIDED TO CUSTOMER IN LIEU OF ALL OTHER EXPRESS OR IMPLIEDWARRANTIES INCLUDING WARRANTIES OF MERCHANTABILITY AND FITNESS FOR PARTICULAR PURPOSE, WHICH ARE DISCLAIMED HEREUNDER; HOWEVER, IF SUCH IMPLIED WARRANTIES AREREQUIRED AS A MATTER OF LAW, SUCH WARRANTIES ARE LIMITED IN DURATION TO THE WARRANTY PERIOD.
