1 Services and Rates of The Moin Container Terminal 2018

2 T his document describes the services that will be provided by the Moín Container Terminal (MCT), based on the conditions stipulated in the Public Works Concession Contract for the Design, Financing, Construction, Operation and Maintenance of the MCT (Contract of Concession), the bid and the bidding tender. It is also proceeded through this document, to comply with the contractual obligation stipulated in clause 9.1 of the Concession Contract, to notify the Granting Authority of the complementary services that will be offered in the terminal. All rates mentioned in this document will be adjusted as established in the Concession Contract.

3 T he following documents regulate the services offered by the Moín Container Terminal (MCT) Contract for Public Works Concession with Public Service for the Design, Financing, Construction, Operation and Maintenance of the Moín Container Terminal (Concession Contract). Bidding tender, modifications and clarifications. Offer submitted by APM Terminals Central America B.V. In accordance with clause 9.1 of the Concession Contract, the Concessionaire... may provide other complementary services requested by the client, not regulated by the ARESEP, such as the consolidation and deconsolidation of containers, washing and repair of containers, yard moves, container weighing and scanning, among others. As such, the services offered in the MCT are categorized as follows: a. Regulated Services and b. Complementary Services.

4 Regulated Services Regulated services are duly delimited by clauses 9.1 and of the Concession Contract. Regulated services include: Services to the ship, which consist of: a) Navigation aids for the safe operation of the Terminal, dredging work for maintenance of the access channel, breakwater and turning basin e: It involves preventive and corrective maintenance to ensure the safe navigation of ships or vessels from and to the anchorage area and the MCT. b) Tug boat, pilotage and boat services: tug services include any operation associated with holding, pushing, pulling, moving, escorting, guiding, attending and waiting for a vessel or ship from or to the anchoring area and from or until the MCT that requires the services of the Concessionaire. Pilotage service consists in providing specialized personnel to conduct the maneuvers required by the vessels or ships for their displacement from or to the anchoring area, and from or to the MCT. Boat services consist of transporting the pilot from or to the pilot station or to the vessel or ship, or from one vessel or ship to another. c) Mooring / Unmooring of vessels: the service consists of carrying out the necessary tasks to tie the vessel or ship to the berth and untie it to the departure, including the use of the mooring elements that the vessel or ship requires. d) Berthing of vessels: corresponds to dock occupancy, from the time the vessel is secured to the first line of mooring to the time it is removed from that line at departure. The services to the vessel will be charged as follows:

5 a) Services to the vessel variable fee: when the number of movements of containers in the terminal exceeds 1,000 movements per ship attended. Rate: $ 14 per container, with a floor of $ 14,000. b) Services to the vessel for ships that perform 1 to 500 movements in the port: Rate $ 7,000 per ship. c) Services to the ship for ships that perform 501 to 1,000 movements in the port: Rate $ 14,000 per ship. Cargo services include: a) Wharfage: consists of the use of port facilities by cargo in the MCT. b) Container Load/discharge: consists of handling from or to the vessel or ship to be deposited in the terminal or vice versa, using the cranes for this. The assignment of the number of cranes per vessel, in the period of operation will be determined by the concessionaire. So this service includes when in the particularity of the vessel it s needed, moving the "Hatch Cover" or lids of the vessel s hatch. c) Transfer quay- yard and vice versa: consists of handling the cargo from or to the quay to or from the container storage yard using the concessionaire s internal horizontal transport trucks. d) Manipulation of the containers in the pier: it consists of the handling of the cargo from or to the internal horizontal transport trucks to or from the storage space of the MCT. e) Use of storage space for full refrigerated containers: it consists on the allocation of spaces in the MCT to deposit the full refrigerated containers while they are removed from the port area in the case of import, or they are delivered to load in the case of the export. The free stay of containers in the MCT will be 48 hours, starting from the moment the container enters the MCT. After this period, the collection of this service will be done per container per day.

6 a) Storage of empty containers outside the grace period: consists of the allocation of spaces in the MCT to deposit the empty containers while being removed from the terminal in the case of import, or are delivered to load in the case of export. The free stay of containers in the MCT will be 48 hours, starting from the moment the container enters the MCT. After this period, the collection of this service will be done per container per day. b) Storage of loaded containers (with the exception of loaded refrigerated containers) outside the grace period: it consists on the allocation of spaces in the MCT to deposit the full containers (not refrigerated) while they are removed from the port area in the case of import, or are delivered to load in the case of export. The free stay of containers in the MCT will be 48 hours, starting from the moment the container enters the MCT. After this period, the collection of this service will be done per container per day. c) Reception and dispatch of containers: consists of the operational and administrative manipulation of the containers through the doors of the MCT. This service only contemplates a crossing of the container through the doors of the MCT, in case the container requires additional crossings, these will be invoiced as an additional complementary service. Cargo services will be charged at a rate of $ 223 per import or export container, empty or full. Others: a) Use of reefer connector: service through which the MCT will make available to its users connectors for refrigerated cargo, which will serve to provide power to refrigerated containers. The collection of this service will be done per container per day. b) Administrative costs: service through which the MCT will verify the temperature (set-point), humidity and ventilation of the refrigerated containers, comparing the provided instructions by the user with the actual

7 data of the container at the moment of being verified. This will create an alert to the user, if there is a significant discrepancy between the two. The verification will be carried out three times a day per container. The charge for this service will be done per container per day. c) Electricity for refrigerated containers: service through which the MCT will provide energy services for refrigerated containers. The charge for this service will be made with the maximum demand and low voltage rate set by the ARESEP.

8 Complementary Services As stipulated in clause 9.1 of the Concession Contract with regards to complementary services, the concessionaire must notify the Grantor Administration of the service to be provided, with a description thereof so that the Administration keeps the information updated and complies, as provided in chapter 14 of this contract, as regards its oversight function. The complementary services that could be offered by the MCT according to the availability of space and market needs are: Pre-preparation of export refrigerated containers ( Pre Trip Inspection or PTI) refers to the service through which, at the request of the user, the MCT will review some of the electrical and mechanical components of the reefer machinery of the container, for ensure the proper functioning of this when it is assigned to the end user for later loading. The MCT will define a list of technical criteria that must be performed to make the PTI. Alternatively, specific requests for these will be negotiated with each user. The charge of this service will be done by container and will be a standard charge for all users when the technical criteria established by the MCT are followed (differentiated rates according to the categories mentioned below), or alternatively a rate agreed between the MCT and the user, if the service is offered custom made for the user. The rate established for this service covers the realization of it only once. If for any reason the PTI must be performed more than once, this service will be charged as many times as it is performed. This service is subdivided into: Short Pre Trip Inspection Refers to the service of examining the proper operation of the following sections in the reefer machinery: main structure ( main frame ); compressor section; temperature recorder and / or control compartment; condenser section; electrical compartment; compartment of the thermostatic valve; evaporator section; power cable compartments; electric cables; wiring and refrigerant pipes; interior panels and screens. 39,28 per ctr Long Pre Trip Inspection 45,75 per ctr

9 Refers to the service of examining the proper operation of the reefer machinery, when it is in full operation, which must have a performance according to specifications. The PTI service will reveal if these conditions have been met or not. Additionally, the following criteria must be observed: the assembly screw unit must be present and fastened; the condensers grill and spoiler must be cleaned unclogged; the electrical compartments must be cleaned, corrosion free and have effective door seals; all stickers, wiring diagrams and instructions must be present and legible. Electrical connectors, air ducts and gas ports must be corrosion free and closed if required; there must be no excessive corrosion on the steel parts that have a risk of contact with saltwater (such as the compressor and mounting brackets of the receiving tank). The main power cable must be in a good condition and cut and corrosion free; preferably be used a primary power cable to a generator for the PTI inspection of the machinery. Container Cleaning Refers to the service that the MCT will offer to clean the containers at the request of the user, so that they are dispatched in optimal conditions for later loading. The charge of this service will be done by container. According to the categories mentioned below, or alternatively a rate agreed between the MCT and the user, if the service is custom made. Basic Cleaning Refers to the superficial cleaning of the inside of the container. To remove particles that are easily to get rid of in a short time, and without using any type of detergent (or similar), chemical or washing technique. Standard Cleaning Refers to the internal washing of the container with cold water with or without detergent, using high pressure, to remove mainly stains, dust and residues. This service includes the required temperature assignment (set-point). 8,41 per ctr 22,08 per ctr

10 Advanced Cleaning Refers to the internal washing of the container with hot water, with or without detergent, using high pressure to remove mainly oil residues and remove odors (among others). Includes the required temperature assignment to the container. The MCT reserves the right to offer this service, due to the extreme cases of contamination and odors that a container may present. Chemical Cleaning Refers to the internal cleaning of the container using as a different chemical substance, necessary to remove residues or odors that cannot be removed using any of the above methods. Includes the required temperature assignment to the container. 57,95 per ctr 86,41 per ctr Genset Mounting - Dismounting Refers to the service offered by the MCT, in which, at the request of the user, the responsible unit for generating power to the reefer containers (genset) will be attached to the container or chassis. The charge of this service will be done per container. 11,21 per genset Container Weighing Refers to the service by which the MCT will weigh the full import or export containers at the entrance or exit of the MCT. As per the user s request, or following national or international regulations. The charge of this service will be done per container. 3,51 per ctr Container Maintenance Refers to the process of carrying out maintenance works on both dry and reefer containers. Due to the complexity of this activity and the different requirements of the users, the rates will be negotiated with each user separately, according to the type of maintenance required. The MCT standard service assumes a maintenance service that requires 6 man hours. The charge of this service will be based on those 6 hours or pro-rata per hour, adding to this the cost of any material used to perform maintenance. 16,94 per ctr manhour

11 This service will be subdivided in maintenance of empty containers and maintenance of full containers. Container Scanning Refers to the service through which the MCT will use non-intrusive methods to determine the content of the interior of full or empty containers. Following the users requirements or national and international regulations. The charge of this service will be done per container. Security Service Service through which the MCT will ensure the implementation of international security standards and their respective certifications. The charge for this service will be done per container. 28,06 per ctr 6,57 per ctr Container Re-handling (Restows & Shiftings) Refers to the service required by the user for the movement of a container from one position of the vessel to another, also within the vessel (repositioning). Depending on the type of repositioning, this service is divided into two categories: Cell to Cell When due to the proximity of the current position of the container, with respect to the new position requested. The gantry crane can make the movement without having to discharge the container of the vessel. The charge of this service will be done per container. Restows (Cell - Quay - Cell) When due to the distance of the current position of the container with respect to the new requested position, the shore cranes cannot make the movement without having to discharge the container of the vessel. This repositioning requires discharging the container of the vessel and transporting it to the crane that will later load it in its new position, in the same vessel. The charge for this service will be done per container. 67,64 per move 213,56 per cycle

12 Gearboxes Handling Refers to the service required by the user to load / discharge the vessels twistlocks in boxes specially designed for the mobilization of the same, and their subsequent transportation to the pin station. The charge of this service will be done per box move. 101,46 per move Internal Container Transfer Service that MCT will offer, at the request of the users or for any other reason attributable to the user, or at the request of the corresponding authorities for which the MCT must move a container from a certain stacking area to another, within the terminal, round trip. The charge of this service will be done by container. 39,43 per move cycle Movement of Stacked Containers (pre-assignment) Refers to the service where, at the request of the user and exceptionally, the MCT will need to move other containers already stacked to reach the specific container required by the user. Each of the additional move or restows that must be done to comply with the user s request, will be counted as additional moves. The charge of this service will be done for each additional container move that must be made. 15,30 per contraine r Segregation of Special Cargo OOG Service offered to users to keep segregated inside the terminal, the cargo that is considered special (cargo that requires the use of tools other than those that are installed in the cranes), and that therefore need to be placed in a specific area of the terminal. The charge of this service will be done per ton per day. terms agreed per user Segregation of IMDG Cargo Refers to the container segregation service whose cargo is rated as such, according to the International Maritime Dangerous Goods Code (IMDG) of the International Maritime Organization (IMO). The charge of this service will be done per container, in addition to the storage rate, for the area specially selected for such cargo. 20,10 per container

13 Container Visual Inspection Refers to the service whereby, at the request of the users, the MCT will make a quick visual inspection of the condition of the containers, after being discharged from the vessel (damage to the structure of the container, paint, reefer machinery, doors, among others). The charge of this service will be done by container. Gate Moves Any move to enter or evacuate containers of the MCT, additional to that provided in the service to the cargo. The charge of this service will be done per container. Consolidation and Deconsolidation of Cargo and Related Services Refers to the service through which the MCT will dedicate a specific area in the terminal, that will have all the necessary conditions to perform the tasks of receiving or dispatching shipments for subsequent consolidation or deconsolidation. Some of the additional logistic services associated with this activity will also be offered. Due to the variety of services and different ways of charging for these services in the market, the charge will be carried out according to the terms agreed with each user. Office Building Space for Third Parties Refers to the service through which the MCT will provide third parties involved in the supply chain of export or import (such as shipping lines, customs agencies, trucking companies, among others) workspace in the administrative building located inside the MCT, to significantly facilitate the coordination of processes and communication between the MCT, the relevant authorities and these third parties. The charge for this service will be done per square meter. 7,55 per ctr 25,00 per gate terms agreed per user terms agreed per user Pictures Refers to the service that the MCT will offer to rent special equipment for loading, discharging, and handling special cargo, inside the terminal (cargo that requires the use of equipment other than the one installed on the cranes). Renting of Special Equipment refers to the service of using tools other than those that are installed in the cranes so that the loading or discharge of special containers is possible.). The charge of this service is applied to the user by container or movement and additional to the fee for the service of Cargo Services. as per previous agreeme nt with SL per move Upgrade of Containers for Food Transport Refers to the service through which, upon request of the user, the MCT will perform the necessary tasks so that the empty containers are in optimal conditions, to be dispatched and later used for the food transport, medical devices or similar. The charge of this service will be done per container. 201,66 per ctr Temperature Change Service through which, upon request of the user, the MCT will proceed to make temperature changes to reefer containers. Charges will be made for each required change. 14,46 per change Sticking or Removing IMDG Cargo Labels Service through which, at the request of the user or to comply with international regulations, the MCT will place or remove from the containers the corresponding labels, to identify them according to the type of dangerous cargo that it contains (following the IMO guidelines). The charge of this service will be done by set of 4 labels. 61,34 per 4 lables Export Documents Service through which, at the request of the user, the MCT will prepare the necessary documentation for the export of one or more containers. The charge of this service will be done by export policy or by container (as a main service), plus the payment for any other specific document required for the export of the container in question. This service will be offered with the corresponding legal authorizations. Container Segregation Service through which, at the request of the user, the MCT will keep one or 11,21 per ctr 152,49 per move

15 more containers of this user in a specific location inside terminal. The charge of this service will be done according to the moves of containers, that the MCT must do to perform the segregation, plus the cost of Container Internal Transfer. Scheduling or Re-scheduling of Appointments In case the user requests it, the MCT may schedule or re-schedule an appointment by means other than those foreseen in the operating regulations (Reglamento de operaciones, in Spanish). The charge of this service will be done per container. Handling of Leaking Containers Service through which, either upon request of the user or because the MCT determines the need, the containers that present leaks of any kind, will be moved to a specifically designed area for this purpose, to handle properly from an environmental and safety point of view. Due to the diversity in the type of leakages that may occur, this service will be charged based on the tasks required to correct the leak and its possible effects. 5,08 per ctr Per event External Vehicle Entrance into The Yard It consists of the administrative and operational activities of the TCM to control the entry and exit of vehicles other than the operational activity of the MCT, and that are duly authorized. The collection of this service will be made as a percentage of the value of the invoices in the case of vehicles that enter to leave supplies to the ships, or by vehicle in the case of vehicles that enter to carry out any other activity. 25,34 per vehicle/ 6 months Seals Revision Service through which, upon request of the user, the MCT will offer the service of revision of the number of the container s seal, that enter or leave the terminal. This service will be charged per container. Seal Placement Service through which, at the request of the user or request of any of the Authorities, the MCT will place the container a seal according to request. The service includes the seal (not electronic) and its respective placement, 3,05 per ctr 11,45 per seal

16 and will be charged for each seal placement. Plug/Unplug Onboard Service through which, upon request of the user, the reefer containers that are on board the vessel will be connected or disconnected. The charge for this service will be made by container. Temperature Assignation for Reefers service through which, at the request of the user, the container in question will be assigned the temperature required by the user. The collection of this service will be made by container 6,43 per ctr 14,46 per ctr Loading and unloading of transshipment or transit containers service through which the loading and unloading of transhipment containers (transhipment) or transit, bone, containers that do not have the final destination of Costa Rica, but are unloaded from temporary way of a ship, for subsequent loading on another ship for transport to the final destination. The collection of this service will be made by movement. 177,81 per move Late Gate-In service through which the TCM will enable the entrance to the terminal of export containers that enter after the cut ("cut-off") established in the General Regulation of Port Services of the TCM. This service will be offered as long as the operational efficiency of the TCM is not affected, and for that reason, the TCM will decide on a case-by-case basis whether containers can be left in after the cut or not. Tiered method: 18-10: $ : $ : $500 Per ctr Handling of Overweight Containers Service that the MCT will offer to handle with its equipment the containers that have a discrepancy of more than + -5% between the VGM declared by the user and the real weight determined by the MCT when weighing the container. 48,82 per ctr

17 Inspections of Containers Inside MCT Service whereby, at the request of the user or at the request of one of the competent authorities, a container must be moved from the stacking area to the inspection area for proper inspection. This service includes transport to and from the inspection area, handling of the container with the RTG and the partial load and discharge (sampling) of the cargo to be inspected (does not include the handling in case the bulk or not palletized cargo inside a container or in case it is requested the entire container to be inspected. 355,81 per ctr Gang Waiting to Operate Cost charged to the user when the docking or undocking of the vessel is delayed, by more than two hours, with respect to the berthing or undocking time previously agreed between the user and the MCT for reasons not attributable to the MCT. The charge of this service will be done per hour per crew ,68 per hour per gang Change of Destination or Change of Vessel Service through which the MCT will perform the administrative tasks necessary to meet any instructions sent by users to change a container s destination or vessel. The charge of this service will be done by container, and does not include other types of services (such as moving the container to another block of containers, etc.). Additional Time of Vessel Mooring after Operations Finished Refers to the charge to be made by the MCT when, for reasons not attributable to the MCT, a vessel is docked in the MCT beyond the time agreed to set sail (for example, due to faults in the vessel s engine, noncompliance in the sailing documentation, among others). The charge of this service will be done per hour. 5,41 per ctr 6 449,29 per hour Reservation of Appointments for Container Entry to MCT in the Future Service through which the user requests the MCT to reserve containers appointments to entry the MCT for future periods. so that the user is assured for certain day and time of the week, the entry to the MCT of a terms agreed per user per ctr

The MCT will ensure that there are always appointments available for the use of all users and will be responsible for determining for how many weeks, for how many containers and for which days of the week this service can be offered. The charge of this service will be done by container. Transmition of the VGM Service through which the MCT will invest in an electronic platform so that its users can transmit the VGM, in this way fulfilling the requirements of the weighing regulation of export containers of SOLAS. The charge of this service will be done by container. 24,41\FF per ctr Running Test Service by means of which the MCT will verify in a fast way, the correct functioning of the container reefer units, by turning on the unit for a short period of time, approximately five to ten minutes. It does not include any type of additional revision or check the functioning of the reefer unit at low temperatures. 30,58 per ctr CA Container Monitoring Service through which the MCT will verify the temperature (set-point) of the reefer containers that have the controlled atmosphere technology. In addition, the levels of gases (oxygen and carbon dioxide) will also be checked in case of an alarm. For these purposes, the instructions provided by the user will be compared with the actual data of the container at the moment of being verified. generating an alert to the user in case there is a significant discrepancy between the two. The temperature verification will be carried out three times a day per container.
