6 General Terms 1. Maximum Order Limitation Single order: 5 Full Truckloads 2. Blanket Purchase Orders Xerox agrees to enter into Blanket Purchase Agreements (BPA) with ordering activity for items covered by this contract, providing: a. The period of time covered by such orders shall not exceed the period of the contract, b. Any single order placed under such orders shall not exceed the maximum order limitation for that item (the total amount of the BPA may exceed the MOL, provided no single order placed against it exceeds the MOL). c. The price is determined by the quantity in a shipment (not by total quantity ordered). d. Invoices shall follow (not accompany) each individual shipment. e. Summary statements (month end) will not be provided. f. Blanket Orders with unspecified quantities and delivery dates will be accepted with the understanding that specific orders or calls subsequently placed against the Blanket Order will be subject to the contract prices in effect at the time of order (or call). 3. Delivery Terms For Xerox Paper a. The prices herein are for receiving locations in the 48 Contiguous United States. The prices for deliveries up to 4 pallets include Delivery F. O. B. destination to Customer s receiving facility freight prepaid. This includes delivery to the inside receiving facility provided adequate elevators and access are available. If adequate access is not available, inside delivery will not be provided. b. The prices for deliveries of 5 pallets to full truckloads mill direct are F.O.B. Customer Receiving Dock. The receiving area must have personnel and pallet handling equipment to offload the trucks. If not available, Xerox can arrange for special handling of the delivery. The costs for the added services are quoted by order and are added to the cost of the individual order. For delivery of Xerox paper to Hawaii, Guam, Puerto Rico, Virgin Islands and Alaska, there is an additional amount to be added to prices, page 2. Contract GS-15F-9537C 2

7 Contract Price List For Xerox Multipurpose Recycled Paper (30% Post-Consumer) 4. Quantity Pricing For Xerox Paper The purchase order may include a mixture of any paper types and sizes. a. Shipment of loose cartons only (no full pallets). The price is determined by the total number of cartons of all types and sizes shipped to one location at one time. b. Shipment of Loose Cartons with One or More Full Pallets (applicable only to Xerox Papers shown on page 3). Loose cartons of any item in any quantity will receive the 20+ carton quantity price break when ordered and shipped in conjunction with a full pallet of another item. c. Shipments of Full Pallets Only to a single location (applicable only to Xerox papers shown on page 3). Each pallet must consist of a single Product Reorder Number to quality for pallet pricing. Different products ordered in full pallet quantities may be mixed to achieve the 2+ pallet price. d. Shipments of Full Trucks or partial truckloads which are shipped mill direct (applicable only to Xerox papers shown on page 3). All products ordered mill direct must be ordered in full pallet quantities of any single item. 5. Discounts All prices shown herein are net 30 days. 6. Minimum Order 1 carton to 4+ Pallets - $ per order for shipment at one time to one location. Mill Direct truckload or partial trucks shipped mill direct the minimum order is 5 pallets at one time to one location. 7. Warranty Products which are defective in material or workmanship will be replaced without charge within 90 days from date of purchase.. 8. Returns Xerox will accept paper products returned for credit where: Xerox or the Customer makes an error in the ordering or shipping process and the Customer requests within 90 days that the paper be picked up by Xerox. The paper must be in complete cartons and in good and resalable condition, or Paper is defective based on the above warranty. Prices for Hawaii, Alaska, Puerto Rico, Guam and the Virgin Islands are determined by adding the following surcharges to warehouse prices included in the pricing table for the total quantity of the order. Exceptions apply to mill direct shipments, which were not available to Hawaii, Guam, Puerto Rico, Virgin Islands and all other locations in Alaska. 10 Xerox 30% Recycled Paper GSA Contract GS-15F-9537C Xerox 30% Post Consumer Waste Recycled Paper conserves natural resources and helps you meet your environmental purchasing goals. To help our customers comply with Federal Executive Order 13101, Xerox now offers 30% Post Consumer Waste Recycled Paper. This 20 lb., 92 bright white, recycled paper is made to Xerox specifications to ensure optimal performance of xerographic, offset, laser and ink jet machines. The product is tested at the mill, in Xerox laboratories and in machines to ensure Xerox standards of quality are met, before the Xerox label goes on the carton. Recycled bond paper meets ASTM Type III permanence levels, denoting a year sheet life. Recycled paper uses post- consumer waste in place of new pulp to help conserve natural resources and save energy. Xerox new Recycled Paper, which contains 30% post consumer waste fiber, conforms to Federal Executive Order and the U. S. Environmental Protection Agency standards for government offices and companies with government clients. The incomparable Xerox paper technology used to create Xerox recycled paper produces high quality documents without compromising xerographic reliability. Less than full truck orders are subject to an additional charge of $.75 per carton which will be added into the carton unit price. Minimum Order for Mill Direct is 5 pallets. Items may be combined to reach the 5 pallet minimum, but each pallet must consist of a single product reorder number. Mill Direct Prices are FOB customer receiving dock, customer must unload. Delivery Time: 1-4+ Pallets within 7-10 days after receipt of order; Mill Direct truckloads or partial trucks shipped mill direct days after receipt of order.
