SUBMITTING ARTWORK Please be as clear as possible when indicating your preferred layout. We will use our 25 years of experience to interpret your instructions and provide something balanced and aesthetically appropriate. You will receive up to 2 proofs for your approval; there may be a charge for additional proofs. It is important for us to get it right. Any logos or images of signatures, doodles, etc., should be ed to bespoke@ phoenixtrading.com. 6 PERSONALISED CHRISTMAS CARDS Terms & Conditions of Supply 1 INTERPRETATION 1.1 Hereinafter buyer ( Buyer ) means an entity purchasing personalised products ( Products ) from The Trading Company Limited t/a Phoenix Trading ( Company ). 2 BASIS OF SALE 2.1 The Company shall sell and supply the Products to the Buyer subject to these Terms & Conditions, which shall govern the contract ( Contract ) for the sale of the Products. 2.2 When a Buyer places an order, the Company will send an Order Confirmation to the Buyer s provided address within three working days of receipt of the order. The Buyer should check the details in the Order Confirmation for accuracy and acknowledge receipt by within two working days. If the Buyer has not received an Order Confirmation within three working days of placing the order, it is the Buyer s responsibility to contact the Company. 2.3 Any errors in the Order Confirmation should be notified to the Company within two working days of receipt. 2.4 Upon receipt of the Buyer s confirmation that the Order Confirmation is accurate, the Company will send an electronic PDF proof for the Buyer s approval within five working days. Should the Buyer wish to make an alteration to the first proof, the Company will send an amended proof for approval. There may be a charge if more than two proofs are required. 2.5 The Company shall incur no liability for any errors not corrected by the Buyer in proofs so submitted. A Buyer that is shown a proof and fails to see and correct an error has accepted that error on the proof and shall be liable to pay in full. 3 PRICE OF GOODS AND TAXES 3.1 The price of goods will be the prices indicated on the order form. 3.2 Value added tax at the prevailing rate will be added to the order value. If the rate of VAT changes, the Company reserves the right to alter the VAT amount. 4 PAYMENT 4.1 Phoenix Trading will issue an invoice and the Buyer shall pay 50% at time of proof approval and the balance of the invoice in full before despatch of the Products. The Company will ship the Products within one working day upon receipt of cleared funds. 4.2 Accepted ways of payments are: Visa, Visa Debit or Mastercard, cheque or bank transfer. 4.3 The Buyer agrees to pay any bank charges associated with the transfer of monies into the Company s UK bank account. 5 DELIVERY AND PERFORMANCE 5.1 Any dates quoted for delivery of the Products are approximate only and the Company shall not be liable for any delay in delivery of the Products. 5.2 If the Company s supply of the products is delayed by an event outside the Company s control, the Company will contact the Buyer as soon as possible and will take steps to minimise the effect of the delay. Provided the Company does this, it will not be liable for delays caused by the event, but if there is a risk of substantial delay the Buyer may contact the Company to end the Contract and receive a refund for any products paid for but not received. 5.3 The Company has a legal duty to supply Products that are in conformity with the Contract. By law the Buyer s Products must correspond with their description and any sample by reference to which they were ordered. They must also be of satisfactory quality and be reasonably fit for the purposes for which such Products are normally used or for which you informed the Company that you wanted them. The images of the products in our e-brochure, or card samples provided by a Phoenix Trader, are for illustrative purposes only. Although we have made every effort to display the colours accurately, we cannot guarantee that a device s display of the colours accurately reflects the colour of the products. Your product may vary slightly from those images. 5.4 If the Buyer fails to take delivery of the Products or fails to give the Company adequate delivery instructions then, without prejudice to any other right or remedy available to the Company, the Company may order the disposal of the Products, and no refunds will be made in respect of such Products. 5.5 The Buyer shall inspect the Products upon their delivery. Any claim for any defect in the Products shall be notified in writing to the Company along with electronic photographic evidence within four days of delivery. 6 RISK AND PROPERTY 6.1 Risk of damage to or loss of the Products shall pass to the Buyer at the time of despatch of the Products from the Company s warehouse. The Buyer should ensure that the Products are insured in respect of damage or loss during carriage, as no compensation in respect of loss or damage will be considered by the Company. 6.2 The property of the Products shall pass to the Buyer upon the payment in full of the price of the Products. 7 COPYRIGHT AND TRADE MARKS 7.1 Phoenix Trading is the owner or the authorised licensee of the copyright in the Products. Unauthorised use of the materials, including reproduction, modification or distribution without Phoenix Trading s prior consent is strictly prohibited. 7.2 The Phoenix Trading name and logo and all related product and service names are trademarks of Phoenix Trading and may not be used without Phoenix Trading s prior written consent. 7.3 When personalised Christmas cards have been printed with the Buyer s own design, the Buyer shall warrant that they own the copyright or licence and shall indemnify the Company against any losses, damages, costs, or reputational damage suffered or incurred by the Company arising out of or in connection with ownership of the copyright. 8 LIABILITY 8.1 In the case of defective Products, other than in the case of trivial defects or colour variations, the Company may replace the Products free of charge. 8.2 Under no circumstances shall the Company be liable to the Buyer for any loss of contracts, profits, revenue, business, or for any indirect or consequential loss howsoever caused. 8.3 The Company s entire liability under the Contract shall not exceed the price of the Products which are the subject of the claim of the Buyer. 9 RETURNS 9.1 The Company shall not accept returns of unwanted products or products with which the Buyer is not satisfied (other than defective Products under clause 8.1). 9.2 The Company cannot offer refunds or exchanges for Products which have been personalised, unless the products are faulty or are not as described. 10 FORCE MAJEURE Neither party shall be liable for any failure of or delay in performance of its obligations under this Contract if and to the extent that such failure or delay is due to circumstances beyond its reasonable control, including, without limitation (whether similar or dissimilar), acts of God, acts of a public enemy, terrorist acts, fires, floods, wars, civil disturbances, accidents, insurrections, blockades, embargos, storms, explosions, damage to its plants, labour disputes (whether or not the employees demands are reasonable and within the party s power to satisfy), acts of any governmental body (whether civil or military, foreign or domestic), all perils of the seas and other waters, failure of or delay of third parties or governmental bodies from whom a party is obtaining or must obtain rights of way, easements, franchises, permits, machinery, materials, equipment, transportation, independent contracting, or supplies to grant or deliver the same, or inability to obtain labour, materials, equipment, or transportation (collectively and severally referred to herein as a Force Majeure event), nor shall any such failure or delay give the other party the right to terminate this Agreement. Each party shall use its reasonable efforts to minimize the duration and consequences of any failure or delay in performance resulting from a Force Majeure event. 11 LEGAL 11.1 The order and contract of sale shall be governed by, and construed in accordance with the laws of England and Wales, and the parties submit to the exclusive jurisdiction of the English courts in relation to any dispute arising out of or in connection with any order or sale contract These Terms & Conditions do not affect the Buyer s statutory rights as a consumer.
