2 Compliance Mission A central organization that integrates compliance programs and provides oversight to existing programs to provide a reasonable assurance of compliance. The elements that make up the program are User friendly - clear, concise and understandable Tailored to business needs and objectives Business ownership of compliance activities Focused on compliance points and adaptable to business/regulatory changes Collaborative process with key stakeholders Business, Internal Audit, IT& HR Sustainable and deployable across the organization Communicated so that employees are aware of and fully understand their compliance responsibilities Periodic compliance assurance reviews to assist the Business with compliance oversight

4 Business Ownership The success of any compliance program centers on the buy-in of the operators. Business ownership is crucial because if the operators make compliance part of their normal work routine, the Company will have a reasonable assurance of compliance. To ensure business ownership, the Compliance group collaborates with the operators throughout the process to ensure that the Compliance Activity becomes a seamless part of the operators routine tasks.

5 Framework for Operationalizing Compliance STEP 1: Determine what we HAVE to do (i.e., the law that must be followed) STEP 2: Determine what points in the process if executed provide a reasonable assurance of compliance Compliance Ac1vi1es STEP 3: Assist the business in ensuring that it can execute and evidence the Compliance Activities (SOPs, Job aids, Technology, etc.)

6 What is a Compliance Activity? A specific, auditable action or event executed within the organization that helps achieve compliance with a specific compliance requirement. To determine the appropriate activity, the Compliance team meets with the affected business operators to determine what points in the process provide a reasonable assurance of compliance. In some cases, the activity may match an operation that is already in place or is already being performed.

7 How do we determine a Compliance Activity? 1. Does it help achieve compliance with the law? 2. Is the action auditable? 3. Does it clearly reside in one part of the business (supply chain, sales, etc.)? 4. Is the activity acceptable to the operators?

8 What are the Responsibilities of a Compliance Activity Owner? Each specific Compliance Activity has a specific owner or group of owners. The owner(s) will be the individual(s) with direct control over that activity. Responsibilities: 1. Responsible for ensuring that the Compliance Activity occurs. 2. Responsible for ensuring that any cross-functional hand-off or interface happens when required.

9 What are the Responsibilities of a Business Sponsor? For the Compliance Activities in his or her area of the business, the Business Sponsor Creates a culture of compliance; Ensures that the appropriate Compliance Activity Owner is trained; and Should the Compliance Activity Owner change roles or leave the Company, ensures a new Owner is appointed. The Business Sponsor can delegate authority but cannot delegate his or her responsibility.

10 Sustainability of Compliance Programs Compliance Assurance is a service provided by the Compliance group to support the business and ensure sustainability of compliance programs by Facilitating audit preparedness; Identifying gaps and changes in the business, people, or process that may impact compliance, including any training needs; and Assisting with any remediation or continuous improvement.
