The Redensification Project involves development of 4700 sqm commercial land at Chhoti Omti Jabalpur on 30 years lease structure and construction of physical facilities at Veterinary Department campus Aadhartal Jabalpur. Madhya Pradesh housing & infrastructure development board (MPHIDB) invites applications in terms of request for qualification [RFQ] & Request for proposal [RFP] from reputed real estate developers and other interested entities. The applicants can bid for Development, Operation and Management of 4700 sqm of land at Chhoti Omti Jabalpur, if found qualified in terms of RFQ, under a development agreement in terms of RFP. However the pre specified facilities at Veterinary campus Aadhartal Jabalpur are required to be constructed and transferred to GoMP on completion. The RFQ & RFP documents can be downloaded from website All subsequent notifications, changes and amendments would be posted only on aforesaid website. The City is centrally located and River Narmada life line of Madhya Pradesh passes through the city High Court of Madhya Pradesh State is established in Jabalpur and the city is thriving on with steep commercial growth in recent years Jabalpur is headquarters of West Central Railways. It is a major railway junction connecting East & West. The city is well connected by Road also. Longest national Highway NH& runs through the city Jabalpur has a variety of industries largely based in mineral substances of economic value found in the district. Important industries in Jabalpur are Garments, Electrical goods, Building materials, glass ware, IT Products, Steel structures, Tobacco Products, Education & Consultancy, Furniture, food stuffs etc The city of Jabalpur carries with itself tremendous tourist value as tourist destination. Bheraghat marble rock formations and Kanha national park are important tourist attractions Jabalpur Division is the largest forest division of Madhya Pradesh state is famous for its forest cover with 30% of its land under forests. Countries forests belong to Madhya Pradesh. Jabalpur Division is the largest forest division in the state and caters to large number of food processing industries along with minor forestry produces MPHIDB a Government of Madhya Pradesh Undertaking has identified 4700 sqm of Government land at Chhoti Omti Jabalpur for redevelopment under re densification scheme of the Housing & Environment Department GoMP. As per the decision of empowered committee for the aforesaid scheme, the site comprises of two parts. Part 1 admeasuring 4700 sq m is proposed for commercial development and part 2 Veterinary Campus at Aadhartal Jabalpur admeasuring 2.42 acres is proposed for construction of Joint Director Office, Other buildings and staff quarters, besides commensurate infrastructure facilities such as roads, water supply, sewage network, electricity, parks etc. (Site Plan Enclosed) Part1 of the site is proposed to be build out on a 30 years lease while part 2 of the site is expected to be constructed and handed back to GoMP on completion of construction. The project is expected to be developed under a concession cum lease structure Annual lease rent would not be payable to GoMP/MPHB for the purpose of this concession cum lease. 3 Madhya Pradesh Housing & Infrastructure Development Board

The Site part 1 is admeasuring 4700 sqm having polyclinic building and other old abandoned structures MPHIDB would like to develop Site part1 as a commercial area with emphasize on providing public facilities in the area in partnership with a suitably identified investor (Referred as the Project/ Development of 4700 sqm land at Chhoti Omti Jabalpur.) selected through an open transparent competitive bid process The selected investor would be required to mobilize finances, design, construct and maintain the project in terms of the specifications set out by MPHIDB and under other applicable laws/ by laws governing such development. Certain mandatory facilities including but not limited in part2 land are prescribed by the MPHIDB to be constructed in the bid document, which the investor will have to strictly adhere to MPHIDB now invites applications from reputed Real Estate developers and other interested parties to develop the Site under Concession cum Lease structure An agreement for development, operation, management, financing of the project (Development agreement) with development milestones clearly set out in the agreement is expected to be executed between GoMP and successful bidder A draft development agreement will be provided to the qualified applicants as a part of Request for Proposal (RFP) Document. 1.2 Brief Description of bidding process MPHIDB intends to follow a process for selection of developer for the Project. The first Stage of process involves Qualification of interested parties (The Applicants) At qualification stage applicants would be require to furnish the information as specified in this RFQ Document This RFQ Document deals with the (Qualification Stage) and at the end of this stage MPHIDB shall announce names of suitable shortlisted candidates (Qualified Applicants). The proposal for the Project in accordance with Request for Proposal (RFP) document submitted by qualified applicants shall only be opened During proposal stage qualified applicants (Bidders) would be expected to examine the project in further detail, and to carry out their due diligence as may be required to submit proposal for implementation of the Project. 4 Madhya Pradesh Housing & Infrastructure Development Board

Land belonging to Veterinary Department GoMP at Chhoti Omti Jabalpur January 6, 2015 S E C T I O N 2 Instructions to Applicants 2.1General MPHIDB wishes to receive Applications for Qualification to shortlist experienced and capable Applicants for the Proposal Stage Qualified applicants would be entitled for consideration of proposal in Respect of the project. 2.2 Eligible Applicant The applicants eligible for participating in the qualification process shall be a Business entity The applicant should submit a Power of Attorney as per the format enclosed at Appendix 2, authorizing the signatory of the Application to commit the applicant A Business entity or promoter/s of Business Entity which have earlier been barred by MPHIDB/ any other entity of GoMP or blacklisted by any state Government or Central Government/ department/ Agency in India from participating in bidding/ tendering process shall not be eligible to submit an application. The applicant should therefore submit an affidavit certifying aforesaid as per the format enclosed at Appendix Cost of Application The Applicant shall be responsible and shall pay for all of the costs associated with the preparation of its application and its participation in the RFQ, RFP processes. MPHIDB shall not be responsible or in any way liable for such costs, regardless of the conduct or outcome of the process. 2.4 Project inspection and visit of the site It is desirable that each applicant submits its application after visiting the site and ascertaining for itself the location, surroundings, or any other matter considered relevant by it It would be deemed that by submitting the application the applicant has i. Made a complete and careful examination of RFP and RFQ documents ii. Visited the site and ascertained for itself the location, surroundings, or any other matter considered relevant by it iii. Received all relevant information requested from MPHIDB. 1 Business Entity is defined (1) As a company incorporated under Indian companies Act 1956, Or (2) As any of the entities from outside India under equivalent law. 6 Madhya Pradesh Housing & Infrastructure Development Board

Land belonging to Veterinary Department GoMP at Chhoti Omti Jabalpur January 6, MPHIDB shall not be liable for any mistake or error on the part of the applicant in respect of the above. 2.5 Right to accept or reject any of the application Notwithstanding anything contained in this RFQ, RFP documents MPHIDB reserves the right to accept or reject any application or to annul the bidding process or reject all applications/ proposals, at any time without any liability or any obligation for such rejection or annulment, without assigning any reasons MPHIDB reserves the right to reject any application if i. At any time a material misrepresentation is made or discovered ii. The applicant/ bidder do not respond promptly or diligently to requests for supplemental information s required for the evaluation of the application/ proposal Rejection of the application by MPHIDB as aforesaid would lead to the disqualification of Applicant/ Bidder If such disqualification/ rejection occurs after the proposal stage, and the proposal has been opened and the best bidder gets disqualified/ rejected, then GoMP/ MPHIDB reserves the right to i. Either invite the next best bidder to match the proposal submitted by the disqualified/ rejected best bidder, or ii. Take any such measure as may be deemed fit in the sole discretion of GoMP/ MPHIDB, including annulment of the bidding process. 2.6 Amendment of RFQ, RFP Documents At any time prior to the application due date, Deputy Housing commissioner MPHIDB may for any reasons whether at its own initiative or in response to clarifications requested by an applicant, modify the RFQ, RFP Document by the issuance of Addenda. Such Addenda would be posted only on the website of MPHIDB Any Addendum thus issued shall also be sent in writing to all those who have purchased the Document and who have downloaded the document from the Website. In order to provide the applicants a reasonable time to examine the addendum, or for any other reason, MPHIDB may at its own discretion, extend the application due date. 2.7 Instructions to Applicant The applicant would provide all the information in terms of this document. MPHIDB would evaluate only those applications that are receive in the required format and complete in all respects The applicant shall prepare one original of the documents comprising the application and clearly marked ORIGINAL. In addition the applicant shall make one (1) copy of the application clearly marked COPY. All the alterations, omissions, additions, or any other amendments made to the application shall be initialed by the person/s signing the application The applicant shall seal the original and copy of the application in separate envelops, dully marking envelops as ORIGINAL & COPY. The envelopes shall than be sealed in outer envelope Each envelop shall contain the following i. Letter of application ii. Power of attorney for signing of the application. iii. Details of applicant iv. Financial capability of applicant. v. Technical Capability of applicant vi. Bank draft towards the cost of document. vii. Proof of registration of the applicant. viii. Experience of the applicant ix. Format for affidavit certifying that Business Entity/ Promoters/ Director(s) of Business Entity are not Blacklisted/ Barred. Applicants submitted by either facsimile operation transmission or telex will not be acceptable. MPHIDB in exceptional circumstances and at its sole discretion, extend the application due date by issuing an Addendum in accordance with clause 2.6 uniformly for all Applicants. 2.9 Late applications MPHIDB shall not accept any application received after the application due date. Any such application received after the application due date shall be summarily rejected and returned unopened Evaluation of Application MPHIDB would open the applications only on any working date after the application due date for the purpose of evaluation MPHIDB would subsequently examine and evaluate applications in accordance with the criteria set out in section To assist the examination, evaluation and comparison of applications MPHIDB may utilize the services of consultant/s or advisors/s MPHIDB reserves the right to reject any application if i. At any time a material misrepresentation is made or discovered ii. The applicant does not respond promptly or diligently to requests for supplemental information s required for the evaluation of the application/ proposal Confidentiality Information relating to examination, clarification, evaluation and recommendation for the short listed applicants shall not be disclosed to any person not officially concerned with the process. MPHIDB will treat all information submitted as part of application in confidence and would require all those who have access to such material to treat the same in confidence. Land belonging to Veterinary Department GoMP at Chhoti Omti Jabalpur January 6, Clarifications To facilitate evaluation of applications MPHIDB, may at its, sole discretion, seek clarify in writing from any applicant regarding its application Qualification and Notification After the evaluation of applications MPHIDB would announce a list of qualified applicants who meet the qualification criteria. At the same time MPHIDB would notify the other applicants that their applications have been unsuccessful. Land belonging to Veterinary Department GoMP at Chhoti Omti Jabalpur January 6, 2015 S E C T I O N 3 Criteria for Evaluation 3.1 Applicant s Competence The applicants competence and compatibility is proposed to be established by the following parameters a. Experience of applicant b. Financial capability in terms of i. Net worth ii. Annual Turnover On each of these parameters, the applicant would be required to meet the evaluation criteria as detailed in this section. Any applicant meeting all the criteria s shall be qualified for opening of RFP proposal. 3.2 Eligibility Criteria Financial capability i. Net worth of the applicant entity should be minimum of Rupees Ten Crores in the audited balance sheet of FY ii. Minimum average annual turnover of applicant as per audited balance sheet for last three years i.e. for the period FY to FY should not be less than Rupees Ten Crores Technical Experience of applicant Applicant should have completed one construction project of building works (other than Road but including development works) amounting not less than Ten Crores in last Five years i.e. ( ) 11 Madhya Pradesh Housing & Infrastructure Development Board

Scope 1.1 Scope of proposal Madhya Pradesh Housing & Infrastructure Development Board (herein after referred to as MPHIDB) invites detailed proposals ( other submissions and price proposal, collectively referred to as the Proposal) from applicants who have been qualified based on the response to the request for qualification (RFQ) issued for the project (Qualified Applicants and here in after referred to as Bidder or Bidders) for development of 4700 sqm of commercial land belonging to Department of Veterinary Chhoti Omti Jabalpur The proposals would be evaluated on the basis of the evaluation criteria set out in this Request For Proposal (RFP) Document herein after referred to as the Evaluation methodology) in order to identify the successful bidder for the Project (herein after referred to as successful bidder). The successful Bidder would then be required to enter into Tri partied agreement ( herein after referred to as Development Agreement) with GoMP and MPHIDB as per the draft set forth in part II of this RFP document and perform the obligations as stipulated therein, in respect of the project Typical concept plans prepared for the project are set out in the project information memorandum. However, the successful bidder shall be free to prepare his own concept plans based on his business plan and subject to terms and conditions set out in the Draft Development Agreement Terms used in this RFP document which have not been defined herein shall have the meaning ascribed there to in the RFQ document or/ and the Draft Development Agreement The construction documents as defined under the Draft Development Agreement) in respect of the government facilities to be developed at Veterinary Campus Aadhartal Jabalpur, would be made available to the successful bidder on the execution of development agreement. 1.2 Number of Proposals Each bidder shall submit only one proposal for the project in response to this RFP Document. Any entity, which submits or participates in more than one proposal for the project will be disqualified and will also cause the disqualification. 1.3 Proposal preparation Cost The bidder shall be responsible for all the costs associated with the preparation of its proposal and its participation in the bidding process. MPHIDB will not be responsible or in any way liable for such costs, regardless of the conduct or outcome of bidding. 4 Madhya Pradesh Housing & Infrastructure Development Board

For the purpose of interpretation and evaluation of the proposal, the English language translation shall prevail The currency for the purpose of the proposal shall be the Indian Rupee (INR) 1.7 Bid security Proposal would need to be accompanied by a Bid Security for an amount of Rs (Rupees Ten lacs only) The Bid security shall be kept valid through the proposal validity period and would be required to be extended if so, required by MPHIDB The Bid Security shall be in the form of an irrevocable Bank Guarantee in favor of MPHIDB as per the format set out in Appendix The Bid security shall be returned to the unsuccessful bidders on the signing of development Agreement with the Successful Bidder. The Bid security so submitted by the successful bidder shall be released Upon signing of the development agreement with the successful bidder. Upon the successful bidder furnishing a performance guarantee for an amount mentioned in the Draft Development Agreement. And, Upon the successful bidder furnishing the first installment of the project payment equal to Ten percent (10%) of the price proposal by the appointed date (herein after the first project payment) The Bid security shall be forfeited in following cases a. If the bidder withdraws its proposal during the interval between the Proposal due date and expiration of the proposal validity period. Or b. If the bidder fails to make the first project payment and fails in execution of development agreement within the stipulated time limit or extended period by MPHIDB. 1.8 Validity of Proposal The proposal shall indicate that it would remain valid up to 180 days from the proposal opening date. (herein after the Proposal Validity Period). MPHIDB reserves the right to reject any proposal that does not meet this requirement Prior to expiry of the original proposal validity period, MPHIDB may request that the Bidders extend the period of validity for a specified additional period. A bidder may refuse the request without forfeiting its Bid security. A Bidder agreeing to the request will not be allowed to modify its proposal, but would be required to extend the validity of its Bid Security for the period of extension and comply with clauses of this document in all respects. 6 Madhya Pradesh Housing & Infrastructure Development Board

Land belonging to Veterinary Department GoMP at Chhoti Omti Jabalpur January 6, The successful bidder shall extend the proposal validity period till the date of execution of development agreement. 1.9 Project inspection/ site visit Bidders may carry out Project inspection /Site visit at any time, at their cost Bidder s responsibility The bidder is expected to examine carefully the contents of all the documents provided. Failure to comply with the requirements of the RFP Document will be at bidder s own risk It would be deemed that prior to the submission of the proposal, the bidder has a. Made a complete and careful examination of the requirements, and other information s set forth in RFP document. b. Received all such relevant information as it has requested from MPHIDB, And c. Made a complete and careful examination of the various aspects of the project including but not limited to, i. The project site ii. Existing facilities and structures iii. Land availability iv. Water availability v. The conditions of access roads and utilities in the vicinity of the project. vi. Conditions affecting transportation, access, disposal, handling and storage of materials. vii. Clearances to be obtained for the project viii. Clearances available with MPHIDB for the project, And ix. All other matters that might affect bidder s performance under the terms of this RFP document MPHIDB shall not be liable for any mistake or error or neglect by the Bidder in respect of the above Pre Proposal Meeting To clarify and discuss issues with respect to the project and the RFP Document, MPHIDB may hold Pre- Proposal meeting(s) Prior to the Pre- Proposal meeting(s), the bidder may submit a list of queries and propose deviations, if any, to the project requirements and/or the Draft Development Agreement. Bidders must formulate their responses and forward the same to MPHIDB at least seven days prior to the meeting. MPHIDB may, as may be considered acceptable at its sole discretion, amend the RFP document based on inputs provided by the Bidders Bidders may note that MPHIDB will not entertain any deviations to the RFP Document at the time of submission of the proposal or thereafter. The proposal to be submitted by the bidders will be unconditional and unqualified and the bidders would be deemed to have accepted the terms and 7 Madhya Pradesh Housing & Infrastructure Development Board

Any conditional proposal shall be regarded as non responsive and would be liable for rejection MPHIDB will endeavor to hold the meeting as per schedule of bidding process. The details of the pre proposal meeting will be separately communicated to the Bidders Attendance of the bidders at the pre proposal meeting is not mandatory. Applications submitted by either facsimile transmission or telex will not be acceptable. Land belonging to Veterinary Department GoMP at Chhoti Omti Jabalpur January 6, Modification & Withdrawal of Proposals Withdrawal of a proposal during the interval between proposal due date and expiration of proposal validity period would result in forfeiture of the Bid Security in accordance with clause of this document Confidentiality Information relating to examination, clarification, evaluation and recommendation for the short listed bidders shall not be disclosed to any person not officially concerned with the process. MPHIDB will treat all information submitted as part of proposal in confidence and will ensure that all who have access to such material treat it in confidence. MPHIDB will not divulge any such information unless it is ordered to do so by any Government authority that has the power under the law to require its disclosure Evaluation of the price proposal Price proposals of all prequalified bidders shall be opened in the presence of the bidder s representatives who chose to attend. The bidder s representatives who are present shall be required to sign and record their attendance The bidders should submit price proposals for the project in the format set out in Appendix The proposals of the bidders for the project would be evaluated on the basis of the project payment quoted in the price proposal In the event that two or more bidders quote the same highest project payment MPHIDB may Invite fresh proposals from such bidders Or Take any such measure as may be deemed fit in its sole discretion including annulment of the bidding process MPHIDB may either choose to accept the proposal of the highest Bidder or invite him for negotiations Upon acceptance of the proposal of the highest bidder with or without negotiations, MPHIDB shall declare the highest Bidder as the successful bidder MPHIDB right to accept or reject proposal MPHIDB reserves the right to accept or reject any or all of the proposals without assigning any reason and to take any measure as it may deem fit, including annulment of the bidding process, at any time prior to the award of the project without liability or obligation for such acceptance, rejection or annulment. 10 Madhya Pradesh Housing & Infrastructure Development Board
