3 Appendix A Project Description, Specifications and Preliminary Project Schedule The Project Definition Report Cross Dock Terminal (PDR) prepared by Kasian Architecture Interior Design and Planning Ltd. Included in this section provides a complete description of the project and includes the specifications for the Project. The Client has excluded from the original PDR sections pertaining for internal approvals only and are not relevant for this process. A Class 5 estimate of the Project for the purpose of an order of magnitude analysis is also provided in the PDR. The project construction budget (direct costs) approved by YHM for this Project however is $9,500, The PDR provides in section 1.4 Project Schedules an indicative schedule for the development of each of the phases of the Project. The two key milestones the Proponent must meet for the construction of the Project are Mobilization and Substantial Completion and Occupancy. Activity Start Date Mobilization for Construction 6/27/2014 Substantial Completion and Occupancy 5/15/2015 The transition plan as described in the PDR envisions demolition of Hangar #2 followed by construction of the building from west to east, and to the North of Hangar #3 as required, keeping Hangar #3 intact for Cargojet s sort operation until it is able to take possession of the western portion of the new building. Demolition of Hangar #3 would proceed immediately after it has vacated and the remainder of the building completed. This transition plan is not necessarily the manner in which construction must proceed. Alternative concepts will be considered if they are beneficial for operational, budgetary, and/or scheduling reasons. These do not need to be proposed in the RFP. Alternative concepts may include different phasing options, a different final form of the new building (i.e. to be built around Hangar #3), temporary facilities, or other concepts proposed by the Consultant and CM. The key considerations in evaluating alternatives will include: that the new facility must retain the same overall functionality as the indicative design (particularly in the case of a different final form or layout), and the transition plan must be satisfactory to Cargojet (particularly in the case of temporary facilities). 3

5 Appendix B Description of Services Pre-Construction (design) Phase: Commencing upon the date of this Agreements, unless otherwise directed in a notice to proceed issued by Client, the CM shall perform preconstruction services as provided in this Article and elsewhere in the Contract Documents Review and recommend revisions, if appropriate, to the project master Schedule, Construction Budget and permitting plan developed by the Consultant Develop the scope of work and prepare bid packages in concert with the design Consultant (Client will provide guidelines for the Trade bid packages and the CM shall prepare the templates) for each trade to be bid and participate in the prequalification and qualification of each of the Trade Contractor and other subcontractors as defined by the City of Hamilton s Procurement Process The Client may participate in negotiations with subcontractors for the furnishing or supply of any labour, materials or equipment in the performance of the Work and shall have access to any documents submitted by all trade subcontractors and sub suppliers to the Contractor No subcontract or other agreement between the Contractor and any third party for the furnishing or supply of any labour, materials or equipment in the performance of the Work shall be entered into without the Client s prior written approval Construction Planning. The CM shall attend regular Project meetings with Client and the design Consultant. If requested by Client, the CM shall schedule and lead such meetings and keep minutes of such meetings. The CM shall consult with Client and the design Consultant concerning planning for construction of the Project. The CM shall make recommendations as to the purchase and assist in expediting the procurement of long lead items, which are required for the Project to ensure their delivery by the required dates. The CM shall review and, if appropriate, make recommendations with respect to the phasing of the Work, and shall otherwise advise and assist Client and the design Consultant with respect to the division of the Work to facilitate the development of bid and proposal packages, bidding and awarding of subcontracts, allowing for scheduled sequential bid and proposal packages and taking into consideration such factors as economies, time of performance, availability of labor and materials, and provisions for temporary facilities. 5

6 Preconstruction and Construction Services. The CM shall perform its preconstruction and construction services, responsibilities and obligations concurrently as necessary during the term of this Agreement as directed by Client Design Review. The CM shall review, on a continuous basis, development of the Drawings, Specifications and other design documents produced by the design Consultant. Review of the documents is to discover inconsistencies, errors and omissions between and within design disciplines. The CM shall consult with Client and the design Consultant regarding the selection of materials, building systems and equipment, and shall recommend alternative solutions whenever design details affect construction feasibility, schedules, cost or quality (without, however, assuming the design Consultant s responsibility for design) and shall provide other value engineering services to Client. Without limitation, the CM shall review the design documents for clarity, consistency, constructability, maintainability/operability and coordination among the trades, coordination between the specifications and drawings, compliance with laws and regulations for procurement, installation and construction, and sequence of construction, including recommendations designed to minimize adverse effects of labor or material shortages. The CM reviews shall be performed by the project team members as approved by Client. The reviews shall be provided in writing with detailed notations on the drawings and specifications and coordinated with a detailed spreadsheet of the notations and recommended solutions in order to track the issues to final resolution. The CM shall attend meetings as necessary with the design Consultant and Client in order to discuss and resolve all issues Review the design documents and other construction documents and make recommendations to Client as to value engineering, constructability, suitability of materials and equipment, scheduling, time, methods and sequence of construction, and the clarity, consistency and coordination of documentation developed and provided by the Consultant to meet the objectives and budget restrictions the Client has for this project Perform periodic detailed cost estimates for the entire construction and for phases or portions of the work as directed by Client, and work with the project Consultant to reconcile differences. Each detailed estimate must be submitted with supporting data including but not limited to unit costs of all materials, equipment and labor hours required to complete the work of all sections of the specification. The CM shall prepare for the review of the design Consultant and approval of Client, one update estimate for each design phase following the detailed estimate of the Construction Cost of the Project. The update estimates will be provided at the completion of the schematic phase, the design development phase and the construction documents phase. As used herein Construction Cost shall mean the total cost or, to the extent the Project is not completed, the total 6

7 estimated cost of constructing the Project, including the Hard Cost of the Work, the General Conditions Payment, and the CM Fee. The Construction Cost does not include costs of land acquisition, financing costs, or design fees. The CM shall provide value engineering analysis and recommendations during design and construction as directed and in order to meet the requirements of the project budget Perform detailed cost estimates and value engineering analyses during the development of Schematic design, design Development (50%, 75%, 90% 100%), and Construction Documentation phase (Certified for Construction) of the project. The CM shall work with the Consultant to reconcile differences Client may require additional cost estimates to confirm budget due to modifications made via design workshops. The CM shall work with the Consultant to reconcile differences The CM shall assign a professional project scheduler possessing building and site design and construction experience. If deemed qualified by Client, the CM can assign an in-house scheduler. Develop and maintained a detailed critical path method (CPM) schedule that identifies all design activities, permits and all other activities required to be completed before construction activities can begin and a preliminary construction schedule. The CPM project schedules shall be developed using Microsoft Project s latest version The CM shall work in good faith and in cooperation and coordination with the design Consultant, and any other consultants or staff of Client involved in preparing estimates of Construction Cost, in order to reconcile any differences between cost estimates prepared by the CM and such parties, to clarify assumptions upon which cost estimates are based, and otherwise to address any concerns or questions with respect to such cost estimates raised by the design Consultant, Client or such other consultants. If in any case the agreed-upon, reconciled estimate of Construction Cost exceeds the Construction Budget established by Client, the CM shall advise and cooperate with Client and the design Consultant in identifying, specifying and recommending changes in, or additional specification of materials, equipment, component systems and types of construction, or other adjustments in the scope or quality of the Project (collectively, Cost Reduction Alternatives ), including contingencies or alternative bid items, so as to facilitate revision of the design of the Project to reduce the Construction Cost so as to comply with the Construction Budget. Implementation of any Cost Reduction Alternative shall be subject to the approval of Client, and Client shall have the right, in its sole discretion, to choose which of the Cost Reduction Alternatives developed by the parties shall be implemented Develop, in coordination with Client, a system for tracking project costs and cash flow. 7

8 Conduct activities relating to the procurement, award, management, and administration of Trade Contracts and all other contracts for the furnishing of labor, materials, equipment, or other services in connection with the construction of this project, in accordance with guidelines and or procedures developed by Client for the project Develop a Plan of Construction Operations following the guidelines provided by the Consultant, to be approved by the Client Construction Phase: Commencing upon the date of the Notice to Proceed with Construction, unless otherwise directed by Client, the CM shall perform Construction Services as provided in these paragraphs and elsewhere in the Contract Documents Furnish bonds and insurance as required by the contract documents CM Responsibility for Managing Construction. The CM shall be responsible for managing, coordinating, and supervising all aspects of the Work as described in this Agreement, the General Conditions, and all other Contract Documents Provide and maintain a construction site office and provide all site management and administration Manage and coordinate all Trade Contractors and subcontractors and others engaged in the performance of the work Implement procedures following Client s standards for reviewing and processing requests for information or clarifications and interpretations of the contract documents; shop drawings, samples, and all other submittals, contract schedule adjustments, change order proposals, proposals for substitutions, payment applications, as-built drawings, among others as directed by Client Continuously supervise and observe all work in progress so as to ensure that the work is proceeding in accordance with the construction contract documents Attend and, if requested by Client, schedule and lead regular project and construction progress meetings, and conduct regular meetings at the site with each subcontractor. All meetings shall be held at a location and time convenient to the Client Project Manager. 8

9 Construction Cost Monitoring. The CM shall provide a system of Project cost monitoring and reporting, and shall develop cash flow reports and forecasts in such format as approved by Client to coordinate with the cost loaded CPM. The CM shall identify variances between actual costs and its estimated costs and shall immediately advise Client whenever projected costs exceed previous reports. Such reports and other information shall be included in the Monthly Progress Reports to be submitted to Client Develop and implement a change order control system Establish and implement a Quality Control program including monitoring the quality programs of all subcontractors Develop and implement a project wide safety program, including monitoring and enforcement of the program for Trade and subcontractors Monitor closely the progress of construction of each subcontractor, prepare a construction schedule report at least monthly and, if and as necessary, prepare and submit recovery schedules Provide a part-time independent, project-dedicated scheduler to develop, maintain and update the detailed CPM schedule Conduct activities relating to the management, and administration of Trade Contracts and all other contracts for the furnishing of labor, materials, equipment, or other services in connection with the construction of this project, in accordance with guidelines and or procedures developed by the Client for the project Determine when each subcontractor s work is substantially complete and prepare a list of incomplete work and work which does not conform to the requirements of the construction documents Subcontracts. Unless otherwise specifically approved by Client, all Work shall be performed by the CM pursuant to Subcontracts awarded by the CM in accordance with the City of Hamilton Procurement guidelines, rules and policies and the General Conditions of the Contract Maintain complete and accurate records, including (a) correspondence, (b) meeting notes and minutes, (c) shop drawings and submittals, (d) construction documents including change orders, (e) clarifications and interpretations of the construction documents issued by the project Consultant, (f) progress reports including observations of testing performed, (g) as-built drawings, and (h) all other project related documents. 9

10 Post-Construction Phase: In accordance with the design Consultant, develop and implement procedures for orderly completion of punch list items, checkout of utilities, operational systems and equipment and initial start up and testing. Preparation and delivery to the Client warranties, as built drawings, maintenance manuals, and the like, and generally administer closeout of the project Ensure performance of all warranty obligations, resolution of all claims, and other post-construction requirements Provide Monthly Progress Reports. On the fifth (5th) day of each month, or on such other day established by Client, the CM shall submit to Client the documents listed in this paragraph for the preceding month, in form and substance acceptable to Client addressing the progress of the work including compliance with the construction schedule, status of testing and inspection activities performed by the CM and subcontractors, status of shop drawings and submittals, status of change orders, and other matters relating to the progress of work as directed by Client containing but without limitation of the following information: Executive Summary including a discussion of the important issues facing the Project Project status overview including, without limitation, the following: Progress report by division of work or area; Quality control/quality assurance report; Safety and loss control report; Workforce participation status; Procurement status report Project schedule update including, without limitation, a Summary Schedule (progress bar chart) from the CPM; Project cost update, including, without limitation, the following: Cost summary; Cash flow update; List of outstanding Change Orders and Change Directives; List of potential changes and outstanding Change Proposal requests and CM Change Requests; and Such other reports, logs or documents as required by the Client. 10
