PFSL is a non-banking finance company classified as an Infrastructure Finance Company by the Reserve Bank of India. The Company is listed on BSE and NSE and PTC India Limited holds 65% stake in the Company. PFSL is engaged in the business of making investments in, and providing financing solutions to companies with projects in the power sector and other areas of infrastructure. The business model and commitment of PFSL is to partner in infrastructure development and support the Power Sector by catering to the financial requirements of the sector. PFS is structured as a one-stop shop for financing of power projects over the project life cycle. The USP of PFSL lies in its ability to undertake risk analysis of power projects and add value by mitigating those while structuring the financial product in an expeditious timeframe following a highly professional approach. 3 1. ROLE OBJECTIVE- The Director Operations is a key Board Level functionary in articulating / supporting / implementing PFS strategy. S/He is a member of the top management team and is expected to establish and develop, institutionalize relevant operating systems, processes and procedures for the company in its short term / medium term and long term sustainability plans as a prime lender in the power/infrastructure sector in India. 2. DUTIES AND RESPONSIBILITIES- Strategy Provide expertise in due diligence of project financing via systematic modes vide syndication or any other manner that will ensure PFS is safeguarded Analyse market data / competition to be able to decide raising funds and its implication on long term basis for PFS profitability Drive rapid and consistent improvements to ensure that PFS delivers on time in full, to budget, to quality standards, to the customers expectations, and with the most effective use of PFS resources Facilitate project financing, structured financing, mezzanine financing and other means of financing within the policy framework of PFS Monitoring and Evaluation Ability to guide team in undertaking project feasibility studies to assess each project from various points of view to enable Management take decision(s) Feasibility studies of the projects in the energy value chain and other infrastructure areas Carefully monitor project timelines and their progress Ascertain and analyse defaults in project implementation enabling timely corrective remedial measures taken for the benefit of PFS Oversee PFS expectations on desired outcomes by use of appropriate tools and techniques Draw up suggestions for better financing as well as outcomes Undertake analysis via technical studies, research to guide PFS policies and strategies ahead Governance and Leadership Identify and oversee delivery of organisational Key Result Areas (KRA) and Key Performance Indicators (KPI) Effective team leadership and communication - managing, monitoring, and coaching line managers by being in regular contact with each area and ensuring that information is communicated throughout the function and across functions. Create an environment that motivates employees ensuring that they are fully aware of what is expected of them, and recognize their success.

QUALIFICATIONS AND EXPERIENCE Basic Criteria a) Education: i) Should possess a Degree in Engineering or Finance Discipline (MBA (Finance)/ CA / ICWA / CFA) from a reputed Institution is must. b) Experience: i) Domain knowledge of Banking and Financial Services Industry, and of power/ related infrastructure. ii) Possess proven management and leadership skills in building and inspiring teams. iii) Experience in development of a medium to large sized enterprise in the financial services space. iv) S/He should possess minimum 20 years of experience in mainstream banking / financial services power / related infrastructure company, responsible for planning / development / monitoring / due diligence of which at least 3 years should be at a senior just below Board level (e.g. ED in a PSU / PSB). v) Should have knowledge and working experience of modern management techniques. c) Age: i) Minimum 49 years as on 6th February, ii) Not more than 57 years of age as on 6th February, 2017
