4 Thank you for your interest in becoming a Trustee for mcch. Our aim is to support people to live as independently as possible and to reach their potential. We have developed and we go on developing models of support which provide the opportunities to create greater independence for people who use our services at a cost our commissioners and other providers can support. It is an exciting time to be joining us, as we have recently reviewed our governance and agreed a number of up to date best practices. Our Trustees play a vital part in shaping and driving mcch forward and to make a real difference to the people we support. Our current very effective Board welcomes this opportunity to invite new people with a variety of experience to join our Board. As Chair I am retiring from the role in the summer of 2016 after 15 years. I am hoping to continue to support the work of mcch and its Board for the future and will be available to enable an effective transition for a new Chair and additional members of the Board. We are looking for inspirational people to join our Board who believe in our vision and who can successfully lead, challenge the way we do things and offer support across the mcch group. 5 We are a diverse and dynamic charity with a well-established track record within the social care sector, both locally, where we provide services, and nationally. We have been supporting people with learning disabilities, autism and mental health needs for over 27 years. We work across London and the South East providing support and housing services for adults and children. We provide a wide range of services including supported living, community support, residential care, day services, social enterprises, employment support, resource centres, and we work in partnership with the NHS and local authorities. We work closely with the NHS particularly in the arena of mental health services, and have created a number of new initiatives, several of which have won awards. In recent years we have also been successful in winning a number of national awards for our services, and we continue to develop new models of supporting people to create maximum independence at a sustainable cost. In 2016 we have many new housing developments coming online, including a transition service for younger people with learning disabilities who are moving in to adulthood, a step down service for people with forensic mental health backgrounds, and several re-developments of former care homes to become new modern purpose built apartments for people with multiple and complex needs. We have a steady track record of growth, and have introduced a number of smaller charities into the group structure through merger. The operating environment for social care is becoming more challenging, and we are continually evolving in order to ensure that we can meet the needs of the people we support with fewer financial resources. 6 The Chair - Principal Responsibilities Strategic Leadership Providing leadership to the Charity and its Board, ensuring the Charity has maximum impact for its beneficiaries. Ensuring that the Board operates within its charitable objectives and is able to manage and mitigate risks whilst taking advantage of opportunities. Ensuring that the Board fulfils its duties to ensure the sound financial health of the Charity. Governance Ensuring Trustees fulfil their duties and responsibilities for the effective governance of the Charity. Overseeing the development and capability of the Board. Appraising the performance of the Trustees and the Board as a whole on an annual basis. Ensuring the Board is regularly refreshed and incorporates the right balance of skills, knowledge and experience needed to govern and lead the Charity effectively. External Relations Acting as an ambassador and a spokesperson for the Charity. Representing the Charity at external functions, meetings and events. Facilitating partnerships and change with external agencies. Efficiency and Effectiveness Chairing meetings of the Board effectively and efficiently, bringing impartiality and objectivity to decision-making processes. Ensuring Trustees are fully engaged and that decisions are taken for the best long-term interests of the Charity and its beneficiaries. Relationship with the Chief Executive Establishing and maintaining a strong, effective and constructive working relationship with the Chief Executive, ensuring he/she is held accountable for achieving the Charity s key strategic objectives. Developing and maintaining an open and supportive relationship with the Chief Executive such that each can speak openly about opportunities, concerns, and challenges. Conducting an annual appraisal and remuneration review for the Chief Executive. Page 6 of 15
7 The Person We are looking for a person who: Demonstrates a strong and visible commitment to the Charity, its strategic objectives and values Exhibits strong inter-personal and relationship building abilities Is comfortable in an ambassadorial role Demonstrates tact and diplomacy Has experience of operating at a senior strategic leadership level. mcch Chair - Role Description In addition to the generic duties and expectations of a Trustee as detailed in the Trustee Role Description, the duties of the Chair include: Providing leadership for the Board of Trustees in their role of setting the strategy and policy of mcch Planning the annual cycle of Board Meetings Setting agendas for Board Meetings in consultation with the Chief Executive Chairing Board Meetings Bringing impartiality and objectivity to decision-making Monitoring that decisions taken at meetings are implemented Giving direction to Board policy-making Leading the process of appraising the contributions and performance of the Trustees Liaising with the Chief Executive to develop the Board of Trustees Holding Trustees and Officers to account if they are not fully discharging their duties or meeting the reasonable expectations of the Board Facilitating change and addressing conflict with the Board and with the organisation, liaising with the Chief Executive as required Representing mcch at external meetings, and acting as an ambassador when required Undertake the Trustee Appraisals in partnership with the Chief Executive To act as a spokesperson for mcch Line management of the Chief Executive Beyond this The Board expects that the Chair will: Have knowledge of the type of work undertaken by mcch and a wider involvement with the voluntary sector and associated networks. Note: The Vice-Chair acts for the Chair when the Chair is not available and undertakes assignments at the request of the Chair. Page 7 of 15

9 mcch Trustee - Role Description The duties of a Trustee are: To ensure that mcch complies with its governing document, organisation law, and any other relevant legislation or regulations To ensure that mcch pursues its objectives as defined in its governing document To ensure mcch applies its resources exclusively in pursuance of its objectives, i.e. the organisation must not spend money on activities which are not included in its own objectives To contribute actively to the Board of Trustees' role in giving firm strategic direction to mcch, setting overall policy, setting strategic targets and evaluating performance against agreed strategic and operational targets To safeguard the good name and values of mcch To represent mcch at functions and meetings as appropriate and to act as ambassador within a wider network and activities To declare any conflict of interest while carrying out the duties of a Trustee To be collectively responsible for the actions of mcch and other Trustees To ensure the effective and efficient administration of mcch To abide by mcch s equal opportunities policy To ensure the financial stability of mcch To monitor the protection and management of the property of mcch and to ensure the proper investment of the organisation's funds To satisfy themselves that mcch is properly insured against all reasonable liabilities To appoint and support the Chief Executive and monitor his/her performance To sit on appraisal, recruitment and disciplinary panels as required To participate in the Trustee Performance Appraisal process To periodically undertake visits to services To act as an authorised signatory Beyond this The Board expects that all Trustees will: Prioritise their attendance at Board and Committee Meetings and to prepare and read papers in advance of these meetings Keep themselves informed about the activities of mcch and wider issues which affect its success and sustainability through attendance at organised training and continued professional development Not enter into any agreement or commitment on behalf of mcch without proper authority from the Board Work to the principles set out in the Trustee Code of Conduct and the Code of Good Governance 2010 Edition Ensure that they meet the requirements of the Fit and Proper Person Test set by regulatory bodies, providing details upon request to evidence this; to sign a declaration stating such and to advise the Chair if this changes. Only communicate with the press on behalf of mcch if authorised by the Chair Page 9 of 15

We support around 2000 people with learning disabilities, autism and mental health needs across the South East. Our staff We employ over 1,500 staff who are highly trained and who consistently find flexible ways to meet the needs of the people they support. Our governance Our Board has a range of committees who report back to the full Board of Trustees, We have partnership forums and a Partnership Board, which are a representative group of people we support. They contribute into the governance and operations of the charity. We audit, monitor and regularly review our services through both internal and external assessment. All feedback is reviewed to ensure that we are working at continuously improving. 11 People often ask What does mcch stand for? Simply put, mcch as a name no longer describes any particular element of our work or vision. We started work in 1988 primarily to support people moving out of institutions and into the community. Our work started in Maidstone and therefore mcch originally stood for... Maidstone Community Care Housing mcch is a registered charity (number ) which today spans far wider than just Maidstone. We operate across London and the South East. We also have a wider scope of services. The attached map outlines our current locations. 12 OUR SERVICES We have a range of services to meet the needs of the people we support. Most of our services are for adults; however we do offer day activity and respite services for children in the Bexley area. We have services for people with learning disabilities and autism, and for people with mental health needs. Learning disability and autism Registered care accommodation Supported living accommodation Respite services Individual and community support Transition service in Kent Social enterprises, such as tuck by truck and working with words Day activity centres in Bexley After school, summer and Saturday playschemes in Bexley Jigsaw Project raising awareness of disability hate crimes Storytelling project collating stories in memory boxes, blankets and books Mental health Registered care accommodation Supported living accommodation Individual and community support Social enterprises, such as mcch enterprises in Braintree Wellbeing centres, such as Live it Well Community engagement services Employment & vocational services Signposting and brokerage service through signpost uk Mental health specialists seconded from Health, helping to stop people going back into secondary care services. Safe Haven crisis café in Hart and Rushmoor Other services We also have expertise in housing and have successfully managed a number of new build projects. Our positive behaviour support team provides advice, support and specialist input to a range of people and services in the support of people who engage in challenging behaviour. We have a corporate safeguarding specialist to design and deliver a comprehensive training programme to all our staff. We are rolling out a Storytelling project amongst learning disability services to help people collate their memories/stories in a range of different formats.
