We have built SYSTRA with a very clear idea of our business and our goals: to become the world leader in public transport engineering infrastructures and establish ourselves as the benchmark in collective mobility worldwide. Today, we are well on the way to achieving this and we are now proud to talk about our technical achievements, as well as our good financial results. However, nothing is ever set in stone and we are modest enough to realise that clients must have confidence in their partners if they are to optimise solutions for transporting millions of people safely, efficiently and with due concern for the environment. Our teams commitment, professionalism and ability to listen, their astute advice and first-class solutions, all help SYSTRA to win the long-standing confidence of its clients. Whatever we do, it s a story of confidence client, employee, partner, decision-maker and passenger confidence and that s what we want to present today in this report. It is the best way to illustrate our activities and our vision. SYSTRA underwent a major transformation to plan in 2012, adopting a new structure, new processes and new premises. This change was a joint decision with our shareholders to position the Group as a major player on world markets and to enhance its image as a company where people, responsibility and ethics matter. Collective mobility is a fundamental requirement for progress and personal development. That s why keeping the world moving is so important and why we are so proud to be a key player for progress.

Guillaume Pepy SYSTRA pioneers French excellence in public transport engineering. It embodies the ambitions of two major French groups, RATP and SNCF as a showcase for technological expertise and for French influence on international markets. Pierre Mongin SYSTRA has amassed remarkable expertise, which it uses to help populations and regions at home and also in other countries worldwide. With contracts in over 70 countries, SYSTRA is clearly one of France s most international groups.

G.P SYSTRA s strength lies in its capacity to deliver fully integrated transport solutions. The Group can examine all the issues at a very early stage thanks to its combined expertise in designing solutions and system operation and maintenance. It s an advantage that we gained from our founders, SNCF and RATP and it is often what differentiates our proposals from those of our competitors. Pierre Mongin and I always mention this to our clients and we emphasise that SYSTRA really is the ideal solution for local authorities or construction companies that want advice at every phase of their projects. P.M SYSTRA can and should exploit the references and expertise of its founders, SNCF and RATP. Together, they have a unique pool of knowledge 9,000 engineers with decades of experience in technical excellence and innovation, who are flexible and can adapt to any context and find a durable solution to any problem. We do everything we can to show clients that SYSTRA is a partner worthy of their confidence, and that as an independent group, it can focus all its energy on ensuring their project is a success. AS IndUSTRIAl SHAREHOldERS, what ARE YOUR PlAnS for THE future Of SYSTRA? P.M Our goal is clear to make SYSTRA the world leader in public transport engineering. To achieve this, SYSTRA must significantly expand its activities worldwide and establish a strong and longterm presence in every country with major urban or railway projects. Despite the merger and the poor economic climate in 2012, we were very active commercially and managed to win 423 million in orders. It would be fair to say that the Group has grown in strength with a full order book for the next two years. G.P The major references acquired over the past few years, such as the Dubai metro or the high speed rail line in Morocco, illustrate how much confidence clients have in the Group worldwide. For SYSTRA to increase its growth on international markets, it must strengthen its clientproximity business model. Clients who put their trust in SYSTRA, must not only benefit from our unique expertise but also be able to work with local teams that have an in-depth understanding of their project context and are able to define solutions and provide real-time responses to the inevitable project changes. Regional Technical Centres are part of our process to strengthen client proximity and listen to their requirements we have already set up centres in India, Poland, Korea and Algeria. They also guarantee that we can deliver the quality and production standards associated with the SYSTRA brand anywhere in the world.

7 SYSTRA - A GOVERNANCE SYSTEM THAT REFLECTS OUR IDENTITY SYSTRA has adopted a governance framework that reflects its identity to successfully implement its strategy and drive business growth. The Supervisory Board comprises 15 Directors and 2 observers. Chaired by Guillaume Pepy, CEO of SNCF and co-chaired by Pierre Mongin, CEO of RATP, the Board meets 4 to 6 times a year. RESPONSIBILITIES To manage the Board To examine the Group s strategy To approve budgets and monitor financial performance To authorize the Board to implement the Group s major decisions. The Supervisory Board is assisted by three Committees formed of its members: STRATEGIC COMMITTEE. Members: Emmanuel Pitron, RATP, Committee Chairman; Pierre Izard, SNCF; Guy Teulières, BNP Paribas; Pascal Poirot, Independent Member; Micheline Bossaert, Independent Member. This committee met 8 times in AUDIT COMMITTEE. Members: Pascal Poirot, Independent Director, Committee Chairman; Alain Le Duc, RATP; Laurent Trévisani, Sncf; Thierry Simon, Crédit Agricole Ca-Cib. this committee met 4 times in NOMINATION And COMPENSATION COMMITTEE. Members: Micheline Bossaert, Independent Director, Committee Chairman; Alain Le Duc, RATP; Pierre Izard, SNCF; Alain Frybourg, Natixis. This committee met 3 times in 2012.
8 A SINGLE CODE OF ETHICS Our success and quest for excellence are based on confidence.
