This Subcontractor Agreement is between MTS and. In this agreement, both agencies; MTS and, intend to work together toward the mutual goal of providing mechanical diesel repair shop and mobile repair shop services includes emergency roadside assistance services to consumers. Both parties will assume responsibilities that will conclusively result in successful dispatching and service completion of 1 or more of the following services: (Please check all that apply) Do you have A Shop? MTS agrees to: 1. Collect customer information for service requests via phone or and input collected information on an electronic dispatch form. 2. Forward information collected to company using or phone number provided. Forwarding FAX: conferencing phone number (including area code): 3. Specify the form of payment that will be collected for request. 4. Service providers will be automatically conferenced in to talk to customers and finalize a price quote of each job request. 5. Pay Agreed Motor Club Rate for all successful completions of services provided by Vendor, after receipt of service Completion confirmation from customer or by submitted signed invoice.

Contact customer to confirm request and verify service requested, pick up location and contact info. 3. Correspond with MTS via or phone that request has been received, accepted, and verified 4. Provide ETA to MTS and Customer. 5. Obtain documentation for proof of service(s) provided. 6. Submit correspondence to MTS for proof of service(s) rendered. 7. Collect Cash Payments as requested on Dispatch Form. 8. Submit Balances As outlined in agreement. 9. Provide valid licensing and proof of insurance for self or Company. 10. Assume all liability for consumer property once property is in company/sub-contractors possession. III. Local Provider tariff and rates: (they must be comparatives in other rates in your area) - What is your hourly rates - What do you charge per mile - What is your service call rates - Parts will be discussed per cost per job (parts, tires, fuel, etc ) I agree to the proposed rates as listed above. 4 II GENERAL PROVISIONS. The parties hereto agree that the following provisions shall be incorporated herein and made a part of this Agreement: 1. Dispute Resolution: In the event any dispute or controversy arising out of or relating to this Agreement, the parties agree to exercise their best efforts to resolve the dispute as quickly as possible. The parties shall, without delay, continue to perform their respective obligations covered by this Agreement which are not affected by the dispute. The prevailing party in any dispute shall be entitled to reimbursement for any associated costs including reasonable attorney s fees and costs and or downtown costs as related to dispute if handle outside of court. 2. Entire Agreement: By signing this agreement I acknowledge that I have read, understand and agree to this documents terms and conditions entirely. 3. Advertising Rates to become vendor are $ per year it will includes, in shop repair, mobile truck repair / road services, and advertising on our 8 websites we will send you links for full page ads on our website base on the information of your company services.
