2 HILLSBOROUGH COUNTY AVIATION AUTHORITY AMENDMENT NO. 1 TO EiS SOFTWARE LICENSING AND CONSULTING SERVICES AGREEMENT AT TAMPA INTERNATIONAL AIRPORT THIS AMENDMENT NO. 1 to the EIS Software Licensing and Consulting Services Agreement at Tampa International Airport (Agreement) dated February 2, 2012, by and between, a public body corporate under the laws of the State of Florida, hereinafter referred to as Authority, and EiS Technologies, Inc., a Georgia corporation, authorized to do business in the State of Florida, hereinafter referred to as Company, is entered into this day of March, WITNESSETH: WHEREAS, on February 2, 2012, Authority entered into the Agreement with Company to provide software licensing, annual support and consulting services for EiS express E-Business reporting software for the Authority s Financial System; and WHEREAS, Authority desires to exercise two of the five, one-year renewal options revising the end date of the Agreement to February 1, 2019; and WHEREAS, Authority desires to include in the Agreement licensing for new modules, annual support fees for all modules and hourly rates for professional services on as-needed basis; and WHEREAS, Company has agreed to continue to provide the services to Authority in accordance with the terms and conditions of the Agreement. NOW, THEREFORE, for and in consideration of the sum of Ten Dollars ($10.00) and other valuable consideration, the receipt and sufficiency whereof are hereby acknowledged, the parties do agree that the Agreement is amended as follows: 1. The above recitals are true and correct and are incorporated herein. 2. This Amendment No. 1 renews the Agreement for the period of February 2, 2017 through February 1, Delete Article 3, Compensation, Section 3.1, Payment, in its entirety and replace with the following: A. B. Authority will pay Company for professional services based on an approved Statement of Work according to the fee schedule listed below. Any travel costs will be paid in accordance with Authority Policy P412, Travel and Business Development Expenses. Except as provided herein, all other terms and conditions of the Agreement remain in full force and effect and are hereby ratified and confirmed. The Agreement and this Amendment No. 1 represent the entire understanding between the parties on the issues contained herein, either written or oral, and may only be amended by written instrument signed by both parties.
