3 CHAPTER I GENERAL INFORMATION 1. The PHŚ Tariff, regulating charges for services rendered by Port Handlowy Świnoujście Ltd., (hereinafter called PHŚ Tariff ) has been set up by Port Handlowy Świnoujście Management s Resolution No 699 dated 31st January PHŚ Tariff is valid from 1st February, 2012 and is obligatory within the port area exploited by Port Handlowy Świnoujście. 2. The PHŚ Tariff, valid since 1st February 2010, expires on 31st January Port Handlowy Świnoujście collects dues for: mooring, water and power supply, ship s stay, hire of gear and appliances, handling and storage services and other ordered and accepted for a realization by PHŚ. 4. Port Handlowy Świnoujście renders its services 24 hours per day, in the three-shift system: - I shift: 23:00 07:00 ( night shift ) - II shift: 07:00-15:00 - III shift: 15:00-23:00 All Saturdays, Sundays and public holidays are days off. Additionally, due to Polish regulations, PHŚ Management has the right to assign additional days free of work. According to the Non-working Days Act of 18 January 1951, as amended in 1990, the Public Holidays are as follows: - 1 st January (New Year s Day), - 6 th January Epiphany (Three Kings) - Easter Sunday, - Easter Monday, - 1 st May Labour Day, - 3 rd May (May-3 rd -Constitution Day), - Corpus Christi ( moveable ), - 15 th August (Assumption of Mary), - 1 st November (All Saints' Day), - 11 th November ( National independence Day), - 24 th December (Christmas Eve) from 15:00, - 25 th December (Christmas), - 26 th December (Christmas), - 31 st December (New Year's Eve) from 15:00. Prices included in the PHŚ Tariff are obligatory for all parties unless the parties have agreed to other conditions of the accounts for services rendered by PHŚ in separate agreements or arrangements. 6. The tariff rates are expressed in EUR. The conversion of rates into other currency of payment to be effected is based on the current rate of exchange of the National Bank of Poland - the average rate binding on the day before last day of service rendering. 7. VAT will be added in accurate percentage to all tariff rates, and other agreed, binding on the date of service completion (excluding rates for water and power supply, which include VAT). 8. All rates expressed in percentage points are collected on the basis of tariff prices or other separate agreements. 9. The obligation to pay dues for PHŚ services arises at the moment of placing an order. 10. The dues are payable by the party ordering services immediately after receipt of an invoice issued by PHŚ, not later than 14 days after the receipt. Should this term be exceeded, the Orderer is obliged to pay statutory interest. PHŚ reserves the right to claim transaction payment security. 11. The Orderer may not make any deductions from his charges due to PHŚ for its services and no mutual offsetting of claims is possible without a prior written consent. 12. Taking out the order for PHS is tantamount to the declaration that the contracting party got acquainted with records of the PHŚ Tariff and is accepting conditions determined in it. Tariff PHS site 4

5 CHAPTER II RESPONSIBILITIES OF CONTRACTING PARTIES I. ORDERER S OBLIGATIONS Orderer is obliged to place an order in a written form, respect PHŚ s tariff provisions and settle payment for performed services. 1. Order for: a/ ship s service (inwards/outwards declaration) should contain the following data: - ship name, flag and call code, - type of vessel and its parameters (LOA, BEAM and maximum draught in fresh water - FWA), inwards and outwards draught, - GT of the vessel, - name of the last port of exit and name of the port of destination, - quantity and kind of discharged and/or loaded cargo, - name and address of a ship owner or a charterer and agent with the indication of a payer of ordered services. The agent should have a written authorization to work in the name of the ship owner or the charterer and to secure all charges due to Port Handlowy Świnoujście before leaving the harbour. Port Handlowy Świnoujście accepts the vessels in line with no despatch / no demurrage principle, unless the parties agree otherwise in a written form under pain of nullity. b/ cargo handling service should contain the following data: - denomination of the cargo, the number of pieces, gross weight, capacity in cubic meters and a stowage factor of cbm per metric ton; - kind of packing and marks of the cargo or its packing; - specification of heavy lift and project cargo with its accurate measurement, - with respect to dangerous goods particularly their properties and safety class according to International Maritime Organization (IMO-Code). With respect to cargoes discharged from a vessel, the order should be supplemented with a Manifest of Cargo in triplicate, issued in Polish. With regard to loaded cargo, the order should be supplemented with a Tariff PHS site 5

6 Cargo List in triplicate, issued in Polish. Submitted Cargo Lists should contain the numbers of Storage Receipts and state the places of storage. Goods declared without the indication of their marks will be stored by the Port without paying regard to the marks. A written order for sorting in the warehouse, shed or open space, should be given by the Orderer when asking for delivery of particular goods according to their marks. Sorting, weighing and other work on goods during the handling, are conditioned by technical capabilities of the Port and in respect of stevedoring are subject to Ship owner s consent. In the service port is apply the declaration submission B in accordance with Appendix 4 and also the declaration of taking (handling direct) A/C - in accordance with Appendix 5. Before delivery to PHŚ, declarations should be confirmed by Customs. All storage areas in the PHŚ are subject to customs supervision in accordance with the Warehouse Regulations of Temporary Storage. Detailed Warehouse Regulations of Temporary Storage is on the web site c/ other services should contain a detailed description and a scope of ordered service. 2. Deadline for placing orders: The order for work in workdays should be submitted no later than 4 hours before a commencement of the shift during which the work should be performed. Orders for work during holidays ought to be submitted: - for the first shift on Saturday or holiday, inclusive of all following shifts of Saturdays, Sundays and holidays - 26 hours before the commencement of the first shift on Saturday or holiday, - for other shifts till 13:00 on Friday. PHŚ decides about the acceptance of orders for work to be performed during holidays. 3. A cancellation of the order for work to be performed during ordinary workdays should be submitted no later than 4 hours before a commencement of the shift. The cancellation of orders for work to be performed during holidays should be submitted in the same time as Tariff PHS site 6

7 notified in point 2 of this chapter (deadline for placing orders). The Orderer bears the expenses for standing by of working teams and attendance men of loading gear and/or facilities in case of noncancellation of order within above mentioned time limits or a cancellation after notified time limits and in case of non-performance of forwarding agent s or shipbroker s functions. The confirmation of stoppages drawn up by PHŚ is the basis for due charge calculation. II. PHŚ S OBLIGATIONS PHŚ is obliged to perform services in accordance with settled conditions and care of entrusted goods. 1. A realization of orders relates to: a/ ship s service PHŚ is liable for vessel s demurrage caused by its proved fault, only if liability was accepted by PHŚ within conditions agreed beforehand. PHŚ is obliged to unload/load the goods from/into a vessel in Bill of Loading lots. In case goods are mixed up in vessel s holds, PHŚ is entitled to stop unloading operations and to issue a respective report to this effect. The report in question is to be signed by the Carrier or his agent, PHŚ and other interested parties connected with the traffic of goods in the port. PHŚ will continue unloading operations after a receipt of the sorting order or an order to discharge the merchandise in a mixed condition. The costs of sorting, connected with the discharge of B/L lots mixed up in ship s holds, and also any other costs connected with storage (calculated without taking into consideration periods free of charge), are to be paid by the Orderer. b/ cargo handling service Handling operations start from the beginning of working shifts. The beginning of handling operations in other time has to be previously mutually agreed. PHŚ is liable for losses of and damages to the merchandise caused during its handling when PHŚ's fault has been proved by the Tariff PHS site 7

8 Orderer. PHŚ is not liable if its fault has not been proved and, in particular, if the loss or damage to the merchandise has been caused by: - wastage in weight, dissipation, breach, corrosion, deterioration, leakage arising from the nature of the merchandise or activity of insects, - lack or insufficient state of usual commercial packing, - the influence of the weather or other external actions, if according to custom or mutual agreement the merchandise is stored in open air, in compartments which are not completely closed, or if the Merchant undertakes some working or re-packing of the merchandise and the packing is closed again in the regular manner. All losses and damages ought to be notified by protocol immediately, but no later than at the end of the working shift in which the service was performed. The respective protocol has to be signed by the representative of the servicing party. The total liability of PHŚ arising from order fulfilment and binding legal provisions will not exceed EUR 9,500, unless parties agree otherwise. PHŚ shall not be liable for any harm consisting in the loss of benefits which the Orderer could gain if the harm did not occur, or in case of an incorrect or inadequate declaration concerning weight, kind or physical characteristic of the merchandise or other properties essential for proper service performance ( I. point 1 a.b.c.) and no correction of above mentioned data 2 hours before the commencement of service performance at the latest. 2. PHŚ shall not be responsible: a) for damage and/or losses caused by natural disasters or by the Act of God, relatively caused by a strike, a lockout or any similar actions performed by employees of the port and/or the Orderer; b) for financial results caused by orders or activities of State and local Administration Authorities; c) for probable damage caused by PHŚ while rendering assistance, to which it was bound in the interest of PHŚ safety, within limits of necessity; d) for any results that may arise in connection with untrue information provided by the Orderer; e) for cessations caused by atmospheric conditions rendering proper reloading impossible or difficult; Tariff PHS site 8

9 f) for any damage and delays resulting from goods properties or from a customary way of reloading or storage; g) for results of fire, flood, theft and others circumstances beyond PHŚ's control; h) for any commission or omission by the Orderer; i) for any other damage or losses of third people, not the Orderer. 10 I. MOORING SERVICES CHAPTER III HARBOUR SERVICES 1. Mooring dues are collected on the basis of gross capacity of a vessel (GT) - according to the valid International Measurement Certificate issued basing on International Convention on Tonnage Measurement of Ships (Tonnage), London, In case when a vessel has the measurement certificate stating BRT only, the dues for mooring are collected on BRT basis (taking for clearing 1BRT=1 GT). In case of any disputes concerning vessel capacity, contained within the Lloyd s Register of Ships are obligatory. 2. The obligation to make use of boatmen services is determined by Harbour Regulations. Vessels, for which boatmen services are not compulsory, pay the boatmen charge only when such services have been used. 3. The charge for mooring / un-mooring of vessels dealing with maritime shipping, harbour service and inland navigation amounts to......eur 0.04/GT 4. Allowances for services provided on holidays are calculated counting from 23:00 of the workday preceding the holiday up to 23:00 of the holiday on which the first shift of the workday following the holiday begins and they amount to: - on Saturdays... 50% - on Sundays (excluding public holidays) % - on public holidays % 5. Following reductions are granted: for sea liners, ferries and tourist vessels...20% from the charge levied in Chapter III, point For waiting time of ordered boatmen owing to a vessel s fault, lasting more than one hour for every further commenced hour to be applied...25% of the charge contained in Chapter III, point 3. LAY SERVICES 1 Tonnage dues, quay dues and passenger dues are levied by the Authority of Szczecin and Świnoujście Seaports, Joint Stock Company on the basis of Port Dues Tariff, excluding the Quay 87, which is managed by the Port Handlowy Świnoujście and payments (port and passenger payments) are being taken through PHŚ, based on the applicable ZMPSiŚ Tariff. 2 Lay dues berth age are collected on the basis of the length of the vessel mooring line and the time of the ship's stay. 3 Lay dues for a moored vessel not performing reloading operations a ) Vessels entering the port for stay only, berthing at quays exploited by PHŚ, are charged for each running metre of mooring line (= the length of the vessel + 10%) and each commenced hour of stay. Lay dues levied for ships occupying: - 1 to 150 running metres of mooring line...eur 0.10/hr/m to 200 running metres of mooring line...eur 0.20/hr/m to 250 running metres of mooring line... EUR 0.25/hr/m - over 250 running metres of mooring line EUR 0.30/hr/m b ) Vessels entering the port for commercial purposes are exempted from lay dues for the time of reloading operations and within 4 hours after the completion of loading or unloading operations. Starting from the fifth hour of stay at a wharf after definite completion of reloading - lay dues given in Chapter III, point 3 a. will be levied with 50% allowances. In case when the berthing place should be released for another vessel, the vessel extending her stay, after the completion of reloading operations will be towed on the basis of PHŚ Chief Dispatcher s decision - to the other berthing place. All costs connected with the change of the berthing place (towage, pilot and mooring) will be borne by the towed vessel. Tariff PHS site 11

13 c ) The hire rates of appliances, gear and means of transport include the cost of attendance-men. The rental period is counted from the departure of an appliance, means of transport, etc. from the base until its return to the base, meal breaks for crew staff or attendance-men included. d ) The order for work of a locomotive should be submitted to PHŚ Chief Dispatcher at the latest till 10:00 on a workday preceding the holiday. Note: Charges mentioned above apply only to work on working days. In case of necessity to render service during holidays, a written order for the service should be submitted to PHŚ s Chief Dispatcher at the latest till 11:00 on a workday preceding the holiday. Allowance for ordered and accepted service on non-working days amounts to EUR per 1 man-hour (public holidays excluded). The allowance covers the cost of attendance-men, which on working days is included in the hire rates of appliances, gear and means of transport. The minimum time to accept an order for service on non-working days is 4 hours. 2. Charges for each commenced 24 hours of hire: - Yokohama fenders...eur /pc/day - lifting sling...eur 60.00/pc/day - gangway ladder...eur /pc/day - Signode manual...eur 30.00/pc/day - Signode pneumatic...eur /pc/day - ballast (one set of up to 10 tons). EUR 60.00/pc/day 3. Lease of the DP-7 floating crane - for every begun hour... EUR The DP-7 lift is a vessel with the own drive. Trans-shipments are performed using the hook or the gripper. The lift is being used mainly at trans-shipments of bulk goods as: coal, ore, cereal crops, phosphorites, stone, aggregates and at different hydrotechnical and underwater jobs to the 16m depth. PHŚ isn't adding the too freelance performance of services in the case of lack of ability of reaching to the place of the operation of the service, on account of bad conditions hydro-, meteorological, damaging the lift in the course of works, the incompatible tonnage or the dimension of the cargo with technical parameters of the lift. The principal is covering the cost of the hire of the lift from the moment of the reflection to the moment of the return of the individual to the PHŚ Quay. 4. Weather limitations of handling equipment During of cargo handling services, there may be weather conditions that prevent the operation of devices for example heavy rain or snow which limited visibility. Strong wind to endanger working handling equipment. In this case, PHŚ suspend work until to giving up the cause, and issue a written confirmation of a break. 15 IV. MATERIALS AND MAN HOUR RATES FOR LABOUR 1. The charge for dunnage, welding materials and other materials indispensable for performance of works ordered supplied by PHŚ is calculated on the basis of the materials price list, appendix nr 1 of PHS Tariff. 2. HANDLING SERVICES PHŚ performs handling services in: - a direct relation, which means moving the cargo from land or inland transport vehicle into ship s holds, or conversely. When a charge for a direct relation is to be divided, it is assumed that: 40% of the charge is the cost of moving of cargo from land or inland vehicle to a ship s side, or conversely, 60% of the charge is the cost of displacement from a ship s side into ship s holds, or conversely. - an indirect relation, which means moving cargo from land or inland transport vehicle to a storage place and afterwards from the storage place into ship s holds, or conversely. When a charge for the indirect relation is to be divided, it is assumed that: 45% of the charge is the cost of moving cargo from land or inland vehicle to PHŚ open storage area / warehouse, or conversely, 55% of the charge is the cost of moving cargo from PHŚ open storage area / warehouse into ship s holds, or conversely. or 60% of the charge is the cost of moving cargo from land or inland vehicle to PHŚ open storage area / warehouse and afterwards from the storage place to Tariff PHS site 15

16 as hip s side, or conversely, 40% of the charge is the cost of moving cargo from ship s side into ship s holds, or conversely. If the charges for moving cargo do not include the cost of labour and l.s.d. or if the the real cost exceeds the limits included in the price, the charge for materials used will be calculated on the basis of prices of dunnage, other materials and man- hour rates for labour included in appendix 1 of PHŚ Tariff. The charges for handling services are applicable irrespective of handling performance by ship s cranes or shore cranes. The Orderer shall bear the expenses of demurrage and costs caused by the fault of ship s appliances, for instance: the waiting time of working teams, moving cargo, etc. The charges for storage services are applicable after the free of charge period - called OWZ, per each 24 hours of storage. The charges for short-term storage (up to one month) are applicable after the date of delivery of cargo from the warehouse or open storage area. The charges for storage exceeding one month are applicable on the last working day of each month being the period of clearing. No holiday allowance is levied on the dues invoiced for storage services. The charges for storage in open sheds are levied as per storage in roofed warehouses. The storage periods run from the first day of storing up to the date of delivery of merchandise from the shed or storage yard. For inward merchandise, the last day of discharge of the respective B/L lot from the vessel is considered as the first day of storing. For the outward merchandise, the first day of the commencement of loading a vessel is considered as the date of delivery. When loading into or unloading from other means of transport, the quantities of goods actually received or delivered during the given day are valid. In case of loading goods on board and unloading them again from the vessel, the previous storage periods are counted without interruption. Tariff PHS site 16

17 CHAPTER IV THE CHARGES FOR HANDLING AND STORAGE SERVICES 1. The tariff rates and other agreed, are applicable to merchandise in a typical trade condition which causes no additional difficulty, and which is carried in normal holds. 2. The charges for handling and storage of bulk cargo are calculated on the basis of the kind of cargo and its weight expressed in tons, rounded up to full 100 kilograms. If parties do not agree otherwise (for instance: clearing on the basis of cargo weight defined by the port or railway scale), the basis for calculating charges for handling of imported bulk cargo is the weight as per bill of lading. 3. The basis for calculating charges for handling and storage of general cargo is the gross weight of the cargo indicated in the order in tons, rounded up to full 100 kilograms or the quantity expressed in pieces. 4. Allowances for rendering service on non-working days are added to the respective tariff rates, and counted from 23:00 of the workday preceding the holiday up to 23:00 of the holiday, on which the first shift of the workday following the holiday begins and they amount to: t - on Saturdays... 50% - on Sundays (public holidays excluded)...80% - on public holidays % 5. Trimming class -Tariff rates are applicable to loading or unloading of Class A vessels self trimmers. The charges for loading or unloading vessels of other trimming class ought to be agreed in a separate document. 6. Allowance for work in restricted access compartments amounts to 25% of the fixed rate for handling of relevant cargo in direct relation. Restricted access compartments include: upper decks and other places not designated usually for cargoes or not allowing normal handling with loading and stevedoring appliances, holds with floors Tariff PHS site 17

18 of different levels in relation to the inside diameter of the floor, holds below 200 square metres, hold with hatches smaller than 6.00 x metres. 7. The non-commercial condition of goods has to be stated in a protocol signed by both parties, and in case of any disputes in a certificate issued by an expert. The allowance for handling goods in non-commercial condition amounts to 50% of relevant cargo handling rate. 8. Dangerous goods- Rates for handling dangerous goods of 1-5 class are raised by 100%. Reloading rate calculation depends on the kind of goods, value, and conditions of the contract, and needs to be agreed with Port Handlowy Świnoujście every time. Tariff PHS site 18
