2 Protected Culture Greenhouse Marana, AZ Page 2 of PROJECT LOCATION 1.1 The location for the SCOPE of WORK of this Request for Proposal (RFP) is: Marana, AZ 1.2 SUBCONTRACTOR shall coordinate SITE activities through GENERAL CONTRACTOR's Site Construction Manager (SCM). 2.0 DEFINITIONS 2.1 Whenever the word "OWNER" is used in this Request for Proposal, it shall be understood as referring to 2.2 Whenever the word "GENERAL CONTRACTOR" is used in this Request for Proposal, it shall be understood as referring to BURNS & McDONNELL ENGINEERING COMPANY, INC. 2.3 Whenever the word "SUBCONTRACTOR" is used in this Request for Proposal, it shall be understood as referring to the party designated by GENERAL CONTRACTOR to supply and/or install items required to successfully complete the SCOPE of WORK. 2.4 Whenever the phrase "OTHERS" is used in this Request for Proposal, it shall be understood as parties outside this SCOPE of WORK. 2.5 Whenever the phrase "SCOPE of WORK"/"WORK" is used in this Request for Proposal, it shall be understood as referring to the labor, material, equipment, and any other items necessary to perform all work indicated. 2.6 Whenever the words "lower tier subcontractor" or "supplier" or sub-subcontractor appear in this Request for Proposal, they shall be understood as referring to subcontractors to SUBCONTRACTOR (otherwise known as lower-tier subcontractors) and suppliers to SUBCONTRACTOR. 2.7 Whenever the word "SITE" is used in this Request for Proposal, it shall be understood as referring to the physical location on which the Project is to be constructed as indicated in the Drawings and Specifications and/or this Request for Proposal. 2.8 Whenever the words PROJECT DOCUMENTS appear in this Request for Proposal, it shall be understood as referring to all documents included and referenced as part of the Contract Agreement. 3.0 GOVERNING LAWS AND LICENSES 3.1 This Agreement shall be interpreted under and governed by the law as stated in the Subcontract Agreement. SUBCONTRACTOR itself, and on behalf of its partners, parents, subsidiaries or affiliates, agrees to submit to the jurisdiction of the Courts of Pima County, Arizona regard to proceedings related to the WORK, and agrees to bring legal proceedings against GENERAL CONTRACTOR or GENERAL CONTRACTOR's partners, parents, subsidiaries, or other affiliates arising out of or related to the WORK under this Agreement shall be brought in such Courts. SUBCONTRACTOR agrees to include a clause similar to the foregoing in its Sub-Subcontracts. 3.2 Except as may be otherwise set forth in this Agreement, SUBCONTRACTOR shall furnish notices and comply with laws, regulations and orders relating to the performance of the WORK. 3.3 SUBCONTRACTOR shall maintain a valid Contractor s License appropriate for the WORK when required by the state of Arizona, which the WORK is performed.

3 Protected Culture Greenhouse Marana, AZ Page 3 of NOTICES AND COMMUNICATIONS 4.1 Correspondence originated by SUBCONTRACTOR and transmitted to GENERAL CONTRACTOR shall be numbered consecutively 4.2 Commercial notices and technical questions/clarifications pursuant to this Inquiry, shall be in writing and sent by facsimile or mail to: BURNS & MCDONNELL Phone: (314) sldietz@burnsmcd.com 5.0 PERMITS AND CODES 5.1 SUBCONTRACTOR shall include in its LUMP SUM costs of permits and licenses that may be required by federal, state, and local authorities to be furnished by SUBCONTRACTOR to perform the WORK defined by the Subcontract Agreement. 5.2 Where regulations require that permits be obtained in SUBCONTRACTOR's name for the installation of the WORK or utilities for SUBCONTRACTOR s temporary construction facilities or trailers or any other applicable SUBCONTRACTOR activity, SUBCONTRACTOR shall obtain such permits, and furnish copies to GENERAL CONTRACTOR. 6.0 SAFETY AND SECURITY REGULATIONS 6.1 SUBCONTRACTOR shall implement and maintain a written Safety, Health, and Accident Prevention Program specifically applicable to the WORK and will resolve conflicts regarding safety and health measures and practices. SUBCONTRACTOR's SITE Specific Safety Program shall be submitted for review and accepted by GENERAL CONTRACTOR prior to the start of the WORK at the SITE. This Plan shall be in compliance with the Project Site Safety Program. 6.2 SUBCONTRACTOR shall comply with the minimum requirements of the GENERAL CONTRACTOR s and OWNER's Site-Specific Project Safety Management System Regulations and Substance Abuse Policy. 6.3 Drug, Alcohol Screening, and Background Check SUBCONTRACTOR shall include in its LUMP SUM PRICE all costs associated with meeting project requirements for substance abuse screening Prior to mobilizing any employee ON-SITE, SUBCONTRACTOR shall provide GENERAL CONTRACTOR with written documentation verifying that each employee has been tested and is drug and alcohol free utilizing form C-18, located in the Project Safety Manual. 6.4 Training - SUBCONTRACTOR shall include in its LUMP SUM PRICE the following required training for all of its employees entering the premises, with the exception of delivery personnel. Training must be complete prior to performing WORK and annually thereafter Prior to taking the safety training, SUBCONTRACTOR will be required to forward the names and social security numbers of all employees that will be attending the safety training. This notification shall state the date that the employee(s) will be attending. There is limited space for training, and prior notice is required. SUBCONTRACTOR to provide proof that workers are drug/alcohol free and have passed the required background check in accordance with GENERAL CONTRACTOR s and OWNER s requirements Facility specific GENERAL CONTRACTOR s SITE Specific Safety Orientation on each employee's first day at the SITE before they are allowed to work. This training is scheduled for approximately two (2) hours.

4 Protected Culture Greenhouse Marana, AZ Page 4 of All SUBCONTRACTOR employees will be required to have proper PPE which is in good condition. Clean hardhats will be worn at all times, and may include only company logo, employee identification, and project specific training stickers. Plant identification badges must visible at all times. 6.6 All SUBCONTRACTOR employees will be required to utilize safety foot wear. 6.7 The Project Safety and Health Program is an administrative process that generally follows the requirements of the Occupational Safety and Health Act (OSHA) of 1970 and amendments. There are, however, reporting requirements and elements of the program that exceed the applicable OSHA standards. These include, but are not limited to, the following: The SUBCONTRACTOR shall provide personal protective equipment for all employees as defined by the Project Safety and Health Program The use of full body harnesses and double (two) lanyards with double locking snap hooks and deceleration devices in lieu of safety belts for fall protection where there is a fall exposure greater than six (6) feet The exclusive use of ground fault circuit interrupters on all cord and plug tools and equipment regardless of the power source The use of a Job Hazard Analysis System to preplan safety into the WORK The use of Job Safety Analyses (JSA) to preplan safety into the WORK of each crew on a daily basis or as the WORK changes throughout the crew s daily WORK activities Third party annual crane inspections Vested spotters are required when moving equipment or vehicles within operating units or congested work areas. 6.8 SUBCONTRACTOR's personnel will be required to attend a pre-construction conference prior to mobilization. SUBCONTRACTOR shall present to GENERAL CONTRACTOR at the pre-construction conference an outline of its Site-specific safety program to be implemented on the SITE. 6.9 Safety guidelines for rigging equipment Booms shall be lowered and/or blocks and balls secured during severe weather, when possible Prior to undertaking any critical lift, SUBCONTRACTOR shall submit to GENERAL CONTRACTOR a detailed Critical Lift Plan for approval. Allow Fourteen (14) days for Critical Lift Plan approvals for major lifts A critical lift is defined as any lift 1) involving multiple cranes, poles, derricks, or hydraulic jack gantry systems, 2) exceeding a gross weight of 40,000 pounds, 3) a lift greater than 20,000 pounds hoisted over or in proximity to live process equipment or electrical service or buildings, or 4) lifts exceeding75% of the crane manufacturer s load-rating chart for the configuration of the crane SUBCONTRACTOR shall obtain critical WORK Authorization Permits from the GENERAL CONTRACTOR. All permit requests require a detailed description of the task to be performed. SUBCONTRACTOR shall attach a copy of its Job Safety Analysis to each permit. Permit requests shall be submitted the day before and obtained the day of the WORK including, but not limited to the following: Entering confined spaces Opening process lines or equipment Altering the function of operating equipment.

5 Protected Culture Greenhouse Marana, AZ Page 5 of Working in restricted locations Excavation Working with radioactive material or equipment Operating a motorized vehicle within battery limits Hot work/fire work Lockout/Tagout 6.11 SUBCONTRACTOR shall barricade WORK and mark all hazardous areas in accordance with GENERAL CONTRACTOR s Barricading Work Policy Documented Training Verification will be submitted to GENERAL CONTRACTOR by SUBCONTRACTOR for the following: Fall protection Scaffolds Lockout/Tagout Confined Spaces Respiratory Protection Rigger Equipment and Crane Operators (crane operators must have a current third party certification) High Voltage Supervisors (foreman level and above) are not allowed to operate equipment or cranes Smoking is not allowed on Monsanto Property. Smoking will only be permitted off property during designated break periods and meal periods. No individual smoke breaks will be permitted. Smoking areas outside the facility shall have a dedicated fire extinguisher and appropriate receptacles for disposal. Trash shall not be disposed of in these receptacles. 7.0 GENERAL INFORMATION 7.1 On-Site Meetings The designated SUBCONTRACTOR s supervisor will be required to attend weekly progress meetings to discuss Safety, Quality, Schedule and Job Progress, Manpower, Materials / Deliveries, Document status, Changes in Scope of WORK, and status of As-Built drawings SUBCONTRACTOR shall include a minimum of 4 hours per month for the onsite superintendent or safety representative to participate in the one-hour Weekly Site/Project Safety Committee Inspection and Personal Safety Audit Program SUBCONTRACTOR, including all direct and indirect, exempt and non-exempt personnel will be required to attend a 15 minute per week all-hands safety meeting GENERAL CONTRACTOR reserves the right to require meetings between GENERAL CONTRACTOR and SUBCONTRACTOR representatives to review WORK and update the WORK completion schedule Progress meetings will be held weekly at GENERAL CONTRACTOR s SITE offices.

6 Protected Culture Greenhouse Marana, AZ Page 6 of Reports SUBCONTRACTOR shall provide the below referenced reports, in an approved electronic format, to GENERAL CONTRACTOR 24 hours prior to the schedule weekly progress meeting Daily SUBCONTRACTOR shall submit to GENERAL CONTRACTOR s designated field representative prior to 10:00 AM each WORK day, starting from the day SUBCONTRACTOR mobilizes on SITE, a complete and signed SUBCONTRACTOR s Daily Report Form and a Force Report with a listing of all employees by name and craft designation. The Daily Report shall contain a listing of SUBCONTRACTOR and lower tier subcontractor direct and indirect manpower, including personnel by responsibility, craft and identification number, daily WORK hours and cumulative WORK hours, on-site construction equipment, and remarks concerning daily field activities GENERAL CONTRACTOR shall develop and update, as a minimum, the following reports from the approved schedule Week Look ahead Manpower Histograms Progress Update Schedule Weekly SUBCONTRACTOR shall submit a Field Progress Measurement System update including installed quantities for each activity in the Field Progress Measurement System, summarized by the GENERAL CONTRACTOR s Code of Accounts. Actual hours spent shall be reported weekly and cumulative to reporting date separated by craft type. Activities partially complete will be reportable utilizing the GENERAL CONTRACTOR s Partial Credit Guidelines. This quantity and WORK hour data will be used to establish the percent complete of the WORK, and to measure productivity (earned over actual hours) Weekly SUBCONTRACTOR shall submit a forecast of WORK hours required to complete the total scope of the WORK based on the best information available to SUBCONTRACTOR at that time. The forecast WORK hours shall be provided in accordance with the Code of Accounts. SUBCONTRACTOR shall continue to forecast each account weekly until the WORK is complete Monthly - SUBCONTRACTOR shall provide a monthly safety WORK hour report no later than the 5th day of each month. The cut-off date for safety WORK hours will be the last Friday of each month. This report shall indicate all SUBCONTRACTOR and sub-tier subcontractors direct and indirect hours worked in the previous month and cumulative hours to date. 7.3 SITE Procedures and Coordination SUBCONTRACTOR shall confine its operations within the areas designated by GENERAL CONTRACTOR and shall not enter upon private property without having received prior written authorization from GENERAL CONTRACTOR. A site logistics plan will be provided at the bid walk-thru highlighting laydown areas, parking and general site access details During the construction of the WORK, other SUBCONTRACTOR s will be working in the same area. SUBCONTRACTOR shall be responsible for coordinating its WORK with other SUBCONTRACTOR s through GENERAL CONTRACTOR's SCM Interference between pipe, conduit, steel, concrete, etc., when occurring in limited instances,

7 Protected Culture Greenhouse Marana, AZ Page 7 of 16 shall be considered normal working circumstances, and shall be included in SUBCONTRACTOR's LUMP SUM and therefore, shall not be reimbursable by GENERAL CONTRACTOR It is the sole responsibility of SUBCONTRACTOR to include costs, which are the result of protecting the WORK from any inclement weather and any continuance of extreme weather, in its LUMP SUM and INDIVIDUAL UNIT PRICES No alteration to any existing structure, foundation, piping system, or equipment on OWNER's property is permitted without written approval from GENERAL CONTRACTOR. SUBCONTRACTOR shall be responsible for replacing or restoring, to GENERAL CONTRACTOR's satisfaction, items removed or damaged during performance of its WORK SUBCONTRACTOR shall be responsible for continuously maintaining the area of its WORK in a safe, neat, and orderly manner, and to protect its WORK and the property of OWNER or OTHERS from damage, injury, or loss arising in connection of its WORK. Failure to follow these requirements shall be cause for WORK shutdown at SUBCONTRACTOR's expense The SUBCONTRACTOR will be responsible for obtaining WORK PERMITS from the GENERAL CONTRACTOR for all critical activities. Those activities include but are not limited to 1) critical and/or heavy lifts, 2) confined tank or vessel entry, 3) trench work, 4) hot taps, tie-ins, 5) elevated work 6) lockout/tagout. PERMITS will be issued on a daily bases. PERMITS must be accompanied by Activity Hazard Analysis (AHA) and Pre-Task Analysis (PTA) as appropriate or as required by the CONTACTOR s SCM. 7.4 SITE Utilities GENERAL CONTRACTOR will make every reasonable effort to identify the location of existing buried UTILITIES; however, this does not relieve SUBCONTRACTOR from its responsibility to confirm the existence of any potential hazards. SUBCONTRACTOR shall obtain an excavation permit prior to performing any excavation. SUBCONTRACTOR will be responsible for any repair or damaged utilities if verification is not done SUBCONTRACTOR shall verify tie-in locations and specific utility requirements (electric voltage, water pressure and quality, flows and/or disposal areas, fabrication areas, etc.) for the completion of its SCOPE of WORK. SUBCONTRACTOR shall include equipment, materials, or utilities that may be required in addition to those available at the SITE in its LUMP SUM PRICE and INDIVIDUAL UNIT PRICES Temporary Construction Power GENERAL CONTRACTOR will provide a temporary construction power panel for SUBCONTRACTOR construction use only. SUBCONTRACTOR shall verify if any additional temporary construction power will be required for the completion of WORK. If additional connections are needed SUBCONTRACTOR shall notify GENERAL CONTRACTOR immediately. The use of generators is discouraged, however if need SUBCONTRACTOR shall furnish all generators and welding machines required to complete the WORK. All temporary power / generators shall be installed in accordance with code requirements, and approved by GENERAL CONTRACTOR Telephone SUBCONTRACTOR shall provide its own service Non-potable Water OWNER will supply a source of non-potable water at a single designated location. SUBCONTRACTOR shall be responsible for transporting and disposing of nonpotable water. Potable and/or drinking water will be the SUBCONTRACTOR s responsibility.

8 Protected Culture Greenhouse Marana, AZ Page 8 of SUBCONTRACTOR shall provide appropriate temporary lighting, office facilities, wash-up, lunch, and break facilities for its employees, outside the work areas. Prior to locating any temporary construction facilities, SUBCONTRACTOR shall obtain GENERAL CONTRACTOR s written approval Trash Disposal SUBCONTRACTOR shall furnish approved containers in the work areas and for disposal of all scrap, trash and materials generated by its WORK from the work areas on a regular basis. GENERAL CONTRACTOR shall provide a SITE dumpster for hauling and disposal of non-hazardous WORK generated waste. 7.5 SITE Access At the commencement of its daily WORK, SUBCONTRACTOR will be required to check in at Security and show proper identification to obtain OWNER s badge prior to entering the jobsite At the completion of its daily WORK, SUBCONTRACTOR shall return all OWNER issued badges required for entry to the Security Office. First time failure to return OWNER issued badges will result in a $25.00 per badge charge to SUBCONTRACTOR. Second Time failure to return OWNER issued badges will result in the offending personnel to be removed from project, and no longer able to return. SUBCONTRACTOR is ultimately responsible for the final return of all OWNER issued badges One (1) vehicle per SUBCONTRACTOR will be allowed on the jobsite(s) for office personnel, foremen, etc. Vehicles require company identification on the sides. SITE access for vehicles will be strictly limited. For additional parking, refer to Section 2.0 of RFP Site Parking Area SUBCONTRACTOR shall obtain GENERAL CONTRACTOR s and OWNER s written approval prior to the mobilization of any lower-tier SUBCONTRACTOR(s). SUBCONTRACTOR shall allow ten (10) working days to obtain required approvals. SUBCONTRACTOR shall, as a minimum, submit lower-tier SUBCONTRACTOR s safety statistics in a form acceptable to GENERAL CONTRACTOR and OWNER for review, comments, or approval. It is SUBCONTRACTOR s sole responsibility to ensure that its lowertier SUBCONTRACTOR(s) comply with the requirements of the Subcontract Agreement including GENERAL CONTRACTOR s and OWNER s drug screening, safety training requirements, and background checks. 7.6 Materials SUBCONTRACTOR is responsible for protection, control, and security of SUBCONTRACTOR furnished and GENERAL CONTRACTOR furnished materials and shall perform material control in accordance with Subcontract Agreement SUBCONTRACTOR shall include the receiving, inspection, inventory, maintenance, and protection after receipt, handling, transportation, installation, and testing of equipment and materials included within this SCOPE of WORK SUBCONTRACTOR shall assume care, custody, and control of all materials required for its SCOPE of WORK that have been received prior to its mobilization. Within one (1) week of mobilization, SUBCONTRACTOR shall inventory, audit, and accept these materials SUBCONTRACTOR shall include protection of equipment and material in place. Covered storage and dunnage shall be furnished by SUBCONTRACTOR.

9 Protected Culture Greenhouse Marana, AZ Page 9 of SUBCONTRACTOR is responsible for coordinating its laydown area requirements with GENERAL CONTRACTOR. SUBCONTRACTOR is expected to minimize staging and laydown area requirements SUBCONTRACTOR is responsible for coordinating its SITE transportation route(s), laydown area(s), and equipment set-up area requirements with and through GENERAL CONTRACTOR. Warehousing facilities shall be provided by SUBCONTRACTOR SITE preparation activities in laydown and staging areas will be the responsibility of SUBCONTRACTOR. Any required SITE preparation, grading, drainage, rock surfacing, maintenance, dunnage, etc. required to access and protect materials shall be installed and removed by SUBCONTRACTOR. SUBCONTRACTOR shall return all staging and laydown areas to original condition upon completion of the WORK SUBCONTRACTOR shall visit the SITE to evaluate and incorporate in its Proposal conditions regarding turning radii and obstructions (overhead, lateral, etc.) at entrance/egress locations, at laydown areas, along transportation routes, and in the WORK areas. 8.0 SCOPE OF WORK 8.1 SUBCONTRACTOR shall perform services including field verification, supervision, labor, construction equipment and tools, temporary storage, field offices (including equipment and supplies), construction supplies (including worker and safety supplies), transportation, dewatering, testing (including all necessary equipment), required materials, consumables, weather protection, utilities, quality control, warehousing, temporary facilities and services, and other appurtenances necessary for a complete installation of the WORK as required by this Request for Proposal. 8.2 The WORK shall include: Reference the Scope Matrix; The Scope Matrix in the RFP package shows the bid package breakdown and the associated scope detail for each package. Please refer to this document to determine the scope you should base your bid on for the proposal. 8.3 General Requirements In the event an obstruction/interference is encountered, SUBCONTRACTOR shall immediately notify the GENERAL CONTRACTOR. If the obstruction/interference cannot be defined or resolved within a reasonable time period the SUBCONTRACTOR shall move to another location, as agreed by GENERAL CONTRACTOR, to minimize delays Survey and layout of WORK locations will be by SUBCONTRACTOR in accordance with the location drawings. As built drawings shall be by SUBCONTRACTOR and shall validate that WORK has been placed per the engineering drawings and specifications SUBCONTRACTOR shall include any and all costs associated with transporting materials and equipment from the laydown area to the Work SITE as required to support the WORK Estimated site elevations vary, but WORK will generally be installed from existing grade Survey and layout will be in accordance with the location drawings. SUBCONTRACTOR shall establish benchmark coordinates and elevations SUBCONTRACTOR shall be responsible for providing any site improvements or matting

10 Protected Culture Greenhouse Marana, AZ Page 10 of 16 that may be necessary for the equipment, concrete trucks, or personnel access to the work areas SUBCONTRACTOR shall be responsible for maintaining work SITE in a safe and clear condition. Housekeeping shall be performed on a continuous basis to ensure a safe and clean work SITE The SUBCONTRACTOR shall provide a spotter when moving equipment within the SITE SUBCONTRACTOR shall conform to project specification(s) and drawing(s) referenced in Section 2.2 Drawing & Specification Log Materials furnished by SUBCONTRACTOR are to be as specified in the Subcontract Documents. Substitutions require GENERAL CONTRACTOR s prior written approval. Only new, first quality materials are acceptable, unless otherwise approved, in advance, by GENERAL CONTRACTOR. Material source information may be requested by GENERAL CONTRACTOR The SUBCONTRACTOR shall provide a full-time safety professional approved by GENERAL CONTRACTOR for the full duration while the SUBCONTRACTOR is on SITE. 8.4 Specific Requirements for Third Party Testing GENERAL CONTRACTOR will provide third party testing agency for inspection and testing of project materials and installation. SUBCONTRACTOR shall coordinate WORK and notify GENERAL CONTRACTOR when third party testing will be required no later than two (2) days before testing is required. 8.5 Rigging and Material Handling SUBCONTRACTOR shall include all cost for preparing the SITE areas to be used for setting up its equipment (such as cranes, high-lift, scaffolding, etc.); including water, snow, and ice removal and dewatering, any dry fill, area surfacing or crane mats, etc. that may be required for stability of such equipment All rigging and lifting equipment including, but not limited to, slings, clevises, spreader bars, and the like, are to be supplied by the SUBCONTRACTOR No rigging, jacking or loading shall be performed from any structure and/or equipment without the written permission of the GENERAL CONTRACTOR. No equipment shall be moved onto a floor slab, pier or foundation until released by GENERAL CONTRACTOR Outriggers shall be used (fully extended) on all lifts. Mats shall be used whenever outriggers are down to provide a stable bearing surface and to protect area paving Protect all structures, piping, and equipment, over, through, around, or in which equipment, materials, machinery and/or tools are to be moved in a manner acceptable to the GENERAL CONTRACTOR. Provide shoring, bracing, and/or planking that may be required. Any damage caused by the SUBCONTRACTOR shall be repaired at no cost to the GENERAL CONTRACTOR Exercise care during unloading and handling to prevent damage to the equipment or existing conditions. Slings and supports shall be in good condition and of sufficient strength and number to adequately support the equipment or piping and to preclude the possibility of strain, distortion or warping of the equipment, piping or any components. The GENERAL

11 Protected Culture Greenhouse Marana, AZ Page 11 of 16 CONTRACTOR shall approve rigging equipment prior to use. 9.0 QUALITY CONTROL / QUALITY ASSURANCE 9.1 SUBCONTRACTOR shall provide a Project Specific Quality Control Program for GENERAL CONTRACTOR approval (which meets or exceeds GENERAL CONTRACTOR's Quality Control Program) prior to initiating its WORK onsite, a copy of which is provided as part of the RFP. 9.2 SUBCONTRACTOR shall perform Quality Control tests and procedures indicated by the Subcontract Documents. SUBCONTRACTOR shall document and submit Quality Control activities to GENERAL CONTRACTOR for review and approval as WORK progresses. GENERAL CONTRACTOR will be responsible for Third Party Inspections. SUBCONTRACTOR is required to provide forty eight (48) hour notice to GENERAL CONTRACTOR prior to required inspection. 9.3 SUBCONTRACTOR shall assemble and maintain all testing and system turnover documentation required by the Subcontract Documents. At the completion of the WORK, SUBCONTRACTOR shall provide system turnover books complete with all required quality control records and testing documentation, complete with the appropriate GENERAL CONTRACTOR signatures, validating and documenting the completion of the WORK. 9.4 Records shall be maintained at the SITE during the course of WORK by SUBCONTRACTOR and transferred to GENERAL CONTRACTOR upon request. GENERAL CONTRACTOR reserves the right to review and audit records maintained at the SITE on a regular basis. 9.5 GENERAL CONTRACTOR shall retain the right to audit and inspect, at reasonable times, SUBCONTRACTOR's WORK, material, equipment, inspection procedures and Quality Control files to confirm compliance with the Project Documents. 9.6 SUBCONTRACTOR shall be responsible for the coordination and scheduling of required tests and inspections. Delays and/or rescheduling of WORK due to the failure of SUBCONTRACTOR to properly schedule, coordinate, or provide sufficient notice for inspections will not be cause for schedule or pricing adjustments SCHEDULE OF WORK 10.1 WORK at the SITE will be performed on a one shift, eight (8) hours per day, 7:00 AM to 3:30 PM Monday through Friday. Saturday s will be available for weather or impact/delay make-up days when approved, in advance, in writing, by the GENERAL CONTRACTOR Construction Schedule Perform WORK to support milestone dates as indicated in the Milestone Schedule as defined in this RFP Key Schedule Dates December 7, 2016: Bids shall be received by 4:00 pm Arizona Time via to SWBID@sundt.com January 2017: Mobilize & Commence Field WORK October 2017: Complete Field WORK (Completion of WORK is 100%, no open punch list items, all testing and systems turnover documentation signed-off, turned over and accepted by GENERAL CONTRACTOR.) SUBCONTRACTOR shall include in its LUMP SUM furnishing a detailed project completion schedule.

12 Protected Culture Greenhouse Marana, AZ Page 12 of Proposal Schedule - SUBCONTRACTOR shall furnish, with its proposal, a preliminary construction plan and schedule which specifies the workforce loading and time required to complete WORK. The Schedule shall comply with the GENERAL CONTRACTOR s Preliminary Summary Schedule included within the bid documents. The Schedule shall comply with the GENERAL CONTRACTOR s Milestone Dates included within section 12.2 of the RFP bid documents. SUBCONTRACTOR shall state in its proposal any conflicts or issues it has with the proposed sequence, durations or logic proposed in the GENERAL CONTRACTOR s Preliminary Summary Schedule Detailed Construction Schedule - SUBCONTRACTOR shall include in its LUMP SUM PRICE a resource loaded detailed project completion schedule for review and approval within two (2) calendar days of its mobilization showing, as a minimum, breakout of the WORK by area and sequence, material deliveries, fabrication time, third party inspections, etc., and any WORK to be lower-tier Contracted including bidding time. This schedule must be submitted and approved by the GENERAL CONTRACTOR prior to submittal and payment of the SUBCONTRACTOR s first invoice. The Schedule shall be updated weekly and submitted 24 hours prior to the weekly progress meeting SUBCONTRACTOR shall submit their project schedule electronically utilizing Primavera P6 or Microsoft Project The schedule shall show: (a) elapsed time between Award of Contract and start and completion of the above categories, (b) major dependencies of one activity upon another, (c) long delivery material/equipment items, (d) fabrication duration(s), (e) critical inspection hold-point, and (f) specific WORK or action or material deliveries (if any) by GENERAL CONTRACTOR or others upon which the SUBCONTRACTOR s schedule is dependent SUBCONTRACTOR shall not use artificial activity durations, preferential logic or other devices for the purpose of sequestering FLOAT. The CONSTRUCTION MANAGER reserves the right to reject any schedule submitted in which SUBCONTRACTOR has sequestered FLOAT WORK Breakdown GENERAL CONTRACTOR reserves the right to require categories, sequence of WORK, and WORK breakdown as are consistent with GENERAL CONTRACTOR needs. SUBCONTRACTOR shall be advised of such needs during GENERAL CONTRACTOR's review of the WORK completion schedule. At a minimum SUBCONTRACTOR shall provide and report upon schedule and progress in the detail and frequency required by the GENERAL CONTRACTOR s Progress and Reporting Requirements and Field Project Report GENERAL CONTRACTOR and SUBCONTRACTOR shall jointly participate in a meeting to review the initial submittal of the SUBCONTRACTOR s schedule. The purpose of this meeting is to discuss activities, durations, logic and resources. After written approval of the SUBCONTRACTOR s schedule by GENERAL CONTRACTOR, this schedule will become the baseline schedule. The approved baseline schedule shall not be modified by additional resource or manpower leveling without the GENERAL CONTRACTOR s written approval. The current progress schedule will be compared to the baseline schedule. The baseline schedule will be included in the GENERAL CONTRACTOR s Master Project Schedule Notwithstanding GENERAL CONTRACTOR s approval of the SUBCONTRACTOR s schedule, failure to include any activity required for the performance of the SCOPE OF WORK defined by this Package in the SUBCONTRACTOR s schedule shall not excuse SUBCONTRACTOR from completing the activity the WORK within the Contract time SUBCONTRACTOR shall recognize that other SUBCONTRACTORs hired by GENERAL CONTRACTOR will be present ON-SITE and it is SUBCONTRACTOR s responsibility to plan its WORK to include communication and cooperation to avoid potential interferences by working through

13 Protected Culture Greenhouse Marana, AZ Page 13 of 16 the GENERAL CONTRACTOR to resolve any issues that arise. In the event that interferences or issues arise that have the potential to impact the SUBCONTRACTOR s productivity or schedule SUBCONTRACTOR shall advise the GENERAL CONTRACTOR immediately, less than one (1) day, in writing, to allow GENERAL CONTRACTOR the opportunity to mediate or mitigate the event GENERAL CONTRACTOR will monitor SUBCONTRACTOR s approved schedule on a regular basis. If it becomes apparent that progress has been lost due to actions of SUBCONTRACTOR, GENERAL CONTRACTOR may direct SUBCONTRACTOR to take necessary steps to regain and/or maintain the schedule. SUBCONTRACTOR shall present a plan for schedule recovery for review by GENERAL CONTRACTOR within one (1) day of such a request. SUBCONTRACTOR shall maintain the corrective action until GENERAL CONTRACTOR agrees that the current progress matches the original project progress curve PROJECT CONTROLS 11.1 Prior to the start of WORK, SUBCONTRACTOR shall submit an itemized price, quantity and workhour breakdown of WORK in accordance with the GENERAL CONTRACTOR s Field Progress Measurement System. This WORK breakdown must be submitted and approved by the GENERAL CONTRACTOR prior to submittal of its first invoice The Field Progress Measurement System breakdown shall include all major items of WORK. Each item will be given a physically verifiable quantity (i.e. cy, lf, each, etc.) against which actual job progress may be measured, a weighted percentage of the total project, and a dollar value PRICING AND PAYMENTS 12.1 SUBCONTRACTOR shall include all costs associated with providing and maintaining insurance in accordance with GENERAL CONTRACTOR's Insurance Requirements as indicated by the Subcontract Agreement SUBCONTRACTOR shall submit its proposal pricing utilizing GENERAL CONTRACTOR's Proposal Format located in the Bid Documents Section of this RFP. Pricing shall be in accordance with the Subcontract Documents, and may include: LUMP SUM PRICES for WORK defined by this RFP TIME and MATERIAL Rates for WORK GENERAL CONTRACTOR directs SUBCONTRACTOR to perform in addition to this RFP or for extra WORK encountered and approved in writing by the GENERAL CONTRACTOR INDIVIDUAL UNIT PRICES PREMIUM SHIFT WORK PRICES 12.3 LUMP SUM PRICE The Total LUMP SUM PRICE (not subject to escalation) is to include direct and indirect pricing, including profit associated with performing WORK as defined by this RFP in accordance with the Subcontract Documents. Note that the indirect pricing shall include overhead, such as; home office personnel directly or indirectly associated with and/or working on the project, expenses for accounting, payroll, purchasing, expediting, engineering, legal and data processing services, office equipment, interest, fund contributions, bonuses, and other administrative expenses to perform WORK This project is a Sales Tax Exempt Project. A Sales Tax Exempt Certificate will be provided

SUBCONTRACTOR shall furnish Equipment Rental Rates for SUBCONTRACTOR-owned equipment to be utilized in the performance of WORK UNIT PRICE Refer to the Unit Price schedule included in this RFP INVOICING SUBCONTRACTOR shall submit their monthly invoice for review and confirmation of progress to the BMcD Site Manager at least four (4) days prior to the closing date as stated in the Agreement. SUBCONTRACTOR's Payment Request Form shall be accompanied by verification of progress, which shall include an updated Project Schedule and approved Field Progress Measurement System. After confirmation of progress, SUBCONTRACTOR shall submit invoice to BMcD Home Office for approval and payment per the Contract Terms SUBCONTRACTOR shall submit lien wavier with invoice(s). Failure to submit lien wavier will result to rejection of invoice(s) There will be a ten percent (10%) retainage withheld from each progress payment. Upon Completion and acceptance by GENERAL CONTRACTOR of all WORK required or specified under this subcontract, without limitation, delivery of all WORK Product and other required forms, releases and documents required related to the Work to GENERAL CONTRACTOR, the retainage due the SUBCONTRACTOR will be released AIA forms are to be attached to the invoice only after prior approval of progress and / or change orders SUBCONTRACTOR shall submit invoices for progress payments on the AIA forms provided in this RFP. Invoices shall be submitted in GENERAL CONTRACTOR s format in conjunction with SUBCONTRACTOR s standard invoice form Following GENERAL CONTRACTOR s approval of invoice, payment shall be made in accordance with Arizona s Prompt Payment Law ADDITIONAL WORK Additional WORK requested by the GENERAL CONTRACTOR shall be priced Lump Sum, Time and Materials, or Unit Prices at the sole determination of the GENERAL CONTRACTOR No additional WORK or Extra WORK shall proceed without the prior written approval of the GENERAL CONTRACTOR Lump Sum - SUBCONTRACTOR to submit estimate quality back-up in the level of detail required by the GENERAL CONTRACTOR to validate the lump sum price. This shall include, but will not be limited to; detailed material take-offs by individual item or drawing clearly indicating the quantities of the added, deleted, or extra work, quantities extended by unit work-hours, work-hours extended by labor dollars, material quantities extended material pricing, a list of construction equipment indicating usage and extended by equipment rates, subcontract pricing (in the same level of detail as defined herein), a detailed description of any additional indirect costs specifically required by the added or extra WORK that is not covered by the labor or equipment rates. Labor and equipment rates for both SUBCONTRACTOR and sub-tier SUBCONTRACTORs shall not exceed the SUBCONTRACTOR s Time and Material Rates or Equipment Rental Rates.

15 Protected Culture Greenhouse Marana, AZ Page 15 of Time and Materials - WORK will be performed in accordance with the Time and Materials Rates Sheet, GENERAL CONTRACTOR s List of Small Tools and Consumable Supplies and the Equipment Rental Rates. SUBCONTRACTOR shall submit daily time sheets with a detailed description of the WORK performed indicating hours worked by each employee, construction equipment, tools and any materials utilized for each days WORK for signature by the GENERAL CONTRACTOR s authorized representative prior to 10:00 a.m. on the following day. SUBCONTRACTOR shall submit material and construction equipment requisitions for GENERAL CONTRACTOR s representative s approval prior to purchasing any materials, renting or mobilizing any construction equipment required for time and materials WORK. It is the SUBCONTRACTOR s responsibility to track and monitor its costs against the not-to-exceed value of any time and material WORK Individual Unit Prices - shall be utilized to price adds or deducts related to design changes for the installation of one unit of the designated item in accordance with the Project Drawings and Specifications. Unit Prices shall include all cost, including but not limited to field safety requirements, layout, estimating services, invoicing, and appropriate QC procedures. Quantities shall be calculated from the neat line dimensions on the Project Drawings FINAL PAYMENT Final payment and release of retention to SUBCONTRACTOR will not be made until the following conditions have been met and accepted by the GENERAL CONTRACTOR Construction completion of all WORK in accordance to the drawings specifications Receipt and acceptance of as-built drawings by GENERAL CONTRACTOR.
