1 TASK ORDER FOR CONTINUING CONTRACT CONSTRUCTION MANAGEMENT FORM INSTRUCTIONS 1) The task order form including attachments is intended to stand alone as an authorization for construction management work under continuing services agreements. 2) Form includes editable fields. The form is protected to allow editing of the form fields only, except for the schedule exhibit and at the end of the form where free form entry is allowed. The form will automatically expand to multiple pages with the appropriate headers and footers when required. Please note that the headers, footers and signature blocks include fields that will automatically update when the form is printed. 3) To prepare the form, replace the text in each field by double-clicking the field and then typing or pasting the appropriate data. Move from field to field using the Tab key. Drop-down fields require a selection from the available options. Typing an x or clicking in check-box fields toggles between checked and unchecked. 4) Number the authorizations sequentially for each project executed under the master agreement. 5) The exhibits identified in the form must be included with each task order. If additional exhibits are required, they must be listed in the ATTACHMENTS section and inserted in the document. Note: a. At a minimum, the list of key personnel must identify a project manager. b. Master project schedule milestones must be identified in the schedule exhibit. Typically, District staff will provide a schedule for inclusion with the form. A simple list of milestones may be acceptable for studies and reports executed via the form. 6) District staff will complete the form and create a final PDF version for execution. Upon distribution of the final PDF for execution by District staff, construction management firms must print and sign two original copies of the form and return to the District for execution. A fully executed original and a scanned copy will be returned to the construction management firm following execution by the District.

2 TASK ORDER (Construction Management Services) Task Order No. XX In accordance with the agreement for CONSTRUCTION MANAGEMENT SERVICES ON A CONTINUING BASIS dated SELECT DATE between The School Board of Hillsborough County, Florida ("Owner") and ("Construction Contractor"), the Owner hereby contracts with Construction Contractor to perform all work (the "Work") in connection with the management and construction of PROJECT NAME (the "Project"), located in Hillsborough County, Florida, said Work being set forth in the plans and specifications being prepared by DESIGN PROFESSIONAL, Architect and/or Engineer of Record ("Design Professional"), and all other Contract Documents and having an estimated construction cost ("Construction Budget") of CONSTRUCTION BUDGET IN TEXT dollars ($XXX,XXX). SCOPE OF SERVICES: Construction Contractor is to provide Pre-Construction and Construction Phase Services for the Project meeting the requirements of the agreement, with the following modifications and clarifications: Provide any additional description or clarification of the services to be provided here. If none, enter "Not Applicable". Do not use an attachment. COMPENSATION: In consideration of the full and faithful performance by Construction Contractor of the covenants in this Contract, Owner agrees to pay, or cause to be paid, to Construction Contractor the following amounts (herein "Contract Amount"), in accordance with the terms of this Contract: Pre-Construction Phase Services: For all Pre-Construction Phase Services, including, but not limited to, providing value engineering services, reviewing Construction Documents for constructability, assisting and meeting with Design Professional during the various design phases, and preparing cost estimates, Construction Contractor shall receive the fixed amount of PRE-CONSTRUCTION FEE IN TEXT dollars ($X,XXX) as the total lump sum compensation for its services. Construction Phase Services: With respect to the Construction Phase Services to be provided by Construction Contractor hereunder, Owner shall reimburse Construction Contractor for the Cost of the Work (as that term is defined in the agreement), and pay Construction Contractor a Construction Management Fee for the entire Work in the fixed amount of CONSTRUCTION SERVICES FEE IN TEXT dollars ($XX,XXX). LIQUIDATED DAMAGES: Should Construction Contractor fail to substantially complete the Work within the required time period as described in the agreement, Owner shall be entitled to assess, as liquidated damages, but not as a penalty, SUBSTANTIAL COMPLETION LD'S IN TEXT dollars ($X,XXX) for each calendar day thereafter until Substantial Completion is achieved. Should Construction Contractor fail to satisfy all requirements for final acceptance of the Work as described in Paragraph 22.2 of Exhibit A of the agreement within the required time period, Owner shall be entitled to HCPS Design Task Order INITIALS Page 2 of 3

3 assess, as liquidated damages, but not as a penalty, FINAL COMPLETION LD'S IN TEXT dollars ($XXX) for each calendar day thereafter until the final acceptance requirements are met. Construction Contractor hereby expressly waives and relinquishes any right which it may have to seek to characterize the above noted liquidated damages as a penalty, which the parties agree represents a fair and reasonable estimate of Owner's actual damages at the time of contracting if Construction Contractor fails to substantially complete the Work in a timely manner. STAFFING SCHEDULE: Construction Contractor shall provide no less than those personnel during the respective phases of construction that are set forth in Exhibit A to this Task Order. Construction Contractor shall not change any of those persons identified in Exhibit A unless mutually agreed to in writing by Owner and Construction Contractor. In such case, Owner shall have the right to approve the replacement personnel. SCHEDULE: Services shall be provided in accordance with the Master Project Schedule provided at Exhibit B. TRUTH-IN-NEGOTIATIONS: At the time this TASK ORDER is executed, Construction Contractor shall sign and deliver to Owner the Truth-in-Negotiation Certificate attached hereto and made a part hereof as Exhibit C. Construction Contractor's compensation shall be adjusted to exclude any sums by which Owner determines the compensation was increased due to inaccurate, incomplete, or non-current wage rates or other factual unit costs.
