Grandes Vinos y Viñedos S.A., Ctra. Valencia km 45,700 Cariñena Zaragoza, Spain (collectively the Sponsor ) is sponsoring the HASHTAG FOR 1 TRIP TO SPAIN FOR TWO #elcircoar Contest (the Contest ). This Contest is in no way sponsored, endorsed or administered by, or associated with, Instagram, Facebook or Twitter. Participant understands that by entering, participant is providing information to Sponsor, and not Instagram, Facebook or Twitter. Any questions, comments, or complaints regarding the Contest should be directed to the Sponsor. Participation in the Contest is subject to the following official Term and Conditions (the Rules ): CONTEST DATES The Contest begins on May 8 th, 2017 and ends on October 30 th, 2017 (the Submission Period ). No entries will be eligible to be considered for the Contest before or after the Submission Period has started or ended respectively. All posts published before or after the Submission Period are automatically disqualified. Incomplete, illegal, misdirected or late publications, or publications not in accordance with these Rules will not be accepted. The Sponsor takes no responsibility for incomplete or lost publications due to technical reasons or otherwise. ELIGIBILITY: No purchase or other consideration is necessary to enter or win. To enter, the participant must be of legal drinking age in his/her country of residence (and at least 18 years old) at the time of the publication and have a legitimate and active EL CIRCO CONTEST RULES Página 1

2 Instagram, Twitter or Facebook Profile. Void where restricted or prohibited by law. The Contest is only valid in countries where the following are legal: the Contest itself, the prizes and alcoholic beverage sales, its promotion, advertising and sponsorship. Questions about eligibility will be determined by documentary evidence (either a valid driver s license, state ID card, or passport). No more than ten entries per participant per Facebook, Twitter and/or Instagram will be accepted regardless of method, combination of methods of entry, or number of entries submitted. No employee or immediate family member of Sponsor is eligible to enter the Contest. All applicable federal, state, and local rules apply. Participants are required to provide truthful information to Sponsor and Sponsor may use discretion to disqualify and/or remove participants if it is believed a participant is acting fraudulently. Sponsor is not responsible for lost, late, incomplete, invalid, unintelligible, or misdirected registrations, which will be disqualified. LIMIT TEN (10) ENTRIES PER PARTICIPANT PER FACEBOOK, INSTAGRAM AND/OR TWITTER DURING THE SUBMISSION PERIOD. OTHER RESTRICTIONS MAY APPLY. HOW TO ENTER During the Submission Period, participants may enter the Contest for a chance to win by following the next steps: - Download on their dispositive the free GRANDES VINOS App, available exclusively on Google Play Store and ios app store. The participant is responsible to ensure his/her dispositive is capable for such download and check the device manual for specific use instructions. - Point with their dispositive at any label of 2017 EL CIRCO brand catalogue from the Augmented Reality AR menu of the App to enjoy the AR experience. For any doubts please confirm labels on marketing@grandesvinos.com. - Take a picture of the Augmented Reality AR experience, available on the menu by touching the screen of the dispositive and clicking on the Camera button. Only 2017 EL CIRCO brand catalogue labels will show the AR experience. - Share the picture through their Instagram, Twitter and/or Facebook accounts in public mode using the hashtag #elcircoar in the post. The correct hashtag is required for entry. The most original post wins, therefore creativity of the AR picture and/or text is valued. The picture of the AR must be taken from the GRANDES VINOS App while the AR experience is running and must show a part of the experience. Entries will not be accepted if deemed inappropriate or offensive, either by the text included with the hashtag or the images contained in the picture of the AR. This includes, but not limited to: Images of nudity; Images of people under the legal drinking age images with people included should be and look over 25 years of age ; Images of irresponsible alcohol consumption; Images of violence; Images containing guns; Images with explicit sexual imagery; Images with offensive or defamatory statements. Images must not infringe the intellectual property, privacy or publicity rights or any other legal or moral rights of any third party, or violate applicable laws, rules regulations, or network standards. 3 All publications are subject to approval by Sponsor. Internet access will be required to download the free GRANDES VINOS App and experience the EL CIRCO Augmented Reality AR to capture a picture of it. By entering via one (1) or more of the Social Media Platforms, a participant must be a registered user of Twitter, Facebook or Instagram. If a participant is not a registered user of the Social Media Platform chosen by the participant as the method of entry, the participant must visit the Social Media Platform s website to register. Registration for and use of any a Social Media Platform is subject to its terms and conditions and Sponsor has no responsibility with respect to such registration or use. Participant acknowledges that this Contest is in no way sponsored, endorsed, administered by, or associated with Twitter, Facebook or Instagram. If a participant chooses to enter using participant s mobile device, standard mobile and/or data fees may apply. Participants should consult their wireless service provider s for details. By entering via mobile device such Participant agrees to incur any and all charges demanded by participant s wireless service provider and may be subject to the terms and conditions of the participant s respective wireless service provider. PRIZE There will be one (1) Contest winner selected who will receive the following (the Prize ): One trip for the winner plus one (1) guest he or she decides, also of legal drinking age in his/her country of residence (and at least 18 years old), to Spain. The winner and guest will be required to provide proof of age and identity and any documentation as reasonably required by the Sponsor in order to validate their eligibility to claim the Prize. The Prize includes: - return standard economy flight tickets from the winner s country to Madrid or Barcelona Airport. Unless approval from the Sponsor, arrival and departure to and from Spain will be the same airport (Madrid or Barcelona) which will be selected by Sponsor. - 6 nights accommodation (twin or double room as requested) in four star hotels including breakfast: two in Madrid, two in Zaragoza and two in Barcelona. - return standard economy train tickets to move from and to Madrid/Barcelona/ Zaragoza. - one of the days in Zaragoza, tour to GRANDES VINOS winery in Cariñena, including transport from and back to Zaragoza and lunch at the winery. - Prize does not include alcoholic beverages. All other taxes, fees, and surcharges on the Prize and all other expenses not specified in these Rules are solely the responsibility of the Prize winner and guest, including but not limited to, transportation from and to the airport, other ground transportation, all meals and beverages, gratuities, entertainment, souvenirs, excess baggage fees, and local and long distance telephone calls. 4 The Prize winner and guest may wish to obtain travel insurance (or other forms of insurance) at their own expense and hereby acknowledge that the Sponsor has not and will not obtain or provide travel insurance or any other form of insurance. Flight dates will be agreed with the winner on their availability. Trip must occur no later than 28 th February 2018 and Prize winner must confirm dates at least three weeks prior to start of the Trip. In the event the winner is unable to travel on that time frame, the Prize may be forfeited and an alternate winner selected. No compensation is available for the winner who is unable to travel within that time frame or is unable to accept the Prize. In the event the winner has no guest accompany him/her on the trip, winner will not receive any compensation for such substitution. The Prize is non-transferable, non-refundable and cannot be exchanged for any cash alternatives in whole or in part. The Sponsor reserves the right to provide an alternative Prize or reward (as applicable) of equal or greater value in the event of unforeseen circumstances. Airline, Train Company and flight and train itineraries and hotel bookings will be made via the Sponsor s marketing department in its sole discretion. Once a booking has been confirmed no changes are permitted. If a booking is cancelled no alternative tickets will be issued. All travel is subject to the airline s and train company s standard terms and conditions. Once booked, flights or train travel cannot be altered or amended and no refunds are possible. Prize flights cannot be used in conjunction with any airline loyalty programme, any other discount, discount coupon(s) or voucher(s), promotion(s) or special offer. Once flight or train tickets have been issued, the Sponsor, shall not be liable for any failure to comply with its obligations caused by (but not limited to) weather conditions, fire, flood, strike, hurricane, industrial dispute, war, terrorist activity, hostilities, political unrest, riots, civil commotion, or any other circumstances beyond the control of the Sponsor or travel companies. No refund or compensation will be made in the event of the cancellation or delay of the flight or train travel. Seat selection and timing of trip subject to availability and confirmation of reservations and any change incurred while booking travel are winner and guest s sole responsibility. No refunds or credit for changes are allowed. Travel restrictions, conditions and limitations may apply. Sponsor will not replace any lost, mutilated, or stolen tickets. The Prize winner and guest will be required to travel together, on the same itinerary. It is the sole responsibility of the winner and guest to obtain all necessary travel documentation including passports and visas, all health or other Government requirements and to comply with any customs and immigration requirements, as applicable. The Prize Winner and guest are responsible for paying all taxes, fees and surcharges associated with travel at the time of booking. The winner and guest must ensure they have all relevant documentation to enter Spain legally. The Sponsor will not be liable for failure to enter. EL CIRCO CONTEST RULES Página 4

5 The winner will be required to provide his/her Social Security number and appropriate tax documentation for tax reporting purposes. The winner shall pay any taxes due on the prize if they exist. WINNER SELECTION AND ODDS OF WINNING Eligible entries will be judged by a qualified panel of judges, selected by Sponsor within its Managing Directors, in its sole discretion, whose decisions are final and binding in all matters relating to the Contest. Entries will be judged on the originality criteria (the Judging Criteria ) at the conclusion of the Submission Period. In the event a potential winner s entry is disqualified, the participant who submitted the next highest rated entry will be the potential Prize winner, and must comply with the requirements in these Rules. The odds of winning are based on the Judging Criteria as applied to the pool of all eligible entries. Sponsor s decisions as to the administration and operation of the Contest and the judges selection of a potential winner are final and binding in all matters related to the Contest. WINNER NOTIFICATION The Prize winner will be notified within one week after the Submission Period has ended via the Social Media Platform entered on by the potential winner. He/she will receive a direct message via his/her Instagram, Twitter or Facebook. The Sponsor shall have no liability for winner s failure to receive notices due to spam, junk or other security settings or for winner s provision of incorrect or otherwise non-functioning contact information. If winner cannot be contacted, is ineligible, fails to claim the Prize within seven days from the time notification was made, or fails to timely reply or respond to notification, the Prize may be forfeited and an alternate winner selected from remaining eligible Contest entries using the judging criteria. In the event of a dispute as to the identity of a participant, the authorized account holder of the Social Media Platform will be deemed to be the participant. Sponsor may request any potential Prize winner to provide proof that such person is the winner. Sponsor reserves the right to disqualify any participant or Contest winner and may refuse to award any Prize to a person who is ineligible or has violated any rule, gained unfair advantage in participating in the Contest, or obtained winner status using fraudulent means. Entering from multiple accounts on any Social Media Platform violates these Rules and the participant will be disqualified. Winning is contingent upon compliance with all terms and conditions of these Rules and fulfilling all requirements stated in these Rules. In the event a potential Contest winner is disqualified for any reason, Sponsor may award the corresponding Prize at Sponsor s discretion to an alternate winner from remaining eligible Contest entries using the judging criteria. Any alternate potential Contest winner is subject to all requirements set forth in these Rules. PARTICIPATION CONDITIONS By participating, each participant agrees: (a) to these Rules and the decisions of Sponsor, which are final in all respects as related to the Contest; (b) the participant is of legal drinking age in his/her country of residence (and at least 18 years old); (c) the participant has not engaged in any fraudulent activity in participating in the Contest; (d) EL CIRCO CONTEST RULES Página 5

6 the Prize winner will be responsible for any taxes assessed on their winnings by any federal, state, local, or governmental agency; and (e) to execute and/or submit any necessary and applicable documentation in connection with the Prize. Prize winner may be required to sign and return an Eligibility, Liability and Publicity Release ( Release ) (except where prohibited). If a potential winner cannot be contacted, fails to sign and timely return a required Release, declines the Prize, or notification of the Prize is returned as undeliverable, such potential winner forfeits the Prize. PARTICIPANT ACKNOWLEDGES AND EXPRESSLY AGREES THAT THESE RULES ARE SUBJECT TO CHANGE AND MODIFICATION BY SPONSOR AT ANY TIME. All entries must be the original creations of each respective participant, and by submitting an entry, each participant grants to Sponsor, the non-exclusive, royalty-free, perpetual, irrevocable, and fully sub-licensable right to use, reproduce, modify, adapt, publish, translate, create derivative works from, distribute, and display the entry throughout the universe in any media, to the extent permitted by applicable law and to the extent that such rights may be granted by the participant. By submitting an entry, the participant submitting the entry represents and warrants that, (a) his/her entry is his/her original creation; (b) his/her entry has not been copied or derived in whole or in part from any other work (except as provided for by the Rules); (c) his/her entry (including all images and people depicted in the entry) does not violate or infringe any copyright, trademark, privacy or publicity right, or other personal, proprietary, or intellectual property right of any person or entity (except as provided herein); (d) his/her entry is not defamatory, libelous, obscene, or otherwise illegal; (e) his/her entry is the sole and exclusive property of the entrant; and (f) he/she has complete, worldwide distribution rights for his/her entry. BY SUBMITTING AN ENTRY, SUCH PARTICIPANT EXPRESSLY CONSENTS, BY VIRTUE OF SUBMITTING HIS/HER ENTRY TO THE CONTEST, TO SPONSOR S USE OF THE PARTICIPANT S NAME, LIKENESS, PHOTOGRAPH OR IMAGE, WHETHER IN WRITING, AUDIO, AND/OR VIDEO, FOR ANY PURPOSE, IN ANY MEDIA, WITHOUT COMPENSATION OR ADDITIONAL CONSIDERATION TO PARTICIPANT. FAILURE TO OBTAIN OR PROVIDE SUCH CONSENT WILL DISQUALIFY THE ENTRY. SPONSOR MAY AT ANY TIME DURING THE CONTEST REQUEST PROOF OF SUCH CONSENT AND DISQUALIFY ANY ENTRY FOR WHICH SUCH CONSENT CANNOT BE PROVIDED. Sponsor may disqualify any entrant whose entry Sponsor determines, in its sole discretion, at any time does not comply with any requirement described in these Rules or the foregoing representations and warranties. INDEMNITY AND RELEASE PARTICIPATION IN THE CONTEST AND/OR ACCEPTANCE OF THE PRIZE CONSTITUTES PARTICIPANT S AND/OR WINNER S AGREEMENT TO RELEASE, DISCHARGE, AND HOLD HARMLESS SPONSOR, AND ITS RESPECTIVE OFFICERS, DIRECTORS, MEMBERS, MANGERS, AGENTS, AFFILIATED ENTITIES, AND EMPLOYEES (COLLECTIVELY THE SPONSOR RELEASED PARTIES ], AS WELL AS THE SOCIAL MEDIA PLATFORMS, FROM AND AGAINST ANY AND ALL CLAIMS, OR LIABILITY ARISING DIRECTLY OR INDIRECTLY FROM THE PRIZE AND PARTICIPATION IN THE CONTEST, INCLUDING, PERSONAL INJURY, DEATH, OR DAMAGE TO OR LOSS OF PROPERTY, WHICH MAY OCCUR IN CONNECTION WITH THE PARTICIPATION IN THE CONTEST, ACCEPTANCE AND/OR USE OR MISUSE OF THE PRIZE. SPONSOR IS NOT LIABLE FOR ANY ENTRIES THAT ARE EITHER MISDIRECTED OR INCOMPLETE, IS NOT LIABLE FOR ANY LOSSES DUE TO ELECTRONIC OR COMPUTER MALFUNCTION, AND IS NOT RESPONSIBLE FOR ANY INJURIES OR EL CIRCO CONTEST RULES Página 6

PUBLICITY EXCEPT WHERE PROHIBITED BY LAW, PARTICIPATION IN THE CONTEST CONSTITUTES PARTICIPANT S CONSENT TO SPONSOR S AND SPONSOR RELEASED PARTIES USE OF WINNER S NAME, CREATIVE WORD, LIKENESS, PHOTOGRAPH, VOICE, OPINIONS AND/OR HOMETOWN AND STATE FOR PROMOTIONAL PURPOSES IN ANY MEDIA, THROUGHOUT THE UNIVERSE, WITHOUT FURTHER PAYMENT OR CONSIDERATION TO THE PARTICIPANT. ERRORS AND UNAUTHORIZED ACTIVITY Internet entry must be made by the participant only through one of the following methods: participant s eligible Twitter, Instagram and/or Facebook account. Sponsor is not responsible: (1) for any incorrect or inaccurate information, whether caused by participants, printing errors or by any of the equipment or programming associated with or utilized in the Contest; (2) for technical and/or communications malfunctions, errors or failures of any kind; (3) for unauthorized human intervention in any part of the Contest; and/or (4) for technical or human error which may occur in the administration of the Contest or the processing of entries. Sponsor reserves the right to cancel, modify, or suspend the Contest or any portion thereof should virus, bugs, or other causes beyond the Sponsor s control corrupt the administration or security of the Contest. Any Prize winner who enters by any means other than the method described in these Rules will be disqualified and an alternate Prize winner will be selected. Sponsor reserves the right in its sole discretion to disqualify any entry at any time if Sponsor determines that the participant has not complied with these Rules. DISPUTES Except where prohibited by law, by entering the Contest each participant agrees that: (1) any and all disputes, claims, and causes of action (collectively Claims ) arising out of the Contest or any Prize(s) will be resolved individually, without resort to any form of class action; (2) any Claims will be resolved exclusively by the courts located in Zaragoza, Spain; (3) any and all judgments and awards related to the Claims will be limited to actual out-of-pocket costs incurred and in no event will such costs include attorneys fees; and (4) no punitive, incidental, special, consequential, or other damages (including lost profits) (collectively Special Damages ) will be awarded. Sponsor s failure to enforce any term of these Rules shall not constitute a waiver of that provision. EACH PARTICIPANT WAIVES ALL RIGHTS TO CLAIM SPECIAL DAMAGES AND ALL RIGHTS TO HAVE SUCH DAMAGES MULTIPLIED OR INCREASED. ALL CLAIMS, ISSUES, AND QUESTIONS RELATED TO THE CONSTRUCTION, VALIDITY, INTERPRETATION, AND ENFORCEABILITY OF THESE RULES, OR THE RIGHT AND OBLIGATIONS OF PARTICIPANT AND SPONSOR IN CONNECTION WITH THIS CONTEST, WILL BE GOVERNED BY THE LAWS OF ZARAGOZA, SPAIN, WITHOUT REGARDS TO CONFLICT OF LAWS. 8 DATA PRIVACY Personal information collected from participants during the Contest is subject to Sponsor s privacy policy available at and except as otherwise provide in these Rules, is treated in accordance with the terms of that policy. Participant s election to post and provide information to one of the Social Media Platforms or any other social media platform not defined in these Rules is at participant s own risk and information provided to those third parties by participant is subject to the privacy policies of such third parties. This Contest is in no way sponsored, endorsed or administered by, or associated with Twitter, Instagram, Facebook or any other social media platform. The information provided by a participant will only be used to verify the participant s eligibility for the Contest and to contact the Contest winners. Sponsor has no liability with respect to participant s sharing of information with any third parties as described above.
