1 SCOPE OF WORK AND DELIVERABLES Construction Oversight for US 52 & CSAH 9 Interchange Design-Build Project in Goodhue County State Project (SP) PROJECT OVERVIEW The State of Minnesota has identified the need for a new interchange on US Highway 52 at the intersection of County State-Aid Highway (CSAH) 9. This project is located in Goodhue County (Leon Township), Minnesota, between the cities of Zumbrota and Cannon Falls. The project limits extend a total of 3.25 miles from approximately 0.10 miles north of CSAH 1 to 1.1 miles south of CSAH 9 in Goodhue County. The project scope also includes safety improvements such as turn lane extensions and center median removals within the project limits. The project generally consists of grading, surfacing, bridge, drainage/stormwater management, lighting and signing. The project will be completed as a design-build project. Additional information regarding this design-build project can be found on the following websites: This Contract No will cover all tasks necessary for construction oversight/construction engineering inspection services for construction of the interchange and other safety improvements. This construction oversight project will consist of contract administration, materials testing, construction inspection, and construction quality verification services. The Contractor must be experienced in the design-build of a major construction project or similar roadway and bridge construction. Project Goal It is the goal of this contract that State will receive oversight and assistance in the administration of all procedures associated with the construction of the Design-Build Project. Project Schedule State has awarded a Design-Build contract for services to design and construct the Project. The Contractor assisting State in administering the Project must be prepared to fully staff the project no later than March 15, The Contractor providing service under this contract must have sufficient staff as determined by the State s Design-Build Project Manager assigned to this project for the duration of the Design-Build contract. General Scope of Work The Contractor will utilize efficient and cost effective control procedures that will assure that construction of the project is performed in reasonable conformity with the plans, specifications and contract provisions for the project. The Contractor will provide satisfactory technical and administrative personnel in a timely manner to ensure that the requirements set forth in this Scope of Work are met effectively. All services will be performed in accordance with the established standard procedures and practices of State. Prior to furnishing any services, the Contractor will become familiar with the State s standard procedures and practices regarding those services. The Contractor will maintain close coordination with State and the Design-Build Contractor in order to minimize rescheduling of the Contractor s activities due to construction delays or changes in scheduling of the Design-Build Contractor s activities. 1.0 PROJECT MANAGEMENT (Activity Code 1010) Project management will include work necessary for communication and completion of the project tasks on time and within budget. The Contractor s Project Manager or their primary duties will not be reassigned without the written consent of the State s Project Manager. The Contractor s staff will have the training and expertise necessary for the work tasks to which they are assigned. 2 1.1 Project Management & Administration Monthly Budget & Billing (Invoice and Status Report): Invoices will be accompanied by a cover letter; progress report form; supporting data for direct expenses; and an updated project status report reflecting State Project and Program Management System (PPMS) activities identified by the State s Project Manager Weekly Update to the State s Project Manager: On a weekly basis the Contractor s Project Manager will update the State s Project Manager with regards to the status of the project schedule, budget and general status/progress. 1.2 Kick-off Meeting The Kick-off meeting will establish communications protocol and discuss the project schedule. The Contractor will receive available existing information from the State. The State will provide details as to the expectations of the design build oversight team members. 1.3 Deliverables State s Deliverables: 1. Design materials for review. 2. Coordination of Design Reviews. 3. Provide copies of project correspondences and project information. 4. Attend meetings. 5. Approve deliverables. 6. Monitor quality control. Contractor s Deliverables: 1. Attend meetings. 2. Provide weekly updates to the State s Project Manager. 3. Prepare and submit monthly progress and status reports. 4. Provide timely copies of critical correspondences and project issue data. 2.0 MATERIALS INSPECTION TESTING (Activity Code 1732) 2.1 Materials Inspection Testing The Contractor will perform materials sampling and quality testing of all component materials used on the project. Field tests will include concrete, plant inspection, bituminous, grading and base materials, and pile driving. This task is in addition to performing the tasks identified under Other Requirements below in the Scope of Work section. 3.0 CONSTRUCTION CONTRACT ADMINISTRATION (Activity Code 1742) 3.1 Highway System Construction Administration The Contractor will perform Construction Contract Administration to assure the proper coordination and management of the construction, materials sampling & testing, roadway and bridge inspections and contract administration. All activities will be coordinated with all parties involved in accomplishing completion. This task is in addition to performing the tasks identified under Other Requirements below in the Scope of Work section. 4.0 GRADE, PAVE AND SEWER INSPECTION (Activity Code 1800) 4.1 Grade, Pave and Sewer Inspection Scope of Work and Deliverables: Construction Oversight for US 52 & CSAH 9 Interchange Design-Build Project in Goodhue County 2 of 14

3 The Contractor will provide inspection work to assure that grading and base, bituminous and concrete work are in compliance with the Contract documents, construction Plan, Contract Special Provisions, Mn/DOT Standard Specifications for Construction and any other applicable laws. This task is in addition to performing the tasks identified under Other Requirements below in the Scope of Work section STRUCTURES BRIDGES/WALL INSPECTION (Activity Code 1801) 5.1 Structures, Bridges/Wall Inspection The Contractor will provide inspection work to assure that the bridge construction work performed is in compliance with the Contract, construction Plan, Contract Special Provisions, Mn/DOT Standard Specifications for Construction and any other applicable guidelines. This task is in addition to performing the tasks identified under Other Requirements below in the Scope of Work section. 6.0 OTHER REQUIREMENTS (Activity Code 1742) 6.1 Contractor Staffing Requirements The Contractor will provide a satisfactory number of qualified personnel as necessary to effectively carry out its responsibilities as described in this Scope of Work. There is potential for staffing requirements 16 hours a day, 6 days a week. The Contractor will provide the necessary staff during these hours. The personnel assigned will need to make independent decisions when State staff is not present. Staffing level required of the Contractor will depend on the availability of State Personnel. The State s Design-Build Project Manager reserves the right to increase of decrease the consultant staffing at any time for the duration of this contract. The tasks outlined in the Scope of Work will be performed under tight time constraints. The Contractor will provide a satisfactory number of qualified personnel as necessary to effectively carry out its responsibilities as described in this Contract. It is estimated that five (5) people will be necessary during peak activity to carry out the various tasks described in this Scope of Work. This number includes approximately two (2) Construction Oversight, and three (3) Verification Inspection and Testing staff, during the Project. It is anticipated that the number of personnel in each discipline will change as the project progresses. These numbers are to be used as a guideline only. It will be the responsibility of the Contractor to staff the project as required and as directed by the State Design-Build Project Manager. Personnel Qualifications: The Contractor will utilize only personnel who are qualified by experience and education. The Contractor will submit the names of all personnel to be considered for assignment to the project, together with detailed resumes with respect to salary, education, experience and qualification of each individual. Minimum qualifications for the Contractor personnel are set forth in this Contract. State may require that these minimum qualifications be altered in instances when the unique nature of the work requires specific specialized skills. Contractor will provide personnel with major roadway and bridge inspection experience. Team will include head inspectors, interim inspectors and material testers for roadway and bridge engineers. Personnel will be certified in National Pollutant Discharge Elimination System (NPDES) when applicable. 4 Staffing: The Contractor will adequately staff the job in advance of the beginning of work to be properly prepared to satisfy its responsibilities, and will maintain an appropriate staff after completion of construction to complete the Final Estimate. Responsible personnel, thoroughly familiar with all aspects of design, construction and final measurements of the various pay items, must be available to resolve disputed final pay quantities until the appropriate contract has been paid off. No personnel will be assigned to this project by the Contractor until the qualifications of each person proposed have been reviewed and approved in writing by the State Design-Build Project Manager. The Contractor s personnel approval request will be submitted at least two weeks prior to the date an individual is scheduled to report to work. An individual previously approved by the State s Design-Build Project Manager whose performance is later determined by State to be unsatisfactory will be replaced by the Contractor. Personnel identified in the Contractor s technical proposal will be assigned to the Project as proposed by the Contractor and are considered by State to be committed to performing services for the Project. Any changes will require written approval from the State Design-Build Project Manager. When the Design-Build Contractor s operations on the Project diminish, the Contractor will reduce the number of its personnel assigned to the Project as appropriate. Any adjustment of Contractor forces as recommended by the Design-Build Project Manager will be accomplished within one week after notification. The State s Design-Build Project Manager will provide said notification to the Oversight Contractor in writing, and the Oversight Contractor will provide confirmation of notification in writing. Licensing for Equipment Operation: The Contractor will be responsible for obtaining proper licenses for equipment and personnel operating equipment, when licenses are required. State Field/Traffic Control Manual Training: All Contractor field staff will attend State Field Manual Training prior to the start date for the Project. The Contractor will staff as required to prevent delays to the overall project. 6.2 Quality Verification Inspection and Testing Personnel Required Training and Experience Before the Project begins, all Contractor staff must have a working knowledge of the current Contract Administration Manual and State s current Construction Specifications book, and must possess all the knowledge, skills and abilities required in obtaining the necessary certifications for performing the duties of the position they hold. The Contractor will ensure that State s current practices, policies and procedures are met throughout the course of the project. Cross training of the Contractor s staff is highly recommended to ensure a knowledgeable and versatile project team. The following training and experience standards are expected, as a minimum, for all Contractor personnel under each category. Office Manager and Field Engineer (1 Staff) A Civil Engineering degree plus registration by the Minnesota Board of Minnesota Board of Architecture, Engineering, Land Surveying, Landscape Architecture, Geoscience and Interior Design (AELSLAGID) as a Professional Engineer, five years of experience in construction and design management having performed duties including processing of Change Orders (Supplemental Agreements, Minor Extra Work Orders and Change Orders), final estimates, weekly and monthly reports, Equal Employment Opportunity (EEO) compliance, etc. Must be familiar with the State Contract Administration Manual and with the current State specifications. Experienced in the use of standard word processing software. Should exercise independent initiative. Assists the Department staff in all change management and office related duties. Works under the general supervision of the State s Design-Build Project Manager and staff. Performs reviews for wage compliance requirements. 5 maintenance of all project files necessary to document and to assure that the project is completed in accordance with contract specifications. This staff must also have five years of experience in construction at the field level with contract administration, and be able to lead inspection team members. Bituminous and Concrete Plant Inspector (1) Activity Codes 1733 and 1735, Respectively) Experience in bituminous and concrete plant inspection, with a minimum of two years experience. Responsible for coordinating and managing plant inspections for this project. Able to make sound and rational decisions, has good communication skills and expert technical knowledge. 6 6.4 Items to Be Obtained by the Contractor from State and/or the Design-Build Contractor Office Space: The Design-Build Contractor, Contractor, and State staff will not be housed in a common facility. The Contractor will be provided with field office housing by the Design-Builder at the project site. Documents, Publications and Reference Materials: The most current printed documents and publications listed below must be obtained by the Contractor prior to beginning work. Compliance with these guides, manuals, procedures, and directives will be a requirement of this Project. The Contractor will review this list and obtain all applicable documents from the appropriate office. 7 Office Equipment: The Contractor will provide its own general office supplies, reference materials and other miscellaneous materials. The Contractor will also be required to provide its own computers, including, but not limited to: hardware, software, data backup systems, and other materials necessary to maintain an effective office. Some of the more specific needs are described in the following sections. 6.6 Scope of Work The Contractor will be fully responsible for carrying out all functions as described in this Scope of Work. All activities and decisions of the Contractor relating to the project will be subject to review by the State Design-Build Project Manager. The Contractor will provide coordination of all activities, correspondence, reports and other communications related to its responsibilities for this Project. Construction Inspection and Materials Testing forces will be required of the Contractor at all times while the Design-Build Contractor is working on the project. If the Design-Build Contract is suspended for any reason, the Contractor s forces will be adjusted to correspond with the type of cessation, either complete or partial suspension. Cooperation and Performance of the Contractor: During the life of the Project, the State s Design- Build Project Manager will conduct reviews of the various phases of the Contractor s operations, such as construction inspection, materials sampling and testing and administrative activities. Reviews will be conducted in accordance with established State policy on work phases to determine compliance and the sufficiency with which procedures are being effectively applied to assure that the design reviews, construction work and administrative activities are being performed in substantial conformity with State policies, plans, specifications, and contract provisions. The Contractor will cooperate and assist the State Design-Build Project Manager, or his representative(s), in the conduct of the reviews. When deficiencies are indicated in a review, remedial action will be immediately implemented by the Contractor in conformance with the State Design-Build Project Manager s recommendations. The State Design-Build Project Manager s remedial recommendations and the Contractor s actions will be properly documented by the State Design-Build Project Manager. In general, remedial action will be required commensurate with the degree and nature of the deficiencies cited. Additional compensation will not be allowed for remedial action taken to correct deficiencies by the Contractor. Remedial actions may include any or all of, but are not necessarily limited to, the following actions: Further subdivide assigned construction verification responsibilities, reassign construction verification personnel or assign additional personnel. The Contractor will comply with this action within 24 hours of notification by the State Design-Build Project Manager. Replace personnel whose performance has been determined by the Design-Build Project Manager to be inadequate. When directed by the State Design-Build Project Manager, any person whose performance has been determined to be unsatisfactory will be immediately removed. Increase the frequency of the material control testing immediately during the appropriate phases of work. The general list of the responsibilities and requirements for the Contractor are outlined below. Quality Verification Inspection and Testing It will be the responsibility of the Contractor to provide services as necessary to administer the Design-Build Contract to assure the Project is constructed in substantial conformity with the Design- Build request for proposal and contract provisions. 8 The Contractor will advise the State s Design-Build Project Manager in writing of any omissions, substitutions, defects and deficiencies noted in the work of the Design-Build Contractor and the corrective action taken. Verification Testing and Inspection The Contractor will perform technical duties in verification testing and inspection to assure compliance with the Design-Build request for proposal, State Contract Administration Manual, Specification Book, Special Provisions, construction plans, policies and procedures, standards, Occupational Safety and Health Administration (OSHA) Regulations, and Federal Highway Administration (FHWA) guidelines, as well as any other applicable laws. The Contractor will provide on-site construction verification testing and inspection on a full time basis during all critical construction activities. The Contractor will provide full time quality control/quality assurance (QC/QA) testing and inspection service by ensuring that all construction is in accordance with approved plans, specifications, special provisions, and that compliance with State construction standards and policies is maintained. Quality Audits The Contractor will assist State in performing systematic and independent examinations to determine whether the Design-Build Contractor s quality activities and related results comply with planned arrangements including the Design-Build request for proposal, are implemented effectively, and are suitable to achieve the project objectives. Contract Administration The Contractor will perform all Contract Administration services necessary to assure that proper coordination of the activities of all parties involved in accomplishing completion of the project; to maintain complete, accurate records of all activities and events relating to the projects; to properly document all significant changes to the projects; to provide interpretations of the plans, specifications and contract provisions; to make recommendations to State to resolve disputes which arise in relation to the construction contracts; and to maintain an adequate level of surveillance of the Design-Build Contractor s activities. The Contractor will also perform any other Contract Administration services that are required to fulfill its responsibilities under this Agreement. All record keeping and documentation will be in accordance with standard State procedures, formats and content. Services to be performed by the Contractor under Quality Audit and Verification Testing are as follows: 1. Attend any conferences or meeting necessary for close coordination during day-to-day progress of the work or as required to carry out the Project. Meetings will include a pre-construction and close out meeting. 2. Become familiar with the standard construction practices of State, the construction plans and the contracts for the Project, and the Design-Build Contractor s proposed schedule of operations prior to beginning field services under the Project. 3. Assign a sufficient number of technically qualified and experienced personnel to the Project to perform the services as described in this Scope of Work in a timely manner to avoid delay to the Design-Build Contractor. 4. Notify the State s Design-Build Project Manager immediately of any unanticipated project conditions. 5. Withdraw any personnel or halt any services no longer required, at the request of State, or within a reasonable time after the lack of need becomes apparent to the Contractor. 9 6. Perform Contractor field operations in accordance with OSHA regulations and accepted safety practices. 7. Provide for Contractor personnel transportation, supplies, materials and incidentals as needed to accomplish the services described in this Scope of Work. 8. Provide on-site construction verification testing and inspection on a full time basis during all pertinent construction activities. The Contractor staff will be required to co-house with State staff and the Design- Build Contractor s staff. 9. Make certain that test report records or certificates of compliance have been received, prior to the incorporation of materials in the work, for materials tested off the Project site. 10. Prepare and submit such periodic, intermediate and final data and records as may be required by State and as are applicable to the Project. 11. Collect, properly label or identify, and deliver to State all original diaries, logs, notebooks, accounts, records, reports, and other documents prepared by the Contractor in the performance of the work described in this Scope of Work, upon completion or termination of the Project. Keep daily diaries, logs, and records consistent with State practices as are needed for a record of the Design-Build Contractor s construction progress. 12. Review and monitoring of the Design-Build Contractor s schedule for construction. 13. Prepare all appropriate Contract Time Documents (Weekly Construction Diaries & Status Reports) in accordance with the Specifications, Special Provisions of the Contract Administration Manual, and submit to State for review. 14. Perform daily reviews of detour signing and maintenance. Take any corrective action necessary. 15. Complete daily inspection reports, material certification and Project correspondence. Collect documentation, in accordance with the Contract Administration Manual, for work quantities completed. Measure and compute quantities of all materials incorporated in the work and items of work completed, and record date into a database. 16. Document changes in plans and specifications for as-built plan preparation. 17. Prepare Partial Estimate pay vouchers using a database and provide to State for approval. Partial pay vouchers will be generated at regular intervals not to exceed once a month. 18. Prepare final documentation of construction pay items, quantities, materials and other requirements as per the plans, specifications, special provisions and the Contract Administration Manual. 19. Review the Design-Build Contractor s submittals of records and reports including: weekly payroll; statement of wage compliance; requests for payment of materials on hand; or other reports and records as required for the Project by State. 20. Final Inspection Conduct final inspection and recommend Project acceptance. 21. Final Payment Voucher Generate a draft final voucher and submit to State for review and approval. State will produce the Final Payment Voucher and Certificate of Final Acceptance. Prepare final project documentation in accordance with the State Construction Manual. 10 23. Review the Design-Build Contractor s as-built plans. 24. The Contractor will perform sampling and testing of all component materials used on the project and will also obtain samples for submittal to State s District Laboratory. Field-testing may include, but is not limited to, concrete (slump tests, cylinders, etc.), bituminous (asphalt cement samples, temperatures, quantity weigh tickets, gradations, etc.), grading and base materials (gradations, moisture, density, etc.), pile driving (driving depth, etc.) in accordance with the current Design-Build Schedule of Materials Control. The Contractor will sample and test as appropriate, materials to be incorporated in the work, and will reject the Design-Build Contractor s work and materials not meeting the designated criteria. 25. Materials testing will be done in accordance with the current State s Schedule of Materials Control and the State s Standard Specifications or as modified by the Design-Build Contract Special Provisions. Where the Schedule of Materials Control specifies laboratory/agency testing, those tests will be performed at the District Materials Laboratory. The Contractor will be responsible for delivering the samples to the District Materials Laboratory. 26. The Contractor will keep daily diaries, logs and records consistent with State policy as are needed for a record of the Design-Build Contractor s progress. Necessary concrete, bituminous and grading and base reports will be prepared by the Contractor and submitted to responsible parties as required during the same week that the construction work is done or as otherwise directed by the State Design-Build Project Manager. 27. All testing equipment used by the Contractor will be calibrated at least once per year, or at the specified intervals, in accordance with State s Laboratory, Bituminous, Concrete and Grading and Base Manuals. 28. No provisional certifications will be allowed for these testing procedures. 29. The Contractor will contact the District Independent Assurance Inspector and request an Independent Assurance review for the project. This review may be necessary for all testers and observers; at least one documented check of each tester and observer is required each year. The individual tester or observer may be required to perform the test(s) in either the field or the District Materials Laboratory. The tester is defined as the individual who actually runs the test. The observer is defined as the inspector who watches the Design-Build Contractor run the test. 30. Schedule and conduct a utility pre-construction conference and a Project pre-construction conference. Record significant information revealed and decisions made at these conferences and distribute copies of these minutes to the appropriate parties. 31. Maintain on a daily basis a complete and accurate record of all activities and events relating to the Project and a record of all work completed by the Design-Build Contractor, including quantities of pay items in conformity with Final Estimates preparation procedures, and specifications. The Contractor will immediately report apparent significant changes in quantity, time or cost (as they are noted) to the State Design-Build Project Manager. 32. Maintain a log of all materials entering into the work with proper indication of the basis of acceptance of each shipment of material. 33. 11 to ascertain acceptability of materials and completed work items. The field reports for records of work and testing results will be submitted within one week. 34. At least once each month, prepare a comprehensive tabulation of the quantity of each major item of work (corresponding to the Project Work Breakdown Structure) satisfactorily (according to appropriate specifications) completed to date. Quantities will be based on daily records or calculations. Calculations will be retained. The tabulation will be used for preparation of the Monthly Pay Voucher. The Monthly Pay Voucher will be generated by the Contractor. 35. Provide to the Design-Build Contractor interpretations of the plans, specifications and contract provisions. The Contractor will consult with the Design-Build Project Manager when an interpretation involves complex issues or may have an impact on the cost of performing the work. When warranted, the State s Design-Build Project Manager may request an interpretation from the Contractor. 36. Evaluate Value Engineering Proposals, in cooperation with the State Design-Build Project Manager, and provide conclusions as to whether or not proposed changes are structurally equal to the planned construction as well as the validity of estimated savings to State and the Design- Build Contractor. 37. Analyze changes to the plans, specifications or contract provisions and extra work, which appear to be necessary to carry out the intent of the Project. When it is determined that a change or extra work is necessary, the Contractor will make recommendations to the State s Design-Build Project Manager for approval. 38. When it is determined that a modification to the original Design-Build Contract for the Project is required due to a necessary change in the character of the work, negotiate prices with the Contractor and prepare and submit for approval by the State s Design-Build Project Manager all contract changes in accordance with applicable State policies. 39. In the event that the Design-Build Contractor gives notice, either written or verbal, that it deems certain work to be performed is beyond the scope of the Design-Build Contract and it intends to claim additional compensation, the Contractor will maintain accurate records of the costs involved in such work. These records will include manpower and equipment times and materials installed (temporary or permanent) in the portion of the work in dispute. 40. In the event that the Design-Build Contractor for the Project submits a claim for additional compensation, analyze the submittal and prepare a recommendation to the State s Design- Build Project Manager covering validity and reasonableness of charges and conduct negotiations leading to recommendations for settlement of the claim. Maintain complete and accurate records of work involved in claims. 41. In the event that the Design-Build Contractor for the project submits a request for extension of the allowable contract time, analyze the request and prepare a recommendation to the State s Design-Build Project Manager covering accuracy of statements and the actual effect of delaying factors on completion of controlling work items. 42. Prepare and submit to the State s Design-Build Project Manager a Final Voucher and Final Documentation and one set of as-built plans. This information is to be submitted within 30 calendar days after final Project completion date. 43. 12 during the Contractor s contract time in connection with the Project. 44. Monitor the Design-Build Contractor s compliance with contract provisions in regard to payment of predetermined wage rates in accordance with State procedures. This includes Design-Build Contractor compliance. 45. Monitor the Project to the extent necessary to determine whether construction activities violate the requirements of any permits. Notify the Design-Build Contractor of any violations or potential violations and require its immediate resolution of the problem. Violations must be reported to the State s Design-Build Project Manager immediately. 46. Maintain a complete log of all submittals of shop drawings, noting the dates of first submittal and subsequent reviews and re-submittals, approvals, etc. The Contractor will take note of and ensure that any changes are properly carried through to construction and will further record, report, make recommendations and adjudicate upon any circumstances which affect the progress or cost of the work: The Contractor will actively encourage all reviewers to accomplish reviews promptly. Shop drawings will also include any manuals or similar documents outlining proposed construction procedures submitted by the Design-Build Contractor. 47. Provide coordination between the Design-Build Contractor, State staff and utility companies to assure that conflicting utilities are removed, adjusted or protected in-place in a timely manner to minimize delays to construction operations. Documentation will be maintained in accordance with State policies. 48. As required by the State Design-Build Project Manager, provide inspection of utility work including reimbursable utilities that are shown in the Design-Build Contract. This will also include all required documentation. 49. Conduct a weekly meeting with the Design-Build Contractor and/or utility companies to review plans, schedules, problems or other areas of concern. The results of these meetings will be recorded with minutes distributed to all affected parties including the State Design-Build Project Manager. 50. Conduct and document field reviews of the maintenance of traffic operations, including after normal working hours, weekends and holidays. 51. To prevent delays in the Design-Build Contractor s operations, promptly produce reports, verify quantity calculations, field measure for payment purposes and/or write communications. 52. Upon identification of a proposed changed condition or Design-Build Contract change, the extent of change will be analyzed and an order of magnitude estimate of cost and time change, if any, will be prepared. Prepare the fair cost estimate prior to receipt of the Design-Build Contractor s estimate. 53. Negotiate all Design-Build Contract changes in accordance with State Standard Specifications utilizing the Contractor s prepared fair cost estimate, along with approval from the State Estimating Section. Submit the results to the State s Design-Build Project Manager and report if agreement is not reached. The State s Design-Build Project Manager will review and approve recommended changes in cost and time. The Contractor will prepare Design-Build Contract change documents and track the status of each one until executed. 54. Videotape the pre-construction conditions throughout the project limits. Provide a digital photo log of Project activities, with heavy emphasis on potential claim items/issues and on areas of Scope of Work and Deliverables: Construction Oversight for US 52 & CSAH 9 Interchange Design-Build Project in Goodhue County 12 of 14

13 real/potential public controversy. Exhibit A Mn/DOT Contract No Schedule and attend a meeting with the State s Design-Build Project Manager prior to the preconstruction conference. This meeting will provide a review of the computation book, the Design-Build Contract and the survey requirements of the Project along with any other pertinent information necessary for the completion of the final voucher. At this meeting the person responsible for the completion of the final voucher will be in attendance. 56. At this meeting, handouts, agenda and training will be conducted for handling the utility preconstruction conference and the project pre-construction conference Other Services The Contractor, upon written authorization from State, will perform additional Design-Build verification related services as may be required by State. The following items may be required by State to supplement the Contractor s services for the Project. Fees for such services will be negotiated. 1. The Contractor will, upon review, approval, and written authorization by State, make such changes and revisions to the plans and specifications as may be required in order to complete the Design-Build activities. 2. The Contractor will, upon written request, assist State in preparing documents for arbitration hearings or litigation that occur after the basic Contract Administration services are complete, in connection with the Project. 3. The Contractor will, upon written request from State, provide qualified professionals to serve as engineering witnesses, provides exhibits, and otherwise assist State in any litigation or hearing in connection with the Design-Build Contract. 4. The Contractor will, upon written request by State, provide on/off site Project related inspection services, above those specified in this Scope of Work. 6.7 Design and Construction Claims Claim resolution and/or containment of exposure are most efficient at the time of occurrence. It is prudent policy that all discrepancies that have an impact on the Project and that are incurred by the Design-Build Contractor be dealt with immediately. On an as-needed basis, the Contractor will perform discovery of documentation involved in any claim filed by the Design-Build Contractor providing claim defense strategy for State to use in resolution of the claim. If a discrepancy cannot be resolved and the Design-Build Contractor files a claim, the Contractor will have complete documentation and schedule and planning data conclusive for counsel s use and defense procedures. If necessary the Contractor will act as an expert witness in defense of claims for State. 6.8 Post-Construction Claims Review In the event the Design-Build Contractor for the Project submits a claim for additional compensation and/or time after the Contractor has completed it s contract, the Contractor will, at the written request from State, analyze the claim, prepare a recommendation to the State s Design-Build Project Manager covering validity and reasonableness of charges and/or assist in negotiations leading to settlement of the claim. Compensation will be negotiated and reimbursed by a separate contract. 14 6.9 Design Review and Verification The State will provide design review and verification for all design prepared by the Design-Build Contractor for the US 52 & CSAH 9 Interchange Design-Build Project in Goodhue County. The design review and verification deliverables by the State will include, but are not limited to, Geotechnical Review, Traffic Engineering Review, Drainage Review, Design Surveys Review, Utility Coordination, Detail Roadways and Hydraulics Design Review, Preliminary Bridge Design Review, Detail Bridge Design Review, and Field Design Change Review.
