INVITATION TO TENDER 1. Name and registered office of the contracting authority of the public invitation to tender Aerodrom Ljubljana, d.o.o., Zg. Brnik 130A, 4210 Brnik Aerodrom (hereinafter Aerodrom Ljubljana) invites all interested parties to tender for leasing parking spaces which are the subject of the public invitation to tender in accordance with the conditions stipulated by the present public invitation to tender. Type of legal transaction Lease of tangible assets. 3. Subject of public invitation to tender The lease subjects are parking spaces at the Ljubljana Jože Pučnik Airport with access permit and permission for picking up and dropping off passengers and baggage in the area of the Ljubljana Jože Pučnik Airport. The owner and operator of the real estate is Aerodrom Ljubljana, d.o.o. Interested parties are invited to submit tenders for the lease of parking spaces which are subject of the lease for transportation of passengers (»shuttle transport«) and baggage from and to Ljubljana Jože Pučnik Airport for a period of one (1) year with the possibility of renewal. 2 II. GENERAL CONDITIONS OF THE LEASE AND THE STANDARD FOR SELECTING THE MOST FAVOURABLE TENDERER 1. Conditions of lease Lease agreement shall be signed for the real estate for the period of one (1) year. In case lessee breaches the contract prior the expiry he or she has to balance all remaining rents till the expiry. The lessee shall use the real estate exclusively for carrying out activities related to the transportation of passengers ("shuttle transport") and baggage to and from the Jože Pučnik Ljubljana Airport. The real estate is leased in "as is" condition. The selected parties have an obligation to sign the lease agreement no later than 8 days after receiving the notification on the selection of the most favourable interested party. In case, that the chosen provider does not sign and return the contract referring to the title of the shuttle parking space within 8 days from receiving the selection s notice, the provider must pay the penalty for the non-fulfilment of an obligation of the contract. The amount of the penalty is the same as the amount paid for the tendering security. Aerodrom Ljubljana, d.o.o. may, in the event that the selected interested party withdraws from the tender, select the next most favourable interested party. Rent will be charged on a monthly basis, for the current month. Aerodrom Ljubljana will issue an invoice by the fifth working day of the month for the current month, with a payment deadline of 15 (fifteen) days from the invoice date. The lessee may not sublease the real estate. The lessee shall use the real estate with due diligence, in accordance with airport policy and under the conditions stipulated in the lease agreement. At the same time, the lessee shall be responsible for all damages in the parking area that are caused by the lessee. The lessee may only park one vehicle at the time for any one parking space rented by the lessee. Both parties shall agree on any potential modifications to the parking space in the lease agreement. Aerodrom Ljubljana shall sign the lease with the selected party for the use of the parking space. One parking space will be assigned to the successful tenderer for the concurrent use by one of his vehicles, which will not necessarily always be the same one. The number and the parking positions will be determined in accordance with the criterion for the standard of the most favourable tenderer (Article 3). 2 / 10

3 2. Tender price The minimum annual tender price for one parking space is EUR 5, excluding VAT. The selected parties will be parties that will offer the highest price for the monthly lease of the parking space, but at least the minimum starting tender price. The price for a parking place, at which Airport Ljubljana concluded a contract with the lessees, will be equal to the lowest price of a suitable bid. The interested parties may submit a tender for any number of parking spaces. 3. Criteria for selecting the best tenderer When selecting the best interested party Aerodrom Ljubljana the standard shall be the amount of the offered annual rent. With this announcement Aerodrom Ljubljana, d.o.o. offers to lease out 10 parking spaces in the parking area in front of building 10. A Passenger Terminal T1. The interested parties will be able to choose the position of the parking space based on the price offered for the lease (i.e. the interested party that offers the highest price will choose first, the one with the second highest price second, etc.) In the event that more (timely and complete) tenders with the same price are submitted, Aerodrom Ljubljana d.o.o. will cast lots. The lessees may submit an offer for more parking spaces but this is not a criterion for selection. III. CONDITIONS FOR PARTICIPATION AND TENDER CONTENT 1. Conditions for participation in the procedure of the public invitation to tender for the lease of real estate Any interested party that wishes to participate with a tender must meet all the requirements for participation as defined by the public invitation to tender and submit their tender in content and form as determined by the public invitation to tender. The tender may be submitted by a legal entity or entrepreneur. Tenderers shall deposit a bid bond no later than the submission deadline in Account No TR SI at Unicredit Banka Slovenija d.d., with a statement of purpose of payment reading payment of bid bond shuttle. The bid bond is set in 1.000,00 EUR for one parking space. In the event of submission of a tender for multiple shuttle parking spaces, tenderers shall pay the corresponding multiple of the amount of the bid bond. Interest shall not be charged on bid bonds. Bid bonds shall be returned to unselected tenderers within 8 (eight) working days of the selection of the most favourable tenderers. 3 / 10

4 Bid bonds paid by selected tenderers shall be converted into payment bonds on the date of concluding of the agreement. The payment bonds will be used to cover unmet obligations arising from the agreement. In the case of unmet due obligations, Aerodrom Ljubljana shall have the right to call up the security. Securities in the form of payment bonds shall be returned to selected tenderers within 8 (eight) working days of the expiry of the agreement assuming that all obligations toward Aerodrom Ljubljana have been met. An interested party is a legal entity or entrepreneur who: carries out and/or serves as an agent for passenger or baggage road transport services; meets all existing legal requirements in accordance with the Road Transport Act of the Republic of Slovenia; provides transport services with different types of vehicles: passenger cars, vans, minibuses; ensures that all vehicles used for transport services have provided compulsory insurance, including additional insurance for passengers; ensures passenger pick-up and drop-off at fixed locations or desired addresses by a road vehicle; provides a child safety seat for every child on the transport. The above-mentioned conditions apply to interested parties. 2. Tender validity At least 90 days from the deadline for submission of tender. 4 / 10

5 CONTENTS OF TENDER A complete written tender must contain the following documentation: tender form which is attached to the public invitation to tender and must be completed in accordance with the provisions of the public invitation to tender (Annex 1); extract from the judicial or other record (AJPES) for legal entities, which must not be older than 30 days on the day of opening the tenders, showing the activities of the tenderer. Foreign legal entities must attach a certificate issued by institutions in their country which are equivalent to institutions that issue the required certificate to Slovenian citizens; certificate confirming that the tenderer s bank account has not been blocked in the past six (6) months. Foreign legal entities must attach a certificate issued by institutions in their country which are equivalent to institutions that issue the required certificate to Slovenian citizens, or if they are unable to obtain such a certificate, a statement from a person with the power for representation certified by a notary, in which they state under criminal and material liability that their bank account has not been blocked in the past six (6) months; a certificate of guaranteed financial resources: a certificate of solvency at the bank that manages the bank account; The certificate of paid tendering security information about the vehicles, including copies of the insurance policies and licences for carrying out road transport (Annex 2); statement of the tenderer (Annex 3); The interested parties must submit the tender in Slovenian language. 5 / 10

6 IV. SUBMISSION AND OPENING OF TENDERS 1. Method and deadline for submitting the tender and the procedure The interested party must prepare one copy "original" of tender documentation and submit it in printed form to the address of the contracting authority: AERODROM LJUBLJANA, d.o.o. Brnik 130a 4210 BRNIK - aerodrom Slovenia by at The tenders sent by post must be sent by registered post with acknowledgment of receipt and must arrive at the registry of the contracting authority by the required date and time. The personal submisison of the tender at the registry/reception of the contracting authority is possible at the same address every day between 8.30 and The tender s "original" must be typed or written indelibly and signed by the person or persons who have the authority to represent the tenderer, as well as stamped. The interested party must submit the tender in a sealed envelope. If the interested party submits the tender in multiple envelopes, all of them must be sealed with their sequence marked and the total number of envelopes stated as well. The address of the contracting authority must be on each envelope. Each envelope must have a designation and a clear caution: DO NOT OPEN TENDER SHUTTLE TRANSPORT. 2. Opening of tenders and subsequent procedure: Aerodrom Ljubljana reserves the right to assess the adequacy or inadequacy of received tenders; Aerodrom Ljubljana is not required to select any tenderer and in such an event may repeat the call for tender with altered conditions or a longer deadline for the submission of tenders; The interested parties will be notified about the selection by . Aerodrom Ljubljana is not required to state the reason for the selection, non-selection or the rejection of the application in the notification; The tenderer alone shall bear all the costs of preparing and submitting the tender. 3. No need to adjudicate Aerodrom Ljubljana reserves the right to cancel the call for tenders before selecting the most favourable tenderer without providing any reasons as well as to reject all submitted applications and applications sent out by the deadline for the submission of the applications without any obligations and responsibilities to the tenderers. 6 / 10
