3 Company Information Protergia is 100% subsidiary of MYTILINEOS Holdings, which holds the management of the energy assets and activities of the Group. The strategic positioning of the Group focuses on developing new business activities in the Greek energy sector and on putting in place the largest installed independent power production capacity in the country, through a balanced portfolio of investments in thermal and renewable sources. The company's activities include holding or/and managing of thermal power plants and renewable energy sources (wind, hydropower and photovoltaic parks), development of renewable energy sources projects as well as energy and emissions trading. The dynamic entrance in the wholesale and retail electricity markets is also within our goals once the conditions in the Greek market will permit so, as well as the future expansion in neighbouring countries with increased needs for energy capacity. 3

Nikolaos (Viotia) MW - Gas-fired Combined Cycle Thermal Power Plant (CCGT) owned by KORINTHOS POWER SA, located at Ag. Theodoroi (Corinth). 54 MW from RES plants in operation Wind Farms 1 Wind Farm in Sidirokastro of 17 MW 4 Wind Farms in Marmari Evia of 19 ΜW Small Hydropower Plants 4 Small Hydropower Plants of 6 MW in the regions of Aitoloakarnania and Fthiotida Photovoltaic Parks 3 Photovoltaic Parks of 11.5 MW in the regions of Arta, Viotia and Aitoloakarnania 5

7 Our Goals 2011 to own and/or manage directly or on behalf of other companies of the Group a total production capacity of 1.2 GW from gas-fired thermal power plants in operation. GOAL ACCOMPLISHED 2015 to have in operation a total production capacity of 400 MW from RES plants (mainly wind farms) thus covering 10-15% of the total power generation in Greece 7

Present situation: Highly regulated market Mandatory pool Independent producers have access only to natural gas Incumbent has much higher percentage in retail power sales (98% +) than in generation (70%+) Regulated Capacity Availability Certificates Cost recovery mechanism for thermal units Significant divergence of ex-post and ex-ante System Marginal Price 8
9 Obligations under the MoU Allocation to third parties of 40% of PPC s lignite-fired power plants through Sale of 4 units of 1090MW Drawing rights for 2 units of 550MW (or equivalent sale) Allocation to third parties of part of PPC s hydroelectric power plants Privatization of PPC, DEPA and DESFA 9
10 The Way Forward Implementation of the 3 rd Energy Package Effective unbundling of transmission and distribution networks from generation and supply activities Need for further strengthening of the operational and economic independence of the Regulator Implementation of the obligations highlighted under the MoU according to the deadlines specified Market Target Model Prior Actions to allow it: Access of private investors to lignite-based power generation Access of private investors to hydro power Direct correlation between Wholesale and Retail Prices Vertical integration of independent generators with diversified generation portfolio that will allow bilateral contracts Future of ETS 10
11 Main barriers to a liberalized market Financial deficit of the Market Operator (LAGIE) and the Transmission Operator (ADMIE) Insufficient interconnectors for security of gas supply Lack of within day flexibility in gas procurement Gas transmission capacity hoarding at the boarders Lack of sufficient availability at electrical boarder interconnections to allow the development of the retail market 11
