9 DIVISION 0 - CONDITIONS OF THE CONTRACT Document Small Business Utilization PART 1 GENERAL 1.01 The Port of Seattle (POS) promotes equitable opportunities for Small Business Enterprises (SBE) to participate in the performance of public works contracts. It is the intention of the Port that Contractors, Subcontractors, Sub-subcontractors, and Suppliers shall afford equal small business opportunity while providing materials, supplies, and services for and to the Port One of the Port s Century Agenda Strategic Objectives is to use its influence as an institution to promote small business growth and workforce development which is tied to the following goals: A. Increase the proportion of funds spent by the Port with qualified small business firms on construction, goods and services to 40 percent of the eligible dollars spent. 1. Within that 40 percent of port wide dollars, the goal for SCS and M/WBE certified is 10 percent. B. Increase workforce training, job and business opportunities for local communities in maritime, trade, travel and logistics Definitions. The following definitions shall apply throughout this Section. A. Certified Small Business means a business that has been formally certified by a federal, state or local governmental entity as meeting the applicable size standard adopted by the U.S. Small Business Administration (or some other, smaller size standard) for the particular business. Certified Small Businesses include: 1. A firm certified under federal law as a Disadvantaged Business Enterprise (DBE) or Small Business Enterprise (SBE). The certification may be issued by the State of Washington Office of Minority & Women's Business Enterprises or other federally authorized certification entity. See: 2. A firm certified under Washington state law as a Minority Business Enterprise (MBE), a Women s Business Enterprise (WBE), a Minority Women s Business Enterprise (MWBE), a Combination Business Enterprise (CBE), or a Socially and Economically Disadvantaged Business Enterprise (SEDBE). The certification must be by the State of Washington Office of Minority & Women's Business Enterprises. See: 3. A firm certified under the laws of another state as minority-owned business enterprise, a women-owned business enterprise, disadvantaged business enterprise, or other similar classification so long as the governmental entity performing the certification determines, as part of the certification process, that the business meets the applicable size standard adopted by the U.S. Small Business Administration. 4. 10 DIVISION 0 - CONDITIONS OF THE CONTRACT Document Small Business Utilization B. Small Business Enterprise or SBE means a business that meets the applicable size standards adopted by the U.S. Small Business Administration. An SBE may be either a Certified Small Business or a business that is self-declared to meet the applicable U.S. Small Business Administration size standard. NAICS codes commonly used for construction and the applicable Small Business Administration size standards can be found at the following web address: A. SBA stands for United States Small Business Administration. B. Small Business Enterprise or SBE stands for Small Business Enterprise and means a business that meets the relevant size standards adopted by the SBA. An SBE may be certified or self-declared. NAICS codes commonly used for construction and the relevant SBA size standards can be found at the following SBA web address: C. SCS Firm means a business that has been certified as a Small Contractor or Supplier by King County. See: D. Certified OMWBE Firm means a small business that has been certified as a minority and/or women owned business enterprise, a disadvantage business enterprise, or a socially and economically disadvantage business enterprise by the State of Washington Office of Minority & Women's Business Enterprises. See Certified OMWBE Firms directory: E. MBE stands for Minority Business Enterprise. A MBE is a SBE that is at least 51% owned by one or more individuals who are African American, Asian American, Pacific Islander, Native Hawaiian, Hispanic American, Native American, or Alaska Native; and whose management and daily business operations are controlled by one or more of these owners. A MBE may be certified or selfdeclared. F. WBE stands for Women Business Enterprise. A WBE is a SBE that is at least 51% owned by one or more women and whose management and daily business operations are controlled by one or more of these owners. A WBE may be certified or self-declared Contract Utilization Requirements. A. It is a requirement of this contract that 20% of the total contract value, including change orders, is performed by SBE. It is a requirement that at least 14% of the work shall be performed by one or more Certified Small Businesses.It is a requirement of this contract that 20% of the total contract value, including change orders, is performed by small business. Within that 20% it is a requirement that at least 14% of the work shall be performed by SCS or OMWBE Certified small business firms. MC / WP # ADDENDUM NO Rev. 04/18/1703/06/17
11 DIVISION 0 - CONDITIONS OF THE CONTRACT Document Small Business Utilization B.A. For purposes of this contract, a Small Business is any firm that meets the SBE definition for the appropriate NAICS code as established by SBA and may be certified or self-declared Supplemental Contractor Responsibility Criteria. Compliance with the Small Business requirement is a supplemental Contractor responsibility requirement. Contractors that fail to timely demonstrate commitment to small business utilization may be deemed as not responsible. A. Within 2 business days after bid opening, the Contractor shall submit a completed Document b Small Business Commitment Form. Identify: (1) name of the Subcontractor, Sub-subcontractor and/or Supplier, (2) designation as a SBE, M/WBE or SCS Firm; (3) Certification # or self-declared, (4) a brief description of the work to be performed by the business, and (5) contract value of the subcontracted work. B. The Contractor and any identified small businesses shall cooperate with the Port and provide all requested information to the Port within the time specified. 1. A Contractor will only be given limited opportunity and time to remedy any failure to demonstrate compliance with the utilization requirement. 2. If the Contractor fails to supply the information within the time and manner specified, the Port may find the Contractor not responsible (RCW ) Evaluating & Calculating Small Business Utilization for Purposes of Determining Bidder Responsibility. The Port will calculate the Contractor s compliance with the small business utilization requirement as follows: A. Firms must qualify as a Small Business at the time of bid opening. B. The Prime Contractor must certify that firms it has identified as small business meet the definition of small business. C. Utilization shall be calculated as a percentage of the Contractor s total bid price, including tax. 1. If the Prime Contractor is a small business, 100% of the contract will be considered small business. The Prime Contractor must be performing a commercially useful function and not be acting as a pass through company. 2. The Prime Contractor must complete Document b Small Business Commitment Form and demonstrate that the Prime Contractor intends to subcontract the required percentage of work to qualifying small business or self-perform the required percentage if the Prime Contractor is a qualifying small business. 2. If the Prime Contractor is not a small business, the Contractor must complete Document b Small Business Commitment Form and demonstrate that the Contractor intends to subcontract the required percentage of work to small business subcontractors and suppliers. 3. A commercially useful function includes, but is not limited to, the performance of a distinct element of work by a firm, which has the skill and experience as well as the responsibility of actually performing, managing, and supervising the work using, its own work force, and resources. 12 DIVISION 0 - CONDITIONS OF THE CONTRACT Document Small Business Utilization credit will accrue for any small business firm acting as a passive conduit of funds to some other non-small business firm. 4. A small business firm that acts as a broker in a transaction shall not count towards the small business utilization requirement. A broker is a firm that does not, itself, perform, manage, or supervise the work of its contract or subcontract in a manner consistent with the standard and customary business practices for its line of business. 5. A small business subcontractor may further subcontract portions of the work. The Port will count the total value of the subcontracted work provided the small business is itself performing a commercially useful function. 6. If a small business is a supplier, the total price of the work performed (supplies) by the supplier will be counted. D. The Port will round to the nearest tenth of a percent. 1. Example 1: Contractor A s total bid price including tax is $100,000. Contractor A identified small business Firm Y to perform the mechanical work for a total value of $10,000. The utilization is 10% for Contractor A. 2. Example 2: Contractor B total bid price including tax is $100,000 and identified small business Firm Z to perform the mechanical work for the total value of $9, The small business utilization is 9.99% and will be rounded up to 10%. 3. Example 3: Contractor C s total bid price including tax is $100,000 and it identified small business Firm W to perform the mechanical work for a total value of $9, The small business utilization is 9.94% and will be rounded to 9.9%. E. In order to verify that firms are small businesses, the Port may, at its discretion, undertake verification practices and/or request additional information Substitution of Small Business Firms Prior to Award/Contract Execution A. If the Contractor determines, before award/contract execution, that it is necessary to substitute a small business, the Contractor shall notify the POS in writing of such intent. If the substitution results in the Contractor not meeting the utilization requirement, and the Contractor cannot remedy the matter, the Contractor may be deemed not responsible Compliance with Utilization Requirements During Contract Performance A. Compliance. Contractor shall comply with the SBE, Certified OMWBE & SCS Firm utilization requirements throughout its performance of the Contract. The Port will verify compliance with the requirement through the submission of invoices or monthly pay estimates (CDS system). B. Reporting. All tiers of subcontractors and suppliers over $5,000 shall report monthly payments on the monthly amounts paid (MAP) form. C. Substitution of Subcontractors After Contract Execution. 1. If the Contractor proposes to substitute a SBE, Certified OMWBE or SCS Firm with a different SBE, Certified OMWBE or SCS Firm, the Port will verify the proposed Firm s status and provide a written response. 13 DIVISION 0 - CONDITIONS OF THE CONTRACT Document Small Business Utilization 2. If the Contractor proposes to substitute a SBE, Certified OMWBE or SCS Firm with a non-sbe or non-certified OMWBE or non-scs Firm, the Contractor shall demonstrate the steps it took to locate another qualified Firm and why it was unsuccessful in securing the services. The Contractor will still be required to comply with the utilization requirement; unless the Port, in its sole discretion, agrees to revise the utilization requirement and if the Contractor can demonstrate a sound basis for the substitution and that no other SBE, Certified M/WBE & SCS Firms have the capacity and qualifications to perform the work. 3. The Port shall not be responsible for any costs resulting from substitution of Subcontractors or Suppliers. D. Change Order. 1. The identified small business utilization requirements will apply to change orders that increase the Contract Amount. 2. If the Contract Amount is decreased as a result of a change order or adjustment to unit quantities and the work that was eliminated or reduced was subcontracted to an SBE, M/WBE, SCS Firm, the utilization requirement will be reduced to reflect the change Failure to Comply With the Small Business Utilization Requirements. In addition to any other remedies that may exist under this Contract, the Port may use failure to comply with small business utilization requirements as additional supplemental responsibility criteria on future procurements.
