3 SECTION-I Invitation for bids for Empanelment of Advertising Agencies 1. Introduction: IFCI Ltd. (IFCI) since its inception i.e. 1 st July 1948 a Public Financial Institution, Government of India Undertaking comes under Ministry of Finance, having Registered Office at IFCI Tower, 61 Nehru Place, New Delhi has made a significant contribution to the modernization of Indian industry, export promotion, import substitution, pollution control, energy conservation and generation through commercially viable and market-friendly initiatives. 2. Name of Work: EOI for Empanelment of Advertising Agencies IFCI invites bid document/ application for empanelment from experienced and reputed Advertising Agencies engaged in work of Advertising, having minimum of five years experience in the field. 4. Interested Advertising agencies fulfilling eligibility criteria as mentioned hereunder may apply in sealed covers giving full details of their credentials alongwith supporting documents and application should be submitted on or before the date & time mentioned below as per the enclosed format only. IFCI reserves the right to reject all or any of the application, wholly or partly, without assigning any reason whatsoever. 6. Not more than one Bid/ Application shall be submitted by one Agency or Agencies having business relationship. Under no circumstance will father and his son(s) or other close relations who have business relationship with one another (i.e. when one or more partner(s)/director(s) are common) be allowed to apply for the same work as separate competitors. A breach of this condition will render the bid/application of both parties liable to rejection. Page 3 of 22

4 SECTION-II Duration of Empanelment of Advertising Agencies 1. The empanelment of advertising agencies will be done for 06 (six) top ranking advertising agencies for executing IFCI s Print Media and other plans from the list of finally eligible agencies after evaluation and presentation. The empanelment of selected agencies shall be for a period of 03 (three) years, which may be extended twice each for a period of six months depending on satisfactory performance of the empanelled agencies to the satisfaction of IFCI; 2. IFCI reserves the right to increase/ decrease the number of empaneled agencies based on requirement; and 3. IFCI will have right to remove any agency from the empaneled list without assigning any reason whatsoever, such decision shall be final and binding on empaneled agencies. Page 4 of 22

5 SECTION-III Procedure for Empanelment of Advertising Agencies 1. An initial screening of all the bids/ applications will be undertaken by a Screening Committee; 2. The Agency will be evaluated at the first instance on the basis of the minimum eligibility criteria as indicated in Section V (Qualifying Criteria); 3. Out of the total bids/ applications received, only top agencies scoring highest marks would qualify for Stage II evaluation. 5. The Screening Committee, after evaluation of all the applications on the basis of qualifying criteria as laid down in para titled Qualifying Criteria below shall recommend the advertising agencies that could be called for presentation before the Final Selection Committee; and Stage II: Presentation and discussion with the short-listed advertising agencies 6. During the presentation, the Committee will evaluate the agencies on the basis of following criteria (Maximum 30 Marks): Market Knowledge - Understanding of product and category dynamics - Understanding of Business Environment, Rules & Regulations - Grasp of Competitive Environment. Brand Insight - Understanding of IFCI Brand Positioning - Points-of-view regarding brand, customer and business issues. Brand Recommendations - Creative ideas that are relevant, solution-oriented and inspiring - Campaign to keep the essence and spirit of Brand alive across media Agency Capability - Capability to undertake all media related jobs vis. Print Media, Electronic Media, Events & Exhibition etc. - Network Strength - Client List - Manpower & Talent Pool. 7. Subsequent to the presentation and discussions with the short-listed advertising agencies, a panel of advertising agencies will be selected thereon based on final ranking and will be issued a letter of award. 7 SECTION-IV Scope of work 1. Advertising agency shall release the advertisement in print media or any other media as decided by IFCI; 2. The agency will assist IFCI in advertising it on methods and media of advertising, preparation of drawings and block, undertaking research work and dealing with the newspapers/ publications on behalf of IFCI; 3. The raw data/ material/ information shall be provided by IFCI and agencies would be asked to prepare the creative/ artwork. Advertising agency shall undertake designing, type-setting, art work preparation of block and matrix as well as art pulls required for release of advertisement, free of cost/ without any charges payable by IFCI, irrespective of size of advertisement, or number of newspapers to which classified/ display advertisement is to be released; 4. The agency will not be paid for generating designs, creative options, and translation of material from one language to any other (English / Any Indian Language) ; 5. The agency shall ensure that in all tender advertisements released in newspapers/ publications, optimum utilization of space is made with no wastage of space and the advertisement is cost effective; 6. The Agency would be asked to submit the creative art work; and 7. Charges for jobs will be decided on competitive bidding basis amongst the empanelled advertising agencies. Page 7 of 22

8 SECTION-V Qualifying Criteria The Screening Committee shall evaluate the capabilities of the advertising agencies based on their profile and also keeping in view the following criteria: 1. Three Years Continuous and Regular Full Accreditation from Indian Newspaper Society (INS) and also from Prasar Bharati. (A certificate to this effect from INS (for Print Media) and Prasar Bharati (for Electronic Media) is to be obtained and submitted by the applicant); 2. The advertising agency should have been in operation for at least last five years; 3. Regular atleast billing of Rs crore for the last three consecutive years. (A certificate to this effect duly signed and sealed by Chartered Accountant is to be submitted); 4. The Agency should have an annual turnover of minimum Rs.25 crore for each year during last three consecutive financial year ending March 31, (Attach copies of audited balance sheets for FY , & ); 5. The agency should have handled atleast Ten (10) single client as Government/ PSU/Banking & Financial Institutions accounts/ orders in the past 5 years from the date of EOI (Attach copies of Award Letters/Other relevant proof); 6. The agency should be fully equipped with adequate infrastructure for designing, preparation and printing of material in English, Hindi and other regional languages; 7. The Agency should have undertaken Print, Electronic and Outdoor Advertising as part of its regular operation; 8. The agency should have a full-fledged office with minimum staff strength of 15 Nos. of employees at Delhi. 9. It is also desirable that agency should have offices other than Delhi; 10. The advertising agency should be able to provide and indicate a dedicated team for implementing and monitoring IFCI s account. 11. The agency should be able to meet a diversity of communication requirements at short notice; 12. The agency shall be required to provide Designs, Artworks for publicity/ Advertisement in newspaper; Page 8 of 22

9 13. The agency should have on its roll specialized, qualified and professional people with adequate experience in dealing with advertisements related to print & electronic media etc.; 14. The agency is expected to maintain high level of professional ethics and will not act in any manner, which is detrimental to IFCI s interest; 15. The Agency shall maintain confidentiality on matters disclosed till proper instruction is issued for publication. IFCI reserves the right to impose penalty in case of any violation of the above; 16. The Agency should not have been debarred/ blacklisted by RBI/ SEBI/ IRDA/ PSBs/ FIs/ PSUs/ Government Organizations. A declaration by the Agency is to be enclosed; 17. Agency may be required to make Advertising/ Publicity Plans in coordination with IFCI officials; and 18. Agency shall provide design, artwork for campaigns/ other publicity materials and other scripts for video film, jingles, radio, ad films etc. without any advance payment. Page 9 of 22

10 SECTION-VI General Conditions of Contract 1. Fresh bidding/ application by current empaneled agencies: a) The vendors, currently empaneled with IFCI are also required to respond this EOI for Empanelment of Advertising Agencies and get empaneled for current period; and b) Further the agencies who are presently empanelled with IFCI, and have never responded to any Request for Proposal (RFP) or Request for Quote (RFQ) as and when called for by IFCI under limited quotation process will not be considered for empanellment. 2. Copyright Issues: a) The agency will be solely responsible for copyright issues concerning usage of images, footage, text material etc. obtained through various sources. IFCI will not be a party to any dispute arising out of copyright violation by the agency; b) The ownership of all print/ outdoor creative and publicity material/ produced/ designed through the creative agency will at all time rest with IFCI and the agency/ copywriter/ photographer etc. will have no proprietary or other right in respect of the same. This would include full copyright for all time use of the images/ photographs used in the creative and publicity material; c) The agency will be responsible for obtaining any permission that may be required for undertaking the work as detailed in subsequent offers from time to time; d) Agency should have the resources to handle multimedia (including Electronic/ Twitter/ Facebook etc.) multi-lingual publicity, media campaigns, Hindi Translation and proof reading facilities in Indian Language; e) The Agency should be able to provide comprehensive communication services like development of Corporate Image Branding Aids exhibitions, media campaign for Print & Electronic Media at Competitive Cost to meet diversity of communication requirement at short notice; and f) Once the agency has submitted the artwork/ other details to IFCI, it shall become the property of IFCI. 11 3. Prices: EOI for Empanelment of Advertising Agencies a) All the empaneled advertising agencies will be invited to quote the financial offer for the proposed work, clearly defining the scope of work, on each occasion, as and when required; b) IFCI will provide the content/ write-up and agency will have to prepare creative/ art work. c) The financial quotes of all the empaneled agencies will be scrutinized and finalized on the lines of terms and conditions stipulated at the time of offer of such on each occasion; d) On completion of financial offer exercise by the tender committee, the selected agency will be awarded the work on the basis of L-1; and e) During the period of empanelment, all the empaneled agencies shall be advised to quote the amount for the work as and when required. 4. Payment terms: a) No advance payment will be considered; b) The agency shall submit invoice alongwith original advertisement published to IFCI stating therein the total cost of publication and payment will be made within 30 days of invoice being delivered at IFCI s office; c) The agency shall submit the Acceptance Certificate alongwith the invoice, duly signed by the Officer-in-Charge of IFCI. Copy of Acceptance Certificate shall be provided at the time of LOA; d) Tax will be deducted at source will be applicable, as per rules; and e) GST will be paid as per rules. 5. Liquidated Damages on account of delay in the Agency s performance: Delay on part of the Agency for reasons solely attributable to the agency in the performance of its delivery obligations as is directly attributable to them shall render the agency liable to the imposition of penalty 1% of the order value for each day subject to maximum of 10% of the order value, unless an extension of time is agreed upon. In case the penalty exceeds 10%, IFCI reserves the right to cancel the contract. Notwithstanding the right of IFCI to charge penalty, IFCI shall have the right to cancel the contract, in case of any delay in performance of the delivery obligations without waiting for penalty to reach upto 10% of the order value. Authorized Signatory: a) The bid document should be signed by the authorized representative of the agency; and b) The certificate of authority and any other document consisting of adequate proof of the ability of the signatory to bind the agency shall be annexed to the bid. 7. Officer-in-charge: IFCI shall appoint an Officer-in-charge for this project. He/ she shall be single point of contact for all technical directions or decision related to the work/ project. Similarly, Agency should also propose an Officer-in-charge for this project for all technical resolutions and work/ project related decisions. 8. Language: a) The bid and all related correspondence and documents in relation to the bidding process shall be in English; b) Supporting documents and printed literature furnished by the agency with the bid may be in any other language provided that they are accompanied by translations of all the pertinent passages in the English language, duly authenticated and certified by the bidder; and c) Supporting material, which are not translated into English, will not be considered. For the purpose of interpretation and evaluation of the bid, the English language translation shall prevail. 9. IFCI s right to terminate the process: a) IFCI reserves the right to accept or reject any proposal, and to annul the bidding process and reject all proposals at any time prior to award of agreement, without thereby incurring any liability to the affected bidder or bidders or any obligation to inform the affected bidder or bidders of the grounds for actions taken by IFCI; b) IFCI is accepting the bids on a no cost no commitment basis; c) IFCI is making no commitments, explicit or implied, that this process will result in a business transaction with anyone; and d) This EOI does not constitute an offer by IFCI. The agency s participation in this process may result in IFCI selecting the agency to engage in further discussions and negotiations toward issue of LOA. The commencement of such negotiations does not, however, signify a commitment by IFCI to issue LOA or to continue negotiations. IFCI may terminate negotiations at any time without assigning any reason. Page 12 of 22

13 10. Acceptance of part/ whole bid/ modification - Rights thereof: a) IFCI Ltd may cancel the aforesaid process at any stage at its sole discretion. IFCI Ltd reserves the right to accept/reject any bid/ application without assigning any reason whatsoever; b) IFCI also reserves the absolute right to reject any or all the Bid/ Application at any time solely based on the past unsatisfactory performance by the bidder(s). The opinion/decision of IFCI regarding the same shall be final and conclusive; and c) Any unconditional and /or incomplete bid/ application shall be liable to be rejected summarily. 11. Confidentiality: All technical particulars supplied by IFCI to the agency are to be kept confidential and no part of it should be shared with anyone other than the authorized persons, without prior written permission from IFCI. 12. Termination of the Contract: IFCI may terminate the contract, upon written notice to the selected agency at any time. 13. Alteration and withdrawal of bid: a) The agency, after submitting its bid, is permitted to alter/ modify its bid/ application so long as such alterations/ modifications are received duly signed sealed and marked like the original bid/ application, within the deadline for submission of bid. Alterations/ Modifications in respect of bid received after the prescribed deadline will not be considered. b) No bid should be withdrawn after the deadline for submission of bid and before expiry of the bid validity period. 14. Law Governing the Contract and Court Jurisdiction: The contract shall be governed by the law for the time being in force in India. This agreement shall be subject to exclusive civil jurisdiction of courts at New Delhi only. No other civil court shall have jurisdiction in case of any dispute, under this agreement. Page 13 of 22

Law Governing the Contract and Court Jurisdiction: The evaluation of the applications for empanelment of advertising agencies shall be carried out by the committee constituted for the purpose. 16. Important Note: a) The Agency should submit signed and scanned copy of partnership firm/partnership deed, if any; b) The Agency should be having adequate trained and experienced manpower, latest equipment etc. for smooth execution of work; c) Integrity Pact (IP) shall also be applicable; d) Application of agency who are under suspension/banned/black-listed by any PSU/Government Departments /Banks/ FIs or otherwise shall not be considered. Further, if any of the partners/directors of the contractor s organization/firm is blacklisted or having any criminal case against him, his application shall not be considered. An Undertaking to this effect should be submitted; e) IFCI reserves the right to request for any further documents/certificate/clarification from the applicant agency relevant to above qualifying criteria and the same must be submitted within stipulated time of receipt of any such communication from IFCI, failing which suitable action shall be taken by IFCI; and f) The applicant agency may be summarily disqualified in case of non-submission of required documents. All the Bid/ Application Forms should be complete with the required certificate/documents mentioned therein. If any one of the above documents, required to be submitted, is found wanting, the offer is liable to be rejected at that stage. However, IFCI at its discretion may call for any clarification regarding the document. IFCI at its discretion may also ask for the submission of any additional/missing/incomplete document(s) within a stipulated time period. In such case(s), the party shall have to comply the IFCI s requirement within the specified time. In case of non-compliance to such queries, the offer will be out rightly rejected without entertaining further correspondence in that regard. Page 15 of 22
