Recent History of the Bayer Group 1996 On June 3, Bayer s capital stock is redenominated into shares of DM 5 par value instead of DM Effective July 1, the existing par-value shares of Bayer AG s capital stock are replaced by no-par shares. To mark the 100th birthday of Aspirin on March 6, professional mountaineers wrap Bayer s former highrise 1999headquarters building in Leverkusen, transforming it into the world s biggest Aspirin pack and earning the company three entries in the Guinness Book of Records. Acquisition of the polyols business of Lyondell Chemical Company, United States, makes Bayer the world s 2000 biggest producer of raw materials for polyurethanes. Bayer acquires Aventis Crop for 7.25 billion, making it a world leader in crop protection. On December 20016, the company s management announces plans to establish independent operating subsidiaries under the umbrella of a management holding company. On January 24, Bayer shares are listed for the first time on the world s best-known securities market, the New 2002 York Stock Exchange Bayer Crop AG is launched in October as the first legally independent Bayer subgroup. In February, the World Health Organization (WHO) includes acetylsalicylic acid, the active ingredient in Aspirin, 2003 in its List of essential medicines. In October, the subgroups Bayer Chemicals AG and Bayer HealthCare AG and the service company Bayer Technology Services GmbH gain legal independence as part of the reorganization of the Bayer Group. The 2003 subgroup Bayer Material AG and the service companies Bayer Business Services GmbH and Bayer Industry Services GmbH & Co. OHG follow in December In January the Group s world-famous trademark, the Bayer Cross, celebrates its centennial. In June, Bayer becomes the first private-sector partner to the United Nations Environment Programme (UNEP) 2004in the area of youth and environment. Bayer provides material support and additional funding of 1 million annually to promote various projects over an initial period of three years.

2 In January, Bayer completes the acquisition of the Roche consumer health business, advancing to become one 2005 of the world s top three suppliers of nonprescription medicines. Lanxess AG is spun off from the Bayer Group on January 28. This company continues Bayer s chemicals 2005 business and parts of its polymers business. In December, the U.S. Food and Drug Administration approves sorafenib (tradename: Nexavar ), an active 2005ingredient jointly developed by Bayer HealthCare and Onyx Pharmaceuticals Inc., for the treatment of advanced renal cell carcinoma. In January, Bayer Innovation GmbH, a subsidiary for the development of new business fields, acquires biotech 2006company Icon Genetics AG, which discovers innovative methods for the development and use of genetically engineered plants. In March, Bayer announces a public takeover offer for Schering AG, Berlin, Germany. In July, Bayer gains 2006control of 92.4 percent of the approximately 191 million outstanding Schering shares. In December, Schering AG is officially renamed Pharma AG Dow Chemical Company announces its intention to acquire Bayer subsidiary Wolff Walsrode. In January, an Extraordinary Stockholders Meeting of Pharma AG resolves to effect a squeeze-out of the remaining minority stockholders. headquartered in Berlin, now 2007 operates together with Bayer s existing Pharmaceuticals business as a division of the Bayer HealthCare subgroup In January, Bayer sells the Diagnostics Division of Bayer HealthCare to Siemens AG, Munich, for 4.2 billion. In March it is announced that the BayArena stadium, home of German Bundesliga soccer team Bayer Leverkusen, is to be modernized and enlarged to accommodate a crowd of over 30,000. In May, Bayer announces that its high-rise former headquarters building is to be converted into one of the 2007 world s largest media facades. The company is now preparing to launch the innovative product under the brand name Huskie in the United States, one of the biggest cereal markets in the world. Our aim is to further expand our leading position in the area of new herbicidal active ingredients, Dr. Rüdiger Scheitza, member of the board of management of Bayer Crop and Head of Portfolio Management, explained. Our portfolio of new herbicidal active ingredients launched since 2000 has already generated over EUR 250 million in sales in the first six months of an increase of 15% over the previous year, Scheitza added. Including pyrasulfotole and tembotrione, the current launch program started in 2000 comprises 26 active ingredients to be launched by 2011 which cover all the indications and have a combined peak sales potential of approximately EUR 2 billion. Pyrasulfotole: One innovative mode of action triple effect Pyrasulfotole brings a new mode of action to the cereal herbicide market segment. It is the first HPPD (4- hydroxyphenylpyruvate dioxygenase) inhibitor for cereals in North America. Pyrasulfotole offers the farmer excellent performance against a broad spectrum of broad-leaved weeds. Huskie can be used as part of an effective resistance management program to control sulfonylurea-resistant weeds. The new product will also help the farmer to optimize cereal production. The new mode of action developed by Bayer Crop works by interrupting three crucial processes during the growth stage of weeds. Firstly, pyrasulfotole blocks the plant's ability to generate an adequate supply of energy by photosynthesis. Secondly, it restricts the weed s ability to produce vitamin E, which protects biological membranes against oxidative stresses and the photosynthetic apparatus against photoinactivation. As a result, so-called free radicals destroy the weed from the inside. Furthermore, pyrasulfotole prevents carotenoid production, i.e. the weed loses the shield that protects chlorophyll molecules from UV rays and excess light. As there is nothing to stop sunlight from penetrating deep into the leaves, the chlorophyll is destroyed: the weed dies.
