1 EXHIBIT A Scope of Work 1.0 INTRODUCTION With the opening of Denver International Airport (DIA) in February 1995, the era of aviation at SIA, which began as Denver Municipal Airport in 1929 ended. With this ending began a transformation of former airport property into a mixture of industrial, commercial and residential areas through planned development. The intent and purpose of this re-development project is to provide services for the demolition and remediation of areas within SIA to allow for the transfer of property for development. To achieve that objective, the City augments its staffing needs through the engagement of a multi-disciplined consultant. This Scope of Work (SOW) provides the basic framework to be utilized to conduct the Project Management services for the Building Demolition, Environmental Remediation and Concrete Removal and Recycling Programs at Stapleton International Airport (SIA). The Consultant shall provide staffing for Construction Management services for individual projects under each of these programs. 1.1 FACILITY DESCRIPTION The site lies within the original SIA property and is generally bounded by Peoria Street and the Rocky Mountain Arsenal to the east and north, Quebec Street to the west and Montview Boulevard to the south. The original site encompassed approximately 4,100 acres. To date, approximately 2,500 acres have been transferred for development. The remaining property and its remediation and demolition projects can be adjacent to residential and commercial business areas TASK The term Task when it is used within the Agreement means all the work associated with the preparation development and administration of professional services requested by the Manager of Aviation or his designated representative.
2 1.2 ANTICIPATED TASK DESCRIPTIONS At the sole discretion of the City, the Consultant will provide project management services to the City and County of Denver needed to perform professional service activities included in the Scope of Work, as stated in the Phase I and Phase II descriptions below. Phase I and Phase II tasks are compiled from various projects and programs and include potential activities that may be necessary to achieve project goals. Phase II tasks will be awarded on a project by project basis and are currently reserved in a to be determined status that may or may not be awarded, at the discretion of the City. While only certain projects and programs are described in Phase I and II tasks, additional services within the Stapleton property boundaries may be required of the Consultant, as deemed necessary by the Manager of Aviation. 1.3 PHASE I PROGRAM DESCRIPTION The following project descriptions describe the three primary programs that encompass the Stapleton Redevelopment Program. These three programs comprise the Projects to be managed under this Scope of Work. Each program, the Building Demolition, the Environmental Restoration, and the Concrete Removal and Recycling Program, consist of one or more active projects which will be incorporated into the Management Plan and, in turn, included with the General and Specific Tasks stated below. Numerous future projects have not yet been initiated and shall be scoped, developed, bid and awarded as determined by the City Project Manager and the Consultant ENVIRONMENTAL RESTORATION PROJECTS The objective of the Environmental Restoration Program is to obtain a No Further Action (NFA) Determination and a No Further Determination (NAD) letter for each applicable site and to allow for the redevelopment of the property based on residential land use. All soils and groundwater at SIA shall meet Stapleton Numeric Criteria (SNC) and all applicable federal, state and local laws in order to facilitate the redevelopment of the property. It is the responsibility of the Environmental Restoration Contractor to plan, design and implement each project to meet the project requirements and timeframes. The Environmental Restoration SOW and the technical specifications provide specific remediation requirements to be achieved in order to facilitate that NFA determinations will be granted. Tables IIA through IIC, attached to this Scope of Work, contain the Stapleton Numeric Criteria (SNC) requirements for soils and groundwater. The Department of Aviation will choose a primary Environmental Remediation Contractor for each project within the Stapleton site. A second Consultant provides technical and
3 environmental support as well as maintains the SIA database and filing system for the Restoration Program. The Consultant shall conduct periodic oversight and weekly update meetings with the environmental restoration contractors. The consultant shall also be responsible for tracing site progress, implement the contract and process, verify and approve invoices and conduct close out activities DEMOLITION PROJECTS The SIA demolition program consists of a series of work projects that concentrate on the demolition of existing site structures deemed necessary by the City Project Manager. The Scope of Work typically includes all structural appurtenances including surface and subsurface additions, vaults, sand, oil and grease traps (SOG s), utilities, pavements and fencing within the project boundaries. The work in defined by Contract as described in the Drawings, General Conditions of the Contract (GCC) also known as the Orange Book as well as supplementary conditions included within the SOW, Special Conditions, Contract Drawings, Technical Specifications, and historical documents. The Consultant will aid the City in developing and implementing individual projects for the Stapleton site. Each Project Scope of Work includes all regulated and hazardous materials be handled, removed, transported and disposed of with all applicable federal, state and local regulations. All demolition projects hold the Contractor responsible for Contract Submittals, required Permits, Notification and Close-out Drawings. The Consultant shall conduct periodic oversight and weekly update meetings with the demolition Contractor. The Contractor shall also be responsible for tracking site progress, implement the contract and process, verify and approve invoices and conduct close out activities CONCRETE REMOVAL PROGRAM The Concrete Removal and Recycling Program consisted of a six-year removal program and a ten-year recycling program. The Concrete program, which began in 1999, is now complete, but still maintains a recycling facility on site. The concrete contractor operates a crusher and processing plant at the North end of SIA property under a lease agreement with Stapleton Development Corporation (SDC). The processing plant includes a concrete batch plant to use SIA aggregate in concrete mixes and aggregate products. The Consultant shall conduct periodic oversight and quarterly update meetings with the concrete contractor as well as monitor site progress. The Consultant shall be responsible for creating punch lists, releasing completed areas and coordinating site traffic issues.
4 1.3.4 PERMITTING Several project specific permits may be applicable to the re-development program at SIA. These permits include National Pollutant Discharge Elimination System (NDPES) and Air Pollution Emission Notice Systems (APENS) requirements. The consultant shall manage the SIA re-development program using the most cost-efficient means possible in order to expedite the work in a timely manner within the timeframes determined for each project. The projects, which may have existing buildings and structures and/or contamination in soils and groundwater, shall be completed in a manner such that property transfer can occur. The Consultant shall coordinate with ongoing site activities to facilitate the most-effective approach for demolition, remediation and development work at the site. The Consultant shall ensure compliance with the NDPES and monitor contractor activities onsite. The Consultant shall employ the industry standard Best Management Practices (BMP) approach to minimize or alleviate the potential problems associated with dust and noise control while responding appropriately to reasonable requests from the City and the surrounding communities. The Consultant shall ensure compliance with APENS requirements. 5 2.0 SCOPE OF WORK 2.1 GENERAL SCOPE OF WORK The Consultant shall provide the City with construction management services associated with the Re-development of Stapleton International Airport (SIA) Program. These services will include the management, administration, coordination and oversight of multiple projects within three primary programs at SIA. All activities will be conducted with approval of the Manager of Aviation, through the City s Program Manager of the Department of Aviation, Denver International Airport. The Scope of Work for this Program has been divided into two primary tasks: Program Tasks and Project Tasks. Project Tasks shall include the development, administration and coordination of projects that must be completed in order to ready the property for transfer. The Consultant coordinates project activities with the existing Contractors as well as provides periodic updates on each individual project and its parent program. All projects will be incorporated into the Management Plan and will be tracked, monitored as part of the Master budget and schedule. Project tasks shall be determined by the City Project Manager and the Consultant. 2.2 SPECIFIC CONSULTANT SERVICES PROGRAM AND PROGRAM MANAGEMENT Manage the Demolition, Environmental Restoration and Concrete Removal projects for the Stapleton Redevelopment Program. Develop and maintain program schedules, cost control systems and reporting requirements. Develop and Design necessary Request for Proposals, Scopes of Work and Bid Packages for SIA projects. Provide Construction Management Services for demolition and environmental projects where applicable. Conduct all necessary administrative, coordination and oversight functions to ensure the timely and cost effective implementation of the awarded contracts in accordance with project goals and objectives ADMINISTRATIVE Develop, monitor, and maintain Project Schedules Develop and maintain budget, cost control systems and conduct cost estimating as necessary. Conduct Contractor invoice review, verifications and processing.
6 Perform contract administration functions. Perform claim management and dispute resolution activities as necessary. Develop, implement and maintain reporting, documentation and data management functions as necessary. Document all project meeting, presentations and transmittals COORDINATION Provide and facilitate coordination activities between the following entities: Governmental agencies including other City and County agencies and departments. Metropolitan Districts, Forest City Stapleton and Stapleton Development Corporation and; Coordination of general site activities involving SIA tenants, site utility use and abandonment, private and public utility departments/companies, and third parties approved for site access PLANNING AND DEVELOPMENT The Consultant shall be required to perform various tasks relating to the planning and development of the Stapleton Site. This work shall include the following tasks: (a) Work shall include review and determining information of infrastructure corridors. (b) The Consultant shall establish control and monitor technical standards within the boundaries of the large areas being remediated. (c) Providing assistance in coordination and review of proposed easements over City property; review and monitoring access permits, assistance in coordination of new infrastructure with existing utility abandonment by the developer; and coordination of Forest City construction with all surrounding parties OVERSIGHT Comply with all Federal, State and Local laws. Ensure Federal, State and Municipal permits required at the site are in compliance. Inspect, monitor and document all activities within the scope of work for the building demolition, environmental restoration and runway and taxiway removal programs.
7 3.0 EXISTING FACILITY INFORMATION 3.1 HISTORICAL INFORMATION CITY SUPPLIED INFORMATION The City makes no representations, warranties, or guarantee expressed or implied regarding the accuracy or completeness of any of the documents or information provided to proposers by Denver or its employees, agents, representatives, and contractors BACKGROUND INFORMATION AND USE OF CITY CONSULTANTS The use of current City Consultants for information and background regarding SIA is prohibited. 3.2 GENERATION OF NEW INFORMATION SUBMITTALS, REPORTS, CORRESPONDENCE AND DATA Submittals, reports, correspondence and data generated during the duration of this project will be transmitted to the City for inclusion in the historical database and document room ELECTRONIC DATA Electronic data generated during the duration of this project will be transmitted to the City for inclusion in the historical database and document room. 4.0 NOTICE TO PROCEED The City shall provide written notification to the Consultant when to proceed with this Scope of Work. The Consultant shall not be authorized to proceed with any work described in this Exhibit A and the City shall not be obligated to fund any work conducted prior to the written notification that such work is to be performed. 5.0 BUDGET FOR PHASING AND TASKS
