4 Mergers and acquisitions Geneva Berne Zurich Seminar M&A is an integral component of corporate strategy. Virtually all companies face situations, whether occasionally or repeatedly, where strategic decisions need to be made regarding the acquisition of a company or the disposal of their own operating units. During this course, we will discuss strategic considerations relating to acquisitions and divestments and will examine the whole M&A process from initiating to concluding a transaction. Throughout the seminar, case studies will be used to draw from real-life situations. Key components of this course include strategic considerations of M&A, the valuation of targets, financial structuring, due diligence, legal and tax structuring of transactions and negotiations. There will also be enough time for discussions and sharing knowledge. After participating in our seminar, you will be able to understand the most important stages for successfully concluding an M&A transaction. 6 Financial modeling in Excel Geneva Basel Zurich Seminar Financial modeling is increasingly used as an important basis in the corporate decision-making process, including: financial forecasting and budgeting; liquidity planning; evaluation of strategic options; valuations; impairment testing; purchase price allocations; and variable compensation schemes. However, financial models are often not built according to best practice. Further, in many cases the diligence applied in building models is low compared to the financial implications of potential errors in these models. Hence, key questions to be covered in this seminar include: How can financial models be clearly structured in Excel in a flexible and robust but still catchy way? How can they be arranged to be less error-prone? How do financial models support management decisions best under uncertainty? In this training, we will focus on fundamental aspects of building sound financial models. Theoretical parts will be completed by practical exercises in Excel and a projectevaluation case study with integrated financial statements. Specifically, you will be guided through best practice approaches in terms of setting up financial models and managing the build process. You will also be able to enhance your Excel skills based on practical examples. After our seminar you will be capable of meeting challenges in financial modeling while better understanding and assessing existing financial models in your organization. All of our course instructors have a sound background in Finance and the required Spreadsheet Modeling Know-how. 8 Valuation Geneva Zurich Seminar Valuing companies or single assets is one of the core competencies of any finance department and business development team. A detailed understanding of how a company s value is measured and increased is a must for anyone in management. This seminar discusses approaches for valuing companies and builds on these by examining practical examples. A significant portion of our seminar will be dedicated to the discounted cash flow method and the market multiples analysis. Additionally, this seminar will focus on advanced valuation topics, such as discounts and premiums, valuation of intangible assets and the challenges in valuing start-ups. The aim is to eliminate uncertainties in valuation and to identify any potential scope for the interpretation of valuation ranges using specific practical examples.
