SCORECARD OVERVIEW Facilitate a discussion on defining what a scorecard is and does Review a definition of a System Scorecard and a Board of Directors Scorecard and discuss the difference Introduce the concept that the Board of Directors Scorecard should provide tangible evidence of each Directors value add to the system Outcome: Everyone understands the purpose and desired outcomes of the retreat. SCORECARD DEVELOPMENT Distribute index cards and ask each Director to write a list of potential scorecard categories that could be used to measure the Director s value add Ask each Director to report out Facilitate a discussion to finalize the categories Identify metrics for each category which would demonstrate performance Outcome: A draft Board of Directors Scorecard. 12 Board Purposes 1. Oversee and set policy for the operation and direction of the health system* 2. Provide appropriate succession plan and provide oversight to ensure management executes 3. Provide oversight of that which is the mission and vision of the system being elected makes us responsible to our community and its interests 4. Guidance through policy making which gives the parameters for the system to function 5. To bring order and working peace to the organization and bring ethics to the care of the sick 6. Have fiduciary responsibility for the health system and hire and evaluate the CEO 7. Balance the mission of a public health system with interest of the public that elected us 8. Primary organization giving direction to the system pertaining to patient care. More than merely policy but safety, transparency and leadership 9. To assure that the public LMHS fulfills its mission to provide comprehensive health services to Lee County residents and visitors within the constraints of economic and programmatic reality 10. To ensure exceptional quality care in a personalized and professional manner 11. To fulfill the responsibilities in the enabling act 12. Oversee and steer the LMHS ship on behalf of the citizens of SWFL 13. To protect the trust of the public in the matters of delivery of health care 8
13 Functions Should Perform 1. Ensuring quality to fulfill the mission and vision of the system for the citizens of Lee County 2. Should have a public outreach function to educate the public system advocate to the community around particular issues of importance 3. Financial oversight 4. Establish boxes and their boundaries for issues critical to the organization (e.g. Red Rules) with a collaborative approach 5. Eyes and ears of the Medical Staff an outlet for them 6. Being prepared for meetings read material before meeting so prepared to ask questions 7. Attendance so can participate in the discussion around any issue 8. Safety assure mission of safety of mission is fulfilled and meets its goals 9. Liaison role 10. Credentials and privileging physicians 11. Employ and evaluate CEO and ensure Succession Plan in place for CEO and that CEO has one for mission critical positions 12. Oversee that there is a Strategic Plan in place and evaluate on a regular basis 13. Support the decisions of the Board 14. Governance not management 15. Advocate for fund raising 9
14 Business Scorecard A Business Scorecard is tool that provides a snapshot of selected factors of the company's performance and may include metrics such as financial, customer, employee, community, technology, suppliers, processes, and innovation in comparison with your industry peers and competitors. 10
15 Key Question Is there any difference between a Balanced Scorecard that's used for the Board of Directors and one that's used for the management team? Can the same scorecard be used for both? Boards of Directors have different roles in different types of organizations. Typically the board is responsible for the actions of the CEO or Executive Director as well as the results of the organization. They are responsible for the "What" and not the "How. You could then see a BOD scorecard just having the outcome objectives on the strategy map. So I guess, in summary, you might find that a BOD scorecard would be the same or just a summary of parts of the enterprise scorecard. The only times that I have seen things on a BOD scorecard that are not on an enterprise scorecard is when the BOD is trying to add unique value and or improve its own performance as a unit.
