8 Terms and Conditions Ordering 1. All requests must be placed with the designated FedEx packaging sales consultant identified above. The packaging sales consultant is the point of contact regarding any questions. 2. A supplies request quotation must be approved by the customer for all products requested. 3. Customer orders will only be accepted for processing once the quotation is either confirmed via or signed and faxed to the packaging sales consultant. Confirmed or signed quotations will be considered a Purchase Order (PO) following acceptance by FedEx. 4. The PO submission cut-off time for same-day processing is 3:30 p.m. EST. POs placed after 3:30 p.m. EST will be processed the following business day. The PO must be submitted by an authorized customer representative and the packaging sales consultant may request additional information to confirm prior to accepting the PO. 5. Minimum order size may apply. Price 1. All quoted pricing is valid for a period of 60 days from receipt of the fully executed PO. a. All quotations shall include any associated shipping and handling charges but may not include any state/local tax where applicable. Customers should contact their packaging sales consultant regarding information concerning taxes. b. Unquoted pricing is subject to correction or change without notification. c. FedEx Express reserves the right to accept or reject any PO or supplies request. Sales Tax 1. Customers are responsible for payment of all applicable state and local taxes and for providing a valid sales tax exemption certificate where applicable. Such certificates must be presented when approving the quotation for processing. When placing a request, the customer must indicate whether certain requested product(s) are tax exempt. The packaging sales consultant will calculate and provide the tax rate and dollar amount due for each quotation. Shipment and Delivery 1. All POs will be processed and the packaging will be delivered by FedEx Express to destinations within the U.S. 2. International orders will not be accepted. 3. All PO shipments will be delivered via FedEx 2Day service or FedEx Freight standard delivery as determined by FedEx Express at the time of fulfillment. Expedited shipping services are not available. 4. All POs are subject to current manufacturing lead times and are dependent on current supplier inventories. Payment Terms 1. FedEx Express will invoice the customer for the submitted PO only after products are shipped. 2. Customers will receive a paper invoice for the products purchased. The customer s FedEx Express account will not be billed. 3. Payment terms are Net 30 from the date of the FedEx Express generated invoice.

9 Terms and Conditions Product Returns 1. All sales are final. 2. Product returns will not be allowed unless there is breach of fulfillment in the type or amount of packaging by FedEx Express. 3. The customer must contact the packaging sales consultant within 15 days from receipt of the product to dispute any delivery and request approval for return, otherwise the request will be denied. 4. Customer must provide FedEx with all documentation and proof that FedEx may request. Indemnity 1. Customer agrees to defend, indemnify and hold harmless FedEx, its parent and affiliate companies and their respective officers, directors, employees, agents and representatives from any and all claims (i) arising out of customer s breach of any of these terms and conditions, and any of customers activities conducted in connection with this site. Disclaimer of Warranty and Limitation of Liability 1. FedEx, on behalf of itself and its parent and affiliate companies, (collectively FedEx ), advises that all packaging is provided as is. FedEx disclaims any and all warranties, express or implied, including without limitation, the implied warranties of merchantability, fitness for a particular purpose, title and non-infringement, regarding the packaging and your ability or inability to use the packaging. FedEx does not warrant that the packaging will meet all of customer s requirements, will be defect free, or that any defect will be corrected. 2. Use of the packaging is at customer s sole risk. FedEx will in no event be liable to you or any person or entity claiming through you for any direct, indirect, consequential, incidental or other damages under any theory of law for your purchase and/or use of the packaging even if you have advised FedEx of the possibility of such damages. Termination of the Program 1. FedEx Express may elect not to accept any request or PO in its discretion. 2. FedEx Express may block, terminate or suspend the program and/or the customer s eligibility for this program at any time for any reason in its sole discretion. Ownership 1. All FedEx Express packaging and logos are protected by U.S. and international copyright, trademark and other laws FedEx. All rights reserved. Terms and Conditions 1. The customer is responsible for ensuring all shipments utilizing the packaging comply with the terms of the FedEx Service Guide or customer s FedEx transportation agreement, if any.
