14 WORK PLAN / PAYMENT STRUCTURE Talentstone will perform the following: ASSIGNMENT BRIEFING: Meeting / Teleconference with Client - take full job specifications and candidate profiles to gain full understanding of requirements and expectations of key stakeholders. RESEARCH & BENCHMARKING: Develop a Roadmap of the Search Universe, Research the marketplace, and compile list of 'target' companies / comparative environments. SOURCING: Identify potential Candidates within the Search Universe, Advertise the position on relevant networks, Research existing databases. CANDIDATE ENGAGEMENT: Approach Candidates to ascertain their interest in a career opportunity, understand their career path and career history and profile them in line with requirements. CANDIDATE ASSESSMENT: Using psychometric and skills assessments in line with in-depth competency interviews, we assess suitability, capabilities and desire to join the Company. SHORTLIST REPORT PRESENTATION: Get permission from Candidates to forward their CVs to the Client, prepare full report on shortlist including assessments, salary details and expectations. CLIENT ASSESSMENT PROCESS MANAGEMENT: Brief Candidates, Manage timing and coordination of the Client s interview process confidentially ensuring swift and pertinent feedback on both sides. De-brief Candidates and Client on conclusion of interviews. OFFER NEGOTIATION AND ONBOARDING: Check references upon request by the Client, Act as the honest broker to ensure a win-win situation and assist with any additional assessments. ASSIGNMENT DEBRIEF: Part of our ethos require that we receive honest feedback from the Client. 14
15 WORK PLAN / PAYMENT STRUCTURE Our fees are based on the level of staff and the time required to complete each assignment, excluding Value Added Tax (VAT) (assessed at 5% of the fees), and out-of-pocket expenses, such as transportation, stationery, etc. which will be billed separately when incurred. Candidate Assessments & Advertisement Expenses (if required) is payable prior to commencement of the assignment upon signing of our engagement letter by Client or vice versa. Other engagement fees is payable within fourteen (14) days of the date of invoice or in line with other payment terms as agreed with the client. We intend to submit a full shortlist of candidates within two(2) to three (3) weeks from the date of signing our engagement terms and payment for our advance billing (per terms). 16 TERMS AND CONDITIONS FOR SEARCH & SELECTION CONTINGENCY RECRUITMENT No fee will be charged for the shortlist and presentation of a minimum of 3 Candidates. A completion fee of 12% of the total fee based on the anticipated gross annual remuneration and/or allowances excluding year-end bonuses is payable within 14 days after an applicant accepts an offer in writing. SCARCE SKILLS / SENIOR MANAGEMENT CONTINGENCY RECRUITMENT No fee will be charged for the shortlist and presentation of a minimum of 3 Candidates. A completion fee of 15% of the total fee based on the anticipated gross annual remuneration and/or allowances excluding year-end bonuses is payable within 14 days after an applicant accepts an offer in writing. RETAINED / EXECUTIVE SEARCH Retained fee of 17.5% of anticipated gross annual remuneration and/or allowances. A retainer deposit of 1/3 of the amount is due immediately upon commencement of assignment and not refundable under any circumstances. A completion fee of 2/3 of the total retained fee based on the anticipated gross annual remuneration excluding year-end bonuses and/or allowances is payable within 14 days after an applicant accepts an offer in writing. **** Our fees are subject to discussion and review based on specific client circumstances 16
17 STANDARD TERMS AND CONDITIONS FOR SEARCH & SELECTION GUARANTEE PERIOD Should an engaged Candidate terminates employment within 180 days of the date of commencement, provided that the Client has settled all due payments within 2 weeks of invoicing and the termination is not due to redundancy, Talentstone will endeavour to find a replacement at no additional cost once and for all. If a replacement be required, Talentstone should be notified in writing within 14 days of the employee's last working day. If the Client chooses not to take on any replacement Candidates proposed by Talentstone within3 months of notification, the agreement falls away. 17
18 STANDARD TERMS AND CONDITIONS FOR SEARCH & SELECTION GENERAL TERMS Clients are required to personally interview and to approve of any Candidate prior to such Candidate being presented with an offer of employment. Any decision as to whether or not to engage any Candidate shall lie solely with, and be the sole responsibility of the Client. Reference checking will be conducted either by the Client or by Talentstone upon the request of the Client. Please Note: References cannot be warranted and no liability will be accepted by Talentstone for any loss, expense, change or delay arising from the negligence, dishonesty or misconduct of an applicant introduced. Information that we have received in writing or verbally from the Candidate is considered to be both accurate and true, and is accepted in good faith. Although measures are taken to ensure accuracy of such information, we cannot be held responsible for any action or cost resulting from incorrect information or misrepresentation by Candidates. A Client may not contact a Candidate, employer or referee without the permission of the relevant Talentstone consultant. Our recruitment fee is charged to the Client if any Candidate presented by Talentstone is hired for any position by the Client, or introduced to a third party by the Client within 12 months of presentation. The responsibility will fall onto the Client to obtain visas for Candidates. Talentstone will help facilitate the process as a liaison between the Client and the Candidate. 18

Currently, we engage the network (alumni, current & graduating students) with over 35 leading business and graduate schools across the United States, United Kingdom & Europe such as HBS, Wharton, Stanford, Tuck, Darden, LBS, INSEAD, IMD, IE, MIT Sloan, Darden, Fuqua, Booth, HKS, Columbia, Kellogg, Oxford SBS, Judge, Imperial and so on to mention a few.
