1 Super Bowl XLIX Seller Fulfillment Requirements for all Advanced Sales By signing below and by listing tickets to the Super Bowl on StubHub, you agree that these Super Bowl Fulfillment Requirements (the Requirements ) are incorporated by reference into your User Agreement with StubHub and form a legally binding part of your relationship and agreement with us. Please pay very close attention to these requirements. Failure to follow these instructions could result in penalties or fees. 1. Zone Map Requirements Below are the 2015 General StubHub Super Bowl XLIX Zone Seat Map and Advanced Seller Fulfillment Map for zone only selling. Due to the high profile nature of this event, all Super Bowl ticket sellers must have a duly authorized signatory agree to and sign these requirements. Approved sellers will be able to list their tickets in pre-determined zones, which will allow them to sell their Super Bowl tickets on StubHub well in advance of the event. Until StubHub changes the map to both zone and specific sections (the Hybrid Map ), all tickets must be listed by zone as set forth in the map below (the Zone Map ). The change to a Hybrid Map will take place sometime in early January. Attached are the detailed instructions for listing tickets on the Zone Map only. 2 2. Seating Area Requirements a. Accepted Seating Sections: The requirements below are based on use of the Zone Map only. These requirements are specific to how sellers need to fulfill orders that were placed using a Zone Map. Once StubHub switches to a Hybrid Map these requirements will no longer apply. Please see map above for visual display of accepted sections. Consecutive Seat Fulfillment: All orders taken for the Super Bowl will need to be filled with consecutive seats. There will be no tolerance for any orders delivered in multiple pairs, regardless of what information is indicated in the notes. Our Super Bowl policy is that orders must be filled with consecutive seats in the quantities sold. Please make sure this is not an issue and sell accordingly. c. Prohibited Items: Please do not list non-event passes, such as parking or club passes. We cannot guarantee parking passes, club passes, or other non-event tickets/passes/vouchers, and selling such passes is not allowed on StubHub. d. Will Call Only/NFL Lottery Tickets: Listing lottery tickets, or any Will Call only tickets that cannot be retrieved from the venue until the day of the event, is not permitted. StubHub requires physical delivery of all tickets prior to the day of the game. Any completed orders that cannot be delivered to the StubHub Super Bowl XLIX Fulfillment Center on the required delivery date will be cancelled and replaced for the buyer at the seller s cost. 3 e. Auxiliary Seating: All orders must be filled with permanent seating tickets. If the NFL announces that there will be additional seating added to the venue, we will create a new section for auxiliary seating upon release of the Hybrid Map. No advanced sale orders will be filled with temporary seating. Those seats will be marked with an A on our seat map. Failure to list Auxiliary seats with the proper notation could result in cancelled orders and charges. f. Suites: All orders for suite tickets must be filled with actual (stadium) seats. The sale of barstool seating or Standing Room Only (SRO) tickets will not be accepted as a suite ticket sale. If you would like to sell barstool seats or SROs, you may sell them as part of a full suite. If you are selling a half suite, the ratio of actual (stadium) seats, barstool seats and SROs must be the same. For example, if your full suite has 24 tickets (12 actual seats, 6 barstool seats & 6 SROs), then you must fill the order with 6 actual seats, 3 barstool seats and 3 SROs. If you are selling individual tickets to a suite, you may only fill the order with actual (stadium) seats. **Please note: it is expected by StubHub that all owners of the suites are aware of their tickets being sold on StubHub. In the event that a StubHub buyer is not honored with, or able to enjoy the seat or suite amenities, the seller will be solely liable for all charges costs that are necessary to make it right and accommodate the buyer, regardless of whether or not the seller is also the owner of the suite.** 3. Super Bowl XLIX Completed Sales Fulfillment Timeline Super Bowl XLIX is a Last Minute Services (LMS)-only event. Due to the high value of Super Bowl tickets, buyers will not receive tickets by mail. Sellers must deliver tickets in advance to the StubHub Super Bowl Fulfillment Center, where buyers will be required to pick up their tickets. All sellers that agree to the terms and conditions will be granted approval to list tickets during our advanced selling window. All listings will remain active on StubHub until Tuesday January 27, 2015 at 3pm ET. There will be two options to deliver your tickets to LMS: a. Shipping: If your tickets sell up to January 27, you will be ed a pre-paid shipping label beginning the evening of Saturday, January 24 to ship your tickets to our Super Bowl team. Failure to use the label provided may result in the cancellation of some, or all of your Super Bowl orders. These shipping labels will be for completed sales only, and must be shipped in a box (For Insurance Reasons Please Do Not Ship in a Shipping Envelope). You must ship all tickets sold through Sunday, January 25, on or before Monday, January 26. LMS will continue to provide labels for all sales which occur until your listings expire on Tuesday, January 27. DO NOT SHIP UNSOLD TICKETS IN SAME BOX AS COMPLETED ORDERS. This can lead to delays in processing and possible return of tickets. All sales must be shipped out no later than Tuesday, January 27 via the lms provided shipping label. Any order not in hand by Wednesday, January 28 may be cancelled and your account possibly charged to find replacement tickets. b. Delivering your tickets to the StubHub Super Bowl Fulfillment Center: If you choose to deliver your tickets in to our LMS location (specifics on location will be ed) you will be able to begin dropping off your tickets Tuesday, January 27. All completed orders will need to be dropped off to us no later than 3pm MT on Wednesday, January 28. Hours of operation will be 10 AM to 6 PM, local time beginning Tuesday, January 27. Any completed orders not received by the above deadline will be cancelled and subbed at your expense. 4. Sending in Unsold Inventory for Drop off Services/ Local Extensions Page 3 of 5

4 If you would like to keep your listings active past January 27, you may take advantage of our Drop Off Services for Super Bowl tickets, by sending unsold tickets to us beginning Monday, January 26 for delivery no earlier than Tuesday, January 27. Alternatively, you may drop your tickets off in person at the StubHub Super Bowl Fulfillment Center beginning Tuesday, January 27 and throughout the rest of the week from 10 AM to 6 PM. You will be responsible for creating your own shipping label and for all shipping costs related to any unsold tickets that you send. StubHub will not be taking responsibility for any tickets shipped to LMS until you receive a confirmation of receipt from one of our LMS representatives. Reminder: Please refrain from sending anything to the StubHub Super Bowl Fulfillment Center prior to Tuesday, January 27. In order to receive an extension to sell tickets without dropping off with LMS, you must present yourself and your inventory to us at the StubHub Super Bowl Fulfillment Center for approval. These extensions will only be granted onsite. No extensions will be granted prior to Tuesday, January Payments All payments for tickets sold to the Super Bowl XLIX will not be processed until after the event takes place. Payments for completed sales will begin processing to your Payment Method within one business day after the event. PayPal payments will be delivered electronically within 5 business days; checks may take an additional 7 business days to be delivered. 6. Penalties for Violations Keep in mind, listings that violate any of these standards may be removed without notice, any sales may be cancelled, and you may be held liable for all additional charges we incur to satisfy the buyer under the terms of our FanProtect TM Guarantee or to otherwise compensate the buyer for a dissatisfactory experience (in our sole reasonable discretion). 7. Key Dates Early January: StubHub will switch from Zone to Hybrid seat map to allow for exact section/row listing Saturday, January 24: StubHub LMS will begin ing shipping labels to Sellers with completed sales Tuesday, January 27: StubHub will begin accepting tickets (sold or unsold inventory) at our StubHub Super Bowl Fulfillment Center. All Super Bowl listings without extensions will expire at 3PM ET. Wednesday, January 28 (3PM MT): Deadline for all completed Super Bowl sales to be at the StubHub Super Bowl Fulfillment Center. Fulfillment Center Operations Hours (Week of game): Tuesday Saturday: 10AM 6PM MT Sunday: 9AM - Game time StubHub Super Bowl XLIX Fulfillment Center will be announced in January along with shipping and delivery information for your Super Bowl XLIX tickets. 5 Once you list Super Bowl XLIX tickets for sale and a buyer your tickets, you are responsible for fulfilling the order with the exact tickets that you listed. You will be charged a replacement fee if you list tickets for sale and are unable to provide the exact tickets you listed. Please be aware that if you buy from another seller off of StubHub to fill your advanced orders outside the advanced fulfillment window (the Hybrid Window), you are still required to fill the orders in the sections called upon in this document. You are solely responsible for making sure you buy the correct locations needed to fulfill your advanced zone sale. In the event a replacement fee is necessary, your credit/debit card will be charged for the amount StubHub, Inc. incurs to acquire comparable or better replacement Super Bowl XLIX tickets for the buyer. StubHub, Inc. reserves the right to cancel any order that it identifies as fraudulent. As a seller for this event, you agree to release StubHub of any financial responsibility relating to an order deemed to be fraudulent. StubHub, Inc. reserves the right to restrict the amount of tickets that you can sell for the Super Bowl at any given time. This includes number of completed sales and/or total tickets sold. By signing below and by listing your tickets on StubHub, you are representing that you understand and you agree to be bound by these terms and authorize StubHub, Inc. to charge your credit/debit card the replacement fee as described above in the event that you cannot provide the tickets you list for sale.
