3 3 Univergy is a Spanish-Japanese group headquartered in Tokyo which develops, constructs and operates solar photovoltaic projects in several countries. The group started up in May Its shareholders are companies with an extensive track record in the renewable energy industry as developers, constructors, sponsors, owners and operators of solar and wind facilities and its managing team is more than 20 years experienced in the energy sector. The group has grown significantly, developing a project pipeline of 950 MW in solar photovoltaic projects in Japan, where is currently involved in the construction of a significant stake of this pipeline and also working in building projects from other developers. Univergy has just started opening new markets in Besides Japan, the group has a presence in Bangladesh, Vietnam, Philippines, Taiwan, Sri Lanka, Colombia, Mexico, Panama, Argentina, Spain and The Netherlands developing a pipeline of 2.6 GW on these countries. With reference to EPC business, Univergy has participated in the construction of 188 MW in Japan and 60 MW in the Philippines and is currently involved in the construction of 120 MW in Japan in four plants from 17 to 50 MW.

4 Univergy Development is the division in charge of getting all the PLA s (permits, licenses and authorizations) required to develop our projects in Japan, ruling the procedures and supervising the development works in the new markets. Univergy Development selects the most adequate site for each project by visiting the land and performing the feasibility study. Once the suitability of the land is proven, the next step is dealing with the landowner to get a MOU (prior to sign a lease or purchase agreement), submitting all the applications and getting the corresponding PLA s on behalf of the SPC (Special Purpose Vehicle) owning the project. Our current pipeline is 950 MW in Japan and 2.6 GW in the rest of the world, totalling 3.55 GW worldwide. 4

6 Univergy EPC offers expertise in construction, commissioning and operation of both solar PV and wind power systems in a wide range of facilities, from small rooftop installations to large ground mounted PV plants. Professionalism, quality, state of the art and a relationship of confidence with each of our stakeholders, are core values in our corporate DNA. Univergy EPC presents a wide range of abilities, either as a main EPC or as a sub-contractor, with 128MW already COD. There are some projects under construction, in particular 12MW as main EPC and 70MW as sub-contractor, all of them already sold. Univergy EPC is allowed to perform any work and subcontract unlimited amounts of work with contractors and rights to build 337 MW and keep growing. 6

7 OUR VALUE CHAIN: EPC (MANAGEMENT) SALE ENGINEERING PROCUREMENT CONSTRUCTION COMMISSIONING ENGINEERING Engineering, planning, layouts and planimetry, mechanical electrical designing and leading construction management throughout the entire process, standing by until the system is commissioned, operative and producing reliable clean energy. PROCUREMENT Managing contracts and agreements with selected equipment suppliers to procure the best deal and meet the needs of our investors in terms of quality, quantity, cost, time and guarantee: mounting systems, PV modules, cabling and junction boxes, inverters, transformers, etc. CONSTRUCTION Executing the Solar PV construction, meeting the highest quality process and assuring customer expectations: detailed engineering, final designing, project and site management, civil works, fencing, assembly and mechanical works, low and medium/high voltage, along with all the possible subcontracting management. COMMISSIONING Starting and running the facility to meet the best performance expectations and agreed deadline. Commissioning assures the PV system is designed, installed and tested according to the highest standards and requirements of all the parties involved. 8 Univergy s team knows how to achieve the best production results, therefore it is necessary to carry out an exhaustive performance monitoring of the photovoltaic plant. Considering the climatic parameters (irradiance and temperature), it is possible have a real-time control of the plant s performance. Many errors may affect production in different ways, which are classified in different categories: Mild, Moderate and Severe. Focused on diversifying our services portfolio, our Geomatics division is ready to offer services to any company in an industry where the spatial or geographic component of land is important. 11 Univergy Solar Pumping is in charge of developing, building and operating energy management systems for pumping water using solar energy. Solar pumping installations use the solar energy to reduce the cost per water pumped in irrigation, domestic water supply, and pumping stations. Clients include farming companies, municipalities, and water resource departments. Univergy Solar Pumping analyzes the irrigation and water needs of the site and performs a feasibility study in every project. We design the solar installation, select the appropriate pumps, and customize the energy management system to optimize the return on investment of each project. Solar pumping installations are monitored remotely to reduce downtime. Univergy Solar Pumping has developed, in collaboration with Fuji Electric Europe GmbH, the most advanced energy management system for water pumping with renewable energy Our installations have proven to be successful under thousands of operational hours. 11
