The Bidder Company should be ISO 9001:2008 and ISO compliant. The Bidder or its Parent company should be the direct OEM of the products / Sub systems/ System Integrator having experience in executing Smart City Projects. The bidder should have arrangement to finance any value Smart City Projects Annual turnover of the bidder during last 3 year should not be less than INR 100 Crore (in each of the last 3 Financial Year). The bidder should have a positive net worth for the previous 3 financial years from the date of EOI. This Clause is deleted/waived off. The Bidder Company should be ISO 9001:2008 / ISO compliant. The Bidder or its Parent company should be the direct OEM/Service Provider of the products / Sub systems/ System Integrator having experience in executing Smart City Projects/similar projects. 5 EXPRESSION OF INTEREST [EoI] EMPANELMENT OF VENDOR/SYSTEM INTEGRATOR/PARTNER FOR UPCOMING SMART CITY PROJECTS ACROSS PAN INDIA AS CONSORTIUM PARTNER Part I Statement of Purpose and Bid Outline West Bengal Electronics Industry Development Corporation (Webel) headquartered in Kolkata, is the nodal agency of the Government of West Bengal for developing Information Technology, Electronics, ITES industries and E-gov. activities in the State and creating value for the citizens. WEBEL is a reputed organization which has been working in India for last four decades to the best satisfaction of its clients, and is known for its inherent strengths in executing turnkey projects and rendering consultancy services. WEBEL renders services from concept to completion which include Consultancy, Design, Survey, Supply, Delivery, Testing and Implementation of IT / ITeS/E-gov. projects. In sync with Government of India initiatives to promote Smart cities, WEBEL intends to venture into Smart Cities business by teaming up with leading Indian/ Global OEMs/System Integrators having wide experience in Smart City domain to pursue the vast business opportunities in the offing. Smart components of a Smart City Smart management of resources deployed for rendering services to citizens is imperative as these resources are scarce. The components of a Smart City are: 1. 7 ROLE OF THE BIDDERS: As a first step in this direction, WEBEL wishes to empanel globally reputed OEMs/System Integrators working in Smart City domain to work as partner with WEBEL on non-exclusive basis on back to back terms and conditions for the following activities: There can be 2 models, first one is where Webel is assigned the work on nomination basis, in other case Webel is participating in the bidding process as Lead Bidder. In both the cases, there is a requirement of System integrator who will partner with Webel with the preferred Technology Partner/OEMs for provisioning of the required Smart City Solutions. Explore Markets for business opportunities in the field of Smart Cities in West Bengal and PAN India either on nomination basis or through participating in the bidding process. OEM, WEBEL, SYSTEM INTEGRATOR can work together (consortium) either on nomination basis or through participation in the bidding process. The responsibility of designing the solution, arrangement of hardware, software and various other components as well as the management of the same shall be the responsibility of System Integrator. As designing needs to be done on case to case basis i.e. depending upon Customer s / RFP requirement, recommendations need to be sought by the System integrator in this regard from Webel also. Qualification/ Eligibility: The bidder is required to meet the following criteria and submit documentary proof seriatim along with their offer: Qualification / Eligibility for Smart City projects: a. The Bidder may be a Company, Partnership Firm or Sole Proprietorship Firm. The bidder should have existence in India for last five (5) years at the end of 31st March 2018 b. The Bidder or its Parent company should be the direct OEM of the products / Sub systems/ System Integrator having experience in executing Smart City Projects. c. The Bidder or its parent company should have successfully executed at least 2 smart city projects with project value minimum 5 Crores each till date. d. The Bidder Company should be ISO 9001:2008 and ISO compliant. e. Annual turnover of the bidder during last 3 year should not be less than INR 500 Crore (in each of the last 3 Financial Year). The bidder should have a positive net worth for the previous 3 financial years from the date of EOI. f. The bidder should have its own manufacturing facilities in INDIA. 5 P a g e

8 General Terms & Conditions 1. EOl should not be treated as a commercial tender document and bidders are advised not to offer any price or include any financial aspect with their responses. 2. This EOl does not constitute and will not be deemed to constitute any commitment or confirmation on part of WEBEL for any purchase/work order to the bidder. 3. Bidders shortlisted on the aforesaid EOI shall be required to sign an MOU with WEBEL on mutually accepted terms and conditions. The maximum validity of such MOU shall be 3 years which may be extended or curtailed at the sole discretion of WEBEL on the basis of performance of individual organization. 4. The bidder shall bear all costs associated with the preparation and submission of its response to this EOl, including cost of Demo/Presentation for the purpose of clarification of the offer, if so desired by WEBEL. WEBEL will in no case be responsible for these costs, regardless of the conduct or outcome of the EOl process. 5. The bidder should have arrangement to finance any value Smart City Projects 6. The bidder should send the following documents in support of eligibility criteria. Copy of Memorandum & Articles of Association. The audited balance sheet of last three years. Solvency Certificate. PAN Registration Certificate. GST Registration Certificate. Trade Licence/ Certificate of Enrolment. 7. The EOl document duly completed, numbered and signed by the authorized signatory should be submitted in sealed covers superscripting "Expression of Interest. 8. Due diligence should be exercised while providing information against the EOl. Unnecessary or irrelevant information will not give any advantage to the bidder. Only relevant and precise information should be provided. 9. Suppression of material fact/misstatement of information, if detected at any stage will lead to cancellation of the bid and forfeiture of EMD. 10. At any time prior to the last date for receipt of offer, WEBEL may for any reason, whether at its own initiatives or in response to a clarification requested by a prospective bidder, modify the EOl document by issuing clarification (s) and or amendment (s). In order to provide prospective bidders reasonable time to take the amendment into account in preparing their offers, WEBEL may, at its sole 6 P a g e

9 discretion, extend the last date for receipt of offers and/or make other changes in the requirements set out in the invitation for EOI. 11. While this EOI has been prepared in good faith, neither WEBEL nor its employees make any representation or warranty, express or implied, or accept any responsibility or liability, whatsoever, in respect of any statement or omissions herein, or the accuracy, completeness or reliability or completeness of this EOI, even if any loss or damage is caused by any act or omission on their part. 12. Offers received after the prescribed timeline shall be rejected and shall be returned unopened to the bidder. Earnest Money of Rs. 1,00,000/- (Rupees One Lakh only) by A/C payee Demand Draft/Pay Order drawn in favour of West Bengal Electronics Industry Development Corporation Ltd, payable at Kolkata shall be deposited along with the offer. Offers not accompanied by the Earnest Money will be rejected. Earnest Money of the unsuccessful bidders will be refunded within 30 (thirty) days of signing of MoU. The Earnest Money of the successful bidders will be retained till the validity of MoU. A pre-bid meeting with the intending bidders will be held at Webel Bhavan, Block- EP & GP, Sector-V, Salt Lake, Kolkata to discuss the issues concerning EOI and the scope of the work. Attendance in the pre- bid meeting is not a pre-condition for participation in the tender.
