3 REQUEST FOR QUALIFICATIONS Materials Recovery Facility I. PURPOSE The (the District) is seeking the services of a Vendor with the necessary professional and technical experience, expertise and capacity to assist the District in receiving, transferring, and processing recyclable materials that will be delivered to the District s yet-to-be-constructed Materials Recovery Facility ( MRF ) in Toledo, Ohio. The purpose of this RFQ is to identify a potential Vendor or Vendors as especially qualified to assist the District with respect to operating, and possibly constructing all or part of the MRF. Based upon the Statements of Qualification received, the District may choose to: a) ask for detailed proposals from one or more vendors deemed especially qualified or b) enter into direct negotiations with one or more vendors deemed especially qualified, with the goal in either case to ultimately enter into a contract with one Vendor. The resultant contract could require that the Vendor construct and own a fully equipped MRF, or that the District construct and own a fully equipped MRF, or that the District construct a MRF to be equipped by the Vendor. The exact terms will be negotiated. The District desires to have the MRF on-line by January 1, Interested Vendors are invited to submit a Statement of Qualifications that meets the requirements set forth in this RFQ. II. BACKGROUND The Ohio Solid Waste Disposal Act, effective June 24, 1988, mandated that all counties establish a Solid Waste Management District and a Solid Waste Policy Committee. Each Solid Waste Management Policy Committee is responsible for preparing, adopting and submitting to the Ohio EPA a solid waste management plan and then must update the plan periodically. In response, the Board of Commissioners of Lucas County formed the Lucas County Solid Waste Management District, in accordance with Section of the Ohio Revised Code. The District oversees the District Solid Waste Plan and its implementation. The District s programs include an extensive recycling drop-off network, an outreach and education initiative in partnership with Keep Toledo/Lucas County Beautiful (KTLCB), a business technical assistance program in partnership with the University of Toledo, solid waste and recycling services in partnership with various private sector profit and not-for-profit vendors and facility operators, and an overall (Date) 3 of 9

4 partnership with area municipalities including the City of Toledo in meeting the recycling access needs of the District. The District s website link to programs/services is as follows: The is committed to providing costeffective and environmentally safe solid waste management services for those who live and work in the District. As part of these services, the District provides recycling dropoffs at many locations in the District. That material is collected in two separate streams, Commingled Bottles and Cans and Commingled Fiber. The City of Toledo is the largest municipality in the District and curbside recycling is required in Toledo for the District to be in compliance with the Solid Waste Management Plan. The City provides every other week curbside single stream recycling to approximately 95,500 households in the City. The City collection program uses 96 gallon Toter carts at all households to enable automated collection by the District under agreement with the City as well as a collection services agreement with a third party hauler. Toledo s single stream curbside collection was fully implemented in This RFQ covers processing for Single Stream Recyclables from the City, Commingled Bottles and Cans and possibly Commingled Fiber from the District and potential host recyclables. III. DEFINITIONS Commingled Bottles and Cans means consumer originated material and food containers segregated from the rest of the municipal solid waste stream at the source, generally recognized as being commercially recyclable for another use or as feedstock for another use. Commingled Fiber means consumer originated paper and cardboard segregated from the rest of the Municipal Solid Waste stream at the source, generally recognized as being commercially recyclable for another use or as feedstock for another use. Single Stream Recyclables means a wastestream consisting of, but not limited to, recyclables including both Commingled Fiber and Commingled Bottles and Cans. Dual Stream Recyclables means separate streams of Commingled Bottles and Cans and Commingled Fiber. (Date) 4 of 9

5 IV. PROJECT INFORMATION A. Recyclable Streams The District s total recyclable tonnage [Commingled Fiber (approx. 77%) and Commingled Bottles and Cans (approx. 23%)] has grown steadily from less than 7,000 tons per year in 2002 to approximately 10,000 tons in The District s present dual stream tonnage is projected to operate at a rate of 610 tons per month for Commingled Fiber and 225 tons per month for Commingled Bottles and Cans. The District anticipates that the most efficient operation of the MRF will entail use of the District s Commingled Fiber, but the District is willing to consider scenarios that do not include use of the District s Commingled Fiber at the MRF, as the District s Commingled Fiber (approx. 610 tons/month) is currently being processed under an agreement with a third party, which is set to expire on December 31, 2014 and anticipated to be extended if in the best interest of the District. The City single stream curbside collection program serves approximately 95,500 households (including small businesses) with 60 & 96 gallon Toter carts. The District and the City of Toledo will coordinate delivery of all of the City s curbside Single Stream Recyclables (approx tons/month at present) to the MRF. In the long term, 25,000 to 40,000 tons per year are anticipated from the City because of recycling incentives. B. Existing Infrastructure The District s Commingled Fiber is currently being processed at 1011 Matzinger Road at a District-owned facility under an agreement with a third party. The District anticipates that the Matzinger Road facility will have insufficient capacity to house the MRF, but the District may consider scenarios to use the facility, possibly in conjunction with constructing an addition. Respondents may contact the District before the date identified below in Section V as the last day that the District will receive written questions and clarification requests, to request a time to inspect the Matzinger Road facility. C. Project Requirements The District anticipates ultimately negotiating a contract under which the Vendor will: 1. Process all of the District s and City of Toledo s recyclable wastestreams using the MRF. 2. Be responsible for any necessary financing required for those capital improvements (and possibly property acquisition) associated with the MRF not undertaken by the (Date) 5 of 9

Provide marketing services for the following types of incoming material in both single stream and dual stream loads, including all materials currently accepted by the City and District, at a minimum as follows: Newspapers including all flyers Cardboard Pizza boxes Magazines and catalogs Residential mail/junk mail Office paper Kraft paper bags Box board (cereal boxes, beverage cartons) Phone books Gift wrapping paper Shredded office paper All closed mouth plastic containers #3 through #7 household plastic Aluminum cans Other aluminum Aluminum foil Steel cans Tin cans Other household scrap metal Green glass Amber glass Clear glass milk cartons and drink boxes Favorable consideration will be given to respondents who demonstrate the ability to accept any or all of the following materials as optional as part of the commingled recyclables streams: clean bagged plastic film, other glass, and ceramics. Respondents are encouraged to demonstrate the ability to recycle other additional materials as optional alternatives for the District to consider. A renewable contract term of 20 years is anticipated. V. VENDOR EXAMINATION OF THE REQUEST FOR QUALIFICATIONS Respondents shall carefully examine the entire and any addenda thereof, all related materials and data referenced in the Request for Qualifications, and shall become fully aware of the nature of the request and the conditions to be encountered in performing the requested services. If a Respondent discovers any ambiguity, conflict, discrepancy, omission or other error in this, they shall immediately notify the District of such error in writing and request clarification or modification of the document. Modifications shall be made by addenda. Any addenda issued as a result of a request for clarification can be accessed on the Lucas County Support Services website at or by calling (419) and requesting a copy by mail. The last day that the District will receive written question and clarification requests shall be September 18, 2014 at 12:00 Noon EST. Provide the legal name and business address of Respondent s organization. 2. Provide the type of legal entity of Respondent s organization (whether a sole proprietorship, corporation, partnership or other legal form of organization) and a list of counties, states and countries where Respondent s organization conducts business. B. Provide the names and addresses of all owners of Respondent s organization. If Respondent s organization is a subsidiary of another company or companies, please indicate such and provide the legal name of that parent company, its business address, the names and addresses of all owners and the type of legal entity of Respondent s parent company or companies. If Respondent s organization is publicly traded on a stock market, provide only the stock exchange and symbol of the traded company at this time. C. Provide information demonstrating financial strength including, but not limited to, credit reports, reports from rating agencies or other sources that document sound financial practices and ratings. Also, provide the District with letters of support from any financial partners of the Respondent. D. Provide a list of all similar projects that are currently in operation by the Respondent, up to a maximum of ten most recent. If no projects are in operation, list similar projects or pilot projects implemented by the Respondent. Provide details of each project such as gross operational details, size, capital cost, operating costs, location and contact information. E. Provide up to three (3) business references that have supported the Respondent on past projects, including a project description and detailed reference information for contact by the District. F. Provide detailed information on any past or current claims or civil lawsuits or criminal charges for the past ten (10) years filed on behalf of or against Respondent, any subsidiary, business partner, employee, officer, or owner listed in response to any of (Date) 7 of 9

8 the above requirements. G. Describe any federal, state or local administrative actions or governmental inquiries, including without limitation Notice of Violations issued by the United States or Ohio Environmental Protection Agency against Respondent, any subsidiary, business partner, employee, officer, or owner, that have occurred in the last ten (10) years. H. Provide the following information regarding Respondent s vision for the project: 1. Project Approach Explain Respondent s anticipated methods of equipping and operating the MRF; identify approximate under-roof square footage and exterior paved square footage necessary to operate the MRF; identify labor force expected to be required to operate the MRF. 2. Ownership Structure and Financial Overview Describe Respondent s preferred financial relationship between the District and the Respondent. The District is willing to consider a variety of potential financial partnering relationships. Financial structures will eventually be judged on their sustainability, likelihood of success, ability to provide value to the District. I. Provide an organizational chart and resumes of key members of Respondent s project team who will be responsible for implementing any contract that Respondent may ultimately enter into with the District, including each individual s role. J. Identify and provide pertinent information regarding any key suppliers and subcontractors that Respondent anticipates using to implement any contract that Respondent may ultimately enter into with the District. K. Provide other information that the Respondent believes makes it uniquely qualified to provide MRF related services to the District. VII. EVALUATION OF RESPONSES The District will evaluate the responses to this RFQ and identify, in its sole discretion, any Respondent(s) it deems especially qualified. The District may ask for detailed proposals from one or more Respondents deemed especially qualified or b) enter into direct negotiations with one or more Respondents deemed especially qualified, with the goal in either case to ultimately enter into a contract with the one Respondent deemed especially qualified and providing the best value to the District, whether or not that Respondent is the Respondent with whom the District initially negotiates. The District reserves the right to reject all responses and/or deem no Respondent sufficiently qualified to negotiate contract terms with. The District also reserves the right to ask for additional information from any Respondent. (Date) 8 of 9

9 The District will make its determination of which Respondent or Respondents are especially qualified based on the responses to the requests for information given in Section VI above. The District may also consider the qualifications and experience of subcontractors and suppliers. The District may conduct such investigations as it deems necessary to establish the qualifications and financial ability of the Respondent and its subcontractors and suppliers. The District, in its discretion, may also consider other essential factors, as the District may determine. The District, in its sole discretion, may consider and give such weight to all criteria as it deems appropriate. VIII.
