1 SCOPE OF SERVICES EXHIBIT "A" RAIL / FREIGHT CONTINUING SERVICES CONTRACT INCLUDING RAILROAD MAINTENANCE MONITORING AND OPTIONAL SERVICES FINANCIAL PROJECT NUMBER: INTRODUCTION The Department requires the professional services of a Consultant to perform railroad maintenance monitoring in addition to a wide range of engineering, architectural, environmental mitigation, land surveying, technical, management and administrative services which may be needed to assist the South Florida Rail Corridor (SFRC) staff. The Consultant shall provide qualified technical and professional personnel to perform to Department Standards and Procedures the duties and responsibilities assigned under the terms of this Agreement. The Consultant shall minimize to the extent possible the Department's need to apply its own resources to assignments authorized by the Department. The Department, at its option, may elect to expand, reduce, or delete the extent of each work element described in this Scope of Services document, provided such action does not alter the intent of this Agreement. The Department may request Consultant services on both annual and on an as-needed basis. There is no guarantee that any or all of the services described in this Agreement will be assigned during the term of this agreement. Further, the Consultant is providing these services on a non-exclusive basis. The Department, at its option, may elect to have any of the services set forth herein performed by other consultants or Department staff. The Consultant shall be fully responsible for carrying out all functions assigned to it by this agreement or associated work orders. All activities and decisions of the Consultant relating to the project shall be subject to review and approval by the FDOT Project Manager. The Consultant shall provide coordination of all activities, correspondence, reports and other communications related to its responsibilities under this agreement necessary for the FDOT Project Manager to carry out their responsibilities. All files of the Consultant pertaining to any task assigned from FDOT shall be accessible and available to the SFRC Project Manager during all business hours for the life of the contract. A-1
2 2.0 BACKGROUND In May 1988, the State of Florida through its Department of Transportation purchased the CSXT railroad between West Palm Beach and Miami. This rail line is the former Seaboard Air Line railroad built in the 1920s. The State-owned rail line extends from north of West Palm Beach south approximately 72 miles to the Miami Intermodal Center (MIC). In addition, FDOT owns additional tracks including yard tracks, industry tracks, sidings, as well as the Downtown Miami spur and Homestead branch. The overall track ownership is approximately 217 miles. The main line parallels Interstate 95 and in many areas the two rights-of-way abut. The primary purpose of this purchase was to retain this strategic corridor for future transportation uses. CSXT and Amtrak retained rights to operate common carrier freight service and long distance inter-city passenger service, respectively. In January 1989, the Tri-County Commuter Rail Authority (TCRA), with assistance from the Department of Transportation, began operating a commuter rail service between West Palm Beach and Miami over 72 miles of the 76-mile main line. On January 25, 2013, the Governing Board of the South Florida Regional Transportation Authority (SFRTA) voted to accept the terms of the South Florida Operations and Management Agreement (SFOMA) at its monthly board meeting. The agreement transfers the responsibility for the South Florida Rail Corridor (SFRC) from CSXT to the State. The Board also approved an operating agreement between the SFRTA and FDOT, which confirms that SFRTA, provides for the dispatch and maintenance of the SFRC, in place of CSXT. SFRTA s commuter rail system serves Broward, Miami-Dade, and Palm Beach counties. Tri- Rail operates 50 trains per day on weekdays and 30 trains per day on weekends within the SFRTA Operating Limits. CSXT operates approximately 11 freight trains per day. Amtrak operates about 4 trains per day over the Corridor. 3.0 LOCATION AND EQUIPMENT The Consultant may be required to establish a field office in Southeast Florida (Palm Beach, Broward or Miami-Dade County), if the home or branch office is not located therein. This office will be staffed with a Project Manager, and core staff at a location approved by the Department to provide a service level for work of a continuing nature. The field office may be supported by the Consultant's home or branch offices. 4.0 MAINTENANCE MONITORING AND INSPECTIONS 4.1 INVENTORY Upon request of the FDOT Project Manager, the Consultant shall provide an inventory of A-2
3 State owned spare material on the Corridor, including all relay and second-hand equipment that the Railroad has removed from service. The Consultant shall make recommendations for re-use, storage, and/or scrapping of removed material. 4.2 FIELD INSPECTIONS Upon request of the FDOT Project Manager, the Consultant shall provide the following: Inspect field track work maintenance. Inspect field signal work. Produce and provide to the FDOT Project Manager weekly and/or monthly written reports for each site visit that delineate: The gang names and number of railroad employees working on the chosen site(s) during the period inspected, the identification numbers of all vehicles and equipment at the site, description of work equipment observed, and a description of the work being performed, to include a list of materials used. The site location should be identified by name (if applicable) and the nearest milepost. Separate reports shall be submitted for track and signal inspections. Field inspection reports shall indicate, in addition to the date, the time of the inspection, and the weather conditions. Document the Railroads' work progress for each element during each site inspection, and report observations. Early in this phase, the Consultant shall develop and submit a proposed standard Maintenance Inspection Form for approval by the FDOT Project Manager. This form shall include pre-printed spaces for inclusion of all inspection data described herein. Site field inspections shall be conducted on a random basis in order that all maintenance crews will be observed over a period of time. On the morning of an inspection the Inspector shall verify with the respective Roadmaster and/or the Signal Supervisor the proposed location of his crews and the work expected to be performed. 4.3 PROGRESS REPORTS For each Task Work Order, the Consultant shall submit progress reports. It shall emphasize work accomplished in verification of CSXT maintenance work efforts to comply with the annual maintenance budget agreement between the Railroad and FDOT. The report shall cover: Summary of inspection performed. Problems encountered. A-3
4 Consultant's expenditures to date vs. budget. For maximum limiting tasks, a listing of man-hours utilized during the reporting period, including but not limited to job classification, hours expended. 4.4 ADDITIONAL SERVICES The Consultant shall, as necessary, perform additional services as required by the Department, including but not limited to: Attending meetings, as directed by the FDOT Project Manager, or his/her representative. Compare maintenance items completed by the Railroad versus those described by the annual budget. Compare capital projects completed by the Railroad versus those described by the annual budget. Upon request, review any additional maintenance work and costs that may be submitted by the Railroad. This review shall be for consistency and compatibility with the agreed-to annual budget. The Consultant's inspector may be called upon to assist in the processing of invoices and the development of the corridor maintenance plan. 5.0 OTHER SERVICES 5.1 CAPITAL PROJECTS SERVICES Upon proper authorization, the Consultant shall: 1. Assist the Department in: Developing scopes of work for rail projects, special contract provisions, and project concept reports. Preparing estimated man loading requirements and estimates of cost for proposed services. Developing request for proposals, design build criteria packages, invitation to bid for rail related projects; Assist the Department in the review of the South Florida Regional Transportation Authority (SFRTA) procurements and contracts. Developing milestone schedules of overall time relationships authorized for the performance of services and coordination between various entities that are to be involved in a project. Developing Requests for Proposal/Scope packages for rail related projects. Assisting the Department with the review of railroad project A-4
5 proposals. Reviewing and determining validity of railroad claims for extra work and/or extensions of time for performance of services. Developing and issuing Request's for Proposal (RFP) for supplemental services. Negotiating with the railroads and/or its representatives regarding price proposals and/or adjustments in time for performance of services. Developing, reviewing and documenting supplemental railroad agreements for extra work of Amendments such as Extensions of Time for performance of services. Reviewing railroad's requests for payment. Developing and implementing procedures for consultant involvement in providing design services during railroad construction. Monitoring railroad performance of services to establish adequacy relative to contract intent. 2. Assist the Department in establishing controls and reporting systems to: Schedule, track, and monitor status of professional contracting activities. Provide and/or obtain subcontract advice on technical matters requiring specialized skills, techniques, or equipment PLANNING Assist the Department in: Review of each local comprehensive plan or plan amendment for compliance with Corridor and Yard Master Plan. Updating of the Corridor and Yard Master Plan. Certification of estimated project costs for economic feasibility determination. Informing the public of the status and impact of projects. Preparation of Project Concept Reports. Prioritization of design sections based on cost/benefit and funding scenarios. Train traffic modeling within the corridor to determine operational impacts of proposed capital projects. Preparation of noise and vibration reports. A-5
6 5.1.3 PRODUCTION ENGINEERING The Consultant may be authorized to perform the following services: 1. Management a. Project Management Project Management includes planning, scheduling, directing and controlling project activities from concept to the completion of a project. b. Pre-Engineering Services Review, critique and recommended project limits of work for each design section package. Review, critique and recommend conceptual design documents, including project design criteria that form the basis of the preliminary engineering and design contract section packages. Assist the Department in developing pre-qualification criteria for consultants performing track and/or signal work within the corridor. c. Project Control Services Support Establish and monitor project scheduling requirements and major milestone events for engineering/construction activities such as the following: Design Environmental Permits Utility relocations Construction Evaluate and validate consultant submitted schedules and their overall compliance with project milestone objectives. Evaluate physical progress of design activities versus schedule progress and report significant variances. Prepare and issue periodic status reports on project progress and document problems and delays. Prepare engineering estimates. d. Administrative Project Support For work authorized under this agreement, the Consultant shall develop, implement and maintain a document control and a filing system which shall govern the distribution and file copies of all program-related correspondence, reports, plans, technical data, etc. of the Consultant. Said system shall be subject to Departmental approval. Program/Project files shall be transferred to A-6
7 the Department upon completion of the work or as otherwise directed by the Department. Analyze claims against the Department arising out of a project or work thereon and provide support as required to effect to settlement of such claims. Furnish testimony in hearings, condemnation proceedings of other litigation and prepare trial exhibits. 2. Design Support for Railroad Infrastructure The Consultant may be authorized to perform the following: a. Design Support Review/coordinate and manage the work of phase design consultants. Review and comment on the preparation by Section/Design Consultants on construction plan at thirty percent (30%), sixty percent (60%), ninety percent (90%), and final completion; of construction specifications at ninety percent preliminary and final estimates of construction costs. Based upon such reviews, recommend acceptance and approval by the Department of such plans, specifications, and estimates. Upon completion of the plan review process, certify to the Department by letter that the plans, specifications and estimates have been reviewed and that the design is in accordance with both the applicable and current standards of AREMA, AAR, CSXT, AASHTO, FDOT, SFRTA and with the intended scope of work. Review design development compliance with approved project design criteria. Review and provide written response on the adequacy of all design consultant submittals of structural plans, track plans, signal plans, roadway plans and Right-of-Way maps. Provide Value Engineering Analysis. Advise and consult on questions of Engineering with respect to project design intent. Incidental survey work as may be required. Review, validate, and provide written response as to the state of design completion (physical progress) as reported by design consultants in their request for progress payments. Monitor design consultants' performance of services to determine adequacy of work performed relative to contract intent. Review and provide written response regarding the development of design and construction comparative cost estimates. Assist in expediting and obtaining necessary permits and other authorizations needed for advertisement for construction. A-7
8 Assist in evaluation and preparation of revised/supplemental environmental impact situations. Advise and consult on questions with respect to the construction of the project. Accomplish minor design activities as may be authorized such as Maintenance of Traffic Plans. Review of completeness and provide written response to the applicability of construction contract special provisions. Provide special engineering services including special studies and economic advisory/analytical services. Provide geotechnical advisory support services, where authorized. Provide survey support services as required on the railroad right-of-way. Acquire and manage subcontract services to obtain supplemental support, as authorized, when not provided by design consultants. Provide communications for public awareness on rail related projects. On an as-needed basis and if directed by the FDOT Project Manager, review shop and erection drawings as submitted by the railroad design consultants and/or contractors to require timely processing by the Design and/or CEI Consultant. b. Work Zone Traffic Control Review and verify available traffic data and develop additional data as - authorized. Review highway grade crossing closures. Review and assist in development of railroad stage construction layouts based on the following technical parameters: Engineering Analysis Transportation economics analysis Train Operation Modeling Construction and traffic control cost analysis Traffic and construction safety analysis Final construction plan compatibility Design minor traffic improvements. Develop emergency contingency plans. c. Utility Relocations in Railroad Right-of-Way Prepare preliminary utility schedule: Adjustments Relocations Review design consultants and/or railroads preparation of utility relocation A-8
9 drawings. Confer/coordinate with utility companies regarding crossings, closings and/or relocation of facilities and assist in the negotiation of utility agreements/permits. Evaluate utility company proposals and cost estimates for relocation work. Provide inspection and record keeping for relocation activities. Prepare the necessary documents to certify that utility conflicts are clear. d. Permitting Support - Rail Prepare and/or review and provide written comments on permit requirements. Prepare permit packages to include drawings and data that are provided by phase design consultants, or its own forces. Obtain Department approvals and submit permit packages to appropriate agencies. Assist in expediting permit application/approval processes. Provide an inventory of environmental permits, permit requirements, permitting schedule and permit preparation support. Coordinate permit schedule with project schedule. Assist in the review of plans and special provisions for Environmental Assessment / Environmental Impact Statement (EA/EIS) compliance. Review local zoning requirements for setbacks. Review plans, special provisions, and construction activities for permit compliance. Review proposed work within the corridor against the South Florida Rail Corridor's Master Plan to ensure compliance. 5.2 CORRIDOR INVENTORY GENERAL (1) The Consultant may be required to maintain an inventory of the following: Signal and Track material located within the Corridor. Buildings Train sets Second-hand material Other miscellaneous equipment (drop table, compressors, welders, etc.) (2) The Consultant shall have access to and perform inventory functions compatible with FDOT's recording system. This would include scanning inventory items, and A-9
10 completing forms when items are transferred, surplused, stolen or destroyed FDOT RESPONSIBILITIES FDOT shall provide contractor with the latest available FDOT inventory and other appropriate information which will help ensure a complete and accurate final inventory. 5.3 RISK MANAGEMENT The Consultant may be required to assist the Department in all phases of risk management pertaining to the SFRC. With respect to accident investigations, the Consultant may be required to: Compile reports and information in order to advise the Department of fair and reasonable monetary settlements with claimants. Be able to respond on a 24-hour basis to the scene of an accident when so directed and bring about a completed investigation, including photographs and videos. Have the ability to produce expert witnesses relative to train operations, railroad safety rules, locomotive and coach mechanical expertise in a Court Law or as directed by the Department. Have the ability to conduct surveillance and/or personnel observation of claimants as directed by the Department. Have the ability to research and produce copies of personal records, criminal records, and court rulings regarding claimants as directed by the Department. Review cases and advise the Department of potential financial liabilities using comparable cases. With respect to general risk management issues, the consultant may be required to assist the Department with: Review of general liability insurance needs; Review of specific capital project insurance needs; and Review of insurance requirements for permit projects. 5.4 ENVIRONMENTAL SERVICES The FDOT Project Manager may assign work orders to the Consultant to provide professional services pertaining to conducting an environmental analysis and preparing or reviewing environmental reports. The Consultant shall provide management oversight support for these section-level efforts, including but not limited to: Assist in strategy development for advancing initial projects through environmental A-10
11 analysis and New Starts, and entry into Preliminary Engineering. Conduct environmental impact evaluations and associated documentation Lead coordination with lead, cooperating, and participating resource agencies. Provide miscellaneous environmental support consistent with the Department Project Development and Environment (PD&E) Manual, Efficient Transportation Decision- Making (ETDM) Manuals, FHWA and FTA guidelines as applicable. Review reports submitted by the South Florida Regional Transportation Authority (SFRTA) or third parties after a spill or other environmental event occurred. The Consultant shall advice FDOT on further actions needed such as engineering controls. Review cost estimates for environmental clean-ups and remediation. The FDOT Project Manager may request that the Consultant participate in the monthly walk-thru at Hialeah Yard. Assist FDOT in environmental audits. 5.5 SURVEYING SURPLUS PROPERTY DISPOSAL All surplus disposal activities will be governed by applicable Florida Statutes, Federal Regulations, Florida Administrative Codes, and accomplished by procedures set forth in the Florida Department of Transportation Right-of-Way Manual. These activities will include abstracting, surveying, appraisals and possible environmental duties. FDOT receives many requests from individuals or businesses who own property adjacent to the rail corridor. The requests require the appropriate FDOT District Secretary to declare a parcel which has no future transportation purpose as surplus or temporarily surplus to the needs of the Department. These parcels may then be sold, leased, or exchanged with the adjacent property owners. The Consultant may be asked to verify the ownership and process the surplus property request by reviewing the relevant documents such as surveys and agreements OTHER REAL ESTATE CONSULTING SERVICES The SFRC office may require the Consultant to provide other real estate services as needed and which may include but are not limited to the following: DATABASE AND REPORTS The Consultant may be needed to research and compile a database and report of current agreements located within the South Florida Rail Corridor. There is an existing database available for use and consists of approximately 1,150 records. These existing records A-11
12 may need to be reviewed with their corresponding files and may require additional data input in any blank fields. The Consultant will be required to provide a computer installed with the latest version of Microsoft Access software. It will be necessary to have personnel with excellent skills and experience in the use of this software. The personnel will also be required to have basic knowledge and experience in reading various real estate agreements, leases and utility permits SCOPE OF RESEARCH The Consultant shall at a minimum compile the required database and report from the following sources made available by the Department: Department records regarding the acquisition of the Railroad Corridor on May 11, Agreement files located in the South Florida Rail Corridor Office. Existing CSX database and reports of leases acquired from the purchase of the corridor. CSX Railroad Valuation Maps located in the South Florida Rail Corridor Office. TRW Redi Maps and Tax Assessor microfiche information. Property Appraiser Records of the individual counties (Broward, Miami-Dade and Palm Beach) DATABASE AND REPORTS The reports to be compiled shall be provided in both written and electronic database format. The Consultant will update the database and prepare various reports as may be requested by the Department. Other duties may include preparing letters for verification of whether a particular agreement is still valid. The database shall contain at a minimum the following information (data fields) and coordination with the Department for additional fields as needed: FDOT File Number Name Address Phone Number Contact Person Milepost CSX Contract Number A-12
13 Contract Date Payment if applicable Purpose Nature (i.e. lease, utility permit, license etc.) Location of agreement by City County which agreement is located The Consultant may be requested to verify all agreements on hand are currently in use and valid. The Consultant must contact the holders of these agreements and provide proof of use and validity. Upon completion of verification, the Consultant shall update the database and document the files as needed RAILROAD REVENUE COLLECTIONS The Consultant shall be requested to notify in writing all railroad revenue producing agreements of any changes to current billing procedures. Upon completion of this task, the Consultant shall then update and document files as needed RAILROAD UTILITY PERMITS The Consultant shall be required to verify all existing utilities have a standard FDOT utility agreement. Those that do not have a current FDOT permit will be required to complete one by the Consultant who will be responsible to manage this project. Upon completion of this task, the files will be updated as needed PERSONNEL The Consultant shall provide a sufficient number of qualified personnel as necessary to effectively carry out its responsibilities under this agreement. The Consultant shall utilize only competent personnel, who are qualified by experience and education, who are acceptable to the Project Manager. Any persons that the Consultant proposes as a replacement to any person name in this agreement must have qualifications and experience equal to exceeding those of the person named herein and must be approved in writing by the Project Manager. Qualifications of the individual assigned to the maintenance monitoring function will be equivalent to that of a Senior Track inspector and a Signal inspector, as defined in section The Consultant will be responsible to have all its personnel (that is assigned to this project and who will be physically within the rail corridor during the performance of their duties) obtain the annual Roadway Worker Training (RWT) certification for the railroad. 14 5.6 RAILROAD CE&I MANAGEMENT SERVICES When assigned, the Consultant shall be responsible for construction engineering and inspection management services as defined in this Scope of Services, applicable reference manuals, and FDOT procedures. The Consultant shall utilize effective control procedures to ensure that the construction of assigned projects conforms with the plans, specifications, and contract provisions for assigned projects. Project documentation, including but not limited to daily dairies, weekly summaries, progress reports, photographs, etc., will be maintained by the Consultant and submitted to the FDOT Project Manager as required STAFFING OF TECHNICAL & ADMIN PERSONNEL The Consultant shall utilize only competent personnel who are qualified through railroad related experience and education. When assigned a project requiring CE&I services, the Consultant shall submit in writing to the FDOT Project Manager the names of all personnel to be considered for assignment to the project, together with a detailed resume outlining each individual's respective experience and education qualifications. The Consultant shall submit its request for personnel approval, including resumes, a minimum of two (2) weeks prior to the date of anticipated employment. Minimum qualifications for Consultant CE&I personnel are as follows: A. Senior Project Engineer Must be a registered Professional Engineer in the State of Florida with six (6) years of progressive engineering experience which includes five (5) years of construction management experience railroad construction; must be capable of directing a highly complex and specialized construction engineering and administration staff comprised of engineers, technicians, and inspectors; is field oriented, and will be expected to spend whatever time is necessary in the field; must be able to communicate effectively both verbally and in writing; must consult with and advise the FDOT Project Manager and other SFRC staff; be capable of developing and reviewing policies, methods, practices, and procedures; reviews programs for conformity with FDOT standards. B. Project Administrator Possesses a Civil Engineering Degree and a minimum of two (2) years of experience as a Project Administrator; trained in CPM scheduling techniques with hands-on electronic job data entry and microcomputer experience; exercises independent judgment in planning work details related to project administration. C. Senior Electrical Engineer - An Electrical Engineer degree and be registered in the State of Florida as a Professional Engineer (or if registered in another state, the ability to obtain registration in the State of Florida within six months) and six (6) A-14
15 years of engineering experience or for non-degreed personnel the aforementioned registration and ten (10) years of post-graduate engineering experience. Qualifications include the ability to communicate effectively in English (verbally and in writing); direct highly complex and specialized construction engineering administration and inspection program; plans and organizes the work of subordinate and staff members; develops and/or reviews policies, methods, practices, and procedures; and reviews programs for conformance with Department standards. Also, must have the following: Qualifications: 1. Completed at least one similar project in last three (3) years. 2. Has experience with construction projects on or about railroads. Certifications: None A Master's Degree in Engineering may be substituted for one (1) year engineering experience. D. Electrical Engineer - An Electrical Engineering degree plus two (2) years of postgraduate engineering experience in construction of major projects, or eight (8) years of responsible and related engineering experience (two (2) years of which involved construction of major electrical power distribution projects. Receives general instructions regarding assignments and is expected to exercise initiative and independent judgment in the solution of work problems. Directs and assigns specific tasks to inspectors and assists in all phases of the construction project. Will be required to attend the Final Estimate Preparation Seminar for Consultant CEI's and maintain a current certificate. Should have knowledge of the Department Preparation and Documentation Standards. Will be responsible for the progress and final estimates throughout the construction project duration. Must have the following: Qualifications: 1. Completed at least one similar project in last three (3) years. 2. Has experience with construction projects on or about railroads. Certifications: None Other: Attend CTQP Quality Control Manager Course and pass the examination. A Master's Degree in Engineering may be substituted for one (1) year of engineering experience. E. Senior Track Inspector Graduate of a standard high school plus eight (8) years of experience in railroad construction inspection; must also be familiar with roadway A-15
16 construction inspection; responsible for performing highly complex technical assignments related to field surveying, construction work, and field sampling and tests; performs activities under general supervision of Resident Engineer; supervises activities of other inspectors. Must be Operating Rules Qualified within sixty (60) days of the notice to proceed. Must complete the Roadway Worker Safety program within sixty (60) days of the notice to proceed. F. Track Inspector Graduate of a standard high school plus four (4) years of experience in railroad construction inspection; must also be familiar with roadway construction inspection; responsible for performing assignments which assist the Senior Track Inspector in the performance of his duties; receives general supervision from Senior Track Inspector. Must be Operating Rules Qualified within sixty (60) days of the notice to proceed. Must complete the Roadway Worker Safety program within sixty (60) days of the notice to proceed. G. Signal Inspector Graduate or a standard high school plus five (5) years of experience in railroad signal equipment installation and inspection; must be proficient in all areas of signal installation and inspection; performs activities under general supervision of Senior Project Engineer. H. In-House Project Manager Graduate or a standard high school plus five (5) years of working experience with the railroads. Must be capable of directing construction engineering and administration staff comprised of engineers, technicians, and inspectors. Must be able to communicate effectively both verbally and in writing; must consult with and advise the FDOT Project Manager and other SFRC staff; be capable of developing and reviewing policies, methods, practices, and procedures; reviews programs for conformity with FDOT standards. Must be able to exercises independent judgment in planning work details related to project administration. No personnel shall be authorized to perform CE&I duties on an assigned project until that time they are authorized by the FDOT Project Manager. Authorization will be granted in writing by the FDOT Project Manager on a person-by-person basis after his/her qualifications have been thoroughly reviewed. An individual previously approved by the FDOT Project Manager whose performance is later determined to be unsatisfactory shall be immediately removed or replaced by the Consultant when directed to do so in writing by the FDOT Project Manager. Additionally, the Consultant shall maintain appropriate administrative personnel to ensure adequate administrative support is provided at all times. A-16
17 5.6.2 ATTIRE FOR FIELD INSPECTION PERSONNEL All operations shall be conducted so as not to interfere with, interrupt, or endanger the operations of the trains or damage, destroy, or endanger the integrity of railroad facilities. All work on or near SFRC property shall be conducted in accordance with SFRC safety rules and regulations. Specifically, all personnel, while on SFRC property, shall be required to wear a hard hat, safety glasses, steel-toed shoes, hearing protection (as required by construction activities) and long pants. The Consultant shall comply with the SFRC safety rules at all times while occupying SFRC s property PRE-CONSTRUCTION MEETINGS FOR RAIL-RELATED PROJECTS The Consultant shall coordinate and hold a pre-construction meeting at the project location for (4) weeks prior to start of construction, or as directed by the FDOT Project Manager. For emergency projects, the pre-construction meeting may be held by telephone either individually with appropriate entities or by teleconference. The Consultant shall be responsible for taking the meeting minutes, and distributing those minutes within two (2) working days of the meeting's conclusion to all participants. Attendees should include, but not be limited to, the following: FDOT Project Manager FDOT Railroad Coordinator FDOT Public Information Office FDOT Traffic Operations Office Railroad Track and/or Signal Personnel Appropriate Judicial Law Enforcement Office Appropriate Judicial Fire Department Appropriate Judicial Ambulance Service Appropriate Judicial Engineering Office Appropriate Judicial Transit Authority Appropriate Judicial School Board All Applicable Utility Companies All Applicable Permitting Agencies REGULARLY SCHEDULED MEETINGS Depending on the type and duration of project, regularly scheduled construction meetings may be deemed necessary. In this event, the Consultant is responsible for securing a meeting location, identifying and notifying all required participants, establishing the format and agenda of the meeting, taking the meeting's minutes, and distributing the meeting minutes within two (2) working days of the meeting's conclusion. A-17
18 5.6.5 WORK ZONE TRAFFIC CONTROL (WZTC) On projects where the railroad is required to perform the necessary work (existing crossing surface reconstruction, track or signal work involving a crossing, etc.) and which involves a grade crossing, the Consultant shall prepare and submit to the FDOT Project Manager for approval a WZTC Plan in accordance with the MUTCD and applicable FDOT Roadway Design Standards. On projects where a contractor is required to submit a WZTC Plan, the Consultant shall monitor the submittal and review process to ensure correctness and that all time lines are met. The WZTC Plan for routine construction/maintenance projects will be submitted a minimum for four (4) weeks prior to the pre-construction meeting. In the case of an emergency project, the Consultant shall prepare and receive approval of the WZTC Plan within one (1) calendar day of being instructed to do so OTHER RAILROAD CE&I SERVICES The Consultant shall, upon written authorization by the FDOT Project Manager, perform any additional services not otherwise identified in this Scope of Services, but may be required in connection with the assigned project. The following list is not an all-inclusive list of possible additional services, which may be required: A. Provide or augment CE&I service on any phase of double-track construction, corridor station improvements, grade-crossing improvements, signal work, building improvements, electrical/mechanical improvements, rail yard work, etc., as directed by the FDOT Project Manager. B. Attend and be prepared to present information at any meeting associated with rail-related issues and projects within the District, as directed by the FDOT Project Manager. C. Assist in preparing for arbitration hearings and litigation that may arise. This may include providing qualified engineers and/or engineering technicians to serve as expert engineering witnesses provide exhibits, and otherwise assist FDOT in any litigation or hearings connected with the SFRC or other railroads. D. Provide off-site inspection services (i.e. fabrication yards, test sites, etc.) as directed by the FDOT Project Manager. E. Provide photographic support of any project requiring such support, as directed by the FDOT Project Manager. A-18
19 F. Review all railroad construction contract change orders submitted to ensure that the requested changes are consistent with the original direction of the project and goals as stated in the Master Plan COST ESTIMATE PREPARATION & REVIEWS The Consultant may be required to independently prepare construction cost estimates for railroad related capital improvements. The Consultant may be required to review railroad construction cost estimates submitted and provide comments as to the accuracy of quantities and unit prices. The Consultant shall expeditiously notify FDOT whenever omissions of items or mathematical errors are found. 6.0 FREIGHT RELATED SERVICES MULTI-MODAL TRANSPORTATION DATA & ANALYSIS The Consultant may be requested to perform multi-modal data collection, research state-of-art data collection tools and prepare analyses of data as directed by the District. The scope of services for these traffic studies shall include, but not be limited to, the following: 1. Collection of Classification Counts per FHWA 13-category classification scheme. The Consultant shall have the capacity to perform up to 200 truck classifications counts in a three-month peak season at static locations identified by the District. Truck counts and classifications may be required for roadways both on and off the State Highway System. The Consultant shall also have the capacity to research, assess and deploy new technologies to perform counts. 2. Assess freight data related to the development of the Regional Freight Network, including coordination with the stakeholders such as MPO s, ports, airports, other agencies and other ongoing or completed studies or projects. 3. Railroad Crossing Delay data collection and analysis. The Consultant shall have the capacity to perform annual data collection at RR crossings within Districts 4 and 6 to provide information on the length of time crossing arms are down, the number of vehicles in queue and the average delay for each event. 4. Park and Ride Lot inspections. The Consultant shall have the capacity to perform semiannual parking utilization counts at park and ride lots, assess bike, pedestrian and kissand-ride utilization and provide an overall review of maintenance needs at District 4 and South Florida Rail Corridor park and ride lots. 5. Pedestrian/Bicycle Data collection. The Consultant shall have the capacity to collect data related to pedestrian and bicycle activity and infrastructure. Data may include, but not be limited to, counts, crashes and crash types and infrastructure. A-19
20 6. HOV/Managed Use Lane data collection, monitoring and analysis. The Consultant shall have the capacity to perform simultaneous data collection along HOV/MUL Corridors including speed and delay studies, traffic volumes, classification counts, vehicle occupancy counts, reliability, transit ridership, density and others as identified by Districts 4 and Research new and innovative data collection applications for multi-modal planning and assessment purposes. The Consultant shall have the capacity to research and identify technologies worthy of testing and provide an assessment of accuracy and cost benefit to the District. Conduct and analyze the following surveys to acquire better understanding on the travel behaviors of existing users: Origin-Destination Surveys Boarding-Alighting Pair surveys, Transfer surveys, other on-board surveys, Stated-preference surveys, Bus speed and on-time performance surveys, Park & Ride utilization surveys, Automatic Passenger counts and GFI (fare box) passenger counts, Car/van pool surveys, Intercept surveys at express bus stops/transit hubs, Intercept surveys at truck hubs, Transit load counts. 8. Continue the enhancement and maintenance of regional transit database 9. Collect the relevant data and identify the respective traffic pattern for all modes of transportation by air, land, and water. 10. Develop trip generation rate/function by vehicle classification for the estimation of possible traffic impact at a truck hub. 11. Evaluate the existing vehicle classification schemes and identify limitations in the data collected. 12. Integrate existing and newly collected freight/transit data with the other databases such as roadway characteristics inventory (RCI) that are maintained by FDOT. 13. Gather or collect data related to freight including terminal gate queue length and processing time surveys, roadside/intercept surveys, origin/destination surveys, trip diary surveys, establishment surveys, and other freight industry interviews and surveys. 14. Participate in refinements and enhancements of the regional travel demand models based on additional data sources contributing to a more comprehensive model. 15. Establish mechanisms for collecting and sharing freight and transit data. 16. Provide data and analysis to support the Department s Statewide Mobility Performance Measures efforts. 17. Other data collection activities as identified by the District. A-20
21 The Consultant may be requested conduct feasibility studies, concept development reports, mobility studies, and network assessments with a focus on improving freight or transit infrastructure. 7.0 POSITIVE TRAIN CONTROL (PTC) Positive Train Control (PTC) is a system designed to prevent train to train collisions, over-speed derailments, train incursions into established work zones, and the movement of a train through a mainline switch left in the wrong position. Additionally, PTC must provide the appropriate warning or enforcement for safety-critical authorities and indications such as a derail or switch protecting access to the mainline is not in the correct position, a mandatory directive is issued associated with a malfunctioning highway grade crossing device and other detectable hazards such as defect detectors, movable bridges and delayed train meets (49 CFR ). Required By: The Rail Safety Improvement Act of 2008 (RSIA08) requires the installation and operation of PTC systems on all main lines used regularly for intercity or commuter rail, such as the SFRC. Components: There are four main components that make up a complete PTC system. These components are as follows: 1. Locomotive Segment: Cab information display, Global Positioning System Technology, and enforcement of train movements. 2. Office Segment: Back Office Servers (BOS), System Data, ties Dispatch System to the Field Systems 3. Wayside Signal Segment: Wayside Interface Units (WIU) overlay on existing signal systems, ties wayside signals into Field System 4. Communications Segment: Communications from the wayside signal system to the Locomotive Segment, communications from the field locations to the office, ties the Locomotive, Office and Wayside Segments into a complete PTC System. Locomotives must have interoperability with PTC Systems of other railroads for uninterrupted movements over property lines of different railroads. Requirements: Railroads are required to equip all locomotives (including passenger cab cars) with PTC equipment and all wayside control points with wayside interface units that will be able to communicate with a controlling server (BOS) in a dispatch control center to relay information to the train in real time. The system must be able to stop any train which exceeds allowable speed or track authority should the crew fail to comply with restrictions or signals. The Consultant will advise the Department on the Positive Train Control (PTC) procurement, implementation, installation and maintenance of equipment. A-21
22 8.0 OTHER MISCELLANEOUS SERVICES The Consultant may be required to assist the Department in undertaking special projects, assignments, and studies including, but not limited to: Developing and maintaining an engineering design criteria manual Developing and maintaining track construction and material specifications. Developing and maintaining an operating plan. Developing and maintaining maintenance production rates. Developing and maintaining Track Charts of the SFRC. Preparing noise studies and mitigation plans. Computer database development and maintenance. 9.0 RESPONSIBILITIES OF THE DEPARTMENT The Department will furnish, without cost to the Consultant, the following services and data to the Consultant in connection with services authorized under terms of this Agreement: Provide all criteria and full information as to the Department's requirements for consultants' and contactors' services including objectives, constraints, budgetary limitations and time constraints. Furnish all Department procedures, standards, policies, manuals, and any other data applicable to the Services. Furnish drawings, specifications, schedules, reports, and other information prepared by and/or for the Department by others which are available to the Department and which Department considers pertinent to the Consultant's responsibilities, as described therein. Provide existing structural, track and signal and roadway plans. Furnish available traffic, safety (accident), and planning data for highway crossings. Furnish all necessary utility relocation form letters, agreements, relocation schedules, and any other document form needed by the Consultant to clear the project utilities. Advise the Consultant in all utility negotiation matters. Provide project utility certification to the Department's Central Office. Provide general philosophies and guidelines of the Department to the used in the fulfillment of this contract. Objectives, constraints, and limitations will be completely defined by the Department ADMINISTRATION AND MANAGEMENT The Department will provide a Project Manager for the administration of the terms of this contract. The Consultant's work shall be performed and directed by the personnel identified in his proposal presentation. Any changes in the indicated personnel shall be subject to review and approval by FDOT. 23 When necessary, FDOT will provide letters of introduction to other persons or agencies, such as to property owners for access to private properties, or to railroad companies for information requests. FDOT will provide original rail-highway locator maps and existing picture inventory. This contract has a Maximum Limiting Amount. In order to ensure at all times that sufficient funding remains within that amount, the Consultant shall keep the Project Manager informed of the status of actual versus estimated man-hours and expenses. The Consultant shall report on a monthly basis with his invoice submittal the burn rate and remaining time in the maintenance monitoring contract and each task work order. The Project Manager may decrease the amount of work if necessary to remain within the Total Maximum Limiting Amount PROGRESS REPORTING AND COORDINATION The Consultant for the Florida Department of Transportation, Rail Corridor Office, District Four, (FDOT) shall act as an extension of FDOT by providing technical personnel to perform services to support the Rail Corridor Office. FDOT will provide a Project Manager for the administration of the terms of this agreement. It shall be the Consultant's responsibility to utilize the best judgment, practices and principles possible during the prosecution of the work commissioned under this contract. The Consultant shall demonstrate good project management practices while working on this project. These include communication with the Department and others as necessary, management of time and resources, and documentation. The Consultant shall set up and maintain throughout the performance of each task a contract file in accordance with Department procedures. FDOT will provide contract administration, management services, and technical reviews of all work associated with the development and execution of each task. FDOT will provide job specific information and functions as outlined in this contract. To maintain continuous interaction, the Consultant shall attend quarterly progress meetings as required by the SFRC Staff to discuss the Status of the work schedule and projects in progress. Upon completion of each activity, the Consultant shall provide to FDOT written documentation describing how, when and where each activity was conducted. All such documentation and correspondence shall be directed to the Project Manager. The Consultant shall advise FDOT prior to any field activity in sufficient time for assignment of SFRC personnel to accompany or join the Consultant in the activity. The Consultant's schedule A-23
