The GM Rewards Cards Puzzle Shuffle Contest & Instant Win Game (the Promotion ) is sponsored by General Motors, 100 Renaissance Center, Detroit, MI (the Sponsor ), and is administered by Prize Logic, LLC, Telegraph Rd., Suite 405, Southfield, MI (the Administrator ). 1. PROMOTION PERIOD AND OVERVIEW: The Promotion begins on October 18, 2017 at 12:00 PM (noon) Eastern Time ( ET ) and ends on November 14, 2017 at 11:59:59 PM ET (the Promotion Period ). During the Promotion Period, there will be an instant win game (the Game ) and four (4) separate contest entry periods (each a Contest Entry Period ) as set forth below: Contest Entry Period Start Date and Time (all times ET) End Date (at 11:59:59 PM ET) 1 October 18, 2017 October 24, October 25, 2017 October 31, November 1, 2017 November 7, November 8, 2017 November 14, 2017 The Administrator is the official timekeeper of the Promotion. 2. ELIGIBILITY: The Promotion is open only to eligible participants who are legal residents of the fifty (50) United States and the District of Columbia physically residing therein, excluding Puerto Rico and the United States Territories and Possessions, who are at least eighteen (18) years old or the age of majority in their primary state of residence, whichever is older, at the time of entry. Proof of age and state of primary residence may be required. Employees of Sponsor, Administrator, MRM//McCann, General Motors, Connexions Loyalty ( Prize Provider ) and/or any of their parent and affiliate companies (collectively, Released Parties ) as well as their immediate family (spouse, parents, siblings and children), and household members (people living in the same household for three months or more whether related or not) are ineligible to enter. The Promotion is subject to all applicable federal, state, municipal and local laws and regulations. For purposes of the Promotion, an Entrant s residential address will be his/her physical address and the address submitted at the time of registering for this Promotion will be his/her recognized address. Entrants will not be allowed to change their physical address or address after registering for this Promotion. Each person who participates in the Promotion (each, an Entrant ) may be required to furnish proof of identification and other proof of eligibility under these Official Rules. 3. AGREEMENT TO OFFICIAL RULES: Participation in this Promotion constitutes each Entrant s full and unconditional agreement to these Official Rules and Sponsor's and/or Administrator s decisions, which are final and binding in all matters related to this Promotion. Winning a prize is contingent upon fulfilling all requirements set forth herein. These Official Rules form a binding legal agreement between the Entrant and the Sponsor and Administrator with respect to the Promotion. 1

2 4. HOW TO ENTER THE CONTEST AND PARTICIPATE IN THE GAME: During the Promotion Period, Entrants must log on to (the Page ) and enter his/her valid e- mail address. If it is the Entrant s first time entering the Promotion, he/she must first register by entering the information requested on the registration page, including his/her first and last name (no initials), complete address (P.O. Boxes are not accepted), ZIP Code, phone number, indicate his/her acceptance of these Official Rules, and confirmation that he/she is at least 18 years of age or the age of majority in his/her jurisdiction of residence. During a Contest Entry Period, after registering, the Entrant must follow on-screen instructions to play a picture puzzle game (the Puzzle Shuffle Game ). Each Entrant will play that day s Puzzle Shuffle Game by unscrambling a photo by dragging sections into place until the completed image is revealed. The Entrant will have ninety (90) seconds to solve the Puzzle Shuffle Game. Each Entrant s solve time will be logged by the Administrator to the thousandth second. A Puzzle Shuffle Game will end ninety (90) seconds after the start of each Entrant s Puzzle Shuffle Game play. To receive an entry into the Instant Win game, an Entrant must first complete a Picture Puzzle Game as set forth above. Upon completion of the Puzzle Shuffle Game, the Entrant will be taken to an Instant Win game where they will follow the on-screen instructions to play the Instant Win game ( Game Play ). After completing the Game Play, an Entrant will receive an on-screen win or lose message. There will be at least one (1) winning Game Play per day during the Promotion Period. Each Entrant who receives a win message is considered a potential winner pending verification of his/her eligibility and compliance with these Official Rules. All potential winning Game Plays are subject to verification by sponsor or administrator, whose decisions are final and binding. An entrant is not a winner of any prize, even if the Page should so indicate, unless and until entrant s eligibility and the potential winning Game Play have been verified and entrant has been notified that verification is complete. Sponsor will not accept screen shots or other evidence of winning in lieu of its validation process. Any Game Play that occurs after the system has failed for any reason is deemed a defective play, is void, and will not be honored. Limit one (1) Game Play per address per day during the Promotion Period. A day is defined as starting at 12:00 AM ET and ending at 11:59:59 PM ET on a calendar day, except on October 18, 2017, when a day starts at 12:00 PM ET and ends at 11:59:59 PM ET. In the event that a household enters the Promotion using more than five (5) unique addresses, all of the Game Plays and Contest entries associated with that household (determined by Sponsor or Administrator in their sole discretion) may be disqualified. Entrants attempting to use multiple addresses or identities may be disqualified, at Sponsor s sole discretion. Each Entrant understands that he/she is providing his/her information to Sponsor and not Facebook. Further, each Entrant specifically releases Facebook and Released Parties from any and all liability associated with this Promotion. If an Entrant accesses Facebook on his/her mobile device, the Entrant s wireless service provider may charge the Entrant for applicable data charges if accessing the Page on his/her mobile device. Entrants should consult their wireless service provider regarding its pricing plans. Message and data rates may apply. Entrants should review their mobile devices capabilities for specific app instructions. 5. SELECTION OF CONTEST WINNERS: The one (1) Entrant with the fastest Puzzle Shuffle Game solve time at the end of each Contest Entry Period will each be deemed a Contest Winner for that Contest Entry Period. If there is a tie among Entrants, then the Entrant who was the first Entrant to be able to complete the Puzzle Shuffle Game in the shortest period of time for that Contest Entry Period, as determined by Sponsor in its sole and absolute discretion, will be declared the potential 2

3 Contest Winner. If there is a tie between Entrants from the fastest time perspective, a Contest Winner will be selected at random between those Entrants. 6. PRIZES, APPROXIMATE RETAIL VALUE ( ARV ) AND ODDS OF WINNING: A. Game Prizes (125, at least 1 per day): Each Game Prize winner will receive a $25 gift card to his/her choice of one (1) of the following retailers: Target, BP, Lowe s, Best Buy, Macy s, Outback Steakhouse, or Bed Bath & Beyond (each a Game Prize ). There will be one hundred twenty-five (125) Game Prizes in the Promotion. The ARV of each Game Prize is $25. Note that the Game Prize winners will be allowed to select the appropriate gift card from any one of the merchants listed, subject to the applicable restrictions below. Game Prizes that are unclaimed, unredeemed or returned as undeliverable may not be awarded. Limit of one (1) Game Prize per person. A Game Prize winner may also win a Contest Grand Prize. B. Contest Prizes (1 per Contest Entry Period, 4 total): Each Grand Prize Winner will receive a $250 gift card to his/her choice of one (1) of the following retailers: Target, BP, Lowe s, Best Buy, Macy s, Outback Steakhouse, or Bed Bath & Beyond (each, a Contest Prize ). One (1) Contest Prize will be awarded per Contest Entry Period for a total of four (4) Contest Prizes in the Promotion. The ARV of each Contest Prize is $250. The total ARV of all Contest Prizes is $1,000. C. Total ARV: The total ARV of all prizes available in the Promotions is $4,125. D. Odds of Winning a Game Prize: In order for an entry to result in an Entrant being a potential Game Prize winner, his/her Game Play must have been received either at the exact randomly predetermined winning time as determined by Administrator or, if no Game Play is received at the exact randomly predetermined winning time, then the Game Play that is received at the closest time immediately following the randomly predetermined winning time during the Promotion Period will result in a winning Game Play. The number of Game Prizes available to be won will decrease during the Promotion Period as Game Prizes are awarded and/or claimed. E. Prize Conditions: No more than one (1) Game Prize and one (1) Contest Prize will be awarded per person throughout the entire Promotion Period. All Entrants are considered potential winners and will be subject to verification of eligibility and compliance with these Official Rules. All prizes will be awarded provided there are a sufficient number of eligible winners. Use of merchant names and/or logos are by permission of each respective merchant and all trademarks are the property of their respective owners. HOW TO CLAIM A PRIZE: Within 2 to 3 weeks from the date of winning a prize, the Prize Provider will send each winner an confirmation that includes a link and rewards code. By clicking on the link, the winner will be taken to the Prize Provider s site where he/she will need to provide his/her e- mail address and rewards code. The winner will then be able to choose his/her gift card from the options listed on the rewards page. The winner will then register by providing his/her complete mailing address and contact information. The winner can choose to receive a physical gift card. Each prize winner s reward code will expire in 30 days, so if the prize winner does not claim his/her prize within 30 days of receiving his/her confirmation with the rewards code, then the potential prize winner forfeits the prize. If a potential prize winner is found to be ineligible or not in compliance with these Official Rules or declines to accept a prize, or if the prize is returned as undeliverable, the prize will be forfeited and, in the Administrator s sole discretion, may or may not be awarded to an alternate prize winner. If the notification is returned as undeliverable, the potential winner will forfeit the prize and the prize may be awarded to alternate potential prize winner. The prize will be sent to the address provided on the potential prize winner s registration page. The right to receive a prize is non-assignable and non-transferable, and no prize substitution, exchange or cash equivalent will be allowed, except by Administrator, who reserves the right to substitute prize of equal or greater value in case of unavailability of prize or force majeure. PRIVACY: Each Entrant agrees that personal data, including, but not limited to, name, mailing address, telephone number, address, age range, gender, language and/or country may be collected, processed, stored and otherwise used for the purposes of conducting and administering the Promotion. Further, this data may also be used by Administrator to verify an Entrant identity, postal address and telephone number in the event an Entrant qualifies for any applicable prize as well as to deliver the applicable prize(s), in accordance with Sponsor s privacy policy found at Sponsor will retain and may use all entry information in accordance with its privacy policy. By entering this Promotion, each Entrant agrees to Administrator s and Sponsor s use of Entrant s name and/or likeness for advertising and promotional purposes without additional compensation, notice or approval, unless prohibited by law. 9. WARRANTY AND INDEMNITY: To the maximum extent permitted by law, each Entrant agrees to defend, indemnify and to keep indemnified the Released Parties at all times from and against any 5

6 liability, claims, demands, losses, damages, costs and expenses resulting from any act, default or omission of the Entrant and/or a breach of any warranty set forth herein. To the maximum extent permitted by law, each Entrant agrees to defend, indemnify and hold harmless the Released Parties, their affiliates, and their respective directors, officers, employees and agents from and against any and all claims, actions, suits or proceedings as well as any and all losses, liabilities, damages, costs and expenses (including reasonable attorneys fees) arising out of or accruing from (a) any material uploaded or otherwise provided by the Entrant that infringes any copyright, trademark, trade secret, trade dress, patent or other intellectual property right of any person or defames any person or violates their rights of publicity or privacy, or (b) any misrepresentation made by the Entrant in connection with the Promotion. 10. ELIMINATION: Any false information provided within the context of the Promotion by any Entrant concerning identity, mailing address, telephone number, address, ownership of right or any other non-compliance with these Official Rules or the like may result in the immediate elimination of the Entrant from the Promotion. Any Entrant suspected of or found by Administrator to be answering trivia questions by automatic, programmed, script, bot, third-party or otherwise fraudulent method, in Administrator s sole discretion, will be disqualified. Administrator reserves the right to disqualify any person found or suspected of tampering with the entry process and/or the operation of this Promotion, to be acting in violation of these Official Rules, to be acting in a non-sportsmanlike or disruptive manner or to be acting with intent to annoy, abuse, threaten or harass any other person. 11. INTERNET: The Released Parties (including Facebook) are not responsible for electronic transmission errors resulting in omission, interruption, deletion, defect or delay in operations or transmission. If, for any reason, the Promotion is not capable of running as planned, including infection by computer virus, bugs, tampering, unauthorized intervention, fraud, technical failures, or any other causes which corrupt or affect the administration, security, fairness, integrity or proper conduct of the Promotion, Administrator may, in its sole discretion, cancel, terminate, modify and/or suspend the Promotion and post such notice at the Page. In the event the Promotion is canceled, terminated, modified and/or suspended, Administrator will accept the Entries received up until that time and, provided there are enough eligible Entries to conduct the Promotion, will proceed with the Promotion as defined herein. 12. LIMITATION OF LIABILITY: IN NO EVENT WILL THE RELEASED PARTIES (FOR THE PURPOSES OF THIS SECTION 12, RELEASED PARTIES SHALL INCLUDE FACEBOOK), THEIR AFFILIATES, SUBSIDIARIES AND RELATED COMPANIES, THEIR ADVERTISING OR CONTEST AGENCIES, OR THEIR RESPECTIVE OFFICERS, DIRECTORS, EMPLOYEES, REPRESENTATIVES AND AGENTS, BE RESPONSIBLE OR LIABLE FOR ANY DAMAGES OR LOSSES OF ANY KIND, INCLUDING DIRECT, INDIRECT, INCIDENTAL, CONSEQUENTIAL OR PUNITIVE DAMAGES. Sponsor and Administrator assume no responsibility for undeliverable s resulting from any cause, including any form of active or passive filtering by a user s Internet Service Provider and/or client or for insufficient space in user s account to receive e- mails. By participating in this Promotion, Entrants agree to release and hold harmless Released Parties, their affiliates, and their respective directors, officers, employees and agents (collectively, the Releasees ) from any and all liability for any injuries, losses or damages of any kind to persons, including death, or property arising in whole or in part, directly or indirectly, from acceptance, use or misuse of a prize, participation, or inability to participate in Promotion, any entries or any Promotionrelated activity. Releasees are not responsible for printing errors or for lost, late, unintelligible, misdirected, incomplete, damaged or garbled entries or any other documents. Releasees are not responsible for any: (a) telephone, computer, hardware, software, programming, or interrupted or unavailable network, server or other connections, network malfunction, or other technical failures or errors, or failure to properly process entries or prize notifications; (b) communication disruption or 6

7 other forces beyond the reasonable control of the Administrator, including inability to access the Page, make entries or other disruption related to Internet traffic, virus, bug, or non-authorized intervention; (c) damage caused by computer virus or otherwise resulting to any computer from Entrant's access of the Page, whether human, mechanical or electronic; or (d) incorrect or inaccurate information whether caused by Page users or by any of the programming or equipment associated with or used in the Promotion. Proof of submitting information at Page is not considered proof of delivery or receipt. Releasees shall not be liable to any Prize Winner or any other person for failure to supply a prize or any part thereof, by reason of any acts of God; any action(s), regulation(s), order(s) or request(s) by any governmental or quasi-governmental entities (whether or not they prove to be valid); equipment failure; terrorist acts; earthquake; fire; flood; war; explosion; unusually severe weather; hurricane; embargo; labor dispute or strike (whether legal or illegal); labor or material shortage; transportation interruption of any kind; work slowdown; civil disturbance; insurrection; riot; or any other cause beyond Administrator s sole control. Releasees shall not be liable to any Prize Winner or any other person for damage to such person s computer or its contents. 13. DISPUTES: ENTRANTS AGREE THAT ANY AND ALL DISPUTES, CLAIMS AND CAUSES OF ACTION ARISING OUT OF OR CONNECTED WITH THE PROMOTION OR ANY PRIZE AWARDED SHALL BE RESOLVED INDIVIDUALLY, WITHOUT RESORT TO ANY FORM OF CLASS ACTION. EXCEPT WHERE PROHIBITED BY LAW, THE CONTEST IS GOVERNED BY, AND WILL BE CONSTRUED IN ACCORDANCE WITH, THE LAWS OF THE STATE OF MICHIGAN, AND THE FORUM AND VENUE FOR ANY DISPUTE SHALL BE IN OAKLAND COUNTY, MICHIGAN. IF THE CONTROVERSY OR CLAIM IS NOT OTHERWISE RESOLVED THROUGH DIRECT DISCUSSIONS OR MEDIATION, IT SHALL THEN BE RESOLVED BY FINAL AND BINDING ARBITRATION ADMINISTERED BY JUDICIAL ARBITRATION AND MEDIATION SERVICES, INC., IN ACCORDANCE WITH ITS STREAMLINED ARBITRATION RULES AND PROCEDURES OR SUBSEQUENT VERSIONS THEREOF ( JAMS RULES ). THE JAMS RULES FOR SELECTION OF AN ARBITRATOR SHALL BE FOLLOWED, EXCEPT THAT THE ARBITRATOR SHALL BE EXPERIENCED AND LICENSED TO PRACTICE LAW IN THE STATE OF MICHIGAN. ALL PROCEEDINGS BROUGHT PURSUANT TO THIS PARAGRAPH WILL BE CONDUCTED IN OAKLAND COUNTY, MICHIGAN. CONTESTANTS AGREE THAT THE STATUTE OF LIMITATIONS FOR ASSERTING ANY CLAIMS SHALL BE A PERIOD OF ONE (1) YEAR FROM THE END DATE OF THE PROMOTION PERIOD. 14. GENERAL: If, for any reason, the Promotion is not capable of running as planned, Sponsor reserves the right, at its sole and absolute discretion, to cancel, terminate, modify or suspend the Promotion and/or proceed with the Promotion, including the selection of winners in a manner it deems fair and reasonable, including the selection of winners from among eligible entries received prior to such cancellation, termination, modification or suspension. In no event will more prizes be awarded than are stated in these Official Rules. In the event that, due to technical, typographical, mechanical or other errors, there are more winners than are stated in these Official Rules, a random drawing among the claimants will be held to determine the winners. If for any reason, including but not limited to an administrative, printing, production, computer or other error or due to technical difficulties or incorrect announcements of any kind, more winning messages are distributed, or more prizes are claimed than are intended to be awarded for any prize according to these Official Rules, the intended prizes will be awarded in a random drawing from among all verified prize claims. All federal, state and local laws and regulations apply. Administrator reserves the right to disqualify any Entrant found, in its sole opinion, to be tampering with the operation of the Promotion; to be acting in violation of these Official Rules; or to be acting in an unsportsmanlike manner or with the intent to disrupt the normal operation of this Promotion.
