Many banks are feeling pressure because they are not prepared to deliver the variety of forms of service through their retail delivery system and branch networks that customers are demanding. Consumer needs are much more complex than they used to be and bank branches need to be redesigned with these new expectations in mind. As such, many community banks have failed to take appropriate measures to safeguard against dissident and hostile shareholders. This presentation will review the early warning signs of shareholder activism and discuss safeguards and strategies that may be put in place to limit a hostile bidder or dissident shareholder s ability to exert a controlling influence over the banks. All too often they are misunderstood and underappreciated. In reality, consumers, whether bank customers or not, don t have any idea that banks come in different forms. To many people, a bank is a bank; by and large, they provide the same services and are guilty of the same sins. But mutual banks have a unique opportunity to differentiate themselves from this broad generalization. Mutual banks should embrace their mutuality and, among other things, use it as a marketing tool. Millennials are one target group ripe for this pitch. Many are disinterested in banks right now but will mature into a potent industry segment. Mutual banks can and should find ways to cooperate and collaborate with one another in order to leverage their mutual status and reshape the legislative and regulatory agendas as they affect mutual banks. This presentation will focus on these and other ideas, while encouraging participants to engage in a free flowing conversation and sharing of their ideas and experiences. 1:45pm: Concurrent Sessions Session A: Data Breaches and How Community Banks Can Thwart Attacks on Customer Data Presenter: Jana Landon, Counsel, Stradley Ronon Stevens & Young, LLP Much of the focus on cybersecurity today is on attention-grabbing data breaches that affect hundreds of thousands of consumers, or high-profile criminal cases. Hacker and scanners, however, have realized that smaller organizations such as community banks are prime targets. This session will focus on the prevalence of such breaches, the banking industry s latest guidance for community banks, and real-world examples of how community banks can thwart attacks on customers data. Participants will be encouraged to share information regarding how they are increasing customer awareness and responding to threats. Session B: It s Not Getting Any Easier Out There Exploring New Paths to Profitability Presenter: Mark McCollom, Co-head Financial Institutions Group, Griffin Financial Group It is undeniable that banking returns have suffered since the onset of the Great Recession. However, while some banks have bounced back, others remain range-bound at lower overall returns. Increasing compliance costs, narrowing net interest margins, and higher capital requirements are all blamed for the current bank valuations. This approach implicates the type of agreements that should be afforded senior executives.
