4 About this guide This Veeam Cloud & Service Provider Licensing Guide is part of your agreement with Veeam Software and the Veeam Cloud & Service Provider (VCSP) program. By accepting the Veeam Partner Enrollment Agreement, you agree to abide by the terms and conditions in this document. This VCSP Licensing Guide is based on licensing mechanisms in the most recent versions of Veeam products, including Veeam Availability Suite 9.5. If you re using a version of Veeam Backup & Replication or Veeam ONE prior to v9, click here for the applicable version of this licensing guide. Definitions The following terms and acronyms are used in this document (listed in the order in which they first appear in the document): VCSP program: The Veeam Cloud & Service Provider (VCSP) program. VCSP partner: A hosting, cloud (CSP) or managed service provider (MSP) that has applied for the VCSP program, been accepted by Veeam into the program, and has accepted the Veeam Partner Enrollment Agreement. Veeam EULA: The End User License Agreement (EULA) that governs the use of Veeam products, including use by VCSP partners. Veeam representative: A VCSP partner s primary contact at Veeam. For Platinum and Gold VCSP partners, this is your assigned partner manager. Region: The area where you have your primary relationship with Veeam. Regions include: ANZ: Australia and New Zealand Asia: ASEAN, Greater China, South Korea, Japan and India EMEA-1: United Kingdom and Ireland, Nordics, Benelux, DACH, and Southern EMEA EMEA-2: Eastern Europe, Russia/CIS, Middle East and Africa LATAM: Mexico, Caribbean, Central and South America NA: United States and Canada Note: When used by itself in this document, EMEA refers collectively to EMEA-1 and EMEA-2. Veeam end customer licenses: Veeam product licenses that restrict usage to management and processing of the licensee s own data. VCSP licenses: Veeam product licenses that allow use of the licensed Veeam product(s) to manage and process third-party customer data. VCSP licenses may be rental or perpetual. VCSP licenses are sometimes referred to as hosting licenses. 4

5 Customer machines: Servers (virtual, physical or cloud) protected, managed or hosted by the VCSP partner for its customer(s). Customer machines also include servers the VCSP partner uses to provide hosted applications or business transaction services (such as payment processing, document delivery, etc.) to customer(s). Note: There is not necessarily a one-to-one relationship between a customer machine and a particular customer. A server that is used to provide services to multiple customers is still considered a customer machine. Customer machines also include workstations protected or managed by the VCSP partner for its customer(s). VCSP internal-use licenses: Veeam product licenses that a VCSP partner may purchase to manage machines used for their own internal business processes ( , CRM, financials, etc.) and not for delivery of services to customer(s). Veeam distributor: A Veeam partner that sells Veeam product licenses to Veeam resellers for resale to end customers. VCSP aggregator: A Veeam distributor or specialized Veeam partner that sells VCSP rental licenses and performs monthly billing of VCSP partners. In EMEA, VCSP aggregators also sell VCSP perpetual licenses to VCSP partners. Veeam reseller: A Veeam partner that sells Veeam end customer licenses. Outside EMEA, Veeam resellers may also sell VCSP perpetual licenses to VCSP partners. Volume rental agreement (VRA): Option for renting VCSP licenses that involves both a time and a volume commitment. Higher volume commitments carry more discounted pricing. No-commit rental: Option for renting VCSP licenses without any time or volume commitment (or associated volume discount). 5

6 Products VCSP licenses are available for the Veeam products listed below. Except for Veeam Management Pack for System Center, licensing is by managed machine-vm (virtual machine), server or workstation. Rental licensing described in this licensing guide applies to the 2017 and later versions of the VCSP rental price book. If you are on an earlier price book, that price book dictates units used for licensing. Beginning 1 January 2018, VCSP perpetual licensing is available on a limited basis only for example, to VCSP partners with existing VCSP perpetual licenses. Important: VCSP licenses for Veeam Availability Suite and Veeam Backup & Replication include the RESTful API, regardless of edition. (End customer licenses only include the RESTful API with Enterprise Plus edition.) 6

VCSP licenses are typically used to deliver services such as managed backup, cloud backup, Disaster Recovery as a Service (DRaaS), Backup as a Service (BaaS) and migration, as well as in the delivery of hosted infrastructure, Infrastructure as a Service (IaaS), Platform as a Service (PaaS), Software as a Service (SaaS), and business transaction services. Pricing Retail pricing for VCSP licenses is set by VCSP aggregators and (if outside EMEA and perpetual) by Veeam distributors and resellers. Retail pricing is based on Veeam s Manufacturer s Suggested Retail Pricing (MSRP). Contact a VCSP aggregator or (if outside EMEA) a Veeam distributor or reseller for a quote. Veeam will not increase MSRP for VCSP rental licenses more frequently than once every calendar year. Veeam may decrease MSRP for VCSP rental licenses or add new VCSP rental offerings at any time. MSRP for VCSP perpetual licenses (if available) is subject to change at any time. VCSP aggregators and Veeam distributors and resellers are notified in advance of pricing changes, and it s their responsibility to inform VCSP partners. 7

8 Product editions Veeam Availability Suite, Veeam Backup & Replication and Veeam Management Pack for System Center are available in Enterprise Plus and Enterprise Editions. (Veeam Backup & Replication is also available in Standard Edition.) End customers are not allowed to mix editions; they must use the same edition at any given physical location. Platinum and Gold VCSP partners, however, are not subject to this restriction and may use any mix of Standard, Enterprise and Enterprise Plus editions (as available) in a single environment to meet the needs of different customers. If using rental VCSP licenses, the VCSP partner must report the number of units for each edition used. Note: If you want to manage several Veeam backup servers through Veeam Enterprise Manager, they must all be running the same edition. (This is a technical requirement, not a restriction on license usage.) A Silver VCSP partner with multiple environments may use different editions to service different customers, but only one edition may be used in any given environment. License key size When placing its first order, the VCSP partner will receive a license key with expected usage (if rental) or the number of units purchased (if perpetual). Veeam may reduce the size of a rental license key to match reported usage. Units A VCSP partner may offer its customers a service based on units other than the units that it licenses from Veeam. For example, a VCSP partner may offer a cloud repository by the GB or TB instead of by the machine. However, the partner must still track and report their usage of Veeam products in the units licensed by Veeam. Occasionally, Veeam may offer product licensing that differs from enforcement or usage mechanisms. For example, if a VCSP partner licenses Veeam Management Pack for System Center as part of a package with Veeam Backup & Replication, they will receive a license key for Management Pack that designates number of CPU sockets, even though usage (if rental) or units purchased (if perpetual) is VMs. It is the VCSP partner s responsibility to ensure that its usage does not exceed the number of units licensed (and acquire additional licenses as needed), even if Veeam does not have mechanisms in place to enforce that unit of licensing. Likewise, if a VCSP partner is using Veeam Availability Suite (or any of its component products) prior to v9, product licensing will differ from enforcement or usage mechanisms. Reporting Veeam products may send usage statistics (such as machine counts) to Veeam. For more information, refer to Veeam product documentation for the product(s) licensed. Veeam products may display information about usage, and Veeam may request VCSP partners to provide screenshots of those displays. Veeam may also, at its discretion, offer tools that track usage and require the VCSP partner to provide reports or screenshots from those tools. 8

9 Hypervisor swaps Veeam licenses several of its products by hypervisor (VMware vsphere or Microsoft Hyper-V). Veeam allows customers and VCSP partners that are current on support to swap perpetual licenses between hypervisors at no charge. (For VCSP partners using rental licenses, usage by hypervisor can vary each month.) For VCSP perpetual and internal-use licenses that are sold in packs of 10 VMs, any license swap must also be in packs of 10 VMs. Example: You purchase a license for 10 VMs of Veeam Availability Suite for Hyper-V. If you re current on support, you may swap those 10 VMs of Hyper-V for 10 VMs of vsphere. You may not, however, swap 4 VMs of Hyper-V for 4 VMs of vsphere and keep 6 VMs of Hyper-V. License content VCSP licenses include: Rights to use the licensed product to manage and process third-party customer data as per section 2.1, paragraph 2 of the Veeam EULA Rights to use the licensed product on the specified number of managed machines or sockets, regardless of whether the managed machine(s) or host machine(s) are owned by the VCSP partner or housed in the partner s environment VCSP rental licenses also include rights to install Veeam product components at customer sites, including rental license keys issued to the VCSP. The VCSP partner must install product licenses and product licenses and may not give VCSP license keys (license files) to the end customer. In addition, the VCSP partner is responsible for ensuring that all Veeam components, including product licenses, are removed from the customer site if the VCSP partner ceases to provide Veeam-powered services to the customer. Free Veeam products included in the VCSP program also associate with section 2.1, paragraph 2 of the Veeam EULA for VCSP partners who are members in good standing in the VCSP program. VCSP rental licenses include Production support. VCSP perpetual licenses include Production support for one year; Production support for subsequent years must be purchased. Receiving license keys Veeam license keys can be downloaded by designated license administrators from the Veeam License Management portal. If you need a larger license key than what s available to you on the portal, contact Veeam Order Processing at least 2 business days in advance. In some cases, a VCSP partner may merge license keys on the Veeam License Management portal. Example: You have a rental agreement, and your last monthly usage report included 50 VMs of Veeam Backup & Replication Enterprise Edition for vsphere and 50 VMs of Veeam Backup & Replication Enterprise Edition for Hyper-V. You may merge your vsphere and Hyper-V license keys on the Veeam License Management portal and receive a single merged key for 50 vsphere VMs and 50 Hyper-V VMs of Veeam Backup & Replication Enterprise Edition. 9

10 Note: Merged license keys of Veeam Backup & Replication and Veeam Cloud Connect for Service Providers (with Cloud Connect Backup or Cloud Connect Replication counts other than zero) are not available. Note that automatic license updating is not available for merged license keys. Usage rights The VCSP partner is considered the Veeam End User and holds the usage rights for the licensed product(s). Neither the license nor the usage rights are transferrable to the VCSP partner s customer(s). In addition, the VCSP partner s customer(s) are not considered to be Veeam customer(s) and are not eligible for benefits afforded to Veeam customers such as technical support and certain promotional offers. Except as noted below, use of the licensed product(s) by the VCSP partner s customer(s) is limited. VCSP licensing is intended to equip the VCSP partner to deliver hosting, cloud or managed services to its customer(s). VCSP licensing is not intended as an alternative to Veeam end customer licenses or as a way for customers to use Veeam products on a monthly basis. The VCSP partner s customer(s) may use portals included with Veeam products for self service. In addition, if the VCSP partner is managing the deployment and operation of the licensed product(s) at the customer s site on an ongoing basis, the VCSP partner s customer(s) may access other product user interface(s). Such access should be complementary to the VCSP partner s own access of the product(s) to manage or protect customer machines. If the VCSP partner offers Data Center as a Service or hosted infrastructure on VCSP-owned hardware, the VCSP partner may offer its customer(s) full access to the licensed product(s) in order for customer(s) to manage or protect the infrastructure provided to them by the VCSP partner. The VCSP partner retains responsibility for product license keys, including updating, removing and ensuring sufficient license quantities (monthly usage reporting and/or perpetual license purchases, if available). Support entitlement Support entitlement refers to the right to receive technical assistance from Veeam. Support entitlement follows usage rights and cannot be transferred; it remains attached to usage rights. This means that a VCSP partner must support its customers and the VCSP partner is the only party that contacts Veeam for support. VCSP rental licenses Any VCSP partner may procure VCSP rental licenses. Rental licenses represent an operating expense and align the VCSP partner s payment for Veeam products with revenue generated from Veeam products. How to rent VCSP rental licenses are available from VCSP aggregators. VCSP aggregators are available in most markets. Contact your Veeam representative or your regional VCSP team for assistance in finding a VCSP aggregator in your area. 10

11 Volume rental agreement VCSP volume rental agreements (VRAs) include both a time and a volume commitment. The time commitment is 12 consecutive months of usage reporting. Example: You sign up for a VRA on November 6, Your first month of usage is December 2017, and your rental agreement runs through November The volume commitment is specified as a number of points. A point value is assigned to each Veeam product available for rental under the VCSP program, and the VCSP partner can meet its volume commitment in any given month with any mix of available Veeam products. Higher volume commitments carry more discounted pricing. When a partner signs up for or renews a VRA, they lock in pricing at the then-current Veeam MSRP for a full 12 months. So if MSRP is goes up during that period, the partner s price remains the same. Contact your Veeam representative or your regional VCSP team for more information. Likewise, if a partner upgrades to a higher volume commitment, their new agreement runs for a full 12 months and they lock in pricing at the then-current Veeam MSRP for those 12 months. No-commit rental Veeam also offers VCSP partners the option for a no commitment monthly rental of product(s) with no volume or time commitment to Veeam. Note: While Veeam does not set a minimum volume or time commitment, a VCSP aggregator may impose such requirements. Pricing is based on Veeam s MSRP for no-commit rental. Contact your VCSP aggregator for a quote. Usage reporting The VCSP partner must report monthly usage within the timeframe specified by Veeam or their VCSP aggregator (for example, within 5 days of month end). Reporting method (spreadsheet, portal, EDI, etc.) is at the discretion of Veeam or the VCSP aggregator. Regardless of the number of machines specified in the VCSP partner s license key, the VCSP partner must report their actual usage whether that be more or less than the count(s) in their license key. Example 1: You have a license key for 100 Hyper-V VMs of Veeam Backup & Replication but only replicate or back up 15 VMs. You must report your usage as 15 VMs. Example 2: You have a license key for 100 vsphere VMs of Veeam Backup & Replication, and you replicate or back up 120 VMs. You must report your usage as 120 VMs. 11

12 Some Veeam products count machines protected or managed for the first time separately from other machines. These new machines may be excluded from monthly usage reporting. Some Veeam products include usage reporting functionality. Product-generated usage reports, if available, do not replace monthly usage reporting to Veeam or the VCSP aggregator. Exceeding license counts VCSP licenses allow for a great deal of flexibility so as not to hinder the dynamic nature of the service provider business. For example, there may be times where a VCSP partner needs to manage more machines than specified in their license key. Depending on the product, VCSP license keys may allow the partner to use the licensed Veeam product(s) on more machines than specified in the license key for a limited period of time. This should provide the VCSP partner with sufficient flexibility to onboard new customers without having to wait for a new license key. A message will typically appear in the Veeam user interface if usage exceeds the number of machines licensed. For more information, refer to Veeam product documentation for the product(s) licensed. Example: You have a license key for Veeam Backup & Replication that specifies 50 VMs of VMware vsphere and 100 VMs of Microsoft Hyper-V. The key will allow you to exceed your license count by 20 VMs or 20 percent (whichever is greater) for 60 days (if rental) or 30 days (if perpetual). You can therefore protect up to 70 vsphere VMs and up to 120 Hyper-V VMs (plus any number of new VMs, if rental). If you utilize the additional capacity, you must report all 70 vsphere VMs and all 120 Hyper-V VMs. In addition, Veeam technology does not restrict a VCSP partner from using the same license on multiple machines. As a result, a VCSP partner could manage more machines than specified by their license key. Regardless, the VCSP partner must report all usage. Prorating There is no prorating of monthly rental fees. After the first month, any partial month of usage incurs the full monthly rental fee. Revocation for non-compliance Veeam may revoke product licenses and membership in the VCSP program (including technical support) if the VCSP partner fails to report usage or remit payment to the VCSP aggregator within the timeframes timeframes set by Veeam or the VCSP aggregator, regardless of whether notice has been given to the VCSP partner. Revocation of licenses and technical support does not relieve the VCSP partner of its obligations under a VCSP volume rental agreement (VRA), including payments for the remaining term of the agreement. Upon revocation, the VCSP partner must discontinue use of any/all Veeam products rented, even if license keys have not expired. 12

13 VCSP perpetual licenses VCSP partners with VCSP perpetual licenses on 31 December, 2017 may purchase additional VCSP perpetual licenses (for the same products and product editions) until 31 December, How to buy VCSP perpetual licenses are available to existing VCSP perpetual license holders from VCSP aggregators (EMEA) and Veeam distributors and resellers (all other regions). Note: If your company is both a Veeam reseller and a VCSP partner, you may purchase VCSP perpetual licenses directly from your Veeam distributor. Deal registration does not apply. Product license keys After purchasing VCSP perpetual licenses, the VCSP partner will receive a license key with the number of VMs (or sockets) purchased. When ordering additional licenses, the VCSP partner can acquire a new license key with an expanded VM (or socket) count. Evaluation licenses VCSP partners may have access to evaluation licenses for Veeam products. Evaluation licenses (sometimes referred to as trial licenses) are for the VCSP partner s own evaluation purposes only and may not be used to deliver any kind of service to a customer whether paid or free or to deliver a free trial to a customer. Exception: The Data Availability Assessment makes use of an evaluation license, and VCSP partners may use this license to deliver assessment services to their customers. Not for resale (NFR) licenses Platinum, Gold and Silver VCSP partners may request Not for Resale (NFR) licenses. NFR licenses are free and can be used for development, testing, demonstration and training purposes only. Under no circumstances can NFR licenses be used for any for-fee activity or for the VCSP partner s own internal business purposes. How to request Go to the Veeam ProPartner portal to request an NFR license. You will be notified when your request has been reviewed. 13

14 VCSP internal-use licenses Platinum, Gold and Silver VCSP partners may purchase discounted VCSP internal-use licenses offered by Veeam. Internal-use licenses carry standard end customer terms and can only be used for the partner s own internal business purposes; they cannot be used to process third-party customer data. Internal-use licenses can only be used for machines that are dedicated to the partner s internal business processes. For example, if a VCSP partner hosts its own internal-use VMs and customer VMs on the same physical servers, it must purchase VCSP licenses for all the VMs. The VCSP partner cannot purchase discounted internal-use licenses if internaluse VMs and customer VMs are intermingled. Example 1: You manage your company s and CRM on 10 VMs located on physical server A, and you manage 10 customer VMs on physical server B. You may purchase VCSP internal-use licenses for the VMs on server A and traditional VCSP licenses for the VMs on server B, even if both server A and server B reside in the same data center. Example 2: You manage your company s on 5 VMs on physical server A where you also manage 8 customer VMs. You must procure traditional VCSP licenses for all 13 VMs on server A. A VCSP partner is limited to 200 VMs (that is, 20 packs of 10 VMs each) of internal-use licenses for any given product (any edition, whether in a suite/bundle or standalone). VCSP internal-use licenses are available from aggregators (in EMEA) and distributors (all other regions). Note: If you are both a VCSP partner and a Veeam reseller and if you qualify and are approved to purchase internal-use licenses under both VCSP program and the Reseller program, then you may pick between the two internal-use licensing models. However, you must standardize on one licensing model. Note: VCSP partners in EMEA may not use end customer licenses of Veeam Backup Essentials. VCSP partners in all other regions may use Veeam Backup Essentials for their own internal business purposes, subject to the usual restrictions on Backup Essentials. How to buy Contact your Veeam representative or your regional VCSP team for assistance in purchasing internal-use partner licenses. 14

15 License conversion End customer to VCSP Veeam recognizes that some service providers might have purchased Veeam end customer licenses when, in fact, they need VCSP licenses. Veeam will help service providers with end customer licenses convert their licenses to VCSP licenses, to come into compliance with the Veeam EULA. Contact your Veeam representative or your regional VCSP team for assistance. Audit For the term of any Veeam product license and for a period of one year thereafter, Veeam may, during normal business hours and upon reasonable prior notice, inspect the files, computer processors, equipment and facilities of the VCSP partner (or former partner) to verify compliance with the Veeam EULA and applicable order form(s). 15
