1 Ref No: CORP/ITI/DM/4(17-18) Date: ITI Limited Dooravaninagar, Bangalore Invitation for Expression of Interest for Fiber Infrastructure Projects TECHNICAL BID - PART I 1. BharatNet is the ambitious project of Government of India to extend broadband connectivity to each and every village in the country. The project is spearheaded by Bharat Broadband Network Limited (BBNL) under Department of Telecommunications under the Ministry of Communications. In the first phase I of this project, more than 100,000 Gram Panchayats were covered and the project has been declared completed in December BBNL has now launched to cover the balance nearly 1.50 Lakh Gram Panchayats with fiber connectivity. The activity is to provide infrastructure from Block level to GP level through fiber and get broadband connectivity up to 1 gbps at each GP. Some of the GPs may be connected through radio in case connectivity through fiber is not feasible. 2. Government of India expects that the BharatNet project covering all the Gram Panchayats in the country gets completed within the next one year. The BharatNet tenders for laying optical fiber from block level to GP level or extending broadband through radio links up to GP level and also connecting the broadband links through GPON based equipments are being floated by BBNL or by other agencies like, BSNL, PGCIL etc. For some of the states, the requirements are addressed by the State Governments themselves. BBNL has already released the tender for the states of Bihar and Punjab (Ref. No.: BBNL/MM/2017/PIA for BharatNet Phase-II/PB & BH/004 issued on 15/12/2017 (and its addendums), which can be accessed in its web site. The tender requirements are likely to be similar for all states. Similarly, Jharkhand state has also released the tender document (Ref. No. JCNL-09/2017 dated ). 3. The scope of the customer tender for BharatNet project can be broadly divided into: a) GIS based site survey for laying of OFC b) Supply of OFC, HDPE ducts and related accessories required for OFC laying c) Laying of underground/ aerial OFC from Block to GP level (including obtaining necessary RoW permissions) covering all those GPs in the state which were not covered in BharatNet Phase I and end to end testing of fiber links d) Establishing Broadband connectivity through Radio Links from Blocks to GPs wherever fiber laying is not feasible e) Installation of GPON OLT at block level and GPON ONT at GP level to extend broadband at GP level. The ONT equipments at GP level will be further supported by SPV power systems along with batteries.

2 f) Commissioning of links to each GP through lighting of ONTs g) Completion of all the above activities in a period of one year h) Extend operation and maintenance support for a warranty period of two years and AMC period of five years. Note: The above list is only indicative and, for the full scope of work, kindly refer to the tender documents. 4. ITI has facilities for manufacturing GPON equipments (OLT & ONT) in its Raebareli, Mankapur and Bangalore plants. Naini Plant of ITI has the capability for manufacturing solar panels. Bangalore plant has also the facilities for addressing supply of radio equipments. ITI has also the facilities for manufacturing and supply of HDPE duct and OFC, which, however, may not meet all the requirements of the tenders. Hence, ITI needs partners for addressing for the supplies of items related fiber infrastructure as well as for OFC laying services. Similarly, ITI will be requiring partners for the O&M work related to the fiber network. 5. Since the major activity is fiber laying, ITI needs partners for this activity for BharatNet project in all the states where ITI is interested to bid. The partners should be ready to take the work on back to back basis with respect to supply of hardware as well as laying of OFC and maintaining the OFC network during warranty and AMC phase. The partners, shall, however, agree for ITI s right to supply its own manufactured hardware for OFC laying, like HDPE duct and OFC, for part of the requirements, if desired so by ITI, the details of which are given in the clauses below. 6. The current Invitation for EoI is to identify partners to ITI for the two tenders of BBNL (Bihar & Punjab) and Jharkhand referred above. (ITI will be seeking partners for bidding against other tenders of BSNL, PGIL, States etc. through separate EoI(s)). ITI will bid for the tenders as Lead Bidder with the support of partners selected through this EoI for the BBNL and Jharkhand tenders. The EoI envisages to identify eligible agencies for partnering with ITI for the work related to site survey, planning, supply of hardware, laying of underground or aerial OFC and O&M work of OFC network as per the scope of work mentioned in the two tenders referred to in this EoI. The Bidders getting qualified in this EoI will be empanelled, who will in turn be asked to submit commercial quotes to ITI, based on which ITI s partners for the above two tenders will be selected. 7. ITI, therefore, invites Expression of Interest for partnering with ITI for addressing BharatNet Phase II tenders released by BBNL for the states of Bihar and Punjab and the also tender of Jharkhand from Indian registered companies having expertise in building fiber infrastructure projects. 8. At this stage, ITI may be eligible to bid for only one state against BBNL tender, either Bihar or Punjab (in addition to Jharkhand tender). In case the condition remains the same even after the finalization of the tender conditions (after issuance of clarifications to vendor queries by BBNL), the state for which ITI will be bidding will be finalized after the finalization of this EoI.

The Scope of work envisaged by the selected Partner(s) against this EoI is given below: Scope of Work 9.1 Supply of OFC, HDPE Duct, FTB and any other accessories required for laying of underground and aerial OF cables and testing them. 9.2 Site survey for all the allocated Gram panchayats and complying to the requirements on preparing, submitting and getting approvals for the final Bill of Materials 9.3 Obtain necessary RoW permissions 9.4 Laying of underground and aerial OFC as per specifications, getting it tested end to end 9.5 Maintain the OFC network during warranty and AMC phase 9.6 Fulfilling all requirements as per the customer tender with respect to the above activities 10. The eligibility conditions for the bidders are as given below: Eligibility Criteria: 10.1 The Bidder must be Company registered under Indian Companies Act, 1956 or 2013 or a Limited Liability Partnership under Indian Limited Liability Partnership Act, 2008 or a Partnership firm, registered under the Indian Partnership Act, 1932 and GST registered. Bidder can be a consortium of companies with a maximum of three Indian Registered Companies as members of the Consortium The Bidder should be a manufacturer of OFC and shall be having experience in underground laying, installation, testing and commissioning of optical fibre cable. In case of Consortium, it shall have at least one Member having experience in OFC manufacturing and also a Member having experience in OFC laying or both The Bidder, or the Lead Bidder in case of Consortium, should have an average turnover of 200 Crs. in the last three financial years ( , and ) Bidder (or any one Member of the Consortium, in case the bid is by a Consortium) must have executed underground OFC laying work in India for a route length of at least 3500 kms in the last three years. Documentary evidence in the form of completion certificates from the customers or copies of purchase orders shall be submitted Bidder shall have valid ISO 9001: 2008/ ISO 9001:2015 certification. In case of Consortium, each Member company of the Consortium shall have ISO 9001: 2008/ ISO 9001:2015 certified. Copy of the certificate shall be submitted The Bidder shall submit a copy of Certificate of Incorporation, along with Articles of Memorandum of Association of the company. In the case of a

4 Consortium, copies of certificates of incorporation of all members along with copies of GST registration shall be submitted. Also, a copy of the Consortium Agreement clearly showing who is the Lead Member and also the responsibilities of each Member of the Consortium shall be submitted Bidder, or the Lead Bidder in case of Consortium, shall submit copies of Annual Reports for the Company for the last three financial years , and The Bidder, or the Members of the Consortium, in case the bid is by a Consortium, should not have been blacklisted by any of the Central or State PSUs/Agencies or Telecom Operators as on the date of bid submission. An undertaking in the company letter head shall be submitted by the Bidder, or the Lead Bidder, as the case may be If the bidding company is an EPC Contractor for OFC laying such company will not be eligible to bid for this EoI either as a sole bidder or through a consortium, if that company proposes to bid for the above two tenders directly or through other consortium(s). An undertaking shall be submitted by the Bidder (or, the Lead Bidder, in case of a Consortium) that the Bidder (or the EPC contractor company, in case of Consortium) shall not be participating in the above referred tenders directly or through consortium(s) for those states for which the EoI has been submitted. 11. Other Conditions: 11.1 Bidder or at least one Member of the Consortium, shall have the capability to supply at least 25,000 kms. of 48 core OFC per annum. The tender calls for supply of OFC which is mainly of ribbon type. The OFC and related accessories required as per BBNL Tender no. BBNL/MM/2017/PIA for BharatNet Phase- II/PB & BH/004 issued on 15/12/2017 (and its addendums) should have valid TEC certifications against the specifications mentioned in the customer tender. In case TEC certifications do not exist at the time of bid submission, an undertaking shall be given that relevant certifications/letters shall be obtained by the OFC manufacturer to get himself/herself qualified for bidding through ITI, at least two days before the due date of customer tenders Similarly, the Bidder or the Consortium, if the bid is by Consortium, shall have partners for supply of HDPE duct as per the specifications in the BBNL tender for the quantity and delivery requirements specified in the tender If the bid is by a sole Bidder, he/she shall submit a self certified letter showing installed capacity for the fiber products for supply requirements as mentioned at clause 11.1 above. In the case of consortium, the Lead Bidder shall submit certificate of his/her consortium member clearly showing the installed capacities of fiber manufacturing and his/her ability to support the consortium for supply of at least and 25,000 kms. of 48 core fiber and its accessories in a year The Bidder (or the Lead Bidder, as the case may be) shall also submit a letter showing his/her capability to support supply of HDPE duct for a length of at least 15,000 kms per annum and also meet the supply requirements of the Purchase Order.

5 11.5 The Bidder, or any Member of the Consortium, should have Company owned, leased or rented OTDR, OFC blowing machine, Optical Power meter, Laser source, Cable route locator, Splicing and HDD machine, equipment for OFC laying and end to end testing for laying at least 25 kms. per day of underground OFC. (Self Certification on capability as required in this clause along with a list of equipments with quantities that can be made available for fiber laying shall be enclosed) The Bidder, or the Lead Bidder in case of a Consortium, agrees that he/she has read the BBNL tender clauses fully and abide by all the requirements with respect to submission of letters from OEMs (related to the products covered under the scope of this EoI), specifications, deliveries, quality, scope of work etc. including the scope of work during warranty and maintenance phase for the OFC laying part of the tender The route survey for finalising OFC routes shall be undertaken by the bidder as per tender specifications ITI, being a manufacturer of HDPE duct and fiber, reserves the right to supply HDPE duct / OFC from its own production units up to 25% of the PO requirements. (Balance quantity of 75% or more (up to 100%) shall be supplied by ITI s partner). The Bidder (or the Lead Bidder in case of the bid is by a Consortium) shall agree to use ITI supplied materials for fiber laying to the extent supplies made by ITI. An undertaking to this effect will be given by the Bidder (or the Lead Bidder, in case the bid is by a Consortium), 11.9 The quantities indicated against each item as per BBNL/ Jharkhand tenders are approximate only and might vary after site survey The Bidder (Lead Bidder, in case of a Consortium) shall agree to furnish EMD of 2% of the bid value for his/her part of the bid prior to bid date by way of DD or bank guarantee in favour of ITI Ltd The Bidder (Lead Bidder, in case of a Consortium) should furnish performance bank guarantee as per customer s purchase order for the value corresponding to his/her part of the bid on receipt of order from the end customer After receiving a Purchase Order, ITI reserves the option to allocate part of the fiber laying work, including or excluding supply of fiber and HDPE and related accessories, to its own local contractors in a state. However, this work would be limited to a maximum of 25% of the allocated work awarded to ITI. The Bidder (or the Lead Bidder in case of a consortium) shall agree to this proposal of ITI to have its own subcontractors for fibre laying work up to a maximum of 25% of the order quantities. The supply of hardware (fiber, HDPE duct and related accessories) for such work shall be made either by the Partner selected through this EoI or by the local subcontractor of ITI or by ITI itself. The decision on this will solely be by ITI Payment terms: The payment shall be made on back to back basis. I.e., the payment shall be made after the customer releases payment to ITI for the part of the work executed by the Bidder as ITI s Partner. No advance payment shall be made to the Partner even if the customer gives advance to ITI. If the customer makes advance to ITI and considers it as payment already made (without adjusting it with any other further payments), the amount payable to the Bidder

6 (as ITI s partner) from that part of the payment shall be paid by ITI along with the last 10% of the payment This Invitation for EoI is to empanel Agencies for addressing tenders by ITI. Such empanelled agencies will be asked to submit a financial bid, based on which ITI will be selecting its partners to address customer tenders. As the current EoI is to select partners for addressing the requirements of only three states (Bihar, Punjab and Jharkhand) the Bidder (or the Lead Bidder, as the case may be) should indicate the choice of states for partnering with ITI. i.e., if the Bidder (or the Lead Bidder) is interested to address only one or two states, the Bidder (or the Lead Bidder) shall indicate the names of the states against which he/she would be submitting the EoI. (Clause no. 8 also may be noted in this regard) The empanelment of the agencies as prospective partners of ITI for the BBNL and Jharkhand tenders shall be based on meeting all eligibility conditions of this EoI. Finalization of the partner(s), shall, however, be based on the evaluation of financial bids, which will be taken subsequently from the empanelled agencies. The Bidder must not withdraw from partnership after having selected as ITI partner for a state and ITI has decided to bid for the tender along with the partner for that state. It is, therefore, that the choice of states/ packages must be indicated in the offer by the Bidder (or, the Lead Bidder, as the case may be) For the tenders of BSNL and tenders of other states for BharatNet project, separate EoI(s) will be released by ITI. The partners finally selected through these EoI processes shall have preference while finalizing ITI s partners for addressing the future projects of ITI. 12. General Conditions/ Requirements 12.1 The Bid shall include the following details (Pl. refer to Annexure I, II and III): Name of the Bidder Company. (In case of Consortium, the name of the Lead Bidder Company) Address and contact details (Name, address, telephone numbers, ids etc.). In case of consortium, name and addresses of contact persons of all consortium members shall be shown Name and designation of the Bid signing Authority Clause by Clause compliance to all clauses of Part I of the EoI (as per Annexure II) All eligibility documents as sought under clause 10 above Documents as sought under clause 11 above All pages of Part I of the EoI, duly signed Fully filled and signed Annexure I, II and III Filled and signed (by the Bidder, or the Lead Bidder, as the case may be) Integrity Pact document shown in Part II The Bid shall be submitted in a single cover. The cover shall include all the documents mentioned under clause 12.1 above. The cover will be superscribed

No. CORP/ITI/DM/4(17-18) dated The bid will be submitted to ITI to the address shown at clause Period of bid validity: The bid shall be valid for a period of 90 days from the date of submission The contact person for the EoI is: Deputy General Manager Defence & IT, Corporate Marketing, ITI Limited, F-84, First Floor, Dooravaninagar, Bengaluru Ph : and ID : tvbmm_crp@itiltd.co.in 12.5 Offer due Date & Opening: The last date for receiving the offers at ITI is Hrs. on Late offer: Any offer received after the prescribed timeline shall be rejected Offer Evaluation: The evaluation of the offers will be carried out based the compliance given to all clauses Language of offers: The offers prepared by the Bidder and all the correspondences and documents relating to the offers submitted/exchanged by the Bidder, shall be written in English language Award of Contract: After completing evaluation, ITI will be preparing the list of qualified Bidders (Empanelment). Separate financial quotes will be requested from the empanelled agencies in the second stage, based on which selection of partner(s) will be finalized. On finalization, which may involve further commercial negotiation prior to bidding for customer tenders, ITI shall enter into a Memorandum of Understanding with the partner for addressing customer tenders Authorized Signatory: All certificates and documents received as part of the offer shall be signed by the Authorized Representative. The power of authorization or any other document consisting of adequate proof of the ability of the signatory to bind the Bidder (or the Lead Bidder) shall be submitted ITI reserves the right to suspend or cancel the EoI process at any stage, to accept, or reject any, or all offers at any stage of the process and / or to modify the process, or any part thereof, at any time without assigning any reason, without any obligation or liability whatsoever and the same shall be published in the ITI website or intimated through Cost of EoI: The Bidder shall bear all costs associated with the preparation and submission of its EoI, including cost of presentation for the purpose of clarification of the offer, if so desired by ITI Amendment of EoI: At any time prior to the last date for receipt of offers, ITI, may, for any reason, whether at its own initiative or in response to a clarification requested by the prospective bidder, modify the EoI document by an amendment. In order to provide reasonable time in which to take the amendment into account in preparing their offers, ITI may, at its discretion,

8 extend the last date for the receipt of offers and/or make other changes in the requirements set out in the Invitation for EoI ITI will have the right to decide on participation in any customer tender The Technical Bid will be opened at 11:30 Hrs. on Those who wish to participate shall intimate ITI (contact details at clause at 12.4 above) at least one day in advance If the last day for bid submission is declared as a holiday, the bid will be opened at the same time on next working day Disclaimer: ITI and/or its officers, employees disclaim all liability from any loss or damage, whether foreseeable or not, suffered by any person acting on or refraining from acting because of any information including statements, information, forecasts, estimates or projections contained in this document or conduct ancillary to it whether or not the loss or damage arises in connection with any omission, negligence, default, lack of care or misrepresentation on the part of ITI and/or any of its officers, employees.

12 PART II PRE-CONTRACT INTEGRITY PACT GENERAL This pre-bid pre-contract agreement (hereinafter called the Integrity Pact) is made on day of... the month of.., between, ITI Limited, ITI Bhavan, Dooravaninagar, Bangalore , India, (hereinafter called the "BUYER", which expression shall mean and include, unless the context otherwise requires, his successors in office and assigns) of the First Part and M/s.. (address of the Bidder) (hereinafter called the "BIDDER " which expression shall mean and include, unless the context otherwise requires, his successors and permitted assigns) of the Second Part. WHEREAS the BUYER proposes to invite Expression of Interest (EoI) for selection/ empanelment of technology partner for a technical tie-up with ITI for the marketing/manufacturing of... (name of the product) and the BIDDER is willing to participate in the EoI as per the terms and conditions mentioned thereon; WHEREAS the BIDDER is a private company/public company/government undertaking/partnership company (strike off whichever is not applicable), constituted in accordance with the relevant law in the matter and the BUYER is a PSU under the Department of Telecommunications, Ministry of Communications & IT, Government of India. NOW, THEREFORE, To avoid all forms of corruption by following a system that is fair, transparent and free from any influence/prejudiced dealings prior to, during and subsequent to the currency of the contract to be entered into with a view to :- Enabling the BUYER to select/ empanel a technology partner for the marketing/ manufacturing of. (name of the product) through the EoI in a transparent and corruption free manner, and Enabling BIDDERs to abstain from bribing or Indulging in any corrupt practice in order to secure the contract by providing assurance to them that their competitors will also abstain from bribing and other corrupt practices and the BUYER will commit to prevent corruption, in any form, by its officials by following transparent procedures. The parties hereto hereby agree to enter into this Integrity Pact and agree as follows: 1. Commitments of the BUYER

13 1.1 The BUYER undertakes that no official of the BUYER, connected directly or indirectly with the contract, will demand, take a promise for or accept, directly or through intermediaries, any bribe, consideration, gift, reward, favour or any material or immaterial benefit or any other advantage from the BIDDER, either for themselves or for any person, 'organisation or third party related to the contract in exchange for an advantage in the bidding process, bid evaluation, contracting or implementation process related to the contract. 1.2 The BUYER will during the pre-contract stage, treat all BIDDERs alike, and will provide to all BIDDERs the same information and will not provide any such information to any particular BIDDER which could afford an advantage to that particular BIDDER in comparison to other BIDDERs. 1.3 All the officials of the BUYER will report to the appropriate Government office any attempted or completed breaches of the above commitments as well as any substantial suspicion of such a breach. 2 In case any such preceding misconduct on the part of such official(s) is reported by the BIDDER to the BUYER with full and verifiable facts and the same is prima facie found to be correct by the BUYER, necessary disciplinary proceedings, or any other action as deemed fit, including criminal proceedings may be initiated by the BUYER and such a person shall be debarred from further dealings related to the contract process. In such a case while an enquiry is being conducted by the BUYER the proceedings under the contract would not be stalled. 3 Commitments of BIDDER 3.1 The BIDDER commits itself to take all measures necessary to prevent corrupt practices, unfair means and illegal activities during any stage of its bid or during any pre-contract or post-contract stage in order to secure the contract or in furtherance to secure it and in particular commit itself to the following:- a) The BIDDER will not offer, directly or through intermediaries, any bribe, gift, consideration, reward, favour, any material or immaterial benefit or other advantage, commission, fees, brokerage or inducement to any official of the BUYER, connected directly or indirectly with the bidding process, or to any person, organisation or third party related to the contract in exchange for any advantage in the bidding, evaluation, contracting and implementation of the contract. b) The BIDDER further undertakes that it has not given, offered or promised to give, directly or indirectly any bribe, gift, consideration, reward, favour, any material or immaterial benefit or other advantage, commission, fees, brokerage or inducement to any official of the BUYER

14 or otherwise in procuring the Contract or forbearing to do or having done any act in relation to the obtaining or, execution of the contract or any other contract with the Government for showing or forbearing to show favour or disfavour to any person in relation to the contract or any other contract with the Government. c) BIDDERs shall disclose the name and address of agents and representatives and Indian BIDDERs shall disclose their foreign principals or associates. d) BIDDERs shall disclose the payments to be made by them to agents/ brokers or any other intermediary, in connection with this bid/contract. e) The BIDDER further confirms and declares to the BUYER that the BIDDER is the original manufacturer/ integrator and has not engaged any individual or firm or company whether Indian or foreign to intercede, facilitate or in any way to recommend to the BUYER or any of its functionaries, whether officially or unofficially to the award of the contract to the BIDDER, nor has any amount been paid, promised or intended to be paid to any such individual, firm or company in respect of any such, intercession, facilitation or recommendation. f) The BIDDER either while presenting the bid or during pre-contract negotiations or before signing the contract, shall 'disclose any payments he has made, is committed to or intends to make to officials of the BUYER or their family members, agents, brokers or any other intermediaries in connection with the contract and the details of services agreed upon for such payments. g) The BIDDER will not collude with other parties interested in the contract to impair the transparency, fairness and progress of the bidding process, bid evaluation, contracting and implementation of the contract. h) The BIDDER will not accept any advantage in exchange for any corrupt practice, unfair means and illegal activities. i) The BIDDER shall not use improperly, for purposes of competition or personal gain, or pass on to others, any information provided by the BUYER as part of the business relationship, regarding plans, technical proposals and business details, including information contained in any electronic data carrier. The BIDDER also undertakes to exercise due and adequate care lest any such information is divulged. j) The BIDDER commits to refrain from giving any complaint directly or through any other manner without supporting it with full and verifiable facts. k) The BIDDER shall not instigate or cause to instigate any third person to

15 commit any of the actions mentioned above. l) If the BIDDER or any employee of the BIDDER or any person acting on behalf of the BIDDER, either directly or indirectly, is a relative of any of the officers of the BUYER, or alternatively, if any relative of an officer of the BUYER has financial interest/stake in the BIDDER's firm, the same shall be disclosed by the BIDDER at the time of filing of tender. The term 'relative' for this purpose would be as defined in Section 6 of the Companies Act m) The BIDDER shall not lend to or borrow any money from or enter into any monetary dealings or transactions, directly or indirectly, with any employee of the BUYER. 4 Previous Transgression 4.1 The BIDDER declares that no previous transgression occurred in the last three years immediately before signing of this Integrity Pact, with any other company in any country in respect of any 'corrupt practices envisaged hereunder or with any Public Sector Enterprise in India or any Government Department in India that could justify BIDDER's exclusion from the tender process. 4.2 The BIDDER agrees that if it makes incorrect statement on this subject, BIDDER can be disqualified from the tender process or the contract, if already awarded, can be terminated for such reason. 5 Sanctions for Violations 5.1 Any breach of the aforesaid provisions by the BIDDER or anyone employed by it or acting on its behalf (whether with or without the knowledge of the BIDDER) shall entitle the BUYER to take all or any one of the following actions, wherever required:- a) To immediately call off the pre contract negotiations without assigning any reason or giving any compensation to the BIDDER. However, the proceedings with the other BIDDER(s) would continue. b) To immediately cancel the contract, if already signed, without giving any compensation to the BIDDER. c) To cancel all or any other Contracts with the BIDDER. The BIDDER shall be liable to pay compensation for any loss or damage to the BUYER resulting from such cancellation/rescission. d) To recover all sums paid in violation of this Pact by the BIDDER(s) to any middleman oragent or broker with a view to securing the contract.

16 5.2 The BUYER will be entitled to take all or any of the actions mentioned above, also on the Commission by the BIDDER or anyone employed by it or acting on its behalf (whether with or without the knowledge of the BIDDER), of an offence as defined in Chapter IX of the Indian Penal code, 1860 or Prevention of Corruption Act, 1988 or any other statute enacted for prevention of corruption. 5.3 The decision of the BUYER to the effect that a breach of the provisions of this Pact has been committed by the BIDDER shall be final and conclusive on the BIDDER. However, the BIDDER can approach the Independent Monitor(s) appointed for the purposes of this Pact. 6 Independent Monitors 6.1 The BUYER appoints Independent Monitor (hereinafter referred to as Monitor) for this Pact in consultation with the Central Vigilance Commission. 6.2 The task of the Monitor shall be to review independently and objectively, whether and to what extent the parties comply with the obligations under this Pact. 6.3 The Monitor shall not be subject to instructions by the representatives of the parties and perform their functions neutrally and independently. 6.4 Both the parties accept that the Monitor have the right to access all the documents relating to the project/procurement, including minutes of meetings. 6.5 As soon as the Monitor notices, or has reason to believe, a violation of this Pact, he will so inform the Authority designated by the BUYER. 6.6 The BIDDER(s) accept(s) that the Monitor has the right to access without restriction to all Project documentation of the BUYER including that provided by the BIDDER. The BIDDER will also grant the Monitor, upon his request and demonstration of a valid interest, unrestricted and unconditional access to his project documentation. The Monitor shall be under contractual obligation to treat the information and documents of the BIDDER with confidentiality. 6.7 The BUYER will provide to the Monitor sufficient information about all meetings among the parties related to the Project provided such meetings could have an impact on the contractual relations between the parties. The parties will offer to the Monitor the option to participate in such meetings. 6.8 The Monitor will submit a written report to the designated Authority of BUYER within 8 to 10 weeks from the date of reference or intimation to him by the BUYER I BIDDER and, should the occasion arise, submit proposals for correcting problematic situations.

17 7 Facilitation of Investigation 7.1 In case of any allegation of violation of any provisions of this Pact or payment of commission, the BUYER or its agencies shall be entitled to examine all the documents including the Books of Accounts of the BIDDER and the BIDDER shall provide necessary information and documents in English and shall extend all possible help for the purpose of such examination. 8 Law and Place of Jurisdiction 8.1 This Pact is subject to Indian Law. The place of performance and jurisdiction is the seat of the BUYER. 9 Other Legal Actions 9.1 The actions stipulated in this Integrity Pact are without prejudice to any other legal action that may follow in accordance with the provisions of the extant law in force relating to any civil or criminal proceedings. 10 Validity 10.1 The validity of this Integrity Pact shall be from date of its signing and extend up to the contract period with the BUYER in case a contract is signed. In case BIDDER is unsuccessful, this Integrity Pact shall expire after six months from the date of the signing of the contract Should one or several provisions of this Pact turn out to be invalid, the remainder of this Pact shall remain valid.
