2 Introduction The pre-bid meeting with representatives of firms who wish to participate in this Request for Proposals was opened by Wallon Young, Power Chief. All the participants were asked to introduce themselves. Liz Puni mentioned that this is a non-mandatory pre-proposal meeting to seek clarification for this RFP and reminded all participants to sign-in on the sign-in sheet being passed around. Due to the technical difficulties with the telephone line Liz Puni asked the participants on the teleconference call to their Company name and representatives to bids@aspower.com for the record. Brief Project Background Joachim Fong: Contact person for this RFP, SOW is basically looking for 8 MW AC PV system where proposers can propose for rooftops PV, parking lot(s) PV and ground mounted utility size systems. Offeror may propose a combination of the categories outlined in the RFP and ASPA have identified some sites, will negotiate with landowners for potential sites. Working with FAA and airport management and Government to secure sites on FAA land. Offerors can also identify their own sites. Basically ASPA is looking at the best lowest rates so savings can be passed to ASPA s customers. Wallon Young: There are 7 categories listed on page 11; offerors may choose on one or multiple categories; we are mindful that some developers prefer rooftop PV systems; rooftop PV may be more expensive than utility size systems, but we will make some allowance for that. Rooftop PV will be considered along with utility size and parking lot systems. There is also a category #7 for Concentrated Solar Power System- solar thermal energy. Category #6 is for storage only; at this time we don t quite know what the penetration level will be as we have yet to make a decision on the total PV capacity that will be installed (based on the proposals). For category #6 (Battery Storage), we are requesting - proposal prices in $ per MWh of battery capacity. Correction on SOW page 19 - Category #7 for Concentrated Solar Power Systems is missing, but is hereby included. We may switch to questions/answer now. 3 Questions and answers: Question 1 Response Q1 How much storage is allowable for night time? Storage will depend on the penetration level, how much PV will be connected to the grid. 8MW. It is not ASPA s intent for the storage batteries to supply power after sundown. Storage batteries in this RFP is intended primarily for grid stability. Put on record, that we need to in this bidding process, have a demonstration by any bidder to ensure the system works. This is an IPP RFP it will be the responsibility of the offeror to ensure it works or they will not get paid. For each minute the system is down contractor will lose money What has been agreed to with land owners? Has a site been identified? ASPA has identified some sites, leases have not been signed. ASPAs concern is if off island contractors try to negotiate price, prices will be high, that is why ASPA will negotiate. Approximately 54 acres have been identified by ASPA as good potential sites for PV projects. ASPA will negotiate and lease all land required for the project(s). Offerors shall submit proposals for one or multiple categories; the proposed PPA rates shall not include any land leases. ASPA will lease the lands directly from the land owners and provide the same for the project(s). For government building roof top PVs, the proposed PPA price shall not include the cost of renting roof space. ASPA will provide a discounted rate to the Government for any of its buildings with roof PV; this discounted rate shall be calculated based on the roof area used and PV energy produced. Question 5 Is it ASPA s intention to negotiate the leases for the sites? Page 3 of 5

4 Response Q-5 Flexible at this time, but preferably ASPA will negotiate the leases to keep rates down. Yes ASPA will negotiate and lease all lands required for the PV project(s). Offerors shall not include any land lease cost in their proposal price. Or just arrange agreement with individual landowners? Yes, any construction on any land we have to go through the PNRS. Are there any other requirements for equipment? IPP you own the equipment, so you are responsible for the equipment. ASPA would like to know what type of equipment. The standards are listed in the RFP documents on page 19. Who is responsible for damages to PV system caused by others? The developer is responsible for the design, financing, installation, operation and maintenance of the PV systems. The developer will sell all kwh production to ASPA under a PPA Agreement. Weekend what percentage of that is StarKist on the weekends? SKS doesn t pack every weekend and it is up to ASPA how much PV will be connected to the grid. StarKist load when packing during the weekend is 3.7MW Samoa Tuna Processing load when packing during the weekends is 2.5MW Question 10 Given the situation with negotiations with land lease situation, how do we propose our costs? Response Q-10 Page 4 of 5 At this point, if we have developers that can t secure land, you may want to have separate line items for costs. The going rate for land is 45 cents /sq ft / year around the airport area (airport property) and 25 cents /sq.ft/ per year for other areas.
