1 IBM Business Partner Agreement Apply for new Business Partner Agreement
2 The objective of this guide is to provide step by step instructions when applying for new IBM Business Partner Agreement (BPA). We have attempted to show as many of the screen shots as possible, however there may be variations depending on the relationship you are applying for. Should you have any system problems with sign on or with navigation, please note that there is a link on each screen for Contact services This will help you find the appropriate support for your country to help. 2
3 Application Flow Application Status IBM generates new Business Partner Agreement (BPA). Business Partner (BP) completes the application using their IBM PartnerWorld Profile. IBM reviews and approves new application Agreement Active BP signs and IBM countersigns BPA Status Pending Under Business Operations Review Business Partner Additional Information Required Denied Approved pending Agreement Issue Agreement Active Description Initial status. Application not yet reviewed by IBM IBM s team has initiated the review process This status allows the Business Partner to edit the application again to make updates/ attach more documentation etc. IBM has not accepted the application. IBM has approved the application and initiated contract creation. Contract creation and acceptance in progress. IBM has activated the authorization. 3
4 Application sections The application is broken into the following sections. See questions you will need to provide input for. Company details Company Information Key contacts 1. Is this application a result of a merger or acquisition with a firm who is currently an IBM System and Services Business Partner? Relationship 2. Relationship Type (i.e. Solution Provider - T2) Locations 3. IBM contracting country? 4. Select a Country Enterprise 5. Select a Location / Set location roles (e.g. Signing, Shipping) 6. Select Product group 7. Select Sub-product group Products and Services Additional Documentation 8. Upload supporting documentation / additional document - Commercial Registration and Tax ID 9. Company URL (enter None if no URL), 10. Year of (company) Registration 11. Fulltime employees count 12. Are your bank accounts located in the same country, where the company is legally registered? 13. Are any of your company's owners, Board Members or Senior management currently Government officials or Government employees? 14. Were any of your company's owners, Board Members or Senior Management Government officials or Government employees in the past (3) years? 15. Do any of your company's owners, Board Members or Senior Management have indirect ties (e.g. through familial relationships) with any Government official or Government employee in a position to influence a purchasing decision on behalf of a Government? 16. Are any of the companies that have Company Ownership with 5% or more or is ultimate parent, owned or controlled by any Government, Government official or Government employee? 17. If your company is owned by another company, companies, person or persons, do any of these companies or persons or your company's Ultimate Parent, if any, have a Business Partner relationship with IBM? 18. Within the past five (5) years: Has your company or any related entity (e.g. Ultimate Parent, parent, subsidiary or affiliate) or any of its or their owners, Board Members, Senior Management or any other employees been investigated, charged or convicted in any jurisdiction for engaging in any illegal activity related to unethical conduct, such as bribery or corruption? If YES ---Please provide sufficient details for IBM to evaluate your response, including the name of each company, related entity, owner, Board Member, Senior Management or employees at issue, the nature and circumstances of each such investigation, charge or conviction and the jurisdiction where each such investigation, charge or conviction occurred. 19. Does your company's business model include computer leasing, used equipment (refurbished), or computer equipment broker business as a primary offering, or is it a subsidiary of one that does? 20. Do you have any individuals and/or companies with 5% or more ownership of your company? If YES --- company/ Person name in English and local language / person name in first, middle and Surname/Family Format - Ultimate parent --- Country of residence --- Year of birth (for people) ---- Percent ownership (5 or 6 pieces of info per owner of 5%+) 21. Are any of the persons listed in the key contact section of this Application, or person-owners listed in ownership section of this Application or any Senior Management of your company currently employed by IBM or, to your knowledge, an IBM Business Partner? 22. Were any of the persons listed in the key contact section of this Application, or person-owners listed in ownership section of this Application or any Senior Management of your company employed by IBM or, to your knowledge, an IBM Business Partner in the past five (5) years. 23. Set person roles: CEO, CFO, Director of Sales 4
5 Sign In to your PartnerWorld Profile Log into the PartnerWorld Profiling System (PPS) using following page: This assumes that your company is already a PartnerWorld member, you have an IBM web ID and you are associated with the company as an Authorized Profile Administrator (APA). If not, please refer to the separate PartnerWorld Registration module. ( 5
6 PartnerWorld Profile Relationship Management Click on Relationship management Click on Apply and Manage Relationships 6
7 Relationship Agreements Conditions to be met This screen will appear only for Business Partners with multiple CEIDs. Most Business Partners will directly see the screen on the right side of this slide. Before continuing with you application, please, make sure that the Country enterprise name shows your company s name as it would appear on your official business registration documents. If you need to change the company legal name presented here please follow the user guide Change 7 your legal name. Select the appropriate CEID under the Apply for a business partner agreement We strongly suggest you view/add your locations and employees at this stage as they will be required later in application. Click on these links to view list of locations or employees Click on these links to create employee profiles and locations
8 Company Details Select Yes or No under Merger or acquisition Click Next 8
9 Manage Business Partner Agreements Click on Apply for relationship button to select relationship 9
10 Relationship Employees of your company who will sell IBM products or services will be required to complete an Online Integrity Training course. As part of the Business Partner application process, you must identify these sales employees. Click Register your sales employees for Integrity Training to complete the Business Partner Integrity Education form. You need the names and addresses of the employees to fill out the form. Click For more information on Integrity Training, including options for completing the training, go to Integrity Training Corner to learn more about Integrity Training, including the various options for completing the training. Scroll down the page. Click on dropdown box to see list of available relationship options for your country. Scroll Down 10
11 Relationship A country or group of countries are preselected for you based on your country location. To add a country where you will also do business, select the country in the Available countries list. Click the right arrow to move the selection to the Selected countries list. When you have selected all the countries where you will do business, click Next. 11
12 Click and Accept In some countries for specific relationships, BPA Click and Accept terms and conditions may be presented where you can agree to the terms and conditions online. Click each link to read and print the agreement. It is important to read each agreement carefully and print each one for future reference. These are legally binding agreements. You may obtain a copy of the agreements with the details of your relationship populated with authorized products and your registered agreement number if required. Select Yes at Do you require a confirmed agreement copy with our company name and approved products embedded? When you have read the agreements, accept the terms of the agreements by clicking I agree, or decline to accept the terms by clicking I disagree. If you click I disagree, you will exit from the application and your information will not be saved. 12
13 Locations Click on location to designate the contract signing location. Highlight Signing location in Available box and click green arrow to move it over to Selected box. Once location shows in the Selected box, click on Set location roles button. 13
14 Locations 14 You now see the selection in the location list, click the Next button
15 Products and Services Click on Add Product button, page will refresh. Scroll down the screen Product Group drop down will display. Select the Product or Service. 15
16 Products and Services Sub-product Certain country-relationship settings may require a Distributor selection field. Complete the field if it is included on the page where mandatory. Select the check box to confirm that Communication with the distributor has occurred. Click on link for sub-product groups. Page will refresh. Scroll down. Select sub-product group, when selection is made another box will appear for selection (Sub-product relationship). Scroll down 16
17 Product and Services Sub-product You now see the selected sub-product, and can add another by clicking on the Add a sub-product group link again and repeating the process. If finished, click on Next button. Click on Next to add the next sub-product group or click on Add a subproduct to add to list 17
18 Product and Services Once you have clicked Next on previous screen, you will now see the selected relationship type, product groups and sub products. You can still add more products here or click on Next.
19 Additional Documentation and Comments You can now see all uploaded files and can either click on button to add more or scroll down to add comments. You may click on Upload additional document button to add one or more documents (different formats supported). You may also add comments. Click the Next button to proceed (existing BPs will see a Save button instead) The length of the uploaded document name and extension cannot exceed 50 characters 19 Latin or 25 DBCS
20 Company Information! You will be required to assign employees to the roles below. If a position is not applicable to your company (e.g, you have no Chief Financial Officer), then please assign the individual within your company who holds an equivalent or comparable position: Chief Executive Officer/Managing Director Chief Financial Officer/Director of Finance Director of Sales Application signatory Administrative contract for contractual matters! You may assign more than one role to same employee.! Please make sure you enter for the name in local/native language fields first, middle (if applicable) and surname/ family name and as they appear on official government documents such as a passport. Definitions:! Board Members includes all of the members of a company s Board of Directors or any equivalent or comparable governing body or group.! Company includes any company, corporation, partnership, limited liability company or other entity.! Government includes any (a) national, state or local government, (b) public international organization (such as the United Nations), (c) agency or company subject to a country s public procurement laws and (d) company that is owned or controlled by a government, organization, agency or company described in items (a),(b),(c), or (d) of this definition (such as state owned oil or telephone company).! Senior Management - includes (a) all of a company s officers, presidents, senior vice presidents, managing directors, directors of sales, finance and marketing and all members of a company s senior leadership teams, (b) if a company does not have officers, presidents, senior vice presidents, managing directors, or directors of sales, finance or marketing, then those persons holding equivalent or comparable positions to those and (c) those persons (other than administrative personnel, such as secretarial assistants) who report to the positions/persons covered by items (a) and (b).! Ultimate Parent is the top-level company in a family of companies. An ultimate parent directly or indirectly controls a company. In the following example, Company C is Company A s ultimate parent:! Company A is controlled by Company B;! Company B is controlled by Company C;! No company controls Company C! If there is no company that controls Company A, then Company A is the ultimate parent. 20
21 Company Information The Company URL is prepopulated from your company s PPS profile when initially registered for PartnerWorld. 21
22 Company Information 22 Note: A positive ( Yes ) answer will refresh the screen to show a text box requiring further information.
23 Company Information This is the Ultimate Parent If you have entered a person s name, please click on this checkbox and add the person s year of birth. If you have entered company name no year of birth is required (example on following slide). Click on button to add details. When adding the ultimate parent company, click on this checkbox. Click on Next 23 The person has been added to the list. Click on button to add more When finished adding, scroll down to next section
24 Company Information A positive ( Yes ) answer to either question will refresh the screen to show a text box for further information to be provided. After completion click on Next button. 24
25 Key Contacts Select people to assign to roles. Once you have clicked on the person you will see them as selected. Scroll down. 25
26 Key Contacts Note: The person s details are prepopulated from their PartnerWorld profile. Select the role for the person and click the green arrow to move to Selected. Click on Set person roles to update the employee list. 26
27 Key Contacts Employees show in list, please repeat until all required roles are assigned. Once all of the required roles are assigned, click the Next button. 27
28 Company Certificate Confirmation Page Click on the Accept certification statement link, this will populate your name and the date accepted. Confirmation number can be used to track the application status. 28 Your application is complete! Click Save to submit it for processing. You will receive a confirmation number.
