1 Compensation Plan Becoming a FREZZOR Distributor Becoming a FREZZOR Independent Distributor and starting YOUR very own home based business is easy. Simply complete the FREZZOR application online, submit via , fax, or by postal mail, signed and completed, which can be found at www. frezzor.com/opportunity along with the annual Distributor fee. All FREZZOR Independent Distributors receive a personalized website and a Virtual Office. As an Independent FREZZOR Distributor you are also eligible to participate in the FREZZOR Compensation Plan. Sales Person to Person Sales: When a Distributor purchases FREZZOR at the Distributor Price they can sell it at the Suggested Retail Price and can keep the difference between the Distributor Price and the retail price as their profi t. Retail Sales: If you wish, FREZZOR is pleased to be directly responsible for order fulfi llment, as well as accounting. Simply refer your s to your website or fi ll-out and submit an order form. The Retail pays the Suggested Retail Price and FREZZOR pays you, the Distributor, 15% of that sale. Preferred Sales: When a signs up for the FREZZOR Autoship Program, they become a Preferred and are entitled to purchase FREZZOR products at the Distributor Price. The Distributor is paid 20% of the sale price. Retail and Preferred Profi ts are paid weekly. You do not have to be Active to earn Retail or Preferred Profi ts. For each type of sale a Distributor earns both Rank Points and Commission Points, the amount of points varies by sale type and currency used, see page 7 for acutal point amounts. 1

2 Business Builder Bonuses A Distributor may purchase an optional Silver Business Builder Pack (4 pack) and an optional Gold Business Builder Pack (8 pack) as many times as they like. When a Distributor purchases a Silver Pack, the Distributor gets paid as a Silver Executive for Team Commissions for 12 weeks; this does not earn them Shares in any Pools. When a Distributor purchases a Gold Pack, the Distributor gets paid as a Gold Executive for Team Commissions for 12 weeks; this does not earn them Shares in any Pools. When a Distributor sells an optional Business Builder Pack to a Personally Enrolled Distributor they are paid a Enroller Active but not Active Previous Month Business Builder Bonus. Business Enroller 20% Bonuses are paid weekly (see the Upline 10% chart on the right). To be eligible for Business Builder Bonuses, Enroller Active and Active Previous Month Enroller 30% the Distributor must be Active. Distributors are considered Active Upline 10% if they personally have at least 2 Active Points in the current week or previous 3 weeks. If a Business Builder Pack is sold and the Enroller or Upline is not Active then FREZZOR will pay the fi rst Distributor above them that is Active. The Enroller of the new Distributor who purchased the Business Builder Pack can earn a larger Business Builder Bonus if they are Active in the current week and if they were Active 4 weeks prior to the current week. When an optional Business Builder Pack is purchased no Commission Points are generated for the purpose of calculating Team Commissions, but Rank Points (see page 7) are generated based on the confi guration of the optional Business Builder Pack that is purchased. When you purchase an optional Business Builder Pack you will be considered Active for the current week and the next 3 weeks. Business Builder Bonuses are based on the optional Business Builder Pack sale price. When purchasing the Silver and Gold optional Business Builder Packs, the purchaser chooses any combination of 4 or 8 FREZZOR products. Bulk Buy Bonuses A Distributor may purchase 12 bottles of FREZZOR at a time under our Bulk Buy Program. The purchasing Distributor will earn 20% of the sale price, paid weekly, in addition to Rank Points and Commission Points.* * Actual Points awarded are based on which 12 products are selected and currency used. See page 7 for actual Point Values, use the Buly Bulk Purchase sales type to calculate point values. The purchasing Distributor has a choice of any 12 FREZZOR items. 2

3 Team Commissions FREZZOR Team Commissions are based on the FREZZOR Uni-Level Tree and are paid weekly. With FREZZOR s Uni-Level Tree, a Distributor can Personally Enroll as many Distributors as they desire. Each time a new Distributor is Personally Enrolled they create a new Leg in the Enroller s Uni-Level Tree. FREZZOR will pay the Distributor up to 10 Levels deep on their Uni-Level Tree. All percentage payouts below are paid on the Commission Points earned (please see page 7 for point values). To be eligible for Team Commissions a Distributor must be Active. As a Distributor advances in Rank they will be paid on more Levels in their Uni-Level Tree. 4 The example to the right of the FREZZOR Uni-Level Tree shows how much you will earn on each Level at the Silver Rank. All of the Distributors on the 1st Level are Distributors whom you have Personally Enrolled. You earn 10% commissions on Distributors who are on Level 1. Remember, there is no limit to how many Distributors you can You Silver Rank Level 1 10% Level 2 10% Personally Enroll. Every time you Personally Enroll a new Distributor you make your 1st Level wider. All Enrollees on Level 2 are Distributors who were Personally Enrolled by the Level 1 Distributor with whom they are connected. A Distributor earns 10% on all Distributors on their 2nd Level. Level 3 8% In the example, you are at the Silver Rank so you earn 8% on all Distributors on your 3rd Level in addition to 10% on Distributors on Levels 1 and 2. All Enrollees on Level 3 are Distributors who were Personally Enrolled by the Level 2 Distributor with whom they are connected. Rank Advancement: FREZZOR Ranks are calculated based on the Rank Advancement Chart on page 5. The term Leg on the Rank Advancement Chart refers to all Distributors below a Distributor on Level 1 (including the Distributor on Level 1).* This means that every time a new Distributor is Personally Enrolled a new Leg is created in the Enroller s FREZZOR Uni-Level Tree. All Rank Points generated on a Leg infi nitely deep will be counted when calculating Rank Advancement. Rank is calculated for each Weekly Pay Period. In the example on page 5, you have Personally Enrolled 3 Distributors. This means that your FREZZOR Uni-Level Tree has 3 Legs in it. All Rank Points infi nitely deep are totaled for each Leg. Actual Points used per Leg vary by Rank as shown on the Rank Advancement Chart. *See the illustration on page 5 4

5 To calculate Rank Advancement fi nd the Rank you wish to achieve on the Rank Advancement Chart. The Rank Advancement Chart third column, Maximum Required Maximum Usable Active Points Rank Weekly Usable, shows how many Rank Points Per Leg Required Points Rank Points you can use from each Leg. The example to the right illustrates reaching the Gold Rank. You can use a maximum of 1,500 Points from each of the Legs. You can use 1,500 of the 4,000 Rank Points from Leg A, all 800 from Leg B and all 600 from Leg C giving you a total of 2,900 Rank Points for the Weekly Pay Period. You have achieved the Rank of Gold in this example. At the end of every quarter if FREZZOR has not paid out 40% of Global Product Sales after paying Retail Profi ts, Preferred Profi ts, Fast Start Bonuses, Bulk Buy Bonuses, Team Commissions, Leadership Pool Bonuses, and Royalty Pool Bonues, 5

6 the difference between what was paid and our 40% commitment will be placed into the FREZZOR Global Pool and paid out to every Distributor who has earned Global Pool Shares for the quarter. All new Distributors will earn One Share if they are Active in any weekly pay period during their fi rst quarter. For each group of two Personally Enrolled Distributors who are Active at any point during the quarter, the enrolling Distributor will earn a Share. To earn these Shares the enrolling Distributor must be Active in the same week that each of the two Distributors become Active. The two Distributors whom the enrolling Distributor is earning Shares for do not need to be Active at the same time. For every Rank above Distributor, a Distributor earns a Share for the week that they achieve that Rank; 1 for Bronze, 2 for Silver, 3 for Gold etc Leadership Pool Bonuses FREZZOR will set aside 1% of Global Product Sales generated by the company each quarter into the FREZZOR Leadership Pool. The Leadership Pool is paid each quarter to all Distributors who have earned Shares. Distributors can earn Shares when they are at the Gold Rank or above. At the Gold Rank or above, they will earn a Share every week for each Leg in their FREZZOR Uni-Level Tree that has a Bronze Rank Distributor or above in it. Royalty Pool Bonuses FREZZOR will set aside 1% of the Global Product Sales generated by the company each quarter into the FREZZOR Royalty Pool. The Royalty Pool is paid each quarter to all Distributors who have earned Shares. Distributors can earn Shares when they are at the Royal Presidential Rank or higher. At the Royal Presidential Rank or higher, they will earn a Share every week for each Leg in their Uni-Level Tree that has a Presidential Rank Distributor or higher in it. A Distributor cannot earn Shares in the FREZZOR Leadership and Royalty Pool in the same week. 6

13 Glossary FREZZOR Uni-Level Tree: The FREZZOR Uni-Level Tree is the structure used to calculate Team Commissions. Depending on Rank you can get paid up to 10 Levels deep and there is no limit as to how wide your FREZZOR Uni-Level Tree can be. Every time you Personally Enroll a new Distributor your Tree gets wider. Leg: When a Distributor Personally Enrolls a new Distributor they create a new Leg in their FREZZOR Uni-Level Tree making their Tree wider. Active: Distributors are Active if they have at least 2 Active Points. Active Points: Whenever an eligible item is purchased Active Points are earned by the purchasing Distributor. Active Points are valid the week they are earned and the next three weeks. Rank: Each Week a Distributor s Rank is calculated based on the Rank Advancement Chart on page 5. A Distributor s current Rank determines Team Commission amounts and affects Shares earned in the FREZZOR Pools. Rank Points: Whenever an eligible item is purchased, Rank Points are earned by the purchasing Distributor. The total of all Rank Points below a Distributor are used to calculate a Distributor s Rank for a given Pay Period. A Distributor s personal Rank Points do not count towards Rank Advancement. Commission Points: Whenever an eligible item is purchased Commission Points are earned by the purchasing Distributor. A Distributor s Team Commissions are calculated for each Weekly Pay Period by adding up all the Commission Points from the Levels in their FREZZOR Uni-Level Tree that the Distributor is eligible to get paid on as determined by their current Rank and multiplying each Level s Total Commission Points by the appropriate percentage. Distributors do not get paid on their personal Commission Points. Weekly Pay Period: FREZZOR s Weekly Pay Periods are from Monday 12:00 AM PST to Sunday 11:59 PM PST. Commissions are paid 10 days after the pay period ends. 13

14 Quarter: All Shares for FREZZOR Pools are calculated each quarter. Quarters are from January-March, April-June, July-September and October-December. All quarters begin on the first Monday in a quarter. Personally Enrolled: When a Distributor directly enrolls another Distributor or. Preferred : Any who is enrolled in the FREZZOR Autoship Program. All Preferred s pay the same price for FREZZOR Products as Distributors. Retail : Any who is not enrolled in the FREZZOR Autoship Program. All Retail s pay the MSRP or suggested retail price for all FREZZOR Products. Distributor: Anyone can become a FREZZOR Independent Distributor all that is required is that the individual be 18 years of age and have a valid SSN or TIN (SSN and TIN required for US Distributors only) and submit a FREZZOR Application with the required sign up fee. Bulk Buy: FREZZOR Offers a Bulk Buy Pack that comes with 12 FREZZOR Products of the buyer s choice. When purchased, the buyer receives 20% of the purchase price as a bonus. Enroller: The Distributor who directly signed someone up. Enrollee: The Distributor or who someone has directly signed up. 14
