3 BASIC TERMS BUSINESS Partners are all participants in the Colway International network. A partner enjoys all Customer s benefits and additionally, after paying an annual fee*, has a from the catalogue price on all products. A partner earns 40% retail commission from selling the products. They own an e-commerce platform /ID, LOGIN, unique name/ and also build a team. A partner has an opportunity to build their own substantial business based on Colway International e-commerce platform. They sell the products and recruit new Partners. After they qualify as Business Partner, they are entitled to earn commission from their team s sales. * 49 / 39 or 9.90 / 7.90 with the minimum purchase of 50 Volume Points. VOLUME POINT (VP) QUALIFYING POINT (QP) Conversion unit used to calculate the sales volume in order to work out the commission. All products have assigned: retail prices, wholesale prices for Partners and Volume Points. Conversion unit used to calculate the commission for Business Partners. Conversion to currency is based on the C.I. s internal exchange rate. One Qualifying Point equals 1 euro. VICE VICE CUSTOMER Person purchasing COLWAY products at retail prices. Buys directly from you at group product demonstrations or/and at one-to-one consultations. A long term customer gets a traditional person-to-person customer service, or places orders in your e-commerce shop. Registered Customer who opens an account with COLWAY and enjoys 10% discount on all products, and Unregistered Customer. E-customers orders are included in Partner s sales. VIRTUAL OFFICE (VO) The platform with access protected by login and password. You can manage all information about your customers and business CRM: number of customers and business partners, recruitment, conversion, activity, inactivity, order value. It helps you plan your business. ONLINE SHOP The online shop with the admin access protected by login and password. It has a unique address. Promoting the shop opens a limitless earning opportunities for Partners. They can find customers anywhere in Europe now, and in the future, anywhere in the world. You build relationships with your Customers and their purchases count towards your sales volume and your activity. ANNUAL FEE A once-a-year fee for your business account and Partner benefits. The fee covers: access to the e-commerce platform, printed info pack delivered to Partner s postal address. After registration, Partner must pay the fee within 7 days. The fee is automatically added to shopping cart with the first order. Failure to pay the fee will result in changing Partner s status to Customer. Customer can upgrade to Partner at any time.

4 BASIC TERMS QUALIFYING WEEK (QW) Period of time qualifying for compensation on the basis of the Volume Points achieved. Lasts 7 days. Commences on Saturdays at 0:00. Terminates on Fridays at 11:59:59pm, Central European Time CET (UTC+1). ACTIVITY Minimum sales volume that a Partner must achieve to qualify for the commission and bonuses. Partner is ACTIVE when they achieve a minimum of 50 VP in one qualifying week. Active status is maintained for a period of 4 consecutive weeks, commencing from the week in which 50 VP is achieved. BUSINESS VICE RANK (R) RANK the level achieved on the career path. Paid as RANK attained as a result of meeting certain requirements. All commission is based on paid as Ranks. Highest Rank the highest rank ever achieved regardless of a current paid as rank. It is used for classification purposes and may entitle you to certain benefits. GENERATION BONUS Generation Bonus (GB) is paid on the Volume Points of your Genealogy down to the 9th Generation. A Generation is a qualified Business Partner or higher plus all Partners in the downline, down to, but not including, the next Business Partner or above. VICE OVERRIDE COMMISSION Calculated on the Volume Points on all your Customers and Partners in your Override Tree. You get paid both on your lesser and greater leg. Minimum 200 VP must be achieved in your lesser leg to qualify.

5 BUSINESS Annual fee 49 / 39 I VICE VICE If purchased with min. 50 VP or more, annual fee of 9.90 / 7.90 Own Partner is the first career step in the Colway International Financial Plan. As the Partner is promoted, they reach subsequent ranks and with them gain access to commission, bonuses and additional privileges. Once you become a Colway International Partner, you do not have to purchase, store or deliver products on behalf of your customers. Your customers shop via your online store in the Colway system. All commissions are calculated on your behalf. As an active Partner registered in the system, you receive a on retail prices of all the Colway products. As soon as you become a Partner, you qualify to order and enjoy all of our unique and extensive range of products at this discount. On every order fulfilled by your customers via your own online store, you also receive a 40% commission. This commission is saved to your account for you to use at any time. You can use it to purchase products up to 50% of the value of the products you order, or you can choose to have commission paid in cash; the discount is effectively your Trade Margin. You can find out how to get paid in the financial department of Colway International. The only condition for maintaning your Partner status is to pay a low annual fee, paid together with a minimum purchase of 50 Volume Points. 30% discount If a customer opens an account (registers) in your Online Store, they can purchase all products with a 10% discount, and you receive a 30% commission.

This training offers you the opportunity to gain key business skills: 1. How to use the virtual office (VO) and the online store. 2. Identifying customers and Business Partners 3. Inviting prospective Partners to presentations. 4. Basic recruitment techniques. 5. Relational sales and customer service. You can join our training opportunity in two ways: 1. Online through participation in webinars. 2. Live training sessions in the region where you work or close to your home. right to commission As a Partner in ranks from Business Partner and above you receive commission. It is automatically paid based on two mechanisms: the Generations and the Override Tree. The amount you receive depends on the current paid rank and the Volume within the organisation below you. Once you become a Business Partner you gain the right to the generation commission, override commission and all available bonuses. Requirement to qualify for the Override : 1) be active 2) have two personally sponsored active Partners placed on both sides of the Override Tree; 3) achieve minimum 200VP in the lesser leg.

This address shows your business connection with the company. With this support, you will develop the following competences: 1. Key team building. 2. Delegating tasks. 3. Providing feedback. 4. Resolving conflicts in the team. These training sessions are organised in the form of workshops, during which participants will be able to develop their skills through interactive exercises and constructive feedback from the Trainer.

Plan your own business strategy to qualify for this special event. Qualification is not always connected with reaching a certain rank, but you can usually expect to qualify from the level of the Vice Director and above. Additional benefits programme The additional benefits programme supports all Colway International Partners who decide to promote their business at fairs and networking meetings. Colway International offers support in the form of a subsidy on all advertising materials and lease of equipment such as banners or even fold-up stands. The subsidy amount will depend on Partners volume the amount of 1. on volume in their personal group will be designated for marketing, and will be saved on their account every month.

The Partner leases the selected car model by signing an agreement directly with the leasing company specified by Colway International. Each month that you achieve the Vice President rank, the company invests in a pension fund. Colway International will propose a specific pension fund to the Vice President, which the Partner can join; 2% on volume in the personal organisation will be allocated to this pension fund.

15 BASIC TERMS Override commission BUSINESS of the balanced volume of the lesser leg and up to a double balanced volume of the lesser leg from the greater leg. VICE Override Tree is built with two placement legs. As a new Partner you have two positions to fill in: left and right. You build two teams: left and right. You get paid both on your lesser and greater leg. Minimum of 200VP must be achieved in your lesser leg to qualify. If less than 200VP is achieved, the balance is carried over to the next qualifying week. Override is calculated on the Volume Points of all your customers and Partners in your Override Tree. You must be active to qualify. VICE Requirement to qualify for Override : one directly sponsored Partner on each side of your Override Tree.
