2 The Cn Edisn Cmmercial & Industrial (C&I) Energy Efficiency Prgram ffers incentives fr installing energy-efficient electric and gas equipment and technlgies. Energy efficiency can help imprve the bttm line by reducing energy use and maintenance csts while increasing perating efficiencies. These upgrades can als help prtect the envirnment. There are tw pathways fr bth gas and electric custmers in 2018: the prescriptive path and the custm path. T get started, determine yur prject s eligibility and path, cmplete a shrt applicatin, and speak with ne f ur dedicated Energy Advisrs with any questins abut yur energy-efficiency prject. Once the prject is apprved and cmpleted, the incentive is mailed t the custmer, r directly t the Market Partner, with custmer apprval. Prgram Prcess 1. CHECK PROJECT AND EQUIPMENT ELIGIBILITY All installed equipment must meet r exceed specificatins described in this Prgram Manual. 2. SUBMIT AN APPLICATION PACKAGE An applicatin package is required fr all custm and prescriptive prjects and includes the fllwing items: Cmpleted prgram applicatin. Applicant name must match name f Cn Edisn accunt hlder. Custmer Prpsal/Statement Of Wrk Cn Edisn Excel Tl (if measure is listed) Cut sheets. Specific mdel(s) f the measure being used in the prject must be highlighted n the cut sheets befre submissin. Any ther measure specific dcumentatin listed in this prgram manual r in guidance dcuments specific t the technlgy (custm prjects) r requested t cnfirm savings calculatins. W-9 f the incentive recipient. W-9 must be latest versin available n IRS website. Submit applicatin via t yur Energy Advisr r t with a subject line f New C&I Applicatin [Applicant Name]. 3. SIGN PRELIMINARY INCENTIVE OFFER LETTER (IOL) Yu will receive a Preliminary IOL nce yur prject has been reviewed. Please clearly identify a cntact persn wh may be present during the pre-inspectin site visit and sign the dcument. This ffer expires in 30 days if nt returned t Cn Edisn. 4. PRE INSPECTION Cn Edisn will pre-inspect the existing cnditin f yur site. In rder t be eligible fr incentives wrk may nt begin until this pre-inspectin has been cmpleted and a ntice t prceed has been sent by Cn Edisn. 5. NOTICE TO PROCEED After the pre-inspectin a review f the prject will ccur and yu will receive a Ntice t Prceed which includes an updated incentive ffer, indicating prject wrk may begin V 2.2 Page 2 f 27

3 6. INSTALL EQUIPMENT The Ntice t Prceed allws 90 days t cmplete yur prject and submit yur cmpletin paperwrk. Cntact the prgram team if yu think yur prject will require mre than 90 days. The prgram must be ntified in writing in rder t apprve the extensin f this deadline. 7. SUBMIT COMPLETION PAPERWORK Submit yur cmpletin paperwrk as sn as yur prject is cmpleted. Cmpletin paperwrk shuld nly be submitted after 100% f incentive measures are installed. The cmpletin paperwrk includes: Custmer and Market Partner signed Cmpletin Certificate. Only csts directly related t incentivized measures shuld be included n the cmpletin frm. Fr prescriptive prjects final paid invices must be made available upn request. Fr custm prjects all itemized final paid invices and receipts must be submitted and brken ut by prduct. 8. POST INSPECTION Cn Edisn will inspect the new cnditin f the site t determine eligible incentives. 9. RECEIVE INCENTIVE PAYMENT Once yur energy savings and incentives are finalized by the Prgram team, an incentive check will be mailed t yu r yur Market Partner. Only designated Market Partners in gd standing may receive incentive payments. Incentive Payments Prescriptive and custm incentives cannt exceed 50% f the custmer s prject cst fr eligible measure(s) r 100% f each measure cst. Internal labr csts will nt be included with ttal prject cst when calculating incentive caps. Ttal incentives may be limited t $1,000,000 fr custm electric and $250,000 fr custm gas per accunt per year. Material and Labr csts submitted are subject t Cn Edisn review and may be capped fr incentive calculatins at ur sle discretin. If the incentive check is being paid t the custmer, the names n the custmer s Cn Edisn accunt and W9 must match. Only Market Partners in gd standing will be allwed t accept incentive payments n behalf f the custmer with prir written apprval f the custmer. Tax Liability Incentives may be taxable fr mst taxpayers. If the incentive is mre than $600, it will be reprted t the IRS and the custmer will be prvided with an IRS frm 1099, unless the custmer has submitted dcumentatin that they are a tax-exempt entity as defined by the IRS. Cn Edisn is nt respnsible fr any tax liability that may be impsed n any custmer as a result f the payment f prgram incentives. All custmers must supply their Federal Tax Identificatin number t Cn Edisn in rder t receive a Prgram Incentive. 4 Custmer Eligibility Cmmercial custmers, ver 100 kw average peak demand n a rlling 12 mnth basis, wh pay int the EE Tracker are eligible fr C&I incentives, excluding Multifamily buildings. Cmmercial custmers between kw may als chse t participate with Cn Edisn thrugh the Cmmercial Direct Install Prgram. Custmer has nt applied fr r received an incentive frm New Yrk State Energy Research and Develpment Authrity (NYSERDA), Cn Edisn r anther utility fr the same prject Prject must be in an existing facility (new cnstructin is nt eligible fr this prgram) Equipment must be installed after custmer signs and submits a signed preliminary IOL frm Cn Edisn, allws fr a pre-installatin inspectin, and receives a Ntice t Prceed frm Cn Edisn The Cn Edisn custmer f recrd listed n the applicatin is a directly metered cmmercial r industrial custmer wh pays the EE Tracker Market Partner Eligibility All Cntractrs wh participate in the Cn Edisn Cmmercial and Industrial Prgram must be an apprved Market Partner and meet the fllwing requirements: Cmplete a market partner applicatin Meet insurance cverage minimums as defined n the market partner applicatin Attend C&I prgram training Prvide three custmer references upn applicatin t the prgram Cmplete at least 1 prject in the prgram annually Adhere t the market partner participatin requirements Maintain an apprved market partner status Only Market Partners (MP) in gd standing, cnsistent with the MP participatin requirements, will be allwed t accept incentive payments n behalf f the custmer. Market Partner Participatin Requirements The gal f this plicy is t verify that prjects in the Prgram meet all Prgram requirements and custmers are left satisfied with their market partner s perfrmance. Prbatin and Expulsin Prcedure Based n the findings f Cn Edisn quality assurance and quality cntrl activities, the Prgram will dcument and infrm participating Market Partners f any deficiencies and any crrective actins that need t be taken. Market Partners, wh deliver incnsistent results, will be cnsidered fr Prbatin r Expulsin. The fllwing is the Prgram s disciplinary plicy: 1. A prbatinary r suspensin perid may be used fr market partners as an initial step twards expulsin. The market partner will be ntified in writing that they are nw subject t a prbatinary perid. The ntificatin will utline the deficiencies that have been fund, the perid f prbatin (time), and any crrective actins that the market partner must take in rder t be re-instated t full participatin status. Prbatinary perid is defined as a temprary remval f a market partner frm participatin in the prgram V 2.2 Page 4 f 27

5 2. If a market partner des nt meet the crrective actins utlined in their ntificatin f prbatin then they will be subject t prgram expulsin. If a market partner receives a secnd Prbatinary perid in any twelve mnth perid, r if they are fund t engage in miscnduct, they will be subject t immediate prgram expulsin. The market partner will be ntified in writing f their expulsin. The ntificatin shall state the deficiencies fund in their perfrmance, the reasn fr expulsin, and ptential steps (if any) the market partner culd take in rder t be reinstated. Reinstatement is never guaranteed and is left t the discretin f the Prgram. 3. If the market partner is placed under a disciplinary status within anther Cn Edisn prgram then they may autmatically be placed n prbatin/suspensin in the Cmmercial and Industrial Prgram until the issue in the ther prgram is reslved. The Prgram will make the determinatin based n the reasn fr prbatin. Market partners must infrm Cmmercial & Industrial Prgram staff via cmmercial@cned.cm f prbatin r expulsin frm ther Cn Edisn prgrams. 4. Prgram expulsin is defined as the permanent remval f the Cntractr frm the Prgram. All f the privileges f Prgram participatin will be revked including but nt limited t the use f all marketing materials assciated with the Prgram. Eligible Measures and Incentives All measures and incentives listed belw are subject t change at the discretin f Cn Edisn withut prir written ntificatin. Lighting Measures Prescriptive Incentives fr Slid State Lighting Luminaires (aka s), Retrfit Kits, Lamps, and Cntrl Equipment Measures Any lighting measure nt listed belw is nt presently eligible fr incentives under the Cn Edisn C&I Prgram. The fllwing are the prescriptive incentives currently ffered fr LED lighting measures: Requirements: Lamps and fixtures must be slid state lighting certified and listed n the Design Lights Cnsrtium (DLC) Qualified Prduct List (QPL) versin 4.0 r later at the time f applicatin in rder t be eligible fr the prgram. All dcumentatin f cmpliance with prgram requirements must be submitted t Cn Edisn at the time f applicatin submissin. DLC screenshts must be made available t Cn Edisn upn request. Dwnlight Replacements and Retrfit Kits: Energy Star certificatin is accepted fr dwnlight fixture replacements and retrfit kits. 10 Lighting Pwer Density Incentives fr Slid State Lighting The Cn Edisn C&I Prgram ffers perfrmance-based incentives fr applicatins where the ttal interir Lighting Pwer Density (LPD) allwance is less than the maximum pwer allwance as determined by the prevailing NYC energy cnservatin cde (NYCECC) and/r NYS cde requirements, as applicable. Custm incentives fr such applicatins are based n annual kwh savings at a rate f $0.16/kWh up t 50% f the custmer s prject cst fr eligible measure(s). 26 Terms and Cnditins ELIGIBILITY: Cnslidated Edisn Cmpany f New Yrk, Inc. s (Cn Edisn s) Cmmercial and Industrial Efficiency Prgram ffers incentives t directly metered electric and gas nnresidential custmers in gd standing wh cntribute t the EE Tracker. EE Tracker is a New Yrk State-mandated fund fr initiatives fcused n envirnmental and ther public plicy prgrams such as energy efficiency. Incentives are available t prperty wner/lease hlder (tenant)/prperty manager fr the purchase and installatin f energy-efficiency measures at the lcatin where the qualifying prject is t be installed. Cn Edisn will nt ffer financial incentives fr the same eligible measure t thse custmers wh have received financial incentives r rebates frm the New Yrk State Energy Research and Develpment Authrity (NYSERDA) and/r anther electric r gas utility cmpany. Accrdingly, custmer represents and warrants t, and cvenants and agrees with, Cn Edisn that it has nt received and will nt receive any financial incentive r rebate frm any ther persn r entity with respect t the measure(s) identified in this Applicatin and in any Preliminary Incentive Offer r Ntice t Prceed issued by Cn Edisn in cnnectin herewith. Custmers and r Market Partners must respnd t all cmmunicatins within 30 days r risk the cancellatin f the prject. QUALIFYING PROJECTS: Qualifying prjects are prjects eligible fr prgram incentives that include electric r gas energy-efficiency measures identified as eligible and site-specific custm energy-efficiency measures apprved by Cn Edisn. Qualifying prjects d nt include any electric r gas energy-efficiency measures r energy-efficiency equipment r services purchased, cntracted fr, r installed prir t the date f Cn Edisn s Preliminary Incentive Offer, the date f any required pre-installatin inspectin r the date f custmer s receipt f a Ntice t Prceed. FINANCIAL INCENTIVES: The basis fr determining the amunt f the financial incentive fr which qualifying prjects are eligible are set frth in the New Yrk Standard Apprach fr Estimating Energy Savings frm Energy Efficiency Measures in Cmmercial and Industrial Prgrams, as in effect frm time t time. Cn Edisn s determinatin f incentive amunts is final. APPLICATION AND WORKSHEETS: Eligible custmers must submit cmpleted applicatins and ther required dcumentatin as described elsewhere in this applicatin fr all prpsed qualifying prjects. Electrnic signatures will have the same frce and effect as riginal signatures. APPLICATION REVIEW AND INSPECTION: Cn Edisn will review all applicatins and accmpanying dcumentatin fr eligibility, cmpleteness, and accuracy. As part f this review, Cn Edisn may cnduct an n-site inspectin f a facility s existing equipment and systems. After cmpleting review f the applicatin and determinatin f eligibility, Cn Edisn will send a Preliminary Incentive Offer t each qualifying custmer accepted fr the prgram, specifying the estimated incentive amunt. The custmer must sign and return the Preliminary Incentive Offer that includes an estimated prject end date. If any prpsed prject des nt meet prgram requirements, Cn Edisn will ntify the custmer that its Preliminary Incentive Offer has been rejected. T be eligible fr an incentive, a custmer must receive and cunter-sign a Ntice t Prceed frm Cn Edisn, and any required pre-installatin inspectin must be cmpleted, befre custmer rders, purchases, r installs qualifying equipment. Cn Edisn reserves the right t reject any estimates. Custmer understands that the estimated incentive amunt identified in any Ntice t Prceed is an estimate nly and may nt reflect the actual amunt payable t custmer upn cmpletin f a qualifying prject. INSTALLATION TIME LIMITS: Installatin time limits will be stated in the Ntice t Prceed. Any changes t specified time limits must be requested in writing and agreed t by Cn Edisn in writing. Failure t meet apprved deadlines may result in denial f incentive payments. Cn Edisn may elect t cnduct pre- and/r pst-installatin inspectins. FINAL INSPECTION AND INCENTIVE PAYMENT: When installatin is cmpleted, custmers must ntify Cn Edisn in writing and submit invices specifying the quantity and cst f all materials purchased and installed, the date rdered, the date purchased, the date delivered, installatin csts, and applicable taxes. Cn Edisn, in its sle discretin, may schedule and cnduct a pst-installatin inspectin. The actual incentive amunt will be determined based upn the inspectin and may vary frm riginal estimates. Incentive checks will be sent apprximately six weeks after receipt f all prper invices and verificatin f all installatins. Checks will be payable directly t the Cn Edisn accunt hlder unless therwise indicated in the Payee Authrizatin sectin f this applicatin. Custmer agrees that Cn Edisn may prvide custmer infrmatin including custmer name, accunt number, electric and/r gas cnsumptin data, and electric and/r gas energy savings t its third party evaluatin cntractr fr prgram evaluatin purpses. The evaluatin cntractr will keep custmer infrmatin cnfidential. Custmer infrmatin may als be prvided t the New Yrk State Public Service Cmmissin. Any custmer infrmatin prvided t the New Yrk State Public Service Cmmissin will be aggregated with infrmatin 2018 V 2.2 Page 26 f 27

TAX LIABILITY and CREDITS: Cn Edisn is nt respnsible fr any taxes which may be impsed n the custmer r business as a result f prjects installed under this prgram. The incentive check recipient may want t cnsult a tax advisr abut any tax cnsequences f this ffer. The incentive check recipient must prvide a valid federal tax ID number and a W-9 frm. REMOVAL f EQUIPMENT: The applicant agrees, as a cnditin f participatin in the prgram, t remve and dispse at its sle cst and expense any and all equipment r materials that are replaced r remved in accrdance with all applicable laws, rules, and regulatins. DISPUTES: Cn Edisn will have sle discretin t decide n the final reslutin f any issues including but nt limited t energy savings, prjects, eligibility, r incentives. PROGRAM CHANGES: Cn Edisn reserves the right t change, mdify, r terminate this prgram at any time withut any liability except as expressly stated herein. Cn Edisn will hnr all written cmmitments made in the Ntice t Prceed sent t custmers prir t the date f any change, mdificatin r terminatin f this prgram, prvided that prject installatins are fully cmpleted within the time specified in the Preliminary Incentive Offer and Ntice t Prceed. PROGRAM EXPIRATION: This prgram will expire December 31, 2018, when funds are depleted, r when the prgram is terminated, whichever ccurs first r as determined by prgram management. DISCLAIMER: Custmer acknwledges and agrees that Cn Edisn shall nt be liable t custmer r any ther persn r entity in cnnectin with any qualifying prject undertaken by custmer, including in cnnectin with Cn Edisn s review r apprval f this applicatin and/r wrksheets. T the fullest extent permitted by law, custmer, n behalf f itself and any ther persn r entity claiming by and thrugh custmer, hereby irrevcably and uncnditinally releases and frever discharges, and agrees t defend, indemnify, and hld harmless Cn Edisn, its affiliates, and their respective past, present and future fficers, directrs, trustees, stckhlders, emplyees, agents, representatives, successrs and assigns, frm any and all claims, charges, cmplaints, causes f actin, damages, lsses, agreements and liabilities f any kind r nature arising frm the design, installatin r perfrmance f any energy efficiency measure r equipment purchased r installed in cnnectin with the prgram (including withut limitatin, claims fr persnal injury, death r prperty damage) r related t energy csts incurred by custmer, including, withut limitatin, attrneys fees, curt csts and csts f experts. Accrdingly, Cn Edisn, its representatives recmmend that all custmers cnsider engaging qualified engineers r ther qualified cnsultants t evaluate the risks and benefits, if any, f such implementatin and use n energy cnsumptin, cst savings, r peratin f custmers facilities.
