1 Digital Advisry Services Prfessinal Service Descriptin Sftware Defined Netwrking Strategy and Radmap 1. Descriptin f Services. 1.1 Sftware Defined Netwrking Strategy and Radmap. Verizn will prvide Sftware Defined Netwrk (SDN) Strategy and Radmap Wrkshps, as further described belw (the Engagement ). 2. Scpe f Wrk. Verizn will perfrm the Engagement activities listed in this sectin and these activities are in scpe fr the SDN Strategy and Radmap. Any items r actins nt specifically identified in this sectin are ut f scpe. 2.1 Methdlgy. Verizn will perfrm the Engagement accrding t the stages set frth in this sectin. As defined belw, Verizn will draft a Resulting Deliverable fr certain stages, which are subject t Custmer s review and apprval in accrdance with Deliverable Acceptance. Engagement Initiatin SDN Strategy Wrkshp Orientatin and requirements gathering Current state discvery and analysis Future state definitin Gap analysis SDN Strategy Presentatin Data Validity Checkpint SDN Radmap Wrkshp Radmap timeline develpment Phase and milestne details SDN Radmap Presentatin 2.2 Engagement Initiatin. The Verizn Engagement Prject Manager, as defined belw, will crdinate the engagement kick-ff meeting in accrdance with Engagement Management as defined belw. 2.3 SDN Strategy and Radmap. Verizn will prvide the fllwing SDN Strategy and Radmap as part f this Engagement: SDN Strategy Wrkshp. Verizn will deliver an SDN Strategy Wrkshp ( Strategy Wrkshp ) which is designed t help Custmer define an SDN strategy by addressing items such as capturing business and technical drivers and bjectives that are imprtant t the delivery f an SDN, defining the netwrk infrastructure future state visin and directin, alignment f the future state t and in supprt f business 1 f _2

2 bjectives, identificatin f key technlgies that will add value and enable the future state visin, and capturing assciated csts and dependencies in rder t transitin frm current state t the future state (the SDN Strategy ). The Strategy Wrkshp will take place n Custmer Site ver a perid as specified in the Engagement Letter and will cnsist f activities such as key stakehlder interviews, wrking grup meetings and discussin, and dcumentatin and data review. The results f the Strategy Wrkshp will be delivered t Custmer as an SDN Strategy Dcument and thrugh a presentatin delivered remtely r n Custmer Site, as specified in the Engagement Letter. Resulting Deliverable the SDN Strategy Dcument Orientatin and Requirements Gathering. Verizn will wrk with Custmer t capture requirements relevant t the develpment f the SDN Strategy which may include tpics such as Custmer business and technical drivers and bjectives, industry business and technical drivers, identificatin f key internal rganizatins, stakehlders, and decisin makers, alignment t rganizatinal planning methds, knwn regulatry cmpliance requirements, and key perfrmance indicatrs ( KPI ) t measure prgress and impact. Resulting Deliverable the Statement f Requirements Current State Discvery and Analysis. Verizn will wrk with Custmer t capture business and technlgy current state details such as Custmer business and industry, gals and strategy, nging and planned initiatives, key limitatins and prblem areas, netwrk and services architecture, relatinship f infrmatin technlgy t business bjectives, infrmatin technlgy rganizatinal rles and capabilities, existing budget and investment plans, knwn cnstraints, and analysis f key strengths, weakness, pprtunities, and threats Future State Definitin. Verizn will wrk with Custmer t define the future state SDN architecture visin t include items such as SDN Strategy statement definitin, identificatin f enabling technlgies, alignment t business and technlgy drivers and rganizatinal directin, benefits and estimated csts fr executin, and benefits and risks f executing the SDN Strategy, r failing t d s, n the business such as estimated cst savings, enhanced capabilities, pening new markets, and expanding custmer base Gap Analysis. Verizn will wrk with Custmer t discver and capture high level gaps and cnstraints that will impact the executin f the defined SDN Strategy including items such as budgetary limitatins, required training and staffing, dependencies t nging initiatives, hardware and sftware lifecycle requirements, and estimated required investment Netwrk Strategy Presentatin. Verizn will prvide a detailed Strategy Wrkshp results review sessin t participants f Custmers chsing. The review sessin will be delivered n Custmer Site r remtely, as specified in the Engagement Letter. Resulting Deliverables the SDN Strategy Presentatin 2.4 Data Validity Checkpint. Verizn will determine if the level f detail f the data prvided by Custmer during the Strategy Wrkshp is sufficient t prceed with the delivery f the SDN Radmap and develpment f the assciated Deliverables. Verizn will infrm Custmer if the detail is deemed insufficient and may advise the 2 f _2

3 executin f a change rder as an amendment t the SOW r SOF in accrdance with the Prfessinal Services Attachment t add recmmended SDN Assessment Engagement t the scpe f this Engagement. If Custmer elects t prceed with this Engagement absent the recmmended SDN Assessment Engagement, Verizn will cntinue Engagement delivery and will nte any impact t the Deliverables caused by lack f detailed data. 2.5 SDN Radmap. Verizn will prvide the fllwing SDN Radmap as part f this Engagement: SDN Radmap Wrkshp. Verizn will deliver an SDN Radmap Wrkshp ( Radmap Wrkshp ) which is designed t help Custmer develp an executable plan t transfrm Custmer current state netwrk architecture accrding t the Strategy as defined within the SDN Strategy Dcument (the Radmap ). The Radmap Wrkshp will take place n Custmer Site ver a perid as specified in the Engagement Letter and will cnsist f activities such as key stakehlder interviews, wrking grup meetings and discussin, and dcumentatin and data review. The results f the Radmap Wrkshp will be delivered t Custmer as an SDN Radmap Dcument and thrugh a presentatin delivered remtely r n Custmer Site. Resulting Deliverable the SDN Radmap Dcument Radmap Timeline Develpment. Verizn will wrk with Custmer t develp a Radmap sequencing the phases and milestnes required t enable the executin f the SDN Strategy within a Custmer-defined time frame. The Radmap develpment effrts will include items such as detailing actinable milestnes ( Milestne ), identifying Milestne and pririties, gruping f Milestnes int Radmap phases ( Phase ), Phase time frames, and assciated requirements such as budget, training, alignment and impact t nging initiatives, and alignment t business bjectives Phase and Milestne Details. Verizn will wrk with Custmer t define and dcument details applicable t the executin f each Phase and assciated Milestnes t include items such as key stakehlders and respnsible parties, required budgetary investment and level f effrt, dependencies n ther Phases r Milestnes, risk identificatin and mitigatin, assumptins, KPI s, cnstraints, and impact f Milestne cmpletin SDN Radmap Presentatin. Verizn will prvide a detailed Radmap Wrkshp review sessin t participants f the Custmers chsing. The review sessin will be delivered n Custmer Site r remtely, as requested by Custmer and shwn in the Engagement Letter. Resulting Deliverables the SDN Radmap Presentatin 2.6 Engagement Management. Verizn will designate an Engagement Prject Manager wh will act as the single pint f cntact thrughut the Engagement. The Engagement Prject Manager is als respnsible fr managing the change cntrl prcess. Shuld the Engagement s requirements change during the curse f the Engagement, the Engagement Prject Manager will ensure that any mdificatins t the Engagement are agreed t and dcumented in writing. 3 f _2

4 Verizn will wrk with Custmer t schedule a kick-ff discussin t initiate the Engagement. Verizn and Custmer will cllabrate t determine required stakehlders and ther attendees, agenda, and kick-ff meeting lcatin (i.e. n site r virtual). At r befre the kick-ff discussin, Custmer shall prvide a list f apprpriate cntact persnnel with cntact numbers, and apprpriate n-site authrizatin dcumentatin (where applicable). As an utput f the discussin, Verizn will cnfirm the resurces, date, time, and lcatin fr the Engagement with Custmer. All Engagement Management activities and duties will be delivered remtely. 3. Deliverables and Dcumentatin t be prduced by Verizn. Deliverables are intended fr Custmer and Verizn use nly. Custmer may disclse a Deliverable t a third party pursuant t the Agreement s cnfidentiality terms. Verizn will prvide: 3.1 The Statement f Requirements; 3.2 The SDN Strategy Dcument; 3.3 The SDN Strategy Presentatin; 3.4 The SDN Radmap Dcument; and 3.5 The SDN Radmap Presentatin. All dcumentatin will be delivered t the Custmer electrnically in the PDF r Micrsft Office frmats. 4. Dcumentatin t be prduced by Custmer and Custmer Obligatins. Delivery f this Engagement by Verizn is dependent n Custmer s perfrmance f the fllwing: 4.1 General Obligatins Prvide the necessary cmmitment f resurces and timely respnse t requests fr infrmatin t achieve the delivery f the SDN Strategy and Radmap within the mutually agreed timeframes Designate, prir t start f the Engagement, a prject manager wh will functin as the single pint f cntact (SPOC) t Verizn and must be invlved thrughut the duratin f the Engagement Actively participate in all Engagement related meetings and discussins and mutually cllabrate with the SPOC designated by Verizn t reslve issues and changes t plan Make available, as required, all necessary cntacts and stakehlders fr input and participatin in this Engagement Prvide the assistance as defined under Custmer Obligatins sectin f the SOW. 4.2 Engagement Prerequisites. Custmer will prvide the fllwing: Current Custmer netwrk architecture t include physical architecture, netwrk cmpnents t include make, mdel, and sftware revisin, netwrk prtcls, functinality, technlgies, identificatin f existing issues r areas fr imprvement, current netwrk dcumentatin, current IP addressing plan Custmer future state netwrk visin t include physical architecture, netwrk cmpnents, business cntinuity requirements, capabilities, functinality, technlgies, and features. 4 f _2

5 4.2.3 Custmer business requirements, drivers, and bjectives that will be supprted r impacted by the Strategy and Radmap Custmer security and regulatry cmpliance requirements. 5. Assumptins. In additin t the (i) abve-stated bligatins, plicies, and parameters and (ii) the assumptins stated in the Assumptins sectin f the SOW, the fllwing assumptins and cnsideratins shall apply. Verizn s prvisin f the Engagement is based n the fllwing assumptins. Shuld any f these assumptins prve t be incrrect r incmplete then Verizn may mdify the price, scpe f wrk, r milestnes: 5.1 Engagement will be perfrmed during the hurs defined in the Engagement Letter. 5.2 Any Assumptins under the applicable Engagement Letter will als apply t this Engagement. 6. Acceptance Criteria fr the Engagement r Deliverable(s). 6.1 Deliverable Acceptance Custmer will have 5 Business Days after receipt f a Deliverable t evaluate that Deliverable (the Evaluatin Perid ). Custmer may request changes via an t the Verizn Engagement Prject Manager, wh will evaluate the request, make any mutually-agreed changes, and resubmit any mdified Deliverable Custmer must accept each Resulting Deliverable prir t the start f the next Engagement stage by Verizn, as detailed in sectin Methdlgy. Custmer will send an t Verizn Engagement Prject Manager, with the specified Deliverable attached, stating acceptance f attached deliverable If Custmer has nt prvided acceptance r a requested change within the Evaluatin Perid, the Deliverable shall be deemed accepted by Custmer Scpe changes may be identified during the develpment f the Deliverables. Required adjustments will be made per the executin f a new Engagement Letter dcumenting the change. 5 f _2
